Meta is creating a publicly traded Class C common stock with no voting rights so it can raise equity, compensate employees and fund acquisitions without issuing more voting shares. The move is closely tied to the enormous infrastructure spending required for artificial-intelligence development. If the amended charter takes effect as planned on January 19, 2027, each outstanding Class A and Class B share will receive one Class C share in a one-time dividend. The structure protects existing voting power—especially Mark Zuckerberg’s—but can still dilute shareholders economically and leaves open questions about Class C’s price, liquidity and Nasdaq listing.
What exactly did Meta approve?
Meta’s board and a special committee of disinterested directors approved a charter recapitalization that creates Class C common stock. Holders representing a majority of Meta’s voting power approved the charter and related equity-plan changes by written consent. The amended charter is intended to become effective on January 19, 2027.

The board also declared a one-time dividend of one Class C share for every outstanding Class A share and every outstanding Class B share. That dividend is contingent on the charter becoming effective. As of Meta’s October 21 release, the board had not yet set the record date or payment date.
Class C shares will have no voting rights. Meta says distributing them will not change any holder’s relative voting power. An investor could sell the Class C shares received in the dividend while keeping the votes attached to the original Class A or Class B shares, although selling would reduce that investor’s economic ownership of Meta.

Why is AI spending driving the change?
Meta says the scale of investment needed to compete in AI, expand computing infrastructure and pursue new initiatives is significant. Class C gives the company an equity currency for that spending without issuing additional voting shares or using cash solely to avoid voting dilution.
Meta’s 2026 spending commitments
- Meta projects 2026 capital expenditures, including principal payments on finance leases, of $135 billion to $145 billion.
- Capital expenditures in the third quarter of 2026 were $34.91 billion.

Meta says AI investments are improving engagement, recommendations and monetization, but it also warns that infrastructure and product initiatives may take longer to generate returns than investments in its core businesses. Class C is therefore designed for both an opportunity—funding AI growth—and a pressure point: paying for that growth at unprecedented scale.

Both classes represent economic ownership in Meta, but only Class A carries votes. The practical differences are important because Meta expects Class A to retain a voting premium while Class C may trade at a discount.

Meta cannot predict the eventual prices of the two classes. Some recipients may sell Class C immediately after receiving it, potentially creating heavier selling pressure or a more active market than Class A. Investors whose mandates restrict low- or non-voting stock may also be unable or unwilling to hold it.

Does issuing Class C dilute shareholders?
It depends on which kind of dilution is being measured. Issuing Class C does not directly reduce the voting percentage of existing Class A and Class B holders, because the new shares have no votes. It can still dilute economic ownership: when Meta issues new Class C shares, each existing share represents a smaller percentage of the company’s total economic interest.
The one-time dividend is different from a future capital raise. Giving one Class C share to every existing Class A and Class B holder does not, by itself, change the relative voting power among those holders. A later offering to raise cash, pay employees or acquire a company would increase the number of Class C shares and could reduce existing holders’ percentage claim on earnings and assets.
How does the plan preserve Zuckerberg’s control?
Maintaining the founder-led structure was an explicit part of the board’s rationale. Meta’s filing says the special committee concluded that Mark Zuckerberg is best suited to lead the company into its next era and that Class C would allow the company to continue that model while raising equity.
The stapling requirement
The Founder Alignment Agreement limits sales of most Class C shares received by Zuckerberg’s holder group. Generally, selling one stapled Class C share must be paired with one of the following:

A sale that does not comply can trigger automatic conversion of Class B shares into Class A shares. That mechanism is intended to keep Zuckerberg’s economic and voting interests linked when he sells shares.
Additional dividends and release conditions
The agreement also provides for additional one-for-one Class C dividends after specified price-doubling events, provided a return threshold is met. Some stapled shares can be released over qualifying quarters while a continued-leadership condition is satisfied. The arrangement therefore preserves control while placing conditions on how the founder’s newly created economic interest can be separated from his voting position.
What could go wrong for investors?
Class C may trade below Class A
Voting rights can command a premium. If investors value that premium, the non-voting Class C price could remain below Class A even though both classes participate in Meta’s economic performance. Meta expects trading near Class A after the dividend but does not guarantee parity.
Liquidity may be uneven
Recipients who want cash could sell Class C as soon as it is distributable. That selling could depress the new class or make its trading pattern materially different from Class A. Conversely, a broad distribution could create a deep Class C market while some holders continue to prefer the voting class.

Some buyers may be unavailable
Institutional investment policies sometimes prohibit low- or non-voting securities. A narrower pool of eligible buyers could affect demand, spreads and the discount between the classes.
Acquisition sellers may reject it
Although Meta intends Class C to serve as acquisition consideration, a target company may reject shares that carry no votes or trade at a discount. Meta would then need to offer more shares, cash or another form of consideration.

The charter must become effective before the dividend can occur, and the board still has to establish record and payment dates. Nasdaq qualification is an intention, not a completed listing. Until those events occur, investors cannot assume a trading symbol, broker availability or a stable market price.

Frequently Asked Questions
When will Meta shareholders know the exact Class C dividend dates?
The board had not set the record date or payment date in its October 21 release. Those dates must be announced after the charter becomes effective or as the company completes the required corporate actions, so shareholders should rely on Meta’s subsequent filings rather than an assumed schedule.
Could Class C ever be worth more than Class A?
