As of October 25, 2026, the United States does not ban every investment connected to China. Treasury’s Outbound Investment Security Program, in 31 CFR part 850 and effective January 2, 2025, covers specific transactions by U.S. persons involving persons in the People’s Republic of China, Hong Kong, or Macau and defined activities in semiconductors and microelectronics, quantum information technologies, and certain artificial-intelligence systems. Some covered transactions are prohibited; others must be reported to Treasury. The result turns on the transaction structure, the parties, the technology and the rule’s technical thresholds—not simply on a company being Chinese or describing itself as an AI, chip or quantum business.

Treasury says the COINS Act became law in December 2025, but its existing outbound rules remain operative until implementing regulations take effect. A proposed rule published October 22, 2026 was still only a proposal at this date.

What U.S. outbound-investment rules are currently in force?

The operative framework is Treasury’s Outbound Investment Security Program in 31 CFR part 850. It took effect on January 2, 2025. Treasury says the COINS Act, enacted in December 2025, does not displace those rules yet; the current regulations remain in force while Treasury develops implementing regulations.

The program applies to specified transactions involving a “person of a country of concern.” For the current program, that means the People’s Republic of China, Hong Kong and Macau. It is not a general prohibition on investing in any business with Chinese connections.

Question Current answer
What framework controls today? 31 CFR part 850, effective January 2, 2025.
Which jurisdictions are covered? The People’s Republic of China, Hong Kong and Macau.
What transactions are affected? Defined covered transactions involving specified persons, technologies and activities.
What can happen? A transaction may be prohibited, notifiable, or outside the described categories, depending on the facts.
Is every China-related investment banned? No. The program includes defined exceptions and does not regulate every investment activity.

The regulation’s technical definitions control when a summary description conflicts with a transaction’s details. A company’s nationality, a fund’s marketing language or a broad label such as “AI startup” is not enough to determine coverage.

How does the coverage test work?

Coverage is transaction-specific. A U.S. person must examine the transaction, the relevant foreign person, the technology or activity and any applicable exception, then determine whether the result is a prohibition or a notification obligation.

Start with the parties and transaction

The rules apply to specified transactions by U.S. persons. That analysis can include an investment made through a controlled foreign entity, as Treasury’s 2026 enforcement announcement demonstrates. It is therefore unsafe to assume that using a non-U.S. subsidiary removes the issue.

Treasury expects U.S. persons to conduct a reasonable and diligent inquiry. Treasury has also said it does not intend to publish a comprehensive list of covered foreign persons. Responsibility for gathering facts and applying the definitions remains with the relevant U.S. person.

Then identify the technical activity

The same sector can contain both prohibited and notifiable activities. For example, an integrated-circuit investment that does not meet a prohibition definition may still be notifiable. Conversely, a transaction that merely involves a company with an AI product is not automatically covered unless the system, use or training characteristics fit the regulatory definitions.

Finally test exceptions

Even when a transaction appears to involve a listed technology, an exception may apply, but each exception has conditions. Treat the exceptions as fact-specific provisions rather than automatic safe harbors.

Which semiconductor and microelectronics investments are prohibited or notifiable?

The semiconductor rules focus on specified capabilities and equipment, not on every chip company or every investment in the electronics industry.

Covered activity or technology Regulatory result described by Treasury Important qualification
Certain electronic-design-automation software Prohibited when the transaction meets the rule’s covered definition. The software must fit the technical definition in part 850; ordinary design software is not automatically covered.
Certain semiconductor fabrication or advanced-packaging tools Prohibited when the specified tools and transaction criteria are present. Equipment type, capability and other technical parameters matter.
Design or fabrication of specified advanced integrated circuits Prohibited for transactions meeting the advanced-IC definition. “Advanced” is a regulatory term; do not infer it from a marketing claim or process-node label alone.
Specified advanced-packaging techniques for integrated circuits Prohibited when the covered technique and transaction criteria apply. The packaging method must be assessed against the rule’s technical language.
Supercomputers Prohibited for covered transactions meeting the rule’s definition. A high-performance computer is not automatically a regulated supercomputer under this program.
Design, fabrication or packaging of integrated circuits that does not meet a prohibition definition May be notifiable rather than prohibited. The absence of a prohibition does not by itself mean no filing is required.

These categories are boundaries, not a list of Chinese companies. A chip-design investment, a tool maker and a data-center project can produce different results even when they operate in the same broad industry.

Which quantum investments are prohibited?

The quantum provisions identify specific technologies and components. Treasury summarizes the following prohibited categories:

  • Quantum computers, including developing quantum computers.
  • Critical components required to produce a quantum computer.
  • Specified quantum-sensing platforms.
  • Specified quantum networks or quantum-communication systems.

The word “specified” is significant. The rule’s technical definitions determine whether a sensor, network, communication system or component falls inside a category. An investment in a company that uses quantum terminology for marketing, research or education is not enough on its own.

For a transaction involving a mixed portfolio, separate each business line and asset. A company might conduct both covered quantum development and activities outside the described categories; the analysis must identify what the transaction actually finances and whether the relevant entity and activity satisfy the regulation.

Which artificial-intelligence investments are prohibited or merely notifiable?

AI receives two different kinds of treatment: prohibited transactions tied to specified end uses or very large training runs, and other defined AI transactions that require notification. The computational figures are regulatory thresholds, not statistics about the size of any particular company.

AI condition Result summarized by Treasury How to read the threshold
AI systems designed or intended for specified end uses Prohibited when the system and use meet the rule’s covered definition. The end-use definition and the system’s intended function must be verified.
Training using more than 1025 computational operations Prohibited for the covered category. This is a regulatory cutoff; it is not proof that a named model exceeds it.
Training using more than 1024 computational operations when trained primarily on biological-sequence data Prohibited for the covered category. The “primarily” condition and the computational measurement require technical facts.
Specified-use AI systems or training using more than 1023 computational operations Can be notifiable when the transaction fits the defined category but not a prohibition. Notification remains a legal obligation if the applicable definition is met.

Why the number alone does not answer the question

Training-compute estimates can differ depending on what is counted, how operations are measured and whether a biological-sequence workload is primary. The rule’s definitions and the transaction’s records—not a press release or an outside estimate—should establish whether a threshold is crossed.

Likewise, a model used for a sensitive purpose may be prohibited even if its training run is below a compute threshold, while a very large training run does not automatically make every investment prohibited without the other required facts.

What is the difference between a prohibited and a notifiable investment?

A prohibited transaction may not be completed under the program. A notifiable transaction may proceed only with the required notice to Treasury and compliance with the rule’s filing requirements. The distinction is determined by the precise regulatory category.

Outcome Practical meaning Common mistake
Prohibited Do not enter into the covered transaction. Assuming that a notification can cure a prohibited deal.
Notifiable Submit the required information to Treasury within the applicable process and retain evidence of compliance. Treating notification as optional because the investment is small or indirect.
Outside the described category The cited prohibition or notification category is not established on the available facts. Concluding that every China-related investment is automatically outside the program.

A transaction can move from one row to another when diligence uncovers a different technology specification, end use, ownership structure or exception condition.

Are publicly traded securities and other ordinary investments exempt?

Treasury gives examples of transactions that may be excepted, including publicly traded securities and derivatives, certain limited-partner investments, certain intracompany transactions between U.S. parents and controlled foreign entities, and some employee stock or stock-option compensation.

These examples are conditional. The fact that an instrument trades publicly, an investor is a limited partner, or compensation is paid in shares does not create a blanket exemption. The transaction must satisfy the particular exception’s wording and any limits in the regulation.

  • Confirm that the instrument and manner of acquisition fit the relevant exception.
  • Check whether side agreements, governance rights or other features change the transaction’s character.
  • Document why the exception applies instead of relying on a label such as “publicly traded” or “passive.”

How should a U.S. investor assess a proposed transaction?

A defensible review should be completed before signing or closing and should preserve the facts used for the conclusion.

  1. Map every relevant party. Identify the U.S. person, the target or recipient, subsidiaries, controlled foreign entities, co-investors and any intermediary.
  2. Describe the transaction precisely. Record the instrument, funding path, rights obtained, expected use of proceeds and whether the investment is direct or indirect.
  3. Separate business lines. Obtain product descriptions, technical specifications, architecture information, equipment lists and end-use statements for semiconductor, quantum and AI activities.
  4. Test the technical definitions. Compare the facts with part 850’s definitions and thresholds. For AI, establish the relevant end use and computational operations; for chips and quantum, establish the specified capability or component.
  5. Classify the result. Mark the transaction as prohibited, notifiable or not established as covered, and record the reasoning.
  6. Check each exception. Apply the exact conditions for public securities, limited-partner interests, intracompany transactions or employee compensation where relevant.
  7. Escalate uncertainty. Obtain advice from counsel with outbound-investment and technical-controls experience before committing capital when material facts remain unknown.
  8. Retain evidence. Keep diligence responses, technical documents, ownership charts, calculations and the final classification so the reasonable-and-diligent inquiry can be demonstrated.

What does Treasury’s first announced penalty show?

In July 2026, Treasury announced a $200,000 civil penalty against Amidi, LLC for failing to notify about an investment by its controlled foreign entity in a Chinese embodied-AI company. Treasury identified it as the program’s first announced civil penalty in its October 7, 2026 announcement.

The case shows that notification duties can reach an investment made through a controlled foreign entity. It does not establish that every indirect investment is prohibited, nor does it decide how an unrelated transaction should be classified. Its practical lesson is to treat the reporting analysis as a compliance obligation, not as a formality that can be skipped when a subsidiary or fund vehicle is used.

What is the status of the COINS Act regulations?

Treasury published proposed regulations on October 22, 2026 under the COINS Act. The proposal would reach additional sectors and update definitions, technical parameters, covered-transaction categories and notification requirements. Comments were due December 7, 2026.

Instrument Status on October 25, 2026 How to use it
31 CFR part 850 Operative rule, effective January 2, 2025. Use it for the current transaction analysis.
COINS Act Enacted in December 2025. Its implementing regulations had not yet replaced the existing outbound rules.
Treasury proposed rule Published October 22, 2026; proposed text, not final regulations. Monitor it for possible future changes, but do not describe its proposed categories as current law.

Because the proposal is recent and its status can change, a deal scheduled after the comment process should be checked against the regulations in effect on the relevant date. A proposal may indicate policy direction, but it does not itself create a present prohibition or notification duty.

What should investors remember before committing capital?

  • China, Hong Kong and Macau are the current jurisdictions of concern, but geography alone does not decide coverage.
  • Semiconductor, quantum and AI categories depend on technical definitions and transaction facts.
  • Some activities are prohibited; others are reportable; and some fall outside the described categories.
  • Exceptions exist, but each has conditions and should be documented.
  • Treasury expects a reasonable and diligent inquiry and has shown through the Amidi penalty that missed notifications can lead to civil enforcement.
  • The October 2026 COINS Act text was proposed, not operative final law, at the date covered here.

This overview cannot classify a particular deal. For a live transaction, use the current text of 31 CFR part 850, preserve the technical and ownership facts, and obtain qualified legal advice before signing or funding.

Frequently Asked Questions

Does investing in a Chinese company listed on a U.S. exchange automatically trigger the program?

No. Listing status and nationality do not by themselves establish coverage. The investor must still test the transaction, the company’s activities and any applicable public-securities exception against the regulation’s conditions.

Can a venture fund rely on its non-U.S. domicile to avoid U.S. outbound rules?

Not necessarily. The analysis follows the relevant U.S. person, controlled foreign entity and transaction structure, so a fund vehicle’s domicile is only one fact. Ownership, control and the path of the investment should be documented before relying on it.

Are AI compute thresholds measured by the number of parameters in a model?

The thresholds summarized by Treasury are expressed in computational operations, not simply parameter count. A technical review must establish how operations were measured and whether the biological-sequence condition or specified end-use condition applies.

What happens if a proposed transaction changes after the initial diligence review?

A material change in ownership, rights, technology, end use or funding path can change the classification. Update the analysis and filing decision rather than treating the original review as permanent.
