If a business customer stops paying, verify the debt and the customer’s legal identity, then follow a documented escalation process: send a professional reminder, ask for a firm payment date, and make a written demand if the account remains unpaid. If that fails, compare negotiation, a collection agency, legal remedies, and a court claim against the likely recovery, cost, time, evidence, and effect on the relationship. The right next step depends on your contract, the customer’s situation, and the law where the deal and debtor are located.

What should I check before pursuing an overdue business invoice?

Start by confirming that the amount is actually due and that you are pursuing the right entity. A mistaken balance, missing credit, or invoice addressed to the wrong legal company can turn a straightforward collection into an avoidable dispute.

Verify the account

  • Match the invoice to the signed agreement, amendments, purchase orders, and any agreed payment terms.
  • Check the due date, payment history, credits, returns, partial payments, and account statements. Confirm that the customer received the invoice and that the payment instructions work.
  • Gather delivery or acceptance records, timesheets, completion records, and relevant correspondence. If the customer claims defective, incomplete, or undelivered work, preserve the records needed to evaluate that claim.
  • Confirm the debtor’s correct legal name and address. A brand, location, or trade name may not be the entity that signed the contract or owes the balance.

Read the contract for collection rights and limits

Look for payment deadlines, interest or late-charge terms, attorney-fee provisions, and clauses on suspending or ending work. Also check for personal guarantees, security interests, lien rights, dispute procedures, arbitration, venue, and governing law. The American Bar Association recommends a functional payment contract that addresses payment details and, where lawful and appropriate, reasonable interest, lien rights, and recovery of attorney fees or costs.

Do not assume a charge or remedy is available just because it is common in your industry. The contract may not authorize it, or state law may restrict it. If the contract requires arbitration or a particular dispute process, skipping that step can create a problem before you even reach the merits of the debt.

What should I do first when a customer misses a payment?

Begin with a short, professional reminder and a question, not an accusation. The delay may be an administrative mistake, a payment-routing problem, a cash-flow problem, or a genuine dispute—and each calls for a different response.

At or just after the due date

  1. Confirm the invoice was received by the right accounts-payable contact.
  2. Check that payment instructions, bank details, and any required purchase-order or invoice references are correct.
  3. Ask whether the customer has an objection, credit request, or delivery or performance concern.
  4. Send a written reminder that identifies the invoice, amount, due date, and convenient ways to pay.

Keep the tone factual. A reminder should make it easy to resolve a simple oversight while creating a clear record of your communications.

After a missed promise or no response

If the customer promised to pay and did not, call the accounts-payable contact and, where appropriate, the decision maker. Ask for a specific payment date rather than an open-ended assurance. Follow the call with a written note confirming what was discussed and what the customer agreed to do. The ABA describes staged reminders, calls, and payment arrangements as part of a practical response to an unpaid client bill.

There is no universal number of reminders required before escalating. The useful question is whether the customer has responded, whether a credible commitment was kept, and whether more delay threatens your ability to collect. Set an internal deadline for the next step so repeated reminders do not become indefinite forbearance.

What should a formal demand letter say?

A formal demand should identify the debt clearly, state the amount you seek, and give a firm date for payment or a substantive response. The U.S. Treasury’s 2018 The Debt Collection Process describes an initial collection request as generally taking the form of a written billing notice, invoice, or demand letter, followed by further letters or calls when payment is not timely.

Include the information needed to act

  • The customer’s correct legal name and address, and your business’s name and contact information.
  • Invoice number, invoice date, due date, description of the goods or services, and the unpaid balance.
  • A concise account of any credits or payments already applied.
  • Any contractual interest or late charge you are entitled to seek, stated separately and accurately.
  • Payment methods and instructions, plus a clear deadline for payment or a written explanation of a dispute.
  • The next step you may take if the matter remains unresolved, but only if it is lawful, contractually available, and something you are prepared to do.

Keep a copy of the letter and proof of delivery, as well as the invoice, contract, and earlier communications. Do not inflate the balance, add unauthorized fees, or threaten a lawsuit, lien, referral, or work stoppage that you cannot or will not pursue. A credible notice is more useful than an aggressive one that overstates your rights.

How should I handle a customer who says it cannot pay?

If the customer acknowledges the debt but has a cash-flow problem, decide whether a documented payment arrangement is better than immediate escalation. A realistic plan can trade a faster, more predictable recovery for installments or a discount; it should not rest on an informal promise.

Put every payment plan or settlement in writing

Record the total balance being addressed, each installment amount and due date, and any agreed interest, discount, or waiver. State what happens if the customer misses a payment and whether new work or credit will be suspended. If you accept a reduced amount as a settlement, specify whether it resolves the entire account or only part of it.

For a compromise, make clear when a release, claim withdrawal, or other concession takes effect. For example, a settlement can condition those steps on cleared funds rather than merely on a promise or a check that has not cleared. Have counsel review a high-value or complex settlement before signing.

Separate a cash-flow problem from a real dispute

Ask the customer to identify any disputed work, amount, or invoice and explain the basis for it. Compare that explanation with delivery, acceptance, completion, and change records. If a portion is undisputed, consider asking for that portion while addressing the contested amount separately, provided the contract and applicable law allow it. Keep communications focused on resolving the specific issue rather than treating every objection as proof that the whole balance is invalid.

Should I use a collection agency, a lawyer, or a court?

There is no best escalation route for every unpaid account. Compare the likely net recovery, direct fees, time to payment, collectability, evidence, legal deadlines, confidentiality, and customer-relationship impact before committing.

Option When it may fit What to check
Continued direct collection or a written plan The customer is communicating, acknowledges the debt, and offers a credible route to payment. Document all amounts and dates; set consequences for missed installments; decide whether to pause new work or credit.
Collection agency You want a third party to pursue payment and the likely recovery justifies its fee. Get a written fee schedule; confirm it handles commercial accounts; provide a complete evidence file; clarify how disputes and legal compliance are handled.
Commercial lawyer The balance is significant, disputed, secured, near a deadline, or involves complex contract terms or remedies. Discuss likely costs and recovery, correct defendant, contract procedure, venue, limitation period, and enforceable assets or security.
Court claim You have a viable claim, a proper forum, and a realistic prospect of collecting a judgment. Confirm legal name, service address, venue, amount, contract terms, arbitration requirements, deadlines, recoverable fees, and collectability before filing.
Applicable lien or security remedy The contract or law may provide a lien or security right tied to the transaction. Deadlines and prerequisites can be strict and vary by state and industry; get legal advice before relying on the remedy.

The ABA recommends weighing costs and benefits because collection can consume time and money and can affect the customer relationship. A judgment is not the same thing as payment: if the customer has no reachable assets, is insolvent, or enters bankruptcy, the practical recovery may be limited. Conversely, a documented guarantee, security interest, or available lien can change the analysis, but only if the right is valid and enforceable.

Before hiring an agency

Ask for the fee structure in writing, including how fees apply to partial payments, disputed accounts, or accounts returned without recovery. Confirm that the agency works on business-to-business accounts rather than assuming its consumer-debt process is appropriate. Give it the contract, invoices, account ledger, delivery or acceptance records, prior payment history, and correspondence. Tell the agency about any dispute and monitor its communications rather than treating referral as the end of your responsibility.

Before filing a claim

Check the contract and procedural rules for arbitration, venue, and required notices. Confirm the correct defendant, service address, amount claimed, evidence, filing deadline, and whether attorney fees or interest are recoverable. Consider whether a judgment could actually be enforced and whether litigation will cost more than the expected net recovery. If court papers arrive in a case against your business, do not ignore them: missing the response deadline can result in a default judgment.

Can I charge late fees or interest on an unpaid business invoice?

Only if the charge is authorized by the contract and permitted by applicable law. Check the exact clause, how it calculates the charge, when it begins, and whether state law imposes limits; do not add a fee simply because the invoice is overdue.

State law, transaction type, and contract wording can affect whether interest, late fees, collection costs, or attorney fees are recoverable. Keep authorized charges separate from the principal in your demand and show how you calculated them. If the clause is unclear, the balance is disputed, or the amount is material, ask a lawyer to assess it before demanding payment or filing.

Does the Fair Debt Collection Practices Act apply to a business invoice?

The federal Fair Debt Collection Practices Act (FDCPA) is mainly a consumer-debt law, not a general rule for every unpaid commercial invoice. The ABA says a person or entity collecting a debt owed to itself under its own name is generally not a “debt collector” under the FDCPA, but state laws may differ and hiring a third party can create additional duties.

Do not assume consumer protections are irrelevant if the account involves an individual, sole proprietor, or personal guarantor, or if a third party is collecting it. The FTC’s guidance for covered consumer debts describes validation information and a process for disputing a debt in writing; consumers generally have 30 days to dispute a validation notice in writing under the FDCPA. That consumer rule should not be casually applied to a commercial account without checking who owes the debt and which law governs.

Consumer credit-reporting guidance also does not automatically describe commercial trade-credit reporting. The FTC’s general seven-year discussion concerns negative information on consumer credit reports; it is not a safe assumption about how a business account may be reported. Verify the applicable rules before reporting an account or using consumer-debt guidance to make a business-credit decision.

How long do I have to collect an unpaid invoice?

There is no single U.S. deadline for every unpaid invoice. Limitation periods depend on state, debt type, contract, and events such as a payment or acknowledgment; CFPB consumer guidance reviewed in 2024 says many states use periods of roughly three to six years, while emphasizing that laws vary.

That range is not a deadline for your particular commercial claim. Identify the governing law and determine how it classifies the agreement and when the limitation period began. A partial payment or acknowledgment may affect the analysis in some jurisdictions, so do not assume it restarts or extends the period without legal advice.

Regulation F prohibits a debt collector from suing or threatening suit on a time-barred consumer debt. The details of its application depend on the debt and collector, and state rules may add requirements. Have counsel calculate the deadline before threatening litigation or filing, especially for an old account or one close to a possible limitation date. As the CFPB puts it, “A debt doesn’t generally expire or disappear until it’s paid”; expiration of a legal claim period and whether money is still owed are distinct questions.

Can invoice factoring solve the cash-flow problem?

Factoring can provide liquidity before the customer pays, but it is financing, not a finding that the customer owes the invoice. The SBA describes invoice factoring as selling outstanding invoices to a private lender for an advance; after the customer pays, the lender sends the remaining balance less fees.

Compare the fees, recourse terms, eligibility, any notice to the customer, and possible effect on the relationship. Also consider a credit line or continued collection. Factoring may address your timing problem, but it does not resolve a dispute over performance or eliminate the need to understand who owes the debt and what the invoice terms permit.

What records should I keep if the account escalates?

Maintain one organized account file so you, a lawyer, or an agency can see both the basis for the balance and every collection step. Preserve originals where possible and keep a dated log of calls, emails, letters, promises, and payments.

  • Signed agreement, amendments, purchase orders, and relevant contract clauses.
  • Invoices, aging reports, account statements, credits, returns, and proof of prior payments.
  • Delivery, acceptance, timesheet, completion, and change-order records.
  • All customer correspondence, reminder notices, demand letters, delivery receipts, and call notes.
  • Correct customer legal entity, service address, and information about a guarantor, lien, or security right.
  • Any payment-plan or settlement agreement, including evidence of cleared payments and whether conditions were met.

A lawyer should review a high-value, disputed, secured, insolvent, or near-limitation account. Commercial codes, construction or mechanics’ lien statutes, licensing rules, fee restrictions, arbitration clauses, bankruptcy stays, and cross-border rules can materially change what you can do and when.

Frequently Asked Questions

How many payment reminders should I send before collections?

There is no fixed number that applies to every business invoice. Set a reasonable internal escalation schedule based on the invoice terms, the customer’s responses, and whether it keeps payment commitments; document the schedule and move on when reminders are no longer producing useful information.

Can I stop work for a customer with overdue invoices?

Check the contract for suspension or termination rights and any notice or cure period before pausing work. Also consider project-specific obligations and the consequences of stopping mid-delivery; a lawyer can help where the contract or stakes are substantial.

What if the customer files for bankruptcy after I send a demand?

Bankruptcy can impose an automatic stay that restricts collection activity, so do not continue ordinary collection steps without checking the case and applicable rules. Contact counsel promptly and preserve the contract, invoice, payment history, and all notices.

Can I accept a partial payment without giving up the rest of the invoice?

A partial payment does not by itself answer whether the remaining balance is still collectible; the contract, communications, and any settlement terms matter. State in writing how the payment will be credited and whether it is only a partial payment or part of a compromise.
