A long-term GPU cloud contract is only as reliable as the capacity, workload rights, pricing formula, remedies, and exit terms written into the agreement. Before signing, reconcile the order form, service description, and service-specific terms line by line. Confirm the exact GPU model and count, topology, region, delivery dates, term, renewal mechanics, and whether capacity is reserved or merely best effort. Then test your real workloads, calculate the all-in cost (including storage, operating-system licenses, egress, support, taxes, and idle capacity), and negotiate measurable delivery and service remedies. Treat provider web pages as illustrations; the executed order and incorporated documents control your purchase.

Which documents determine what you are actually buying?

The signed order form and every document it incorporates define the commitment. A marketing page can describe a product, but it does not automatically promise the configuration, delivery date, price, or remedy your organization needs.

Collect a single, dated contract set before approval. It should include the master agreement, order form, service description, service-level agreement (SLA), acceptable-use rules, security and data-processing terms, support policy, product or offering description, and any pricing exhibit. Ask the provider to identify the precedence rule if documents conflict and to attach or version every document incorporated by reference.

NVIDIA’s agreement, dated September 10, 2025, ties service access to the applicable Order Form, Part Number, or offering description. Its subscription parameters are therefore not established by a generic product page; they must appear in the documents attached to your order. Verify the version that will be incorporated into your own contract.

Build a document-control record

  • Record the document name, version or effective date, and the date your legal team approved it.
  • Highlight definitions that affect billing, capacity, availability, maintenance, suspension, and termination.
  • Confirm that an online policy can be changed unilaterally and, if so, whether changes apply to an existing term.
  • Save a complete, printable copy with the executed order and all exhibits.

How should the GPU commitment be written?

Translate your workload requirement into contract language rather than accepting a vague promise of “GPU access.” The order should state the resource, location, schedule, and rights you are paying for.

Commitment item What to specify Why it matters
GPU hardware Generation, exact model, memory, quantity, and whether substitutions are permitted A different model can change performance, software compatibility, and cost.
System design Single-GPU or multi-GPU instance, host count, interconnect, topology, and networking Distributed training may fail when the promised interconnect or node layout is absent.
Location Country, region, availability zone, and data-residency requirement Capacity, latency, tax, egress pricing, and regulatory exposure are location-dependent.
Schedule Ready date, ramp dates, minimum term, renewal date, and any committed-use window A reservation that starts late can create a business interruption even if the term is extended.
Capacity type Reserved, dedicated, capacity block, on-demand, or best effort These labels carry different delivery and interruption risks.
Workload rights Training, inference, commercial use, data processing, model distribution, and permitted frameworks An apparently available GPU can still be unusable if the service rules prohibit your workload.

Require a written process for a shortfall: notice period, replacement standard, customer acceptance, fee suspension, service credit, refund, termination right, or another remedy. “Subject to availability” is not a capacity guarantee. If the provider may substitute hardware, define the minimum memory, interconnect, performance, and location requirements and your right to reject a non-equivalent substitute.

How do I prove the capacity will run my workload?

Run a representative acceptance test before the long-term term begins. The test should resemble production, not a vendor-selected microbenchmark.

  1. Freeze the software stack. Record the framework, CUDA or equivalent runtime, driver, compiler, container image, libraries, and orchestration settings.
  2. Use representative jobs. Include a training run, inference batch, checkpoint, recovery, and the largest distributed job you expect to operate.
  3. Measure the whole path. Capture GPU utilization, memory headroom, inter-GPU and node-to-node bandwidth, storage throughput and latency, startup time, checkpoint duration, and data-transfer time.
  4. Define pass criteria. Put numerical thresholds, test duration, data set, concurrency, and acceptable variance in an acceptance schedule.
  5. Document failure treatment. State whether the provider must remediate, replace the configuration, extend the term, refund fees, or allow termination if the criteria are missed.

Also test operational details that are easy to overlook: image import, secrets handling, logging, monitoring, autoscaling limits, quota increases, maintenance behavior, and recovery after a host or zone failure. Keep the test report and provider sign-off with the order. No universal benchmark requirement applies across GPU clouds, so your acceptance criteria must be specific to your workload.

What should the total GPU cloud cost model include?

Compare the cost of delivering your workload, not the advertised GPU-hour. Separate fixed commitments from usage-based charges and show when each amount is payable.

Cost category Questions to put in writing
Reservation or minimum spend Is there an upfront fee, monthly minimum, committed GPU quantity, or payment for unused capacity?
Compute Is billing per GPU, host, instance, minute, or partial interval? Are overages priced differently?
Operating system and software Are OS licenses, managed drivers, orchestration, premium images, or support add-ons charged while the instance runs?
Storage Price persistent disks, object storage, snapshots, backup copies, input/output operations, and temporary scratch space.
Networking Check ingress, egress, inter-zone traffic, public IPs, load balancers, and private connectivity.
Support and services Identify support tiers, managed services, implementation, monitoring, and incident-response fees.
Taxes and adjustments Confirm tax jurisdiction, currency, invoicing fees, indexation, foreign-exchange treatment, and late-payment charges.

AWS Capacity Block documentation illustrates why headline rates can mislead: the price depends on supply and demand at purchase, is charged up front, and remains fixed after reservation. The same documentation says operating-system charges may apply while instances run, and Savings Plans and Reserved Instance discounts do not apply. Those are AWS-specific terms, not assumptions to transfer to another provider.

Akamai states that GPU egress is not included in most cases and that hourly offerings vary by GPU type, region, and deployment size. Obtain a written estimate for your expected data movement rather than treating egress as zero. Model at least three cases: planned utilization, delayed project with idle capacity, and a high-egress migration or recovery event.

Calculate the break-even utilization

For a commitment, divide unavoidable term cost by the metered price you would otherwise pay for the same usable capacity. Then add non-compute charges and the value of any flexibility you surrender. A lower GPU-hour rate can be more expensive if the contract requires payment for idle GPUs, expensive egress, or a large upfront reservation.

How do GPU capacity reservations work, and do they fit a multi-year contract?

A capacity reservation is a defined availability window with product-specific limits; it is not automatically a multi-year supply agreement. Check the reservation product’s duration, region, instance-count limits, purchase timing, and cancellation rules.

AWS’s published Capacity Block API describes offerings scoped to a region and available at a particular time. Its documented durations use one-day increments through 14 days, then seven-day increments through 182 days. Instance-count limits also apply. These constraints may be useful for short planning windows but do not, by themselves, satisfy a multi-year commitment. If your contract term is longer than the reservation product, obtain a separate written capacity guarantee for the full period.

Ask whether capacity is held exclusively for you, whether the provider can reclaim it, how far in advance a start can be scheduled, and what happens if the requested region or GPU type is unavailable. Require the reservation identifier, quantity, and start time to appear in the order or an attached schedule.

What does an SLA need to say before it protects the project?

An SLA headline percentage is incomplete without its measurement window, exclusions, claim process, deadline, and remedy. Review service availability, capacity availability, and performance as separate promises.

SLA element Questions to answer Published example
Metric Does “availability” mean the control plane works, a GPU can be provisioned, or your job completes? NVIDIA DGX Cloud terms distinguish service availability from capacity availability.
Measurement period Is the metric calculated per minute, incident, day, or calendar month? The DGX Cloud SLA measures availability per calendar month.
Exclusions Are maintenance, customer configuration, dependencies, force majeure, or short interruptions excluded? Gaps shorter than 15 minutes are excluded from NVIDIA’s service-availability calculation.
Claim procedure What evidence is required, where is the claim filed, and when does the deadline expire? NVIDIA requires an availability claim within two months.
Remedy Is compensation a refund, credit, extension, or termination right? Is it the sole remedy? Validated DGX Cloud failures receive service credits as the stated sole remedy.

The NVIDIA DGX Cloud section lists 99% service availability and 95% capacity availability per calendar month. Those targets belong to NVIDIA’s November 5, 2025 SLA and are not industry-wide standards. The same SLA describes a 24-hour critical-issue resolution period as a commercially reasonable-efforts target that may not always be achieved. Make sure your business remedy covers a capacity shortfall, not only an outage after a GPU has already been delivered.

Which support, security, and data terms deserve special attention?

GPU contracts often fail operationally at the boundaries between the cloud platform and your team. Put ownership and response obligations next to the technical service description.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Support and maintenance

  • List support hours, severity definitions, first-response targets, escalation contacts, and executive escalation.
  • Require advance notice for planned maintenance and state whether reserved capacity is restored afterward.
  • Define incident communications, status-page authority, root-cause reports, and reimbursement for failed acceptance tests.
  • Clarify quota increases, replacement hardware, firmware or driver changes, and compatibility testing.

Security and compliance

  • Specify data location, encryption at rest and in transit, key-management options, identity integration, logging, and audit access.
  • Attach the data-processing agreement, subprocessors, security certifications, breach-notification clock, and deletion procedure.
  • State who may access host memory, storage snapshots, support logs, and diagnostic data.
  • Check restrictions on penetration testing, regulated workloads, export controls, and model or training-data use.

Backup and recovery

Assign backup frequency, retention, restore testing, recovery-point objectives, and recovery-time objectives. NVIDIA’s agreement places responsibility for credentials and account activity on the customer and recommends maintaining a full backup; it also says NVIDIA will not retain customer data for retrieval. Treat that as a warning to design and test your own export and backup process, whatever provider you select.

Can the provider change the price or renew the contract?

Read the commercial-change and renewal clauses together. A discount may depend on minimum usage, timely payment, a particular region, or a specific GPU family.

  • Check whether compute, storage, egress, support, and taxes are fixed for the entire term or can change through a web policy.
  • Record the renewal notice deadline and the formula for renewal pricing.
  • Ask whether you can reduce quantity, pause a ramp, swap regions, or convert unused capacity.
  • Confirm treatment of new GPU generations, substitutions, currency changes, and provider-imposed minimums.
  • Require written notice before a product is discontinued and a transition option that preserves workload continuity.

If the provider offers a price-protection promise, identify precisely which line items it covers and whether it survives a change in topology, region, or software image.

What exit rights and remedies should a long-term contract include?

Exit planning belongs in the order negotiation, not after a failed deployment. Cover provider non-delivery, repeated SLA failure, security incident, insolvency, service discontinuation, customer breach, and ordinary convenience termination separately.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

NVIDIA’s agreement describes non-cancelable orders and continued payment obligations in specified termination circumstances, and says no credit or refund is provided for subscription fees in specified termination outcomes. Read the complete clause and the applicable order; do not assume another provider uses the same approach.

Negotiate an executable exit schedule

  1. Set a notice period long enough to acquire replacement GPUs and migrate data.
  2. Define export formats, transfer mechanisms, bandwidth or retrieval fees, and the provider’s assistance obligation.
  3. Specify how long snapshots, logs, credentials, and encryption keys remain available after termination.
  4. Require deletion confirmation and an exception process for legal holds.
  5. State what happens to prepaid reservation fees, unused minimums, credits, and equipment or dedicated-host commitments.

Include a transition period for read-only access and a tested export. If migration depends on a proprietary image, scheduler, interconnect, or storage format, document the conversion steps and their estimated cost before signing.

How should I compare two GPU cloud offers?

Use a side-by-side scorecard whose evidence comes from each offer’s order and incorporated terms. Do not rank offers by GPU-hour alone.

Comparison axis Evidence to record
Hardware and location Model, memory, count, topology, interconnect, region, zone, and substitution rule
Delivery Committed date, ramp schedule, acceptance test, shortfall notice, and remedy
Workload fit Measured training and inference results, software stack, storage and network performance
Economics Upfront fees, minimums, metered rates, idle exposure, OS, storage, egress, support, taxes, and payment timing
Service protection Availability definitions, exclusions, claim deadline, support targets, credits, refunds, and termination rights
Security and data Residency, encryption, subprocessors, retention, backup, deletion, and audit provisions
Flexibility Renewal pricing, reductions, substitutions, portability, export assistance, and exit costs

Score each row with a citation to the exact clause or exhibit. Mark “not stated” rather than filling a gap with a sales assumption. Escalate any unresolved row to procurement, legal, security, or the workload owner before approval.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What final checks should happen before signature?

Use this sequence in the final contract review:

  1. Match the legal customer entity, billing entity, service SKU, GPU model, quantity, topology, region, dates, and term across every document.
  2. Attach the acceptance test and write the shortfall remedy into the order.
  3. Recalculate total cost under planned, idle, and high-egress scenarios.
  4. Verify reservation duration and capacity limits against the actual term.
  5. Mark SLA metrics, exclusions, claim deadline, evidence requirements, and remedy in a one-page schedule.
  6. Confirm support, maintenance, security, data processing, backup, and deletion responsibilities.
  7. Negotiate renewal, reduction, substitution, suspension, breach, discontinuation, and termination language.
  8. Run a small export and restore exercise and retain the results.
  9. Obtain written answers to every “not stated” item and preserve the final document set.

Have qualified legal and security reviewers examine the governing law, liability cap, indemnities, confidentiality, data processing, and regulatory provisions. Technical acceptance cannot cure an unfavorable liability or termination clause.

Frequently Asked Questions

What is the difference between reserved, dedicated, and best-effort GPU capacity?

Reserved capacity normally refers to a defined availability window or commitment, while dedicated capacity concerns exclusive hardware or hosts. Best-effort capacity has no equivalent delivery assurance unless the contract adds one, so ask for a precise definition and a remedy for non-delivery.

Should a GPU cloud contract guarantee performance, not just availability?

If your economics depend on training time or inference latency, yes. Add workload-specific acceptance metrics for throughput, scaling efficiency, storage, and network performance; an availability SLA alone can be satisfied while jobs run too slowly.

How much notice should I require before a GPU cloud service is discontinued?

The right period depends on migration time, data volume, and replacement supply. Base it on a tested export and replacement plan, then require enough notice for procurement, transfer, validation, and a read-only transition window.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Who owns backups in a GPU cloud agreement?

The contract should name the responsible party, retention period, restore objective, and test schedule. Even when a provider offers backups, maintain an independently controlled copy and verify that it can be restored outside the provider’s normal control plane.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
