A VC partner’s departure does not automatically remove a board member, end a fund’s support, or freeze every investment. The outcome depends on the fund documents, the portfolio company’s investor and governance agreements, and the departing person’s separate roles. For a startup, the immediate priorities are to establish who controls the investor’s board or observer seat, confirm who will handle the company relationship, and find out whether the fund’s investment period has been suspended.
What can change when a VC partner leaves?
A departure can affect several relationships at once, but they are governed by different documents. The person may be an employee or partner of the investment firm, a key person named in a fund’s limited partnership agreement (LPA), the individual designated to a portfolio-company board, or some combination of these. Leaving one role does not, by itself, settle the others.

For a portfolio company, the practical concerns are continuity and authority: who can speak for the investor, who can receive confidential company information, whether the board has a vacancy, and whether the fund can continue making investments or follow-on commitments. The fund’s LPA and related agreements generally address fund-level authority and investment activity. The company’s investor-rights, voting and board documents address rights within the company. Employment, general-partner and management-company agreements may address the individual’s continuing relationship with the firm.
These questions are contract- and jurisdiction-specific. A partner’s title, public announcement or past role as lead investor is not enough to determine who holds a legal designation right or whether a departure triggers a fund remedy.

Does the departing partner keep the board seat?
There is no universal rule. The answer depends on whether the right to designate the director belongs to the fund, its general partner (GP), the manager, an affiliate or the individual—and on the company’s governing documents and applicable law.
Start by distinguishing the right to designate from the person currently occupying the seat. A fund might have a contractual right to nominate a director, while a particular partner is the person it selected. In another arrangement, the documentation may connect the right more directly to an individual. Even if the fund retains the designation right, the departure may require the company and investor to follow specified notice, resignation, removal or replacement procedures.

- who may nominate a replacement and whether that nominee needs approval;
- any notice periods, board procedures or conditions attached to the change; and
- whether the departing person also has an observer role or another information-access right.
Cooley’s July 8, 2026 guidance cautions firms not to discover during a contested departure that a board seat was personal to the departing partner. That warning is relevant to startups too: do not assume the firm can simply swap in a new representative. Check the documents before treating a seat as transferred, vacant or replaceable.
A director’s duties are a separate issue from the investor’s designation right. A director does not become free of applicable fiduciary duties merely because their employment or partnership with the investor changes. Nor does a change in the investor relationship, by itself, resolve what company information the individual may retain or use. Before seeking a resignation or appointing a substitute, the company and investor should consider the governing documents, director duties and local corporate law.

Does a partner departure freeze new investments?
It can, if the departure qualifies as a key-person event under the fund’s LPA or another applicable agreement. A key-person provision is a fund-level control: it may suspend the investment period while the investors consider a replacement, waiver or reinstatement. It does not automatically dictate what happens to an existing portfolio-company board seat.
The documents should identify the relevant key persons, define the event that triggers the provision, and state what follows. Check whether the trigger is automatic, when the suspension begins, how long it can last, and which LP or LPAC vote—if any—can approve a replacement or lift the suspension. Also check the LPA’s treatment of activity already contemplated or committed, including follow-on investments; do not assume that every type of investment or funding activity is treated identically.
ILPA Principles 3.0 recommends an automatic suspension of the investment period after a key-person or for-cause event, with that suspension becoming permanent within 180 days unless a defined LP supermajority affirmatively votes to reinstate it. This is guidance, not a universal rule imposed on every fund. The actual trigger, deadline, voting threshold and consequences for a particular fund come from its governing documents and applicable law.
Invest Europe similarly describes key-person provisions as commonly producing a temporary suspension, with prompt communication to LPs and a plan from the GP; replacement or lifting the suspension commonly involves majority LP or LPAC approval. Cuatrecasas notes that an LPA should specify the key persons and triggering events, suspension and replacement or acceptance process, and any agreed remedies. Those remedies may include GP replacement or winding up the fund where the documents provide for them. These descriptions are not substitutes for checking the specific LPA.
Who decides whether a replacement is accepted?
That depends on the fund’s agreements. The LPA and side letters may assign notice, consent or voting rights to LPs, the LP advisory committee (LPAC), or both. They may also distinguish approval of a replacement key person from a vote to waive a trigger or reinstate the investment period.

Do not infer approval authority from the fact that the LPAC is involved in fund governance. Find the precise clause, including who may vote, the applicable threshold, any deadline and whether a separate LP vote is needed. Side letters may also create additional obligations for particular investors. The fund should give notice in the manner and timing the documents require. ILPA Principles 3.0 calls for timely notice of personnel changes that may affect fund performance and immediate notice when key-person provisions are triggered.
For a startup, this means asking for clarity rather than assuming that an internal firm decision is sufficient. The company can ask its investor contact to confirm whether a key-person clause was triggered, whether investment activity is paused, who has authority to act for the fund, and whether any LP or LPAC process affects the company’s relationship. The company should not assume it has a vote on those fund matters unless its own agreements give it one.
Who supports the portfolio company after the lead partner exits?
The fund’s legal rights and the firm’s practical support are related but not identical. A fund may retain its investment and board-designation rights even if the partner who led the deal leaves. Conversely, a replacement contact may be named without changing the board seat or the fund’s contractual position.
Ask the firm to identify a primary and, where useful, backup contact; clarify who can make decisions or communicate the fund’s position; and agree how urgent board or financing matters will be handled during the transition. If the former partner remains involved in a board or observer capacity, clarify the role and information boundaries rather than treating the person’s old title as proof of current authority.

Can the person leave the firm but retain economics or information rights?
Yes, these are separate questions. A person may leave employment yet retain some carry, a board role or information rights, while losing other authority. The answer depends on the fund, GP and management-company agreements, the company’s documents, and any transition or separation arrangements.
Review carry and other economics independently from board authority. Relevant documents may address vesting, repurchase rights, capital obligations, management-company interests, transition payments and information rights. A person’s continuing economic interest does not, by itself, establish that they can act for the fund or access company information. Equally, the end of a firm role does not prove that every economic or governance right has ended.
Where appropriate, a written transition agreement can document board resignation or continued service, confidentiality, the handling of company information, public or investor messaging, releases, economic terms and future conduct. It should align with the fund and company documents rather than purporting to override rights held by LPs, the company or other parties.

Use the departure as a prompt to confirm rights and continuity, not as a reason to assume the worst or accept an undocumented change. A focused review helps separate the company’s immediate governance needs from the fund’s internal personnel and LP processes.
- Identify the relevant entities and roles. Confirm which fund invested, which GP or manager acts for it, the departing person’s company-facing role, and whether the person is a director, observer or neither.
- Collect the company-side documents. Review investor-rights and voting agreements, the charter or other governing documents, board consents and any management-rights letter. Locate provisions for designation, resignation, removal, replacement, notice and information access.
- Ask who holds the seat right. Request written confirmation of whether the right belongs to the fund, GP, manager, affiliate or individual, and who is authorized to act for that holder during the transition.
- Confirm the proposed board plan. Determine whether the current director will remain, resign or be replaced, and follow the required company process before changing board composition or access.
- Ask about fund-level effects. The investor can confirm whether the departure is a defined key-person event, whether the investment period is suspended, and whether a replacement, waiver or reinstatement process is under way.
- Clarify ongoing company support. Get a named contact and a practical plan for board matters, urgent decisions, follow-on discussions and confidential materials.
- Separate authority from economics. If the person’s carry, capital obligations, information rights or other interests matter to the transition, check the relevant agreements rather than assuming the employment change resolves them.
- Get advice before acting on a disputed right. Director duties, corporate procedures and applicable law may affect the timing and validity of a resignation or replacement. Escalate uncertainties to counsel familiar with the governing documents and jurisdiction.
How should a fund prepare for a partner departure?
A fund can reduce disruption by mapping rights before a departure becomes contentious. The review should cover each affected fund vintage, since different LPAs, side letters or company agreements may govern different investments.

For each fund, identify named key persons, trigger definitions, investment-period suspension mechanics, notice requirements, voting thresholds, replacement procedures and treatment of follow-on activity. For each portfolio company, record who holds any board or observer designation right, whether it is personal or entity-held, and the resignation, replacement, notice and approval mechanics.
The firm should also plan interim portfolio coverage, the company contact, confidentiality controls and conflict management. LP and LPAC notices should follow the governing documents, and the firm should prepare a specific replacement, waiver or reinstatement plan where required. Finally, analyze carry, management-company interests, capital obligations, repurchase rights and information rights separately. A written transition agreement may be appropriate to coordinate those arrangements without confusing an individual’s interests with the fund’s or company’s rights.

What should investors compare across departure scenarios?
For a company, the key comparison is not simply “partner stays” versus “partner leaves.” Map the consequences under each relevant agreement and distinguish the fund-level investment question from company-level governance.
- Seat control: Who holds the designation right, and what process changes the director or observer?
- Key-person trigger: Does the departure meet the LPA’s defined event?
- Suspension and reinstatement: What activity pauses, for how long, and what vote can reinstate it?
- Notice and consent: Who must be notified, when, and who must approve a replacement or waiver?
- Committed and follow-on activity: How does the LPA treat existing commitments and potential future funding?
- Conduct and access: What fiduciary, confidentiality and conflict controls apply during the transition?
- Individual interests: What happens separately to carry, capital obligations, repurchase rights and information rights?
These questions cannot be answered reliably by a single industry-wide rule. The reviewed materials do not provide a representative statistic for how often departures change seats, suspend investment periods or affect portfolio-company outcomes. Any frequency or average financial-impact claim would require a dedicated empirical study.
Frequently Asked Questions
Does a VC partner leaving mean my startup will lose its funding?
Not by itself. A departure may trigger a fund-level investment-period suspension, but whether that affects a particular commitment or follow-on investment depends on the LPA and the company’s investment agreements. Ask the fund to distinguish existing obligations from new investment activity.
Should a startup announce that its investor’s board member has changed?
First confirm the change and the relevant company procedures with the investor and company counsel. A public statement should not imply that a resignation or replacement is effective before required notices, approvals or board actions have occurred.
Can a former VC partner still receive board materials?
Possibly, if the person continues as a director or has a valid observer or other information right, but the departure alone does not establish that entitlement. Confirm the person’s current role, applicable confidentiality obligations and the company’s access procedures.
Does an LP advisory committee have to approve every replacement key person?
No single answer applies to all funds. The LPA and any relevant side letters determine whether the LPAC, LPs, or both have notice, consent or voting rights, and whether different approvals apply to replacement and reinstatement.
