Tokenization changes how an asset is represented, transferred and settled; it does not automatically change what the asset is in law. A token may be an issuer’s stock or bond recorded on a distributed ledger, a custodial claim on an off-chain security, or a separate instrument that merely tracks another asset’s price. Those structures can produce very different voting, dividend, information, bankruptcy, custody and transfer rights. In the United States, the SEC’s current position is that a tokenized security remains subject to the federal securities laws that apply to the relevant security and transaction.
| Name | Best for | Key spec | Checked |
|---|---|---|---|
| Traditional security | Established issuance, custody and settlement rails | Ownership is normally recorded in conventional account-based or other off-chain systems | Oct 2026 |
| Issuer-sponsored tokenized security | On-chain transfer and programmable compliance while preserving the issuer’s security | The token can be part of the issuer’s master securityholder record; legal rights still come from the security and governing law | Oct 2026 |
| Custodial tokenized entitlement | Digital access to a security held by an intermediary | The holder’s claim depends on the token issuer, custodian, records and insolvency arrangements | Oct 2026 |
| Linked or synthetic token | Price or payment exposure to a referenced asset | May not convey the referenced issuer’s ownership, voting or information rights | Oct 2026 |
What is the difference between tokenized assets and traditional securities?
A traditional security is legally defined by its instrument, issuer, contractual terms and applicable law, while its ownership is usually tracked through records maintained by an issuer, transfer agent, broker, custodian or clearing system. A tokenized asset uses a crypto asset or distributed ledger for some part of that representation or transfer process.

The key distinction is therefore infrastructure, not a guaranteed new asset class. A stock issued as a token can still be a stock. Conversely, a token that follows a stock’s price can be a different security, a security-based swap or another claim, depending on its terms and jurisdiction. The label “tokenized” is not enough to establish ownership or investor rights.
What does “tokenized” mean, and how is it different from digitization?
BIS/CPMI describes tokenisation as generating and recording a digital representation of a traditional asset on a programmable platform. Digitization can simply mean converting a paper certificate or database entry into an electronic record. Tokenization generally adds a ledger-based object whose transfer can be validated and, in some systems, controlled by software rules.

That ledger does not always replace existing records. Some implementations use an on-chain master record. Others use the blockchain as a transfer instruction that causes an issuer or intermediary to update an off-chain account. A mixed architecture may keep an off-chain record as the legally authoritative source while using the token for operational convenience.
How do the legal identity and ownership records differ?
With a traditional security, legal rights normally arise from the security itself, the issuer’s governing documents and the law that applies to the transaction. A tokenized arrangement can preserve those rights, redirect them through a custodian or create a separate linked claim. You must identify the legal instrument behind the token rather than infer it from the wallet balance.

An issuer can issue a stock, bond, note or other security in tokenized form and use a distributed ledger to maintain, in whole or in part, its master securityholder file. In that structure, transferring the crypto asset can correspond to transferring the security in the issuer’s records. The principal difference from a conventional format may be where the master record is maintained, not the economic or legal nature of the security.
Tokenized security entitlement held through a custodian
A third party can hold the underlying security and issue tokens representing a direct or indirect entitlement to it. The holder may have a contractual claim against the token issuer or custodian rather than direct ownership on the issuer’s register. Custody agreements, segregation of assets, recordkeeping and insolvency treatment become central to the outcome.

Linked or synthetic token
A third party can issue its own security whose payments or value are linked to a referenced stock, bond or other asset. The token may provide economic exposure without conferring shareholder, bondholder or other rights of the referenced issuer. Depending on its terms, it may be a linked security or security-based swap rather than the underlying security.
What exactly do I own, and which record proves it?
Ask two questions before treating a token as equivalent to a conventional investment: “What legal claim do I hold?” and “Which record controls if the records disagree?” The token itself may be the authoritative ownership record; it may instruct an intermediary to update an off-chain record; or it may evidence an entitlement against a custodian.
IOSCO has identified investor-protection concerns when the on-chain balance and the legally controlling ownership record are not clearly aligned. Check the governing documents for the authoritative record, the point at which a transfer becomes legally effective, how corrections are made, and what happens if a ledger outage or reconciliation error produces conflicting balances.
How do transfers, settlement and custody change?
Traditional transactions usually pass through established broker, clearing, settlement and custody functions. Tokenized systems can move transfer instructions through a crypto network and apply smart-contract rules, but permissioning, identity checks and securities-law controls can still restrict who may transfer and when.

Programmability can combine steps that are separate in conventional markets. A smart contract might release an asset only when payment is verified, calculate a coupon, enforce a holding restriction, or request collateral after a margin event. BIS/CPMI and IMF materials describe this potential for integrated issuance, trading and settlement.
Settlement is not automatically instantaneous or final. The settlement asset could be central-bank money, a tokenized commercial-bank deposit or a stablecoin. Each choice has different credit, liquidity, convertibility and operational implications. A token may also depend on bridges or other systems to move between networks, adding an interoperability point that does not exist in a single traditional record system.

Do tokenized securities have the same rights as stocks or bonds?
Not necessarily. The SEC has warned that the rights associated with a crypto asset can materially differ from those of a holder of the underlying security, including economic and voting rights.
- Voting: A synthetic or custodial token may not allow votes to be cast directly, or the intermediary may exercise them under an agreement.
- Dividends and coupons: Payments may be passed through, converted or withheld under the token’s terms rather than paid by the issuer directly.
- Information: A token holder may not receive the same reports, notices or inspection rights as a registered holder.
- Bankruptcy: A direct property interest, a segregated custodial asset and an unsecured claim against an issuer have different outcomes if an intermediary fails.
- Transfer: A blockchain transfer can be technically valid yet restricted by the security’s offering terms, permissioning rules or the jurisdiction’s law.
Read the token’s legal terms, custody agreement and offering documents for each of these rights. A familiar ticker or a close price correlation does not establish equivalence.

What risks are added or changed by tokenization?
| Risk | How it can arise | What to verify |
|---|---|---|
| Legal and ownership | The token may be an intermediary claim or synthetic exposure rather than property in the underlying asset; some claims may be unsecured in insolvency. | The legal instrument, governing law, segregation language and insolvency treatment |
| Counterparty and custody | A third-party issuer, custodian, transfer agent or other intermediary may fail or keep incomplete records. | Who holds the underlying, how assets are reconciled and who owes performance |
| Record mismatch | The on-chain balance may differ from the legally authoritative off-chain record. | Which record controls, how transfers become effective and how disputes are resolved |
| Technology and operations | Smart-contract defects, lost private keys, oracle errors, bridge failures, governance weaknesses or irreversible transactions can disrupt ownership or payments. | Code controls, key-recovery process, upgrade authority, incident procedures and audit scope |
| Liquidity and redemption | A token can appear continuously tradable even when the reference asset or redemption channel is limited, creating price and liquidity mismatches. | Redemption rights, market-making arrangements, trading restrictions and settlement windows |
| Settlement asset | Stablecoins and tokenized deposits carry different credit, liquidity, convertibility and finality risks than central-bank money. | The settlement asset, issuer obligations and conditions for final settlement |
| Regulatory | Classification and distribution depend on actual rights and structure, not the technical label. | Applicable securities, custody, disclosure, anti-fraud and transfer restrictions |
Are tokenized securities regulated like traditional securities?
In the United States, changing an off-chain record into an on-chain representation does not by itself remove securities-law obligations. The SEC defines a tokenized security as a financial instrument that meets the definition of a security and is formatted as or represented by a crypto asset, with ownership recorded in whole or in part on one or more crypto networks. Registration or an available exemption, disclosure, custody, recordkeeping and anti-fraud requirements remain relevant to the facts of the offering and transaction.
SEC Commissioner Hester M. Peirce summarized the principle this way: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset. Tokenized securities are still securities.” That is a U.S.-specific regulatory conclusion, not a universal rule. Other jurisdictions can classify security entitlements, stablecoins, synthetic exposure and legally effective ownership differently.

Use the following document-first check rather than relying on the project’s name or a wallet display.
- Identify the instrument. Determine whether the token is the issuer’s security, a custodial entitlement, a linked security, a security-based swap or another claim.
- Locate the authoritative record. Confirm whether the ledger, an issuer register, a custodian’s books or a combination controls ownership.
- Map the parties. List the issuer, custodian, transfer agent, broker, settlement-asset issuer and any network or bridge on which performance depends.
- Read the rights. Check voting, distributions, information, redemption, transfer, error correction and bankruptcy provisions.
- Check transfer mechanics. Find out whether wallets must be approved, whether transactions can be reversed or frozen, and when a transfer becomes legally effective.
- Assess technology controls. Review key recovery, smart-contract upgrades, oracle dependencies, bridge exposure, incident response and governance authority.
- Confirm jurisdiction. Establish which law governs the token, custody arrangement and dispute process, and whether you are permitted to hold or transfer it.
Is tokenization replacing traditional securities infrastructure?
No. BIS/FSI describes tokenization as early-stage, with many projects still small-scale or experimental. Limited investor demand, weak interoperability with legacy systems and legal and regulatory uncertainty constrain broader adoption.

The more accurate view is that tokenization is being explored as an alternative or complementary market architecture. It may be useful where programmable restrictions, fractionalization, collateral mobility or integrated settlement solve a specific operational problem. Those benefits must be weighed against governance, enforceability, interoperability and resilience requirements. A blockchain record is not a substitute for clear legal rights, reliable custody or a workable redemption process.
The practical comparison is therefore not “old securities versus automatically superior tokens.” It is a question of which record, intermediary structure and legal claim best protect the holder for a particular transaction. Treat the token’s technology as one part of the design, and verify the underlying rights before assuming it is equivalent to a conventional security.
Frequently Asked Questions
Can a tokenized stock be transferred to any crypto wallet?
Not always. Issuer-sponsored securities can use permissioned addresses, identity checks or transfer restrictions, so a technically valid blockchain address may still be ineligible under the offering terms or applicable law.
What happens if the blockchain goes offline or the smart contract is paused?
The answer depends on the architecture and contingency documents. A system may rely on an off-chain authoritative record, an administrator with upgrade or pause powers, or a manual reconciliation process; holders should identify those procedures before relying on continuous transferability.
Can tokenized assets be held in a bankruptcy-remote account?
Sometimes, but the protection comes from the legal custody and segregation arrangements, not from the token format alone. The documents should state whether the underlying assets are segregated and what claim holders have if the token issuer or custodian becomes insolvent.
Does a higher token trading price prove that the underlying security is worth more?
No. A token can trade at a premium or discount because redemption is limited, liquidity is thin, settlement assets carry risk, or the token represents only synthetic exposure. Price alignment depends on enforceable redemption and reliable access to the reference asset.
