SEBI is exploring a graded compliance framework for stockbrokers that would match supervisory requirements to a broker’s scale, client exposure and reliance on technology, Chairman Tuhin Kanta Pandey said on October 24, 2026. The initiative is not yet a notified rule: SEBI has published no final tiers, thresholds, reporting forms or implementation date in the announcements reported from the convention.
The stated objective is proportionate supervision—improving capital efficiency and reducing unnecessary compliance work while keeping controls aligned with operational risk. Larger brokers, firms serving more clients or businesses that depend heavily on automated technology could therefore face different obligations from smaller or less technology-dependent firms, but the eventual categories remain undecided.

What is SEBI’s proposed graded compliance framework?
It is a risk-based approach under exploration in which stockbrokers would not necessarily face identical compliance requirements. Pandey described the proposed factors as “your scale, your client exposure, and your reliance on technology.” He also said the change is being considered to “improve capital efficiency and lower the compliance burden.”
That wording describes a policy direction, not an operating framework. SEBI has not said how it will calculate scale, define client exposure, measure technology dependence or allocate a broker to a tier. Until a consultation paper, circular or other formal notification appears, existing broker obligations continue to apply.

Why is SEBI considering different requirements for different brokers?
A uniform rulebook can impose the same infrastructure and documentation burden on firms with very different risk profiles. A proportionate model could direct the most intensive controls toward businesses whose failure, cyber incident or operational mistake could affect the largest number of investors or transactions.
The announcement came as India’s securities market continues to expand. Figures cited by Pandey included equity-market capitalisation of ₹470 lakh crore, outstanding corporate bonds of ₹61 lakh crore, mutual-fund assets under management of ₹83 lakh crore, more than 15 crore unique investors and about ₹74 lakh crore in assets held by foreign portfolio investors. A separate official speech in 2026 referred to around 145 million securities-market investors growing by more than 20% annually, mutual-fund assets above ₹80 trillion and market capitalisation of about 128% of GDP. These figures come from different dates and presentations, so they should not be treated as one point-in-time series.

SEBI has named the factors but has not published scoring rules. Their practical meaning can be understood as possible risk indicators rather than confirmed thresholds.

Broker scale
Scale could cover the size of a broker’s operations, transaction volumes, capital base, workforce or infrastructure. A larger firm might require more extensive governance, continuity planning and internal control evidence because a disruption could propagate across more services and counterparties.
Client exposure
Client exposure could reflect the number and type of clients served, assets or transactions handled, and the consequences of a failure for investors. A broker with a broad retail base or significant institutional activity may need controls that demonstrate faster detection, escalation and customer-impact management.
Reliance on technology
Technology reliance is especially relevant to API-driven, algorithmic, mobile-first and highly automated businesses. The more essential software, cloud systems, trading terminals and interfaces are to order handling, the more important documented resilience, access controls, monitoring and recovery capabilities become. SEBI has not stated whether any particular architecture or technology would automatically place a broker in a higher category.

Will smaller brokers face a lower compliance burden?
Possibly, but no reduction is guaranteed. A graded system could let a smaller, less exposed broker meet proportionate requirements instead of maintaining controls designed for a much larger operation. However, a small firm that serves many clients, handles sensitive systems or depends almost entirely on technology could still receive demanding obligations under the eventual model.
Until SEBI defines the tiers, brokers should not assume that “smaller” means exempt, nor budget on the basis of a promised cost saving.

What cybersecurity changes should brokers watch?
Pandey told market participants to “treat cybersecurity as a business priority, not an IT expense” and to “test your systems. Plan for failure.” A companion announcement linked that warning to possible misuse of broker trading terminals and to the speed at which a cyberattack or outage could affect thousands of investors.

SEBI is also developing safeguards intended to improve identification and control of terminal activity. The reports do not establish a new technical standard or a mandatory testing schedule. Brokers can nevertheless use the three proposed grading factors to map which systems are business-critical, identify the clients affected by an outage, test failure scenarios and document recovery responsibilities; that is a prudent interpretation of the announcement, not a new SEBI requirement.

What other market reforms were announced alongside graded compliance?
The graded-compliance discussion formed part of a wider reform agenda:
- Short-selling and securities-lending-and-borrowing rules are under review, with the stated aim of improving liquidity and price discovery.
- A market-making framework is being developed for secondary trading in corporate bonds.
- Under the next phase of Demat 2.0, tokenised corporate bonds are expected to trade in the secondary market, with intended benefits including better liquidity, lower settlement risk and faster access to funds.
- SEBI is exploring an AI sandbox where new tools can be tested safely. Responsible-AI guidance discussed in the announcement includes accountability standards, data controls, kill switches and human oversight, with IOSCO recommendations cited in the account.
- Automated give-up and take-up in the cash segment is to be extended to custodial clients, including portfolio-management services and alternative investment funds, reducing the time funds remain blocked while awaiting custodian confirmation.
- Depository-participant rules and inspection workflows are being reworked to simplify compliance and strengthen fraud controls.
- Digital onboarding and simpler KYC processes for overseas investors, including non-resident Indians, were also described.
What should stockbrokers do before the final framework arrives?
- Inventory exposure: document client numbers, transaction flows, critical services and dependencies rather than assuming a future tier.
- Map technology concentration: identify trading terminals, APIs, cloud services, identity systems and third parties whose failure would interrupt order handling or client access.
- Exercise failure plans: run scenario tests for outages, credential compromise, terminal misuse and data loss, then record recovery times and decision owners.
- Keep evidence ready: maintain current policies, access logs, incident records, vendor oversight and board-level risk reporting.
- Track formal SEBI releases: treat speeches and reported proposals as signals, not substitutes for a circular or consultation paper.
When will SEBI’s graded broker rules take effect?
No implementation date, tier structure, threshold or reporting template was provided in the October 24, 2026 reports. The next material step would be a formal SEBI consultation, circular or framework that explains scope, transition arrangements and enforcement. Until then, brokers remain subject to the current regulatory regime.
