Neither category is automatically better for contract review. A legal-specific system may offer legal workflows, jurisdiction-focused content, or connections to firm systems. A general-purpose model may still extract clauses, compare language, flag potential issues, and summarize agreements effectively. The safer choice depends on the task, jurisdiction, document sensitivity, product tier, configuration, and the quality of human verification.

Use AI as an accountable assistant, not as the final reviewer. Before uploading client or privileged material, check the exact service terms, retention and training settings, processing locations, subprocessors, access controls, deletion rights, and contractual liability. A lawyer must still verify material findings and remains responsible for the final contract and advice.

What the two categories actually mean

Legal-specific AI

Legal-specific AI is designed around legal work rather than general conversation. Depending on the product, that can mean clause libraries, matter-oriented workflows, legal search, document comparison, playbooks, structured issue lists, or integrations with document-management and practice-management systems. Some services include legal content, but the label does not prove that the content covers your jurisdiction, is current, or is suitable for the contract at hand.

Legal design can reduce the amount of configuration needed for a repeatable review process. It may also provide fields for risk ratings, fallback language, approval routing, or audit records. Those advantages are workflow features, not evidence that every legal conclusion is accurate.

General-purpose AI

General-purpose AI is built to handle many language and reasoning tasks. With a carefully written prompt and the right document-handling features, it can identify parties, dates, payment terms, renewal provisions, termination rights, indemnities, limitations of liability, governing law, and other clauses. It can also compare two versions or turn dense language into a plain-language summary.

Its legal knowledge may be broad but uneven. A general model can produce a plausible explanation that is wrong, omit a material exception, or apply a rule from the wrong jurisdiction. Enterprise access can change data controls and administration, but enterprise status alone does not make a general-purpose model legally reliable.

Which is better? Use the task, not the label

There is no category-level winner established by the available professional guidance. Compare the exact product, version, settings, contract terms, and review task. The following framework shows what each category may offer and what you still need to test.

Decision axis Legal-specific AI General-purpose AI What to verify
Workflow May provide legal review templates, playbooks, issue registers, and system integrations. Can respond to prompts and perform contract analysis when the document and instructions are supplied. Test extraction, comparison, issue spotting, redlining support, and summarization against your real workflow.
Legal content May include legal databases or curated content, but coverage and currency differ. May have broad legal knowledge but limited jurisdiction-specific coverage. Confirm the jurisdiction, source materials, update process, and whether each result shows its basis.
Accuracy Legal positioning does not establish accuracy for your task. Can generate inaccurate or false statements and miss important language. Independently check every material finding, omission, citation, and legal conclusion.
Confidentiality May offer stronger controls, but protections vary by service and contract. Consumer and enterprise tiers can have materially different retention and reuse terms. Review training use, retention, access, location, transfers, subprocessors, deletion, and privilege implications.
Accountability The system does not assume professional duties. The same professional responsibility remains with the lawyer. Assign a human reviewer, escalation route, and record of verification.
Procurement May require integration, security, and enterprise-contract review. May be quick to adopt, but the default terms may not fit client work. Compare total cost and operational burden only after risk requirements are defined.

Choose by the contract task

Extraction and contract summaries

For a first-pass inventory, either category can work. Ask the system to return a structured table containing the clause location, exact quoted language, extracted value, and any uncertainty. A legal workflow may make this repeatable across a portfolio; a general model may be sufficient for an occasional agreement.

Do not accept a summary without checking the source text. A summary that says a contract has a termination right is incomplete if it omits notice periods, cure requirements, termination fees, or restrictions on convenience termination.

Clause comparison and playbook checks

Comparison is more dependable when you define the expected rule. Supply the organization’s playbook or approved fallback language, then ask the system to identify deviations and cite the section and page. Legal-specific tools may provide built-in playbook controls, while a general-purpose model may require a carefully designed template.

Check how the service handles definitions, schedules, exhibits, incorporated policies, tables, scanned pages, and tracked changes. A technically successful upload does not prove that every part of the agreement was read.

Issue spotting

Issue spotting is useful for triage but risky as a final decision. Ask for both flagged issues and possible omissions. Require the system to distinguish between text it found, an inference it made, and a legal conclusion that needs authority. A model that returns a short, confident list may simply have missed less obvious risks.

Plain-language explanation

General-purpose AI is often convenient for explaining a clause to a business colleague. The explanation should preserve conditions, exceptions, defined terms, and remedies. Have a lawyer check any explanation that could influence a signature decision or negotiation position.

Cross-jurisdiction work

Jurisdiction is a selection criterion, not a setting to assume. Guidance from the Law Society of England and Wales, the New Zealand Law Society, and the Law Society of Ireland addresses different professional environments and is not interchangeable legal advice. Common tools may contain limited New Zealand legal training or content, and a tool familiar with one common-law jurisdiction may still mishandle another.

Confirm the governing law, forum, regulatory context, and relevant mandatory rules. Ask the vendor what jurisdictional sources are included, how current they are, and how the system signals uncertainty or source support.

Accuracy: treat every output as a draft finding

The New Zealand Law Society identifies contract analysis as a possible use of generative AI while warning that outputs may be inaccurate or false. Its guidance emphasizes that a model cannot understand or validate its output in the way a human author can. The Law Society of England and Wales similarly expects oversight of factual and legal accuracy, omissions, unsupported propositions, bias, overconfidence, and fit to the client’s circumstances.

Use a verification standard proportionate to the risk:

  • Low-risk administrative extraction: check the output against the document and correct obvious transcription errors.
  • Negotiation support: verify the exact clause, the requested fallback, and any commercial assumptions before sharing the result.
  • Legal advice or execution decisions: have a qualified lawyer review the contract, sources, and context independently.
  • High-impact or unusual matters: require a second reviewer or specialist escalation rather than relying on a single model output.

Require traceability. A useful result identifies the clause or page, quotes the relevant text, states the reasoning in plain language, and marks uncertainty. If the system cannot show where a conclusion came from, treat that conclusion as unverified.

Confidentiality and data terms decide whether you can upload the contract

Before entering client, personal, regulated, or privileged information, inspect the exact product tier and technical configuration. The Law Society of England and Wales says risk depends on the access method, service terms, storage and reuse, and processing or transfer locations. A paid or enterprise label does not automatically guarantee appropriate protection.

Questions to answer in writing

  • Are prompts, uploaded documents, generated outputs, or feedback retained?
  • Can the provider or its personnel access content for support, abuse monitoring, quality review, or other purposes?
  • Is customer content used to train or improve a shared model, and can that use be contractually excluded?
  • Where is data processed and stored? Can it cross borders, and what transfer mechanism applies?
  • Which subprocessors handle files, logs, identity, storage, or model inference?
  • How are access permissions, authentication, audit logs, deletion, export, and account closure controlled?
  • What happens to backups, cached files, embeddings, indexes, and derived metadata after deletion?
  • Does the provider sign a data processing agreement when it processes personal data for the firm?
  • What liability, indemnity, incident-notification, and cooperation commitments apply if the output is wrong or data is exposed?

The Law Society of Ireland’s vendor-assessment guidance specifically highlights data residency or an appropriate transfer mechanism, contractual exclusion of client data from training, a data processing agreement where applicable, retrieval and deletion terms, and the vendor’s position on liability for inaccurate outputs. These are procurement questions to assess with jurisdiction-appropriate legal and technical advice; they are not a universal legal opinion.

Professional responsibility does not move to the software

The New Zealand Law Society states: “A lawyer is not absolved from responsibility for legal advice or defects in an end-product (such as a contract) because it is derived from Gen AI.” The Law Society of England and Wales likewise says: “The use of AI does not diminish or transfer your professional responsibilities.”

That means the supervising lawyer must decide whether AI use is authorized, appropriate for the matter, and consistent with confidentiality obligations. The lawyer should define who reviews the output, what must be checked, when a specialist is needed, and how the final decision is recorded. Client communication may also be needed where the use of AI affects informed consent, confidentiality, billing, or the nature of the service.

A practical evaluation process before choosing a tool

  1. Define the review outcome. Write down whether you need clause extraction, deviation analysis, issue spotting, a business summary, a comparison of drafts, or a recommendation for human review. Do not test a tool with an undefined request.
  2. Set the jurisdiction and document boundary. Record governing law, relevant regulatory rules, language, document types, schedules, exhibits, and scanned pages. Decide whether the test may use a sanitized agreement.
  3. Create a representative test set. Include straightforward clauses, deliberately ambiguous language, cross-references, exceptions, tables, defined terms, and at least one document with formatting or OCR challenges. Do not use live confidential material until data terms are approved.
  4. Use the same acceptance criteria. For each candidate, score source fidelity, coverage, false positives, false negatives, citation quality, handling of uncertainty, exportability, and reviewer effort. A polished interface should not outweigh missed risks.
  5. Test the complete workflow. Include upload, permissions, prompting, document parsing, review, comments, export, audit records, deletion, and handoff to the matter file. A model can perform well in a demo while the surrounding workflow creates unacceptable risk.
  6. Complete vendor diligence. Obtain the service agreement, privacy terms, data-processing terms, security documentation, subprocessor list, retention schedule, incident process, and exit procedure for the exact tier being considered.
  7. Run a controlled pilot. Limit access, use approved matters, log prompts and outputs where permitted, and have experienced reviewers compare results with a conventional review. Do not present pilot observations as a universal accuracy or savings percentage.
  8. Approve a written operating procedure. Specify permitted data, approved users, required verification, escalation triggers, retention, client communication, and incident reporting. Reassess when the model, contract, or configuration changes.

How to use AI safely during an actual review

Prepare the file

Confirm that you have authority to use the service. Remove unnecessary personal data, account numbers, secrets, and unrelated attachments. Preserve the original document separately, record its version and date, and check whether the system can process every page and exhibit.

Give a bounded instruction

State the governing law, the role the system should play, the issue list, the output format, and the rule that it must quote supporting text and mark uncertainty. For example, ask for a table with clause reference, exact excerpt, issue, business impact, confidence, and questions for the reviewer. Do not ask for an unconditional statement that the contract is safe.

Review the evidence first

Open each cited clause in the original. Check defined terms and cross-references. Look for exceptions in schedules, incorporated policies, order forms, and exhibits. If the system cites an authority, retrieve and read the authority rather than assuming the citation is genuine or applicable.

Apply legal and commercial judgment

Decide whether a deviation matters for this client, transaction, industry, bargaining position, and risk tolerance. The same limitation of liability or renewal clause can have different consequences in different deals. AI can organize the question; it cannot supply the client’s objectives.

Record the human decision

Keep the approved output, the reviewer’s corrections, the final clause position, and any unresolved questions according to your matter-file and retention rules. Record the tool and version when your governance policy requires it. Never let an unverified generated paragraph silently become the final advice.

Common failure modes and fixes

Failure mode Why it happens Fix
Confident but incorrect legal conclusion The model predicts plausible language without validating law or facts. Require primary-source checking and lawyer approval for every conclusion.
Missed exception or cross-reference The system focuses on the main clause and overlooks schedules or definitions. Require a document map and verify every referenced section and attachment.
Wrong jurisdiction Broad legal language is mistaken for local authority. State governing law explicitly and check local sources with a qualified lawyer.
False assurance from a legal label Product positioning is treated as proof of reliability or confidentiality. Test the task and review the actual contract, settings, and data terms.
Confidentiality breach A consumer tier retains or reuses content under terms unsuitable for client work. Use an approved tier only after procurement and privacy review; otherwise do not upload the material.
Untraceable issue list The output gives conclusions without quoted text or locations. Reject findings that cannot be tied to the original document.
Automation drift A model update or configuration change alters behavior. Version the workflow, monitor quality, and repeat testing after material changes.

Cost and procurement considerations

No reliable, decision-ready price or controlled head-to-head accuracy, speed, or cost statistic is established here. Avoid choosing on a claimed percentage improvement. Calculate the full operating cost instead: licenses, implementation, integration, security review, training, prompt and playbook maintenance, human verification, storage, and exit work.

A low-cost general-purpose subscription may be unsuitable if its data terms, access controls, or audit capabilities fail your requirements. A legal-specific platform may justify procurement effort when you need repeatable playbooks, matter-level permissions, structured reporting, or integration with existing systems. Those benefits should be demonstrated on representative work rather than assumed from the category name.

A decision rule for teams

  • Choose legal-specific AI when your core need is a repeatable legal workflow, controlled playbooks, jurisdiction-relevant content, matter permissions, or integration that a general tool cannot provide—and the vendor’s terms and performance pass testing.
  • Choose general-purpose AI when the task is limited, the organization can supply the necessary context, the approved tier has acceptable controls, and a lawyer can verify every material result.
  • Use neither for unsupervised final review when the contract is highly sensitive, the jurisdiction is unsupported, the source cannot be traced, or the provider will not agree to required data and deletion terms.

The practical question is not whether an AI system calls itself legal. Ask whether the exact configuration can perform the defined task, in the relevant jurisdiction, with evidence you can check and controls your client obligations require.

Frequently Asked Questions

Can a non-lawyer use AI to review a contract?

AI can help a non-lawyer organize questions or explain wording, but it should not replace legal advice. A qualified lawyer should review material risks, unusual provisions, and any decision to sign or negotiate.

Should I upload the entire agreement at once?

Only after confirming authorization, data terms, and document handling. If you proceed, include schedules and incorporated documents that affect interpretation, preserve the original, and verify that the system processed every page.

What if the AI provides case citations or statutory references?

Treat every citation as unverified. Retrieve the primary source, confirm that it exists, check its jurisdiction and currency, and ensure that it actually supports the proposition.

How should an organization document AI use?

Keep an approved-tool record, matter authorization, relevant prompts and outputs where policy permits, reviewer corrections, source checks, final decisions, and any escalation or incident record.
