Reliance Global Group (Nasdaq: EZRA) plans to move from its InsurTech focus into AI infrastructure by acquiring the assets of an unnamed GPU-cloud provider and marketplace operator. The proposed transaction is based on a non-binding letter of intent signed September 23, 2026, and announced October 22; it had not closed at the time of the announcement. Reliance said it was targeting an early-November 2026 closing, subject to definitive agreements and other conditions. The deal would combine an owned GPU fleet with a marketplace where third-party hardware owners can rent capacity to customers.

What is Reliance Global Group’s GPU-cloud acquisition?

Reliance Global Group intends to acquire the operating assets of a company that provides on-demand GPU computing for AI training, inference, machine learning, rendering and other intensive workloads. The target also operates a marketplace allowing independent GPU owners to list hardware for rental.

The target’s name has not been disclosed. Because the letter of intent (LOI) is non-binding, the announcement describes a proposed transaction rather than a completed acquisition. Reliance reported that due diligence was substantially complete, but closing still depends on signed definitive agreements and other customary conditions.

What the target’s platform is expected to do

  • Supply on-demand GPU capacity for compute-heavy AI and rendering workloads.
  • Let customers rent infrastructure without buying and operating their own accelerators.
  • Allow third-party GPU owners to offer spare or dedicated hardware through a marketplace.

Reliance did not disclose the target’s GPU count, revenue, utilization, customer total or market share. The purchase price should therefore not be treated as evidence of any particular operating scale.

Except for standard USB webcams (which use USB data only), they are not compatible with HDMI/DisplayPort cables, video-capable USB-C hubs, or docking stations with video output.
  • Convert USB-A Ports to USB-C: Designed to connect USB-C earphones, cables, flash drives, card readers, and other USB-C accessories to standard USB-A ports. Plug-and-play with no drivers or software required.
  • Aluminum Alloy Housing: Built with a sturdy aluminum alloy shell that aids in heat dissipation and protects against daily wear and scratches. Designed to maintain a stable and secure connection.
  • Compact & Travel-Friendly: The ultra-compact design allows the adapter to stay plugged into your device without blocking adjacent ports or adding bulk, reducing wear and tear on your original USB ports.
  • 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.

How much is Reliance paying?

The LOI sets out a cash-funded package with a headline value of $3.375 million at and after closing, plus separate consulting payments and an optional investment.

Component Proposed amount Timing or condition
Cash payable at closing $3,000,000 Due when the transaction closes
Escrow funding $375,000 Funded into escrow at closing
Additional consideration $375,000 Payable 12 months after closing if milestone conditions are met
Founder consulting fees $250,000 Paid over the 12 months after closing
Optional investment in a related seller company Up to $500,000 Provided for separately in the LOI

Reliance said the acquisition consideration would be paid entirely in cash, with no shares issued as purchase consideration. It also said it had retired 100% of its term debt and was debt-free. That does not mean the GPU strategy is fully funded: building an owned fleet will require additional capital, and the company warned that equity financing could dilute existing shareholders.

Why is an InsurTech company moving into GPU infrastructure?

The move represents a strategic expansion beyond Reliance’s earlier insurance-agency roll-up. A June 2026 filing described an AI-powered InsurTech plan built around acquiring agencies, centralizing operations and developing AI-native insurance products. The GPU proposal would instead put the company in the infrastructure layer that supports AI workloads.

Reliance’s stated rationale is to create an operating foundation in AI infrastructure and then scale it. The strategy has two linked parts:

Build company-owned capacity

Reliance plans to acquire and deploy GPUs that it owns or controls. Owned capacity could provide a more predictable supply of compute and allow the company to shape pricing, service levels and workload support. It also creates substantial capital requirements for hardware, networking, data-center access, power and ongoing maintenance.

Expand the two-sided marketplace

The proprietary marketplace is intended to attract both customers seeking compute and providers with GPUs to rent. A larger provider pool can add capacity without Reliance purchasing every accelerator, while more customers can improve utilization for participating hardware owners. The announcement did not provide customer or provider numbers, so the marketplace’s current traction cannot be assessed from disclosed figures.

Is the EZRA-to-XGPU ticker change complete?

No. Reliance said it plans to use “GPU Exchange” as its doing-business name and seek a Nasdaq ticker change from EZRA to XGPU. The change requires separate implementation and was not effective when the announcement was made; shares continued trading under EZRA.

A ticker request and a rebrand do not by themselves prove that the acquisition has closed or that the new business is operating. Investors should look for a later company notice and applicable Nasdaq and regulatory filings before treating XGPU as active.

When could the transaction close?

Reliance anticipated an early-November 2026 closing, but that was a target rather than a guaranteed date. The LOI remains non-binding until the parties execute definitive documents and satisfy closing conditions. A delayed, amended or terminated transaction is possible if negotiations, diligence or other conditions do not conclude as planned.

What are the main risks for shareholders?

  • Execution risk: The acquisition is not complete, and the unnamed target makes it difficult to independently evaluate the assets.
  • Capital intensity: An owned fleet requires spending beyond the acquisition price on GPUs and supporting infrastructure.
  • Potential dilution: Reliance has said future equity financing could be used to fund expansion, reducing existing holders’ percentage ownership.
  • Marketplace liquidity: A two-sided platform needs enough customers and providers; the announcement supplies no operating metrics showing that scale has been reached.
  • Strategy transition: The company is moving from an insurance-focused plan into a technically and operationally different infrastructure business.

Management characterized execution priorities as acquiring and deploying GPUs, growing the customer base and making it easier for hardware owners to earn revenue through the marketplace. Whether those objectives translate into sustainable revenue will depend on capacity deployment, customer demand, pricing, uptime and the financing used to expand.

Frequently Asked Questions

Does Reliance Global Group already own a GPU cloud business?

Not based on the October 22, 2026 announcement. The company had signed a non-binding LOI to acquire assets, so ownership would begin only after a completed transaction.

Is the $3.375 million price the target company’s total value?

It is the stated purchase consideration structure in the LOI, including closing cash, escrow and a milestone-based payment. The announcement does not provide enough information to determine an enterprise value or to compare the amount with the target’s revenue or assets.

Could Reliance fund GPU expansion without issuing stock?

The company says the acquisition consideration is cash-funded, but it separately warns that expanding an owned GPU fleet may require additional capital. Equity financing is one possible source and could dilute current shareholders; the announcement does not commit to a specific funding method.

What is the difference between Reliance’s owned GPUs and its marketplace?

Owned GPUs would be capacity Reliance acquires and deploys itself. The marketplace would match customers with capacity supplied by independent hardware owners, allowing the platform to expand supply without owning every GPU.
