Evaluate a Bitcoin treasury company as a leveraged corporate claim on bitcoin—not as a bitcoin substitute. Start with the issuer’s dated BTC holdings, then subtract debt, preferred claims, dilution, taxes and other liabilities before estimating residual bitcoin value per diluted share. Check whether the operating business generates cash, whether reserves cover fixed obligations, and whether custody or financing risks could force bitcoin sales. Finally, compare the stock price with that residual per-share value and explain any premium or discount. The result is a dated, reproducible analysis of what common shareholders may receive, rather than a headline calculation that multiplies gross BTC by the coin price.
What is a Bitcoin treasury company, and why is its stock not the same as Bitcoin?
A Bitcoin treasury company holds bitcoin on its balance sheet as a reserve, a capital-allocation strategy or the central purpose of the business. Buying its shares gives you a residual claim on a corporation. That corporation may also own an operating business, cash, debt, preferred stock, convertible securities, tax obligations and other assets or liabilities.

Common shareholders rank behind secured and unsecured creditors and preferred investors. If the company sells bitcoin to pay debt, interest, dividends or operating bills, the share count does not automatically fall with the BTC balance. Your exposure therefore depends on both the assets and the capital structure.
Use the latest filing and transaction disclosures rather than a stale annual figure. Strategy reported approximately 672,500 BTC at December 31, 2025, then approximately 717,131 BTC at February 13, 2026. Its February figure had an aggregate fair market value of $49.29 billion and the company reported a $2.25 billion USD Reserve on that date. Those changes illustrate why the measurement date belongs beside every calculation.

How do I identify the company’s actual business model?
Read the business description, treasury policy and risk factors before looking at a promotional BTC total. Classify the issuer into one of three broad models:
- Operating company with a reserve: Bitcoin is one asset among many and operating cash flow may fund expenses.
- Company pivoting toward a treasury strategy: The legacy business remains, but management increasingly directs capital toward bitcoin.
- Bitcoin-accumulation vehicle: The economic purpose is principally to raise capital, buy bitcoin and manage the resulting securities.
Ask these questions and write the answers down:
- What does the company sell today, and who pays for it?
- Does the operating business produce cash before equity or debt financing?
- Is bitcoin described as a reserve asset, a capital-allocation policy or effectively the main business?
- What does management say about exits, liquidity, leverage and future issuance?
Strategy combines bitcoin with enterprise analytics software and publishes a Bitcoin treasury policy. Metaplanet describes a Japanese treasury strategy alongside a Tokyo hotel and a Bitcoin Magazine Japan license. Those businesses create different costs, governance issues and sources of value; do not treat the companies as interchangeable bitcoin wrappers.
How should I build a dated Bitcoin holdings ledger?
Make a ledger before valuing the stock. Each row should identify what was held, when it was measured and whether it was actually available to common shareholders.

Do not pair a quarter-end BTC balance with a later market price without labeling the mismatch. Strategy’s December 31, 2025 balance and February 13, 2026 balance demonstrate how quickly the answer can change. The company’s dashboard identified securities and bitcoin market data through October 28, 2026; those values are volatile and should be refreshed immediately before an investment decision.
How much Bitcoin do I really own through the shares?
There is no fixed amount of bitcoin attached to one share. Your economic exposure is the company’s residual bitcoin value divided by the number of shares that could participate after dilution.
Begin with the transparent but incomplete calculation:
gross BTC value = BTC held × BTC market price
Then build a residual calculation. Deduct obligations that rank ahead of common equity and add only cash that is genuinely available to meet those claims or support the common balance sheet.

residual BTC value per diluted share = (gross BTC value + usable cash − senior claims − other material liabilities) ÷ fully diluted shares
The result is an analytical estimate, not an accounting measure. Strategy’s disclosed Net BTC methodology deducts selected out-of-the-money debt-like instruments and preferred stock, adds USD Assets and uses fully diluted shares. The company warns that those assumptions can materially overstate or understate residual bitcoin. Reproduce its definition exactly if you quote Net BTC, and show your own adjustments separately.
Keep three denominators visible: basic shares for the legal share count, diluted shares for currently probable dilution and fully diluted shares for a conservative exposure estimate. A company can report more BTC while each fully diluted share represents less residual value.

Use a dated, residual per-share denominator:
mNAV-like multiple = stock price ÷ residual BTC value per diluted share
A result above 1.0 indicates a market-implied premium; below 1.0 indicates a market-implied discount. Label it as an mNAV-like comparison unless your calculation meets a formal net-asset-value definition. Strategy expressly says its mNAV is not equivalent to “net asset value” or “NAV” or any similar metric.
A premium can represent expectations of future BTC-per-share growth, access to financing, operating-business value, management execution, liquidity or a scarcity premium. A discount can reflect leverage, dilution, weak operating cash flow, financing stress, governance concerns, custody uncertainty, tax exposure or skepticism about future purchases. Neither result proves that the stock is mispriced; each is a prompt to investigate the assumptions.
Methodology changes matter. Strategy states that versions of its metric before July 23, 2026 and later versions are not comparable without checking the definitions. Do not put two dates on one chart merely because both labels say mNAV.

Can dilution make a Bitcoin treasury company a bad investment?
Yes. Issuing stock, convertibles or preferred securities can increase total BTC while reducing the residual exposure of each common share or adding claims that must be paid first.
For every issuance, record:
- Shares, conversion shares, warrants or other claims created.
- Issue price, conversion price, redemption terms and maturity.
- Preferred dividend rate and whether dividends are payable in cash or shares.
- Debt interest, collateral, covenants and mandatory repayment terms.
- Net proceeds and the amount used to buy bitcoin.
- BTC per basic share, BTC per diluted share and residual BTC value per diluted share before and after the transaction.
Management may call a transaction “accretive” to a selected BTC-per-share metric. That does not establish accretion to earnings, cash flow, book value, enterprise value, intrinsic value or the trading price. Recalculate all of those relevant dimensions rather than accepting the label.
A useful financing schedule has one row for each security and columns for principal, annual fixed charge, maturity, seniority, conversion dilution and the BTC purchase funded. Run the schedule with the stock at a premium, at parity and at a discount to residual BTC value. Financing that looks attractive only while a premium persists is fragile.
What happens if Bitcoin falls while the company has debt?
A bitcoin decline reduces the asset value while interest, preferred dividends and principal generally remain fixed. The company may then face a choice between expensive refinancing, equity issuance at a depressed price, selling bitcoin or cutting operating investment.

Read the liquidity section and debt footnotes for:
- Unrestricted cash and designated reserves.
- Interest and preferred-dividend obligations.
- Near-term maturities and required amortization.
- Collateral, margin and covenant terms.
- Ability to issue equity or debt during a falling market.
- Conditions that could force asset sales.
Strategy reported a $2.25 billion USD Reserve as of February 13, 2026 and warned that a major bitcoin decline or negative investor sentiment could impair financing access. Its Form 10-K states that depletion of the reserve combined with unavailable financing could require the company to sell bitcoin to meet obligations or liquidity needs. This is the central downside test: can the issuer survive without selling the asset it was formed to accumulate?
Use at least three scenarios in your worksheet: a stable BTC price, a severe BTC decline and a prolonged period in which the share premium disappears. For each, show reserve coverage, fixed charges, maturities, potential issuance and the remaining BTC per diluted share. Do not assume that a company can refinance simply because it did so in a rising market.

Gross BTC is only useful to common shareholders if the company controls and can use the coins. Review whether filings disclose:

- Who controls private keys and custody accounts.
- Whether coins are held directly, through subsidiaries or with third-party custodians.
- Insurance and loss-allocation arrangements.
- Pledges, lending, rehypothecation or withdrawal restrictions.
- Cybersecurity, access-control and incident-response procedures.
Mark coins as restricted or encumbered in the ledger instead of silently counting them as liquid assets. A filing that does not provide a complete custody comparison does not justify describing a company as fully secure. Private-key loss, unauthorized access and cyberattack risks belong in the downside analysis even when no loss has been reported.
How important is the operating business?
Separate operating value from treasury value. Analyze revenue, gross margin, operating expenses, customer concentration, cash conversion and capital requirements without giving the business credit merely for owning bitcoin.
For Strategy, enterprise analytics software can generate revenue and expenses independent of BTC. For Metaplanet, the Tokyo hotel and Bitcoin Magazine Japan license create their own operating and governance questions. A weak business can consume reserves and force financing; a cash-generating business can reduce the need to sell bitcoin during a downturn.
Build two mini-models: one for the operating company and one for the treasury balance sheet. In the operating model, forecast cash before financing. In the treasury model, value BTC, cash and senior claims. Only combine them after examining how the operating business affects liquidity.
Which accounting, tax and regulatory issues can distort the comparison?
Read the latest 10-K, 10-Q, 8-K, prospectuses and risk factors. Check how bitcoin is measured, where unrealized changes appear in reported results and whether accounting changes make different years or peers difficult to compare.

- Tax: Unrealized or realized gains, losses and deferred taxes can change the amount ultimately available to common equity.
- Securities law: New disclosure or offering requirements can affect financing timing and cost.
- Regulation: Rules governing holding, lending or transacting in bitcoin may change the strategy’s feasibility.
- Disclosure: Company-defined KPIs such as Net BTC, BTC Yield or mNAV are not generally accepted accounting measures; preserve the issuer’s definition and limitations.
Strategy’s SEC-filed risk disclosure identifies bitcoin-price changes, accounting treatment, securities laws, tax consequences, liquidity, custody and debt service as factors that can affect results. Treat those as model inputs and failure modes, not boilerplate to skip.

Strategy’s multiple preferred securities, debt and software business require a different residual model from Metaplanet’s Japanese strategy, hotel and media-license assets. Compare the structure, not just the BTC balance. Strategy reported 713,502 BTC and a 22.8% BTC Yield during 2025; those are dated company metrics, not forecasts or guarantees. It later reported 840,447 BTC as of August 9, 2026, approximately 4% of total bitcoin supply. Recheck the latest filing before using any of those historical figures.
What documents and calculations should I complete before buying?
Save the documents and timestamp the market data so another reader can reproduce the result.
- Download the latest annual and quarterly filings, recent current reports, offering documents and the issuer’s treasury-policy disclosure.
- Enter BTC quantity, date, ownership status and subsequent purchases or sales in the holdings ledger.
- Record the BTC price, stock price, currency and share count at the same timestamp or clearly label any mismatch.
- List debt, convertibles, preferred stock, dividends, interest, maturities, collateral and other material liabilities.
- Calculate gross BTC value, residual BTC value and residual BTC value per basic, diluted and fully diluted share.
- Calculate the market-implied premium or discount using the residual diluted denominator.
- Model new issuance under several stock-price and BTC-price scenarios.
- Check reserve coverage and identify the conditions that could force BTC sales.
- Review custody, tax, accounting, regulatory and governance disclosures.
- Write a one-paragraph thesis and a one-paragraph failure case, each tied to a dated figure.

How we picked the evaluation criteria
The framework prioritizes the variables that determine a common shareholder’s residual claim: dated BTC ownership, senior claims, dilution, liquidity, operating cash flow, custody, accounting, taxes, regulation and governance. It uses company-defined metrics only with their stated assumptions and avoids treating gross holdings or a single premium/discount ratio as a complete valuation.
Frequently Asked Questions
How often should I update a Bitcoin treasury stock valuation?
Update it whenever the company reports a BTC purchase, sale, financing or share-count change, and at least for each new filing. Recalculate after unusually large bitcoin or share-price moves because the market-implied premium can change without a corporate transaction.
What does BTC Yield measure?
BTC Yield is an issuer-defined performance metric, not a standardized accounting return. Read the company’s exact formula, period and dilution assumptions before comparing it with another issuer’s BTC Yield or with bitcoin’s price return.
Why can a company hold more bitcoin while my shares perform worse?
New shares, convertibles or preferred securities can spread the BTC balance across more claims or add senior obligations. The relevant question is whether residual BTC value per fully diluted common share increased after financing costs and senior claims.
Should I use a company’s dashboard instead of its SEC filing?
Use the dashboard for timely market or holdings updates, but reconcile the figures to the latest filing and transaction notices. A dashboard may present a company-defined metric with assumptions that differ from the accounting balance sheet.
