How to evaluate an embedded finance provider for a vertical SaaS platform

Choose an embedded-finance provider as if it were a regulated, mission-critical infrastructure partner—not a feature vendor. Start with the financial products and vertical workflow you need, then map every licensed entity, compliance obligation and subcontractor by country. Compare providers on regulatory authority, controls, financial strength, security, resilience, API behavior, economics, support and your ability to leave. Require documentary evidence, a controlled pilot and contract rights before processing production funds. The bank or other regulated institution remains accountable for outsourced activities, so a polished API or low quoted fee cannot substitute for due diligence.

What should you define before contacting providers?

Write a requirements matrix from the workflow your customers already use. A restaurant-management platform, for example, may need supplier payments and working-capital offers; a field-service platform may need cards, payroll payments and faster settlement. Do not begin with a provider’s product catalogue, because that can lead you to embed a product that has weak attachment or does not solve a verified customer problem.

Describe the users and workflow

  • Identify customer segments, average transaction values, volumes, seasonality and risk characteristics.
  • Map each screen and event where money, identity or credit is involved: onboarding, account opening, authorization, capture, settlement, repayment, refund, dispute and closure.
  • State which party owns the customer relationship, disclosures, support conversation and complaints at every step.
  • Specify countries, currencies, settlement destinations, languages and any cross-border restrictions.
  • Set measurable outcomes such as faster supplier payment, higher card acceptance, lower reconciliation effort or improved access to working capital.

Choose a product sequence

Potential products include accounts-payable and accounts-receivable payments, company cards, business loans, invoice factoring, working-capital finance, international transfers, payroll payments, earned-wage access and employee benefits. Rank them by customer demand, expected volume, regulatory complexity and loss exposure. A provider that is excellent for cards may be unsuitable for lending, where underwriting, fair-lending and model-governance duties are material.

Classify criticality

Decide whether an outage would merely inconvenience users or stop their businesses from paying staff and suppliers. Critical services need stronger recovery objectives, tested failover, tighter incident notification and funded transition plans. Record dependencies on cloud hosting, identity and KYC vendors, card networks, processors, banking partners and other nth parties; a failure anywhere in that chain can interrupt your service.

How do you map the regulatory perimeter and accountability?

Build a product-by-product, country-by-country map before comparing prices. Name the regulated issuer or lender, the technology and program manager, every compliance vendor and each material subcontractor. Confirm what each entity is licensed or otherwise permitted to do in the exact geography and customer segment you plan to serve.

Assign the regulated responsibilities

  • Funds and settlement: Document whether customer money is held in a bank account, safeguarded under a payments regime, prefunded, or settled through another model. Identify who controls reserve accounts and reconciliation.
  • Identity, AML and sanctions: Specify who performs customer identification, beneficial-owner checks, transaction monitoring, sanctions screening, investigation and suspicious-activity reporting. Define what evidence your platform receives and how long it is retained.
  • Consumer protection and fair lending: For credit, establish the legal lender, underwriting authority, adverse-action notices, pricing controls, servicing and fair-lending testing. For payments, assign disclosure, error-resolution and unauthorized-transaction duties.
  • Complaints and regulatory access: Set an owner, response clock, record format and escalation path for complaints. Your contracts should permit regulators and auditors to obtain information from the provider and its subcontractors.
  • Data and marketing: Clarify controller and processor roles, permitted use of transaction data, consent collection, cross-border transfers, retention and deletion.

Federal banking agencies’ 2021 guide identifies six due-diligence areas: business experience and qualifications, financial condition, legal and regulatory compliance, risk management and control processes, information security, and operational resilience. Interagency guidance also states that a banking organization’s use of third parties does not reduce its responsibility to meet requirements as if the activity were performed in-house. Treat those statements as a practical baseline even when your platform is not itself a bank.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Prior familiarity is not enough. The agencies explicitly warn that relying solely on experience with or prior knowledge of a third party is not an adequate proxy for appropriate due diligence. Ask for current evidence and test whether it covers your proposed product and geography, rather than accepting a generic compliance presentation.

What evidence should you request during due diligence?

Send a documentary request with an owner and due date for every item. Mark evidence as current, scoped to the service, independently tested and subject to exceptions. Have legal, compliance, security, finance and operations reviewers assess the same package.

Business and financial evidence

  • Corporate structure, ownership, management biographies and experience operating the relevant product.
  • Audited financial statements or an equivalent review, capitalization, funding runway, insurance coverage, material litigation and customer or partner concentration.
  • Safeguarding, reserve and insolvency arrangements explaining what happens to customer funds if the provider or a bank partner fails.
  • Business-continuity plan, recovery-test results and evidence that critical suppliers are financially and operationally viable.

Compliance and control evidence

  • Licenses, registrations, permissions and regulatory examination history for every entity in the service chain.
  • AML/KYC and sanctions policies, quality-assurance results, transaction-monitoring coverage and escalation statistics.
  • Governance chart, segregation-of-duties design, control inventory, internal-audit reports, SOC reports or equivalent assurance, and open issue-remediation plans.
  • Fraud rules, chargeback handling, credit-model documentation and model-validation results where automated decisions are used.

Security, privacy and resilience evidence

  • Current architecture and data-flow diagrams, encryption in transit and at rest, key-management controls, privileged-access reviews and logging.
  • Recent penetration-test summary, vulnerability-aging report, security-incident history and proof that critical findings were remediated.
  • Data-residency map, retention schedule, deletion process, subprocessors and breach-notification procedure.
  • Historical availability, recovery-time and recovery-point objectives, disaster-recovery test results, capacity assumptions, change-management records and incident-communication runbooks.

Record exceptions instead of accepting an unqualified “compliant” answer. A control that exists only for a different product, country or subsidiary is not evidence for your deployment.

How can you score providers consistently?

Use a weighted scorecard and require written evidence for each score. Score strategic fit separately from generic API capability: a technically elegant service can still fail if it does not understand your users, risk appetite or workflow.

Dimension Questions to answer Evidence or pilot test
Strategic and vertical fit Does the provider support your users, workflow, countries, risk tolerance and target outcomes? References in comparable verticals, product roadmap, workflow demonstration and quantified assumptions.
Regulatory perimeter Who is licensed for each product and geography, and who owns AML, safeguarding, lending, complaints and regulator access? License registers, legal-entity map, responsibility matrix and counsel review.
Financial condition Can the provider and its partners withstand losses, funding stress or a customer concentration event? Audited accounts or equivalent, capitalization, insurance, litigation and reserve documentation.
Risk management and controls Are duties segregated, controls tested and fraud, transaction and credit risks governed? SOC or equivalent reports, control tests, remediation logs and model-governance files.
Security and privacy How are data, keys, identities and vulnerabilities protected, and where is information stored? Architecture, penetration-test summary, incident record, access review and deletion evidence.
Operational resilience What availability and recovery can you expect, and how will incidents and capacity constraints be communicated? Service history, recovery tests, dependency map, staffing plan and a degraded-mode exercise.
Integration and developer experience Are APIs complete, observable, versioned and safe to change? Sandbox test, documentation review, rate-limit behavior, SDKs, migration tools and backward-compatibility policy.
Economics What are the full setup, recurring, transaction, loss, support and exit costs? Unit-economics model with sensitivities for attachment, volume, fraud, chargebacks and migration.
Customer operations Who handles onboarding, declines, disputes, refunds, fraud claims, closures and regulatory communications? RACI, scripts, service-level reports, escalation drills and complaint samples.
Contract and exit Can you audit, obtain data, switch providers and wind down safely? Draft terms covering audit, incidents, subcontractors, portability, transition assistance and termination.

Set minimum gates for regulatory authority, security, resilience and exit rights; do not let a high commercial score compensate for a failed gate. Keep the detailed scoring rationale so an executive approval is auditable months later.

What is the difference between a ready-made provider and a build-your-own stack?

A ready-made arrangement can shorten launch time by bundling a regulated partner, compliance operations, ledger and APIs. A build-your-own stack can provide more control and product differentiation but leaves your team coordinating licenses, processors, ledgers and controls.

Approach Advantages Trade-offs to test
Ready-made program Faster implementation, packaged compliance services, established operational processes and fewer direct integrations. Less control over roadmap and economics, dependency on the provider’s regulated partners, and potentially harder migration.
Modular or build-your-own Choice of issuer, processor, ledger and risk tools; greater control over data, user experience and component replacement. Longer launch, more contracts and reconciliations, duplicated compliance work and greater responsibility for orchestration.
Hybrid Use a managed core while retaining your own decisioning, ledger views or customer-support layer. Interfaces between responsibilities can create gaps in monitoring, incident response and complaint ownership.

OC&C describes a value chain from end customer to SaaS platform to a regulated or enabling financial entity. It cites Weavr as an example of a ready-made provider with UK and EEA licensed partners, bundled compliance services and more than 100 SaaS customers. Treat that as an illustrative market example, not proof of current licensing, scope, pricing or service levels; verify each claim directly before shortlisting.

Compare who owns the customer relationship, the ledger architecture, compliance operating model, product breadth, geographic coverage, support and portability—not just whether an endpoint exists.

How should you model economics and financial exposure?

Build a unit-economics model for each product and scenario. Include setup and implementation, recurring platform fees, per-transaction charges, interchange sharing, credit revenue, reserves, fraud, chargebacks, refunds, customer support, compliance staffing, reporting, insurance and the cost of leaving.

Cost or return item How to model it Qualification
Recurring enabler fee Include as a fixed annual amount plus any minimum commitment. OC&C’s 2024 model uses a typical £1,000–£3,000 per year; it is an illustrative assumption, not a universal price.
Cost to play Apply provider, compliance, support and loss costs to incremental revenue. OC&C estimates about 30% of incremental revenue in its model; validate with your own volume and loss assumptions.
Profit contribution Stress attachment rate, transaction volume, average balance, credit losses, fraud, disputes and support contacts. Do not treat a modeled margin as a forecast or guarantee.
Exit and resilience Price data extraction, parallel running, customer migration, replacement integration and wind-down obligations. These costs are often absent from provider quotations but affect total cost of ownership.

OC&C’s 2024 analysis illustrates a potential 20–30% EBITDA uplift for a scaled embedded-finance proposition. That is a scenario model, not a promise. The same analysis reports that Toast generated about 80% of FY22 revenue and gross profit through finance-technology solutions; treat the figure as a cited historical company example and independently verify it before using it as a benchmark.

Ask for a complete fee schedule, including reserves, minimums, chargeback administration, expedited support, regulatory change work and termination assistance. Obtain a waterfall showing who bears losses when a transaction is fraudulent, a customer defaults or a bank partner withholds settlement.

How do you test APIs, security and resilience before launch?

Run a controlled pilot with synthetic or tightly capped real activity. A successful “happy path” proves little; financial failures occur in retries, reversals, partial outages and reconciliation differences.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Integration tests

  1. Create and close test customers, including duplicate identities, incomplete KYC and sanctions hits.
  2. Exercise authorization, capture, refund, reversal, dispute, repayment and account-closure flows.
  3. Send duplicate requests and replay webhooks to verify idempotency, signature validation and safe retry behavior.
  4. Throttle traffic to published rate limits and observe queuing, back-pressure and error messages.
  5. Reconcile provider ledger events, your internal ledger, bank statements and settlement files; inject missing, duplicated and out-of-order records.
  6. Disable a dependency or place the service in degraded mode and confirm that users receive accurate status without double spending.

Operational tests

  • Trigger an incident drill and measure time to detection, notification, decision and customer communication.
  • Verify recovery-time and recovery-point objectives with a documented restore, not a slide presentation.
  • Test key rotation, privileged-access removal, log retention and evidence export.
  • Load-test expected peaks plus a realistic seasonal surge, then review capacity commitments and throttling rights.

Require sandbox behavior to match production rules closely enough that your controls are meaningful. Record every defect, owner and remediation date; do not waive a reconciliation or idempotency failure because the pilot volume is small.

Who handles customers, complaints and fraud?

Publish a responsibility matrix before signing. The SaaS team often owns the interface and first response, while a bank, lender or processor owns regulated decisions and formal notices; the exact allocation must be contractual and visible to customers.

  • Onboarding: Define who requests documents, explains verification outcomes and handles manual review.
  • Declines and limits: Provide reason codes, escalation paths and compliant notices without exposing fraud controls.
  • Disputes and refunds: Set evidence standards, submission windows, provisional-credit rules and who funds losses.
  • Fraud claims: Establish authentication, investigation, reimbursement and law-enforcement contacts.
  • Closures and offboarding: Explain how balances, pending transactions, tax records and data are handled when an account or the platform relationship ends.
  • Regulatory communications: Pre-approve templates, ownership and deadlines for notices, complaints and information requests.

Require service-level reporting shared with the SaaS team, including queue age, verification outcomes, dispute aging, fraud losses, complaint themes and unresolved incidents. A provider that will not share operational evidence prevents you from supervising the customer experience.

What contract terms protect the platform?

  • Audit and information rights: Access control evidence, financial information, regulatory correspondence, incident records and subcontractor reports, with no unreasonable delay.
  • Regulatory cooperation: Permit your regulators, auditors and examiners to obtain information and conduct reviews through the provider and material subcontractors.
  • Service levels and remedies: Define availability, recovery, support response, reconciliation delivery and meaningful credits or other remedies for failure.
  • Incident notice: Set a short, fixed notification window, required content, update cadence and cooperation duties for security, fraud, regulatory or operational incidents.
  • Change management: Require advance notice of API, pricing, policy, bank-partner or subcontractor changes, with testing and rollback where feasible.
  • Data portability: Specify machine-readable exports for customers, transactions, ledger entries, documents, decisions, consents and audit logs, plus format and delivery deadlines.
  • Exit and transition: Include termination triggers, parallel-run support, migration assistance, continued access to records, customer communications and an orderly wind-down plan.
  • Subcontractors: Require disclosure, equivalent obligations, approval or objection rights for material changes, and responsibility that remains with the prime provider.
  • Wind-down funding: Ensure reserves or escrow cover customer servicing, settlement, records and migration if the provider fails or exits a market.

What selection process works in practice?

Use a gated process so commercial enthusiasm cannot bypass control failures.

  1. Document requirements: Complete the workflow, product, geography, volume, risk and criticality matrix; identify non-negotiable outcomes.
  2. Map the chain: List regulated entities, technology providers, compliance vendors, processors, cloud services and other nth parties for each product.
  3. Issue evidence requests: Give all candidates the same questionnaire, definitions, scope and response deadline.
  4. Score at least three providers: Apply weighted criteria and minimum gates; record evidence, assumptions, exceptions and unanswered questions.
  5. Run a controlled pilot: Test onboarding, money movement, credit decisions where applicable, retries, reconciliation, incidents, support and degraded operation.
  6. Obtain sign-off: Require written approval from legal, compliance, security, finance, operations and an accountable executive, with risk acceptances documented.
  7. Negotiate protections: Finalize audit, regulator access, service levels, incident notice, subcontractors, portability, transition and termination rights before production access.
  8. Launch with controls: Use limits, staged cohorts, manual review and monitoring thresholds; keep a rollback or alternate-processing plan.
  9. Reassess continuously: Review evidence and performance at defined intervals and after material incidents, ownership changes, regulatory findings, new products or geography expansion.

What should continuous monitoring cover after launch?

Vendor approval is the start of supervision, not its end. Assign owners and thresholds for a dashboard that combines provider, platform and customer outcomes.

  • Availability, latency, webhook delivery and retry rates against contracted service levels.
  • Settlement timeliness, unreconciled items, ledger-to-bank breaks and reserve movements.
  • KYC completion, manual-review backlog, sanctions alerts, transaction-monitoring cases and complaint aging.
  • Authorization, decline, refund, dispute, chargeback, fraud-loss and credit-performance trends by segment and geography.
  • Security findings, patch age, privileged-access exceptions, incidents, recovery tests and subcontractor changes.
  • Unit economics versus the approved model, including attachment, volume, support cost, losses and reserves.

Set escalation triggers and a board or executive review cadence. A provider that remains compliant on paper but misses recovery tests, accumulates reconciliation breaks or changes a critical bank partner should be re-rated immediately.

What are the most common evaluation mistakes?

Choosing the best demo

A smooth sandbox can hide weak ledgering, manual operations or poor failure handling. Weight evidence from controls, incidents and reconciliation tests more heavily than presentation quality.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assuming one license covers every product

Licensing and responsibilities vary by product, entity and country. Require a written map and legal review for each launch combination.

Ignoring nth-party concentration

A provider may depend on one bank, processor, cloud region or identity vendor. Ask how a failure or termination is handled and whether an alternate path exists.

Comparing headline prices

Include reserves, support, disputes, compliance work, minimums, migration and wind-down in the same model. A lower transaction fee can be expensive if your team must rebuild controls.

Leaving exit until renewal

Portability, notice periods, data formats and transition staffing are easiest to negotiate before launch. If they are absent, your bargaining power falls when customers depend on the service.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Frequently Asked Questions

Should a vertical SaaS platform use one provider for every financial product?

Not necessarily. A single provider can reduce integration and operational overhead, while a modular stack may give better licensing coverage or economics for a specialized product. Decide deliberately after mapping shared identity, ledger, support and reconciliation requirements; avoid fragmentation that creates unclear accountability.

How often should an embedded-finance provider be reassessed?

Set a risk-based schedule in the contract, with at least an annual full review for critical services and more frequent operational reporting. Trigger an out-of-cycle review after a serious incident, regulatory finding, ownership or bank-partner change, material control exception, new product or entry into another country.

Which metrics belong on an embedded-finance launch dashboard?

Track authorization and decline rates, KYC pass and manual-review rates, webhook delay, settlement breaks, dispute aging, fraud loss, complaint volume, recovery-test results and provider availability. Segment each metric by product, customer cohort and geography so a healthy aggregate does not hide a localized failure.

How can a startup run a pilot without exposing customers to unnecessary risk?

Use synthetic data first, then a capped cohort with transaction and credit limits, manual review and explicit rollback criteria. Keep customer funds and records covered by reconciliation and incident procedures from day one, and expand only after failure, recovery and support tests pass.
