Evaluate an AI startup’s valuation by assessing the business, its financing terms, and the security you would actually own—not by applying an “AI premium.” Build a reasoned range from revenue quality, customer demand, cost to serve, capital needs, suitable comparisons, and explicit scenarios. The result should include the assumptions that drive the range and the diligence questions still unresolved; without company-specific financials and deal documents, there is no defensible exact value.
What exactly are you valuing?
First pin down the object of the valuation. A company, a priced financing round, a particular class of shares, a SAFE or convertible note, and a secondary share purchase are not interchangeable. Even securities issued by the same company may have different rights and economics.

Write down the valuation date, currency, geography, company stage, financing instrument, amount of new capital, and precise security being offered. Record the information available as of that date. A valuation is only meaningful in that context: a negotiated price for one share class in one financing does not establish the value of every other class or predict an eventual exit price.
Ask whether a quoted figure is pre-money or post-money. Pre-money is the stated value before the new investment; post-money includes the new investment. For a simple priced round with no complications, the investor’s ownership immediately after closing is approximately the investment divided by the post-money valuation. For example, investing $5 million at a $20 million post-money valuation implies 25% ownership before accounting for other instruments, option-pool changes, or special terms. The formula is a starting point, not a substitute for the capitalization table.

Request the fully diluted capitalization table and the financing documents, including relevant side letters. Review the share count and the treatment of options, warrants, convertible securities, and any pool expansion. A headline valuation without this information may conceal a different ownership outcome than the number suggests.
How do you test whether the business has real customer demand?
Start with the buyer and the problem, not the market-size slide. Identify who uses the product, who pays, what task it solves, what customers do instead today, and how a purchase decision is made. A large estimate of the total addressable market does not show that this startup can reach customers or capture that spending.

Ask for evidence of production use and speak with customers where appropriate. Determine what the product does in the customer’s workflow, how often it is used, whether it is relied on for a material task, and what would happen if it were removed. Separate repeat paid use from a free trial, pilot, or deployment that has not started. A signed commitment is not necessarily equivalent to recognized revenue or cash already collected.
Assess whether the product is better than the customer’s current substitute in a way that matters to the purchase. A polished demonstration can show that a feature works once; it does not establish reliability under representative workloads, repeat adoption, or willingness to pay. Customer references and deployment scope help connect technical claims to operating evidence.
How should you rebuild the startup’s revenue story?
Ask management to define each revenue figure, its period, and its source. Do not treat recognized revenue, annualized run rate, annual recurring revenue (ARR), contracted commitments, usage charges, services, pilots, and pipeline as if they were the same measure.

Reconcile the story against contracts, invoices, product usage, renewals, and cash receipts where available. Review revenue by customer and cohort: concentration can make a growth rate depend on one buyer, while retention and expansion patterns show whether existing customers continue using and buying. Separate new-logo growth from additional spending by existing accounts.
A mixed revenue base should not receive a recurring-revenue multiple without an explicit adjustment and explanation. Discounting, a concentrated pilot, a temporary burst of usage, or substantial services work can make headline growth less durable or less profitable than it appears. There is no universal revenue-quality threshold that establishes fair value.
How does the company’s position in the AI stack change the analysis?
Determine whether the startup develops or fine-tunes models, sells infrastructure, builds an application on models developed by others, or combines these activities. The label “AI company” does not tell you how it earns revenue, what it costs to serve customers, or how much capital it needs.

Map the full cost of serving a customer. Depending on the product, include model inference, cloud and hosting, human review, support, deployment, integration, training, and infrastructure commitments. Calculate the effect of customer growth on gross margin and cash needs, not just revenue. If every additional use brings substantial compute expense or human review, fast adoption may not translate into the economics implied by a high-margin software comparison.
Check performance and reliability under representative workloads. A technical demonstration may not reveal latency, failure rates, review burden, or operating cost at production scale. Ask how changes in workload or customer usage affect cost and delivery. These details help establish whether reported growth can be served profitably and what further financing may be required.

What evidence supports a durable advantage?
Translate the company’s moat claim into a testable statement. The claimed advantage might be data the company has rights to use, adoption inside an important workflow, distribution, technical performance, or faster execution. Ask what evidence would show that the advantage persists as customers, competitors, and model providers change.
For each claim, consider what a customer could substitute, build internally, or obtain from a model or platform provider. Model use, access to a popular model, or owning a model does not by itself prove a durable moat. Customer dependence on a product, permissioned data, or hard-to-replicate distribution may matter, but the company must substantiate the particular claim.
Review data provenance and permissions, ownership and assignment of intellectual property, privacy and security practices, technical dependencies, reliability, model evaluation, governance, and regulatory exposure relevant to the product and geography. The NIST AI Risk Management Framework can help organize risk questions; it is voluntary and should not be treated as certification or proof of compliance.
Which valuation methods fit the evidence?
Choose a method based on the company’s stage and the quality of its operating evidence. No method can make weak inputs precise. Use more than one view when it helps expose assumptions, and explain why a comparison or forecast does—or does not—fit this business.

Do not select comparables merely because they use AI. Compare companies by stage, product and business model, customer segment, geography, growth and margin profile, and financing date. For a financing comparison, also check whether the quoted value is pre-money or post-money, which security was sold, the dilution, and the rights attached to it. Explain the weakness of a comparison when no close peer exists instead of implying that the broad AI category makes the companies equivalent.

Build forecasts from operational drivers rather than applying a growth rate without support. Connect expected customer additions and usage to prices, renewals, delivery capacity, cost to serve, and financing needs. Show which assumptions drive the result and use a range or scenarios when reasonable changes in those assumptions materially affect value.
Be deliberate about uncertainty. If a downside probability is already reflected in probability-weighted cash flows, do not charge for the same risk again through a higher discount rate or an additional haircut unless the second treatment addresses a distinct risk and is justified. Grant Thornton’s UK analysis of uncertainty in AI-sector valuation warns that layering adjustments can count the same risk more than once; the practical discipline is to identify where each risk appears in the calculation.
What market benchmarks can—and cannot—tell you
Some reported venture-market figures can provide context, but a broad market statistic is not a recommended price for an individual company. One source article reports Carta platform data for Q2 2026 showing a $4.5 million median seed round, a $23.9 million median post-money seed valuation, and 19.4% median seed dilution. These are dated platform observations, not a quote for every geography or market segment, a valuation target, or a forecast for a particular AI startup. The source article cautions that Carta’s original publication and cohort definitions should be checked before using the figures in a high-stakes comparison.

The same source article reports a 1.2x median burn multiple in 2024 versus 2.4x in 2021, attributing the figures to the NVCA 2025 Yearbook using data provided by PitchBook. This is historical venture-market context, not an AI startup target or evidence of one company’s efficiency; consult the underlying yearbook before relying on it. Neither statistic establishes a universal AI startup valuation multiple. The cited materials provide no threshold that makes an AI startup fairly valued.

Assess the price and the security together. Calculate ownership on a fully diluted basis and model dilution from the proposed round and plausible future financing. A round can produce a high headline valuation while also raising substantial capital or attaching terms that change the investor’s economic outcome.

- Check anti-dilution provisions, option-pool changes, and how the fully diluted share count is calculated.
- Understand conversion mechanics for a SAFE or note, including how the instrument affects ownership at a later financing.
- Read governance provisions, transfer restrictions, and any side-letter rights that apply to the offered security.
- Connect planned use of proceeds to milestones, expected runway, and the cash required in base and downside cases.
Ask what the new capital is meant to accomplish and what happens if execution takes longer or costs more than planned. Model the financing need as well as the operating forecast: a company may reach its targets only after raising additional capital, which can dilute current ownership. The central question is not whether the headline number looks high or low in isolation, but what ownership and rights the proposed price buys and what future capital the company may require.
What should your investment conclusion contain?
Write down a valuation range with the assumptions behind it, rather than a single apparently exact figure. Separate facts management can document from estimates, and identify unresolved diligence items that could move the range materially.
- Transaction: valuation date, currency, geography, instrument, security class, capital raised, and pre-money or post-money basis.
- Business evidence: customer problem, production adoption, revenue composition, concentration, renewals, and retention.
- Economics: full delivery costs, margins, capital requirements, and the relationship between growth and cash consumption.
- Valuation logic: forecast drivers, peer selection and limitations, scenario assumptions, and where risks are reflected.
- Investor outcome: fully diluted ownership, rights, use of proceeds, likely future financing, and potential dilution.
If a central claim cannot be verified—such as the durability of a pilot, permission to use important data, or the cost of serving production workloads—make that uncertainty visible in the range or treat it as a condition for further diligence. A general framework cannot determine whether an unspecified company or security is worth buying; that requires company-specific evidence and the actual deal documents.

Can you value an AI startup that has no revenue yet?
You can build a conditional range from scenarios, but without revenue you cannot substantiate a revenue multiple from the company’s own operating record. Focus on evidence of customer need, willingness to pay, deployment feasibility, cost to serve, and the milestones that funding would enable; label the resulting assumptions clearly.
Does a SAFE give me the company’s valuation today?
Not necessarily. A SAFE is an investment instrument whose conversion mechanics affect the shares an investor may receive later, so the cap, discount, and other terms matter alongside any quoted company valuation. Review the document and model its conversion with the other outstanding instruments rather than treating the headline figure as a complete ownership answer.
Why can two investors quote different valuations for the same startup?
They may be discussing different dates, share classes, instruments, pre- versus post-money figures, or rights packages. They may also use different assumptions about customer adoption, margins, future financing, or risk, so first establish that the figures refer to the same security and basis.

A higher price generally means less ownership for the same investment, but price is only one part of the outcome. The security’s rights, amount of capital raised, dilution from future rounds, and the company’s execution determine what that ownership may ultimately mean.
