Use a reproducible diligence process, not a persuasive demo. An investable AI coding startup should show verified customer outcomes, reliable performance on representative repositories, defensible rights to its data and code, security controls appropriate to the product, inference-inclusive margins, and a team that can explain failures as clearly as successes. Start with the pitch deck as an index of claims. For every material claim, require an owner, a source record, a test method, a defined time window, and an explicit downside if the claim proves wrong. Keep verified facts, assumptions, and unresolved questions in separate registers, then make a go/no-go decision against the same definitions you use for other startups.

What does evaluating an AI coding startup actually involve?

It involves testing whether the company can create durable economic value while controlling technical, legal, security, and financing risks. A large market or impressive model output is not enough. Your diligence should connect five questions: who pays and why, whether the product works in real coding workflows, whether the company controls the rights and dependencies it needs, whether delivery costs support attractive margins, and whether the team and financing can execute through inevitable model and market changes.

Document each claim in a diligence register with these fields:

  • Claim and owner: the precise assertion, the executive responsible for it, and the department that can produce evidence.
  • Source record: contracts, invoices, telemetry exports, security reports, repositories, board materials, or other primary records.
  • Method and period: how the figure was calculated, which customers or tasks were included, and the start and end dates.
  • Downside implication: what changes in valuation, financing need, or operating plan if the claim is false.
  • Status: verified, assumption, contradicted, or unresolved, with the next action and owner.

HLC describes the purpose of due diligence as “to test the investor’s expectations of the business whilst identifying risks.” Apply that test consistently rather than rewarding presentation quality.

How do I verify customer value and traction?

Verify that the product changes a customer’s workflow and produces a measurable result that the economic buyer will continue paying for. Reconcile management’s growth narrative with independent records, usage behavior, and references.

Identify the real problem and buyer

For each customer segment, write down the user, economic buyer, workflow before adoption, workflow after adoption, and budget that pays for it. Ask what event caused the customer to search for a solution, which alternative was rejected, and what would happen if the product disappeared tomorrow. A developer’s enthusiasm is useful evidence of usability, but it does not establish a purchasing decision or renewal budget.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Test outcomes, not activity

Request outcome measures tied to the customer’s work: shorter cycle time, fewer escaped defects, faster remediation, higher test coverage, or reduced external engineering spend. Define the denominator and time window. “Users generated a million suggestions” is not comparable to “the release process completed 20% faster,” and neither proves durable value without retention evidence.

Reconcile revenue and usage

For reported annual recurring revenue or consumption, trace a sample from signed order form to invoice, cash receipt, product telemetry, and renewal status. Separate recurring subscription value from one-time services, pilots, credits, and usage that has not yet been billed. Confirm that the company’s ARR definition is applied consistently across periods and customers.

Inspect cohorts by start month, segment, and plan. Calculate gross retention, net retention, expansion, contraction, churn, and the proportion of revenue from the largest customers. A high aggregate retention rate can conceal a few expanding accounts offsetting broad churn. Customer references should include a recent renewal, a lost or downsized account, and a user who operates the product day to day.

Questions to ask founders

  • Which workflow is changed, and what manual or software step is removed?
  • What percentage of contracted seats or usage is active each month?
  • How long from first evaluation to paid deployment, and which approvals cause delay?
  • What share of current ARR is under contract for the next 12 months?
  • Which three customers would be most damaging to lose, and why are they concentrated?
  • How are pilots converted, and what proportion never reaches production?

How should I test product quality on real coding work?

Run a controlled evaluation on representative repositories and deployment-like tasks, then preserve the test set so later releases can be checked for regressions. A polished benchmark or scripted demo cannot reveal integration failures, unsafe edits, or the human review required in production.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Build a representative test set

Obtain permission to use repositories that match the target customer mix: different languages, build systems, repository sizes, test coverage levels, and security sensitivities. Include bug fixes, feature work, dependency upgrades, refactors, test creation, documentation, and incident remediation. Freeze the commit, issue description, acceptance criteria, available tools, model version, and time budget for each task.

Run the same tasks against a baseline

Compare the startup’s system with the workflow customers use today, such as an engineer working with existing tools. Keep reviewers blinded to which output came from which system where practical. Repeat tasks or use multiple independent runs to detect flukes. Preserve prompts, retrieved context, tool calls, patches, test logs, reviewer decisions, latency, and token usage.

Measure What to record Why it matters
Task success Acceptance criteria met, with a pass/fail definition set before testing Separates completed work from plausible-looking text
Correctness Functional tests, code review findings, and hidden tests where available Finds subtle defects that demos miss
Regression rate Existing tests broken, security behavior changed, or unrelated files modified Measures the cost of accepting an otherwise useful patch
Latency Time to first useful result and time to an accepted patch under stated conditions Shows whether the workflow fits interactive or batch use
Failure modes Timeouts, hallucinated APIs, tool errors, unsafe commands, and incomplete work Reveals operational and safety exposure
Human intervention Review minutes, escalation frequency, and percentage completed without intervention Allows a true labor-saving calculation
Reproducibility Variance across repeated runs and across model or prompt versions Indicates whether results can be relied on in production

Ask exactly how the company calculates “completed without human intervention.” Require the numerator, denominator, exclusion rules, and observation period. A task that is counted as autonomous after a developer rewrites the prompt, fixes the patch, and reruns tests is not autonomous in the economic sense.

Check deployment behavior

Test the full path: identity, repository permissions, retrieval, code execution, pull-request creation, CI integration, logging, and rollback. Measure behavior when a repository is unavailable, a tool returns malformed data, a model provider times out, or a prompt contains malicious instructions. Record whether the system fails closed, alerts an operator, or silently produces an unsafe change.

How can I tell whether an AI coding startup has a real moat?

Map every dependency from user prompt and code context through retrieval, orchestration, model providers, tools, cloud infrastructure, and monitoring. A moat must remain difficult to copy even if a competitor can access the same foundation model.

Draw the dependency graph

Request an architecture diagram and a live walkthrough. Identify which components are proprietary, which are leased, and which are replaceable. For each model provider, record contract term, price schedule, rate limits, data-use terms, uptime commitments, and migration effort. Do the same for vector stores, code-hosting integrations, execution sandboxes, observability systems, and specialized hardware.

Stress concentration and change risk

Model prices, context limits, safety policies, and output behavior can change with little notice. Calculate the effect of a provider price increase, a rate-limit reduction, or a model deprecation on gross margin and service quality. Ask how long a fallback takes to activate, whether prompts and evaluations are portable, and which customers would have to approve a provider change.

Identify durable advantages

Potentially durable assets include proprietary workflow data obtained with permission, high-quality evaluation sets, deep integrations that reduce switching, and operational know-how demonstrated by consistent outcomes. Claims such as “our prompts are secret” or “we use the latest model” are weak defenses unless the company can show that reproducing its outcomes requires scarce data, feedback loops, distribution, or specialized engineering.

How do I verify data rights, intellectual property, and contracts?

Confirm that the company has the legal right to collect, process, train on, retrieve, display, and retain every category of data its product touches. Obtain written evidence rather than relying on a general statement that customers “own their code.”

Trace rights across the data lifecycle

  • Source code and repository data: customer permission, scope of access, retention period, deletion process, and restrictions on training or reuse.
  • Training and retrieval data: provenance, licenses, personal-data basis, geographic restrictions, and records of exclusions.
  • Prompts, outputs, and evaluations: contract language covering ownership, feedback use, model improvement, and export rights.
  • Model weights and software: licenses, notices, attribution obligations, acceptable-use limits, and any requirement to disclose modifications.
  • People and inventions: signed invention assignments and confidentiality agreements for employees and contractors, including former personnel.

Review customer and vendor terms

Read data-processing terms, security exhibits, warranties, indemnities, service levels, audit rights, breach-notification deadlines, and limits of liability. Confirm that vendor representations actually cover the company’s use case; a vendor’s permission to process prompts may not grant permission to train on customer source code. Check where data is stored and whether privacy statements match observed product behavior.

Look for open-source and trade-secret exposure

Request a software bill of materials, license-scan results, and the process for approving dependencies. Verify that copyleft obligations, notices, and source-distribution requirements can be met. Review repository permissions, secrets management, employee off-boarding, and access logs to see whether claimed trade secrets are treated as secrets in practice.

What security, privacy, and responsible-AI checks are essential?

Evaluate controls against the actual users, data, tools, and jurisdictions rather than awarding credit for generic policy documents. A coding agent can read sensitive repositories and execute commands, so its blast radius may exceed that of a conventional text assistant.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Test technical controls

  • Identity federation, strong authentication, role-based access, and rapid off-boarding.
  • Short-lived credentials, secret scanning, key rotation, and isolation of customer environments.
  • Sandboxing for generated code and tools, with explicit network and filesystem permissions.
  • Prompt-injection defenses that prevent repository content from overriding system instructions or exfiltrating secrets.
  • Immutable audit logs covering prompts, retrieved files, tool calls, outputs, approvals, and administrative actions.
  • Vulnerability management, dependency updates, penetration testing, and a documented incident-response plan.

Verify operational readiness

Ask for evidence of incident exercises, breach-notification procedures, cyber-insurance coverage, third-party risk reviews, and remediation tracking. Determine who owns model evaluation, privacy, security, incident response, customer complaints, and regulatory monitoring. Review whether high-risk actions require human approval and whether customers can export data and revoke access.

Map responsible-AI practices to the product

Request evaluation results for harmful or insecure code, privacy leakage, bias in developer-facing recommendations, and misuse of tools. Check how feedback is collected, triaged, and fed into releases; how regressions are detected; and how customers are informed when model behavior changes. OECD guidance on responsible business conduct and AI principles is a useful benchmark, but the company must show controls operating in its own system, not merely cite a framework.

How do I rebuild unit economics and capital needs?

Recalculate gross and contribution margin from first principles, including every variable delivery cost. AI companies can appear software-like while inference, retrieval, storage, support, and human review consume most of the revenue.

Build an inference-inclusive cost model

Cost line Evidence to request Stress case
Model inference Token volumes by customer and model, cached-token treatment, and current price cards Higher token use or provider price increase
Retrieval and storage Embedding, vector, database, and retention costs by active account Larger repositories and longer retention
Execution and tools Compute, sandbox, CI, network, and third-party API charges More parallel tasks and longer runtimes
Support and human review Support hours, review minutes, escalation rates, and loaded labor cost Lower automation or enterprise service levels
Cloud commitments Reserved capacity, minimum spends, credits, and expiry dates Demand below plan or a provider migration

Separate self-serve, sales-assisted, and enterprise motions. Their acquisition cost, implementation labor, contract length, support burden, and expansion patterns differ. Inspect cohort payback, gross and net retention, expansion, acquisition channel, cash burn, and runway. Model sensitivity to token volume, model prices, customer mix, slower sales, and a major account loss. Treat promotional credits and one-time discounts as non-recurring.

What should I ask the team, board, and cap table?

Assess whether the people and governance can deliver through technical failures, provider changes, and financing pressure. Founders and technical leaders should explain trade-offs, incidents, and missed milestones candidly.

Execution and accountability

  • Which roadmap commitments were delivered on time, delayed, or abandoned, and why?
  • Who owns model evaluation, privacy, security, incidents, complaints, and regulatory monitoring today?
  • Which critical systems depend on one employee, and what documentation or succession plan exists?
  • What hiring is required for the next product and revenue milestones?

Governance and financing

Review board composition, reserved matters, voting rights, option-pool treatment, liquidation preferences, debt, runway, and intended use of proceeds. Reconcile the capitalization table with legal records and outstanding promises. Compare the financing plan with the burn required to reach a milestone that can be independently verified, not merely a date on the roadmap.

How should I compare two or more AI coding startups?

Use one scorecard with identical definitions and time windows. Do not award points for a polished deck, a larger model name, or an unverified logo list.

Dimension Comparable measures Minimum evidence
Customer value Verified outcomes, active usage, retention, expansion, concentration Contracts, invoices, telemetry, cohort file, references
Product performance Task success, correctness, regressions, latency, intervention rate Preserved test set, baseline runs, logs, reviewer rubric
Economics Inference-inclusive gross margin, contribution margin, payback, runway Unit model tied to usage and vendor bills
Defensibility Proprietary data, workflow integration, switching cost, provider flexibility Architecture map, rights records, migration plan
Rights and security IP ownership, licenses, access control, incidents, remediation Contracts, software bill of materials, test reports, logs
Execution Milestone delivery, technical depth, hiring, accountability Roadmap history, references, ownership matrix
Terms Valuation, preferences, dilution, debt, control provisions Current term sheet and capitalization records

Set explicit thresholds before seeing the result. For example, require no unresolved ownership gap for customer code, a documented fallback for a critical provider, and a product test whose review method you can reproduce. A startup can be attractive despite a weakness in one category only when the weakness is priced, owned, and time-bound.

What does the market context tell an investor?

The market is expanding rapidly but remains early and does not validate any individual company. The OECD reported USD 47.4 billion of venture investment in artificial intelligence in 2024 and USD 109.3 billion in 2025; the 2025 figure represented more than 42% of all AI venture investment (OECD, 2026). The UK Department for Science, Innovation and Technology’s 2024 sector study found that more than half of dedicated AI companies identified in 2024 were at seed stage, while the venture- and growth-stage share rose from 37% in 2023 to 39% in 2024.

Those figures support a large opportunity and a crowded, immature field. They should make you more disciplined about customer evidence, repeatable product tests, rights, and capital efficiency—not more willing to accept an unsupported valuation.

What are the red flags in an AI coding startup pitch deck?

Red flags are contradictions between the story and the underlying records, or risks the company cannot assign to an owner. Investigate rather than automatically reject, but require a specific remedy and deadline.

  • ARR that cannot be traced to contracts, invoices, cash, and telemetry.
  • Retention calculated without cohort definitions, churned customers, or usage denominators.
  • Benchmark scores with no repository details, baseline, reviewer rubric, or human-intervention disclosure.
  • “Autonomous” work that still requires substantial prompt editing, patch repair, or manual testing.
  • A single model or cloud provider with no tested fallback and no sensitivity analysis.
  • Unclear permission to train on customer code, retrieve it, or retain prompts and outputs.
  • Open-source dependencies without license inventory or a process for remediation.
  • Security claims based solely on a policy document, with no logs, exercises, or incident evidence.
  • Gross margins that exclude inference, retrieval, support, review labor, or committed cloud spend.
  • Founder ownership, invention assignments, option grants, debt, or liquidation preferences that do not reconcile to legal records.
  • Roadmap promises repeatedly slipping while forecasts assume the original dates.

How do I turn diligence into a go/no-go decision?

At the end of the process, produce a one-page decision memo linked to the underlying evidence. State the investment thesis, three quantified value drivers, three principal risks, unresolved questions, downside scenarios, valuation sensitivities, and the conditions required before closing. Label every statement as verified, assumed, or unresolved.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Freeze definitions and periods. Agree on ARR, active user, task success, gross margin, retention, and security incident before comparing companies.
  2. Run the product evaluation. Preserve repositories, prompts, versions, logs, reviewer decisions, and baseline results.
  3. Reconcile commercial records. Trace revenue and usage to contracts, invoices, cash, telemetry, renewals, and references.
  4. Close rights and security gaps. Obtain assignments, licenses, data permissions, vendor terms, access evidence, and remediation owners.
  5. Stress the model. Test provider price changes, token growth, customer concentration, slower sales, and a financing delay.
  6. Price uncertainty. Adjust valuation, milestones, governance rights, or closing conditions for risks that remain unresolved.
  7. Record the decision. Choose go, no-go, or conditional go with objective conditions and dates.

What should I monitor after investing?

Diligence is not finished at closing. Establish a recurring scorecard and trigger events that require a fresh review.

  • Provider replacement, model deprecation, material price or terms changes, or sustained rate-limit failures.
  • Loss or contraction of a major customer, a sharp retention change, or concentration beyond the approved limit.
  • Security incidents, repeated vulnerabilities, failed access reviews, or missed breach-notification obligations.
  • Any change in customer data rights, training use, open-source licensing, or vendor indemnity.
  • Material regulatory developments affecting the product’s users, jurisdictions, or data.
  • Inference or human-review costs that move contribution margin outside the investment case.
  • Missed milestones, key-person departures, runway falling below the agreed threshold, or a new debt or preference.

Require management reporting to preserve the original definitions and test set. Trend changes, not isolated monthly anecdotes, should drive intervention, follow-on capital, or a decision to reduce exposure.

Frequently Asked Questions

Should I ask an AI coding startup to sign an NDA before sharing repository samples?

Use the company’s approved confidentiality process and provide the minimum data needed for the evaluation. If an NDA is required, make sure it covers repository contents, prompts, outputs, evaluation results, and deletion; also confirm who can access the material and when it will be destroyed. Do not provide production secrets or personal data simply to make a test convenient.

What if a founder will not provide customer references?

Ask for a documented reason, such as a contractual confidentiality restriction, and request alternatives: an anonymized renewal analysis, an investor-observed reference call, or a reference from a former customer who can discuss the deployment without disclosing confidential details. Treat a refusal without a credible alternative as an unresolved commercial risk and reflect it in terms or valuation.

How can I check whether an AI coding startup’s benchmark is reproducible?

Request the frozen task set, repository commits, prompts, model and tool versions, hardware or service configuration, scoring rubric, exclusions, and raw run logs. Re-run a sample under the same conditions and compare the variance across repeated runs. If the company cannot provide those artifacts, treat the benchmark as directional marketing rather than investment-grade evidence.

Which legal specialist should review an AI coding startup’s data rights?

Use counsel experienced in software licensing, privacy, open-source compliance, and AI contracting, with coverage for the jurisdictions where customers and data are located. Ask counsel to trace rights from ingestion through retrieval, training, output, retention, deletion, and vendor transfer rather than reviewing only the privacy policy. Obtain a written list of gaps, owners, and remediation dates.
