Do not choose a GPU cloud on hourly price or an announced fleet alone. Underwrite it twice: first as a leveraged infrastructure counterparty that must keep paying for GPUs, power, facilities and debt, and then as an operator that must deliver the specific capacity you are buying. Before signing, identify the legal entity that will invoice you, trace GPU and facility ownership, obtain current cash-flow and debt evidence, stress-test six months of adverse conditions, and contract for protection if the provider deteriorates or fails.
A provider can have impressive uptime and a large order book yet lack the liquidity to finish a deployment, refinance a loan or replace obsolete GPUs. Your decision should therefore combine financial statements, asset and delivery evidence, customer concentration, unit economics and insolvency-ready contract terms.

Financial stability is the ability to fund operations and debt service while delivering usable GPU capacity throughout your contract term. It is not a single ratio. A sound assessment covers two connected risks:
- Counterparty solvency: Can the provider pay for GPUs, power, colocation, networking, staff, maintenance, interest and lease obligations when cash receipts are delayed?
- Operational delivery: Does it own or control the promised GPUs, have energized space and network capacity, and possess the working capital to commission, support and replace that equipment?
Assess both the operating company and every entity that owns equipment or facilities. A thinly capitalized subsidiary may sign your order while a parent, lender, landlord, colocation operator or equipment lessor controls the assets you need. Map those relationships before treating a parent’s funding announcement or a provider’s headline valuation as credit support.

Which legal entities and assets should I map first?
Start with the exact contracting entity named in the master service agreement and order form. Obtain its registration details, jurisdiction, directors, audited accounts and signing authority. Then draw an ownership and control map covering:
- The parent and any guarantor.
- Entities that own or lease GPUs, servers, networking gear and spare parts.
- Data-center and special-purpose entities that hold leases, power reservations or construction contracts.
- GPU lenders, equipment lessors, secured lenders and other lienholders.
- Landlords, colocation providers, utilities and network carriers whose consent may be needed to continue service or assign a contract.
Ask whether your capacity is on owned equipment, a finance lease, an operating lease or a supplier reservation. Record the governing law and insolvency regime for each asset-owning entity. A guarantee from a parent that does not own the GPUs may be less useful than a direct-payment, escrow or step-in right tied to the operating site.
What financial information should I request before signing?
Make delivery of a finance pack a contracting condition for a material commitment. A private provider can disclose under a confidentiality agreement, with a restricted adviser review if it will not provide unrestricted access. Public providers should supply their latest filings, but ask management to reconcile those filings to the capacity and contract you are buying.
Statements and cash flow
- Audited or independently reviewed financial statements for the two latest fiscal years, including the auditor’s opinion, balance sheet, income statement and cash-flow statement.
- Current management accounts, preferably monthly, showing unrestricted cash, operating burn, capital expenditure, interest expense and one-time deployment costs.
- A bridge from reported cash to cash available for general use. Exclude restricted cash, customer deposits that cannot be spent freely and financing that is not contractually committed.
Debt, leases and security
- A debt and lease schedule listing principal, interest rate, fixed or floating pricing, maturity, amortization, collateral, covenants, guarantees and minimum-cash requirements.
- Committed undrawn facilities, borrowing-base conditions, unused fees and the evidence required to draw them.
- Material-event notices, defaults, waivers, refinancing plans and any liens on GPUs, servers, receivables or bank accounts.
Fleet and delivery evidence
- GPU inventory by model and generation, physical location, ownership or lease status, operational availability and replacement inventory.
- Non-cancellable purchase orders, supplier commitments, data-center leases, colocation terms, power reservations and construction obligations.
- Proof of energization, network readiness, acceptance testing and the schedule for the capacity allocated to your workload.
Revenue quality and customer exposure
- Revenue by customer and GPU class, contract term, renewal date, committed versus on-demand usage and receivable aging.
- The percentage of revenue represented by the largest customer and top five customers, plus payment history and termination rights.
- Gross margin per GPU after power, colocation, networking, support, depreciation and other directly attributable costs.
- Two or three customer references operating at a scale comparable to your proposed workload.
Refusing to provide even a debt schedule, maturity profile or cash-flow explanation is a risk signal. It should change your proposed prepayment, contract length, credit support and termination rights rather than being treated as a harmless confidentiality preference.
How do I calculate liquidity and runway?
Use a consistent definition of liquidity across providers. Months of coverage is a useful screening measure, not a universal safety threshold:
Months of coverage = (unrestricted cash + contractually committed undrawn facilities) ÷ monthly net cash burn.

Calculate burn after operating expenses, interest, scheduled principal, maintenance capital expenditure and unavoidable deployment costs. Do not count a facility that is conditional on additional collateral, a covenant waiver or a financing that has not closed. Run the calculation for the provider as a whole and for the entity responsible for your service.
| Liquidity item | What to verify | Why it matters |
|---|---|---|
| Unrestricted cash | Bank-confirmed balance and legal owner; remove restricted cash and unavailable deposits. | Shows cash that can pay power, payroll, suppliers and debt immediately. |
| Committed undrawn debt | Signed facility, remaining availability, borrowing conditions, maturity and collateral. | A headline credit line is not liquidity if it can be withdrawn or cannot be drawn during stress. |
| Monthly net burn | Cash operating costs, interest, principal, maintenance and deployment spending. | Accounting profit can coexist with negative cash flow while a fleet is being built. |
| Runway | Coverage under base and stressed burn, with the workload term and refinancing dates overlaid. | Shows whether the provider can reach break-even or refinance before cash runs out. |
There is no published universal safe runway. Set your own pass/fail level from workload criticality, contract value, replacement lead time, migration cost and the cash balance in a downside case. A short-term batch workload that can move in days tolerates more counterparty risk than a production model-serving platform whose migration would take months.
How should I assess debt, leases and refinancing pressure?
Read every maturity and covenant against the term of your order. A provider can appear liquid today yet face a large balloon payment, floating-rate reset or minimum-cash test before your GPUs are fully deployed.
- List principal and interest due each month, not just total debt.
- Flag floating-rate exposure and model a higher reference rate.
- Identify collateral and cross-default provisions that could let one lender seize or restrict the equipment serving you.
- Check minimum-cash, leverage, coverage and borrowing-base covenants, including cure periods and waiver history.
- Separate committed financing from management’s assumption that it will refinance or raise equity.
- Review lease termination, purchase-option and return obligations for GPUs, servers, sites and power capacity.
For context, Lambda disclosed a $926 million senior secured term-loan B facility in 2026. The company said it funded GPU infrastructure for a committed investment-grade customer deployment; Moody’s assigned a Baa2 rating and pricing was SOFR plus 3.00%. Those are company-specific terms, not a benchmark for every neocloud. Your analysis still needs the facility’s collateral, covenants, maturity and relationship to the GPUs serving your order.

Low prices do not prove a healthy provider. Calculate contribution economics for the exact GPU class and site you will use:
GPU contribution margin = revenue − power − colocation − networking − support − depreciation − expected replacement cost.

- [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
Ask for the calculation at current electricity and colocation rates, then rerun it at higher costs and lower utilization. A provider that loses cash on each incremental GPU may depend on continual financing or a future price increase.
| Comparison axis | Evidence to request | Question to answer |
|---|---|---|
| Installed versus usable versus billable GPUs | Fleet reconciliation by model, site and status. | How many devices can actually be scheduled for your tenancy today? |
| Utilization quality | Historical utilization by model, site and tenancy type. | Is demand contracted and take-or-pay, or mostly volatile spot usage? |
| Unit economics | Gross margin per GPU including direct costs and replacement. | Does growth create cash, or consume it? |
| Contract coverage | Binding minimum commitments, renewal dates and cancellation rights. | What percentage of fleet revenue is enforceable during your term? |
| Delivery readiness | Purchase orders, energization, network tests and acceptance schedule. | Can the provider deliver the promised model, location and capacity on time? |
Do not equate an announced order book with contracted revenue. Verify acceptance conditions, customer termination rights and whether the GPUs are already installed, merely ordered or dependent on a power and construction milestone.

One free scan finds every outdated or missing driver and matches the right update for your exact hardware.Free scan · exact hardware matchHow much customer and supplier concentration is too much?
No single concentration percentage is universally safe. The correct limit depends on the provider’s liquidity, contract duration, customer credit quality and ability to redeploy GPUs.
- Measure the largest customer and top-five revenue share, including committed but not yet recognized revenue.
- Identify exposure to one GPU supplier, chip generation, data-center site, utility, network carrier, lender or equipment lessor.
- Ask what happens if the largest customer delays payment, cancels at renewal or demands a price reduction.
- Check whether specialized GPUs can be transferred to another customer without a costly rebuild or software requalification.
An issuer’s own warning illustrates why this matters: Iren has said, “Our AI Cloud Services business has significant customer concentration, we are exposed to counterparty credit…” Treat such language as a prompt to quantify the exposure, not as proof that the provider will fail.
How do I run a six-month downside stress test?
Require a quantified monthly model rather than a narrative assurance. The test should show beginning cash, receipts, operating costs, capital spending, debt service, available facilities and ending cash for at least six months.
- Lower utilization: Reduce billable GPU hours below plan and separate take-or-pay revenue from discretionary demand.
- Delay a major payment: Push one large customer receipt out by 60–90 days or model a default, using the provider’s receivable aging as the starting point.
- Raise direct costs: Increase power, colocation, networking and support costs and show the resulting GPU margin.
- Stress the fleet: Apply GPU price declines, accelerated obsolescence, replacement purchases and deployment or acceptance delays.
- Remove financing assumptions: Delay or withdraw an uncommitted refinancing and limit draws to facilities that remain contractually available.
- Identify the first failure point: Mark the month of a covenant breach, minimum-cash breach, service reduction, expansion cut or missed debt payment.
Ask management to state which capital expenditures can be deferred, which customer commitments are cancellable and what operational changes would protect cash. Compare the result with your migration lead time; if the provider reaches a breach before you could move, require stronger credit support or a shorter commitment.

What do recent public examples teach buyers?
Published figures demonstrate why financing, fleet, concentration and delivery evidence must be reconciled. They are not universal pass/fail ratios.
| Provider and date | Published figure or statement | How to use it |
|---|---|---|
| Iren, June 30, 2026 | $6,745.7 million aggregate convertible-note principal outstanding. | Map maturities, conversion terms, collateral and cash requirements to the entity delivering your GPUs. |
| Lambda, 2026 | $926 million senior secured term-loan B; stated purpose was GPU infrastructure for a committed investment-grade customer deployment; Moody’s rating Baa2; pricing SOFR + 3.00%. | Examine secured-lender rights, covenant headroom and whether the committed deployment actually covers debt service. |
| Applied Digital, fiscal 2024 filing | Net loss of $149.3 million in fiscal 2024 versus $44.6 million in fiscal 2023; the filing warned GPU value and longevity are uncertain. | Test cash burn, replacement assumptions and residual values rather than relying on reported growth. |
| ChronoScale, August 31, 2026 | 6,144 NVIDIA H100 GPUs deployed; one GPU-capacity customer had dedicated access across three locations. | Verify that “deployed” means usable and billable, and quantify the effect if the dedicated customer leaves. |
Iren also described its primary cash requirements as capital spending for data-center development and construction and GPU purchases. That wording is a reminder to reconcile operating cash flow with the capital needed to keep expanding and refreshing the fleet.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Which contract protections reduce provider-failure risk?
Make the master service agreement, order form and SLA mutually readable. Define the service you are buying precisely enough that a financial or operational dispute cannot turn into a capacity dispute.
Service definition and remedies
- Specify region, GPU model, tenancy type, reserved quantity, usable memory, network performance and delivery date.
- Define availability measurement windows, maintenance exclusions, telemetry access, incident evidence and the claim procedure.
- Set service credits, delay credits, damages, liability caps and termination triggers for repeated or prolonged failure.
Financial transparency and credit support
- Require notice of material financial deterioration, defaults, material liens, refinancing changes and a change in control.
- Set periodic financial reporting, reasonable audit rights and delivery of updated debt, liquidity and fleet information.
- Seek a parent guarantee or other credit support when the operating entity is thinly capitalized; specify the guarantor’s assets and enforcement forum.
Prepayment and insolvency treatment
- State whether prepaid capacity is segregated, refundable, transferable or available to the provider as general working capital.
- Use milestone billing, a refund reserve or an escrow arrangement for large advance payments where feasible.
- Negotiate configuration and data escrow, data-return formats, transition assistance, portability and step-in or direct-payment rights.
- Check lender, landlord, colocation and equipment-lessor consent rights over assignment or continued service.
Do not assume that a contractual refund will be paid in an insolvency. Ask counsel to determine whether your payment is secured, subordinated, subject to setoff or treated as an unsecured claim under the governing insolvency regime.

Use one evidence-based scorecard and apply it to the same contract term, GPU class and workload profile. Keep raw figures beside the score so a high total cannot hide a critical weakness.
| Category | Suggested review questions | Decision trigger |
|---|---|---|
| Liquidity | How many months of stressed coverage remain after debt service and maintenance? | Escalate if coverage depends on uncommitted financing. |
| Debt and leases | Do maturities, floating rates or covenants fall inside the order term? | Require support if a refinancing is necessary to perform. |
| Unit economics | Does each GPU class generate positive cash after direct and replacement costs? | Reject pricing that requires perpetual subsidy unless funding is demonstrably committed. |
| Concentration | Could one customer, site, supplier or lender interrupt service? | Demand portability and alternate-site evidence for concentrated exposure. |
| Delivery | Are GPUs owned or controlled, energized, networked and acceptance-tested? | Use milestones and termination rights for undelivered capacity. |
| Contract protection | Are refunds, guarantees, reporting, escrow and transition rights enforceable? | Do not prepay material sums without a credible recovery path. |
Set pass/fail thresholds from your own outage cost, migration time, data-egress burden, model-retraining effort and regulatory obligations. A provider with weaker headline metrics may still be acceptable for a reversible experiment, while the same profile is unsuitable for a mission-critical production service.
Best Value
What warning signs should change the deal?
- Management will not provide debt maturities, cash-flow explanations or current accounts.
- “Committed” capacity is supported only by announcements, non-binding reservations or customer letters without minimum payments.
- Installed GPU counts cannot be reconciled to usable, billable capacity by site and model.
- Liquidity depends on a refinancing, equity raise or customer payment that has not closed.
- Large prepayments are requested without segregation, refund mechanics, a guarantee or escrow.
- A single customer, lender, supplier or facility represents a material share of revenue or capacity with no contingency plan.
- The SLA excludes the precise failure modes that matter to your workload or gives the provider broad unilateral suspension rights.
Respond by shortening the term, reducing prepayment, staging capacity, adding a guarantee or escrow, requiring alternate-site portability, and preserving a termination right. If the provider will not accept any protection while withholding basic financial evidence, walk away from a material commitment.
What should I monitor after signing?
Financial underwriting is not a one-time exercise because GPU prices, interest rates, customer demand and facility obligations change quickly. Put monitoring duties in the contract and assign an owner on your side.
Recommended Free Tools
- Collect quarterly or monthly liquidity, debt, covenant and fleet updates at the frequency justified by your exposure.
- Track delivery milestones, usable GPU counts, incident rates, utilization and replacement lead times against the order form.
- Review receivable aging, customer concentration, refinancing announcements, material liens and changes in facility or lender control.
- Re-run the downside model when utilization, power costs, GPU generations or your own workload volume changes materially.
- Maintain tested export, configuration, credential and data-return procedures rather than waiting for a service interruption.
Refresh the provider’s latest filings and signed contract immediately before a renewal, expansion or new prepayment. Historical figures can establish context, but they do not certify current solvency.
Frequently Asked Questions
Can a credit rating guarantee that my GPU capacity will remain available?
No. A rating addresses the rated issuer or debt under a defined methodology, not necessarily the subsidiary, facility, GPU lease or service obligation that matters to you. Confirm the contracting entity, collateral and operational delivery evidence separately.
Should a small company demand audited accounts from a private GPU provider?
For a material or prepaid commitment, request audited or independently reviewed statements, even if a confidentiality agreement and adviser-only review are needed. If the provider cannot supply them, reduce exposure through shorter milestones, limited prepayment and an exit plan rather than treating the omission as neutral.
What is the safest way to prepay for reserved GPUs?
Prefer staged payments tied to delivery and acceptance, with a segregated reserve, escrow or enforceable guarantee for any large advance. The contract should state refund timing, transfer rights and what happens if a lender or colocation provider takes control of the equipment.
How often should I reassess a provider’s finances?
Use at least quarterly reviews for ordinary commitments and monthly reporting when prepayment, concentration or migration risk is high. Trigger an interim review after a missed milestone, covenant waiver, major customer loss, refinancing delay or material change in GPU prices or power costs.
Does a take-or-pay customer contract make a provider safe?
Only if the commitment is binding, collectible and long enough to cover the relevant debt and operating costs. Check acceptance conditions, termination rights, customer credit quality and whether the contracted GPUs are actually installed and usable.
