There is no universally best M&A advisor for a SaaS sale. The right firm is the one whose recent transactions match your expected enterprise value, SaaS niche, geography and buyer mix—and whose senior dealmaker will remain involved through diligence and closing. For many founder and mid-market exits in 2026, specialist boutiques such as L40°, Software Equity Group, Vista Point Advisors, Windsor Drake, Corum Group, AGC Partners and iMerge Advisors are logical starting points. Larger technology banks become more relevant as transaction size and complexity rise.

Use the firms below as a screening list, not a league table. Ask each candidate for comparable closed deals, the actual execution team, buyer coverage, conflicts, fees and tail terms before signing an engagement.

What does an M&A advisor do for a SaaS seller?

A sell-side M&A advisor prepares the company for market, positions its growth story, identifies and contacts buyers, manages indications of interest, runs diligence and negotiates transaction terms. In a SaaS process, the work also includes explaining recurring-revenue quality, retention, gross margin, implementation risk, customer concentration and the transferability of the product and team.

The advisor is not merely introducing buyers. It creates a competitive process, controls confidential information, coordinates lawyers and accountants, and keeps bidders moving on a timetable. That process can improve certainty and price, but only if the firm has relevant buyers and the senior person you hired is actually running the mandate.

Who are the strongest SaaS M&A advisors to interview in 2026?

The following names recur in current 2026 comparison guides for founder and mid-market software exits. Their suitability depends on your transaction, and several published rankings are produced by firms that compete in this market, so treat them as starting points rather than audited rankings.

L40°

L40° focuses on SaaS, artificial intelligence and technology transactions. Its stated client range is approximately $5 million to $100 million in ARR, with sell-side work, debt advisory and selected buy-side assignments. It positions itself for cross-border transactions in North America, Europe and Latin America. L40° describes the core mid-market tier as roughly $5 million-$100 million ARR or $20 million-$200 million enterprise value.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Software Equity Group

Software Equity Group is presented as a B2B software and SaaS sell-side specialist. L40° places it in the approximately $5 million-$100 million ARR range. Request recent transactions that resemble your revenue model, customer profile and expected enterprise value rather than relying on the firm’s software label alone.

Vista Point Advisors

Vista Point Advisors is associated with founder-led software and internet companies. L40° lists it as sell-side only and gives a transaction-size range of approximately $25 million-$500 million. That can make it a candidate for a sizable founder-led process, but you should confirm which managing director would lead your engagement.

Windsor Drake

Windsor Drake covers fintech, payments, B2B SaaS, cybersecurity and artificial intelligence. Its published materials describe work from roughly $5 million to $300 million in enterprise value; L40° characterizes a commonly served band as approximately $3 million-$50 million EV. The broad range means you should test the firm’s experience at your specific size and in your geography.

Corum Group

Corum Group is repeatedly identified as a software and IT specialist in the lower-middle market. Windsor Drake lists it as a possible fit when a software company is likely to be the buyer. Ask how often the proposed team handles strategic acquisitions versus financial-buyer processes.

iMerge Advisors

iMerge Advisors is described as a lower-middle-market SaaS and software sell-side specialist. Published ranges place its focus around $3 million-$50 million or $5 million-$50 million in ARR, depending on the source. Confirm which definition the firm uses and whether your expected value falls inside its recent closed-deal experience.

AGC Partners, Union Square Advisors and Drake Star

These firms appear in the core technology-advisor tier for larger mid-market processes. Their presence on a shortlist is not a substitute for deal-level evidence: ask for comparable SaaS transactions, buyer types, transaction values and the senior banker who would execute the mandate.

Qatalyst Partners, Morgan Stanley TMT, Goldman Sachs TMT, Evercore and Houlihan Lokey Technology Group

ProCloser places these larger technology and investment-banking platforms in enterprise-to-large-cap coverage. Their scale, sector relationships and international resources may fit a large strategic or sponsor-backed sale better than a founder-scale exit. A large brand does not automatically make a firm suitable for a mid-market SaaS process; coverage level and execution attention matter more.

Which SaaS advisor fits my ARR and expected enterprise value?

ARR is a useful first filter, but it is not an eligibility rule. Deal complexity, growth, retention, profitability, geography and likely buyer set can move you into a different advisor tier. Use the ranges below to build an interview list, then verify each candidate with recent closed transactions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Company profile Advisor category Names appearing in current comparisons What to verify
Below roughly $2M ARR Marketplaces and brokers are the common route for smaller, simpler businesses. Livmo describes this as the typical channel. Buyer qualification, confidentiality controls, valuation methodology and whether the intermediary runs a competitive process.
About $2M-$30M ARR Lower-middle-market software boutiques. Corum Group, Software Equity Group, Vista Point Advisors, Discretion Capital, L40°, iMerge Advisors and Livmo are named by Livmo’s scored guide. At least five comparable closed SaaS deals, the actual senior lead and experience with your buyer type.
About $5M-$100M ARR or $20M-$200M EV Mid-market technology specialists. L40°, AGC Partners, Software Equity Group, Vista Point Advisors, Windsor Drake, Union Square Advisors, Drake Star and Corum Group. Cross-border reach, sponsor and strategic coverage, diligence capacity and fee economics at your expected value.
Larger strategic or upper-mid-market transactions Large technology investment banks and upper-mid-market boutiques. Qatalyst Partners, Morgan Stanley TMT, Goldman Sachs TMT, Evercore, Houlihan Lokey Technology Group and, in Windsor Drake’s framing, Arma Partners. Ability to create senior-level access, manage a complex auction and devote a team appropriate to the deal’s importance.

The bands overlap because ARR does not convert to enterprise value at a fixed rate. Before contacting advisors, prepare a range for expected EV and ask every firm for recent closed SaaS deals within approximately 0.5x-2x of that value. Also request buyer names where disclosure is permitted.

Should I hire a boutique advisor or a large investment bank?

A boutique can provide focused SaaS expertise and senior attention; a large bank can bring broad capital-markets resources, international offices and relationships with very large strategic buyers and sponsors. Neither category is automatically superior. The decision should follow the buyers you need and the execution complexity of your sale.

When a boutique is usually advantageous

  • Your ARR and EV fit the firm’s recent closed transactions.
  • The partner or managing director who wins the pitch will personally lead buyer outreach and negotiations.
  • The firm has a demonstrated list of strategic acquirers, private-equity sponsors and PE-backed platforms for your niche.
  • You need a focused process rather than a broad public-markets or financing mandate.
  • Fee terms and minimums are proportionate to a lower- or mid-market transaction.

When a larger bank may be justified

  • The expected transaction is enterprise-scale or involves several jurisdictions, debt facilities or a public-company buyer.
  • You need access to a global strategic-buyer network that a regional boutique cannot demonstrate.
  • The process requires complex financing, fairness-advisory coordination or multiple capital-markets workstreams.
  • Your board or shareholders require a bank with specific credentials for governance reasons.

Ask both categories the same questions. L40°’s comparison makes the practical point that “the partner in month six matters more than the pitch team.” A recognizable name is useful only when it translates into buyer access and sustained execution.

How should I compare advisors during interviews?

Run a structured process and score evidence, not presentation polish. Give each candidate the same company overview, expected value range and timing assumptions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

1. Test comparable transactions

Request the last five SaaS deals the proposed team closed within approximately 0.5x-2x of your expected EV. For each, ask for ARR, growth profile, retention, geography, buyer type, announced or completed outcome and the senior person responsible. If confidentiality prevents names, the advisor should still provide enough detail to test relevance.

2. Put the execution team in writing

Identify the partner or managing director who will be involved during month six, diligence and closing—not only the people in the pitch meeting. Ask how many active mandates that person carries, who handles buyer calls and what happens if the lead banker leaves. Include the promised senior coverage in the engagement letter.

3. Map buyer reach

Ask for strategic acquirers, private-equity sponsors and PE-backed platforms contacted in the last 24 months for companies like yours. Request examples of cross-border execution if you may sell outside your home market. A long theoretical buyer list is less useful than evidence that the firm can reach decision-makers in your category.

4. Check independence and conflicts

Establish whether the firm also represents buyers, raises capital or provides other services to likely acquirers. Ask how conflicts are identified, disclosed and resolved, and whether the firm could be unable to contact a priority buyer because of another mandate.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Compare the economics line by line

Have each advisor show the retainer, when it is payable, whether it is credited against the success fee, the success-fee base, treatment of earn-outs and rollover equity, reimbursable expenses, minimum fees and tail period. Do not compare headline percentages while ignoring these provisions.

How much does a SaaS M&A advisor charge?

Current guides describe boutique economics as a retainer in the low tens of thousands of dollars, generally credited against a 2%-5% success fee. L40° reports that effective fees often decline from roughly 3%-4% near a $20 million deal toward about 2% near a $100 million deal. These are indicative market descriptions, not guaranteed quotes.

Fee item What to clarify before signing
Retainer Amount, payment schedule, whether it is refundable and how it is credited against the closing fee.
Success fee Percentage, minimum, tiered or flat calculation, and whether it applies to enterprise value, equity value or another defined base.
Contingent consideration Whether earn-outs, seller notes, deferred payments, escrow releases and rollover equity are included and when the fee becomes payable.
Expenses Travel, data services, legal or diligence costs, approval thresholds and supporting invoices.
Tail Duration, covered buyers and whether a fee is due if you close later without the advisor.
Termination Notice period, fees after termination and treatment of a buyer already contacted.

L40° says tail provisions commonly fall in the 12-24 month range. The exact period and buyer definition are negotiable and should be reviewed by your transaction lawyer. Livmo’s 2%-5% range and low-tens-of-thousands retainer description are useful benchmarks, but the right comparison is total expected cost under several possible outcomes.

How long does a SaaS exit take?

Current mid-market guides describe approximately six to nine months from launch to close, plus preparation. Preparation can include financial normalization, quality-of-earnings work, customer and contract review, intellectual-property checks, security documentation and a buyer-ready data room.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Preparation: Clean monthly ARR, bookings, churn, net revenue retention, gross margin and customer-concentration data; resolve obvious contract and ownership gaps.
  2. Positioning: Build the confidential information memorandum, management presentation, buyer list and process calendar.
  3. Initial outreach: Contact selected strategic buyers, sponsors and PE-backed platforms under confidentiality arrangements.
  4. Indications and first-round bids: Compare valuation, structure, financing certainty, rollover expectations and conditions—not just headline price.
  5. Management meetings and diligence: Provide controlled access to financial, product, security, legal, employee and customer information.
  6. Final bids and negotiation: Select a preferred buyer, negotiate the letter of intent and finalize purchase-agreement terms.
  7. Signing and closing: Complete confirmatory diligence, financing and regulatory or third-party consents before funds transfer.

Delays commonly arise from incomplete financial records, unresolved intellectual-property assignments, customer-consent requirements, security findings, financing conditions or an overly broad buyer list. Ask the advisor for a dated process plan that identifies your responsibilities and decision gates.

What SaaS metrics affect buyer interest and valuation?

Advisors will translate operating metrics into a buyer narrative. Prepare consistent definitions and monthly history before marketing the company.

  • ARR and growth: Reconcile contracted recurring revenue to invoices and explain one-time, usage-based or services revenue.
  • Net revenue retention: Show expansion, contraction and churn by cohort. Windsor Drake reports a publisher-attributed 11.7x median revenue multiple for companies with NRR above 120%; verify the definition and comparable-company scope before using it as a benchmark.
  • Gross margin: Separate hosting, support, implementation and third-party costs so buyers can assess scalability.
  • Customer concentration: Identify contracts representing material shares of ARR, renewal dates and change-of-control provisions.
  • Churn and retention: Provide logo and revenue churn, renewal cohorts, failed renewals and reasons for cancellation.
  • Security and compliance: Document controls, incidents, certifications and outstanding remediation.
  • Product and intellectual property: Confirm code ownership, open-source obligations, patents, trademarks and key-person dependencies.

Do not present a single multiple as a promise. Windsor Drake also reports that approximately 58% of SaaS M&A transactions were driven by private-equity buyers in 2025; that is a publisher-reported figure whose definitions and sample should be checked before treating it as a market-wide statistic.

How do buyer types change the advisor I need?

Strategic acquirers, traditional private-equity funds and PE-backed platforms evaluate the same SaaS company differently. Tell candidates which buyer outcomes you would accept, because buyer mix affects outreach, diligence and deal structure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Strategic software or technology buyers

A strategic buyer may value product adjacency, distribution, data, talent or cost synergies. Corum Group is specifically cited as a possible fit where a software company is likely to be the buyer. Ask advisors to identify integration logic and the executive who can sponsor the acquisition.

Private-equity sponsors

Sponsors focus on durable recurring revenue, retention, margin expansion, leverage capacity and a credible management plan. The process may include rollover equity, an earn-out or a continuing executive role. Your advisor should explain how each term changes your proceeds and future obligations.

PE-backed platforms

A platform add-on can move quickly when the buyer already owns a related business, but integration and customer-overlap questions become important. Ask whether the advisor has recent access to platform CEOs and operating partners, not just fund-level contacts.

What should a SaaS seller prepare before hiring an advisor?

A clean preparation package improves advisor selection and reduces avoidable timetable risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Three years of financial statements and current monthly management accounts.
  • ARR bridge showing new, expansion, contraction and churn revenue.
  • Customer-by-customer ARR, contract term, renewal date and concentration analysis.
  • Bookings, pipeline, implementation backlog and forecast methodology.
  • Gross-margin and cash-burn analysis with clear treatment of hosting and services.
  • Cap table, option grants, debt, investor rights and shareholder approvals.
  • Material customer, partner, employee, software and intellectual-property agreements.
  • Security, privacy, compliance and incident documentation.
  • Management biographies and a realistic plan for post-close roles.

Sharing this information under a confidentiality agreement lets advisors give a more credible valuation range and buyer strategy. It also exposes gaps you can fix before buyers see them.

What are the most common mistakes when selecting an advisor?

Most avoidable mistakes involve confusing reputation with fit or leaving important economics undefined.

  • Choosing the biggest logo: A large brand may not assign the senior attention your transaction requires.
  • Accepting vague comparables: “Technology experience” is not proof of recent SaaS deals at your value range.
  • Ignoring buyer conflicts: A firm representing likely acquirers may face restrictions you discover too late.
  • Optimizing only for the headline fee: Tail, minimums, earn-outs and expense rules can outweigh a small percentage difference.
  • Marketing before preparation: Inconsistent ARR or contract data weakens credibility and extends diligence.
  • Overpromising valuation: A high pitch estimate is not evidence of executable bids.
  • Failing to define decisions: Agree in advance who approves the buyer list, bid selection, exclusivity and final terms.

How can I run a practical advisor-selection process?

A disciplined mini-competition usually produces better information than an informal series of pitches.

  1. Set your target transaction range, acceptable structures, geography and preferred buyer types.
  2. Invite a balanced shortlist of specialist boutiques and, if justified by size, larger banks.
  3. Send each candidate the same anonymized metrics and request written answers to the five comparison tests.
  4. Hold a second meeting with the actual execution team, not only senior rainmakers.
  5. Check references from sellers whose deals closed recently and had similar complexity.
  6. Score evidence for comparable deals, buyer access, senior coverage, independence, process quality and total economics.
  7. Negotiate the engagement letter, including coverage, fee base, tail, expenses, termination and reporting cadence.

Keep the final selection focused. A smaller, accountable team with relevant buyers can outperform a larger platform that cannot demonstrate attention or comparable outcomes.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What market context should I use when setting expectations in 2026?

L40° reports that strategic acquirers closed 137 to 155 acquisitions in each of the six quarters through the second quarter of 2026, with average deal value around $200 million. That is L40°’s market framing, not a universal SaaS-only statistic, so use it as context rather than a forecast for your company.

Buyer appetite and valuation remain company-specific. Retention, growth quality, margin, product defensibility, concentration, geographic reach and transaction structure can matter more than broad deal counts. Your advisor should explain which facts support a valuation range and which remain uncertain.

What is the best way to judge an advisor’s pitch?

Judge whether the pitch answers operational questions you will face after signing. A credible advisor can explain your likely buyer universe, why each buyer would care, what diligence will test, how the timetable works and how terms affect proceeds.

Be cautious when a presentation relies on generic league tables, unsupported valuation promises or a long logo page without transaction details. As Andrea Balletbó of L40° puts it, “A large brand name does not automatically make a firm the right fit for a mid-market software exit.” Livmo similarly argues that fit inside your revenue band matters more than the size of the name on the door.

Frequently Asked Questions

Can a SaaS founder sell without an M&A advisor?

Yes, a founder can approach buyers directly, especially for a single inbound offer. The trade-off is less competitive tension, limited benchmarking and more responsibility for confidentiality, diligence coordination and negotiation. An advisor is most valuable when multiple buyer types or a structured auction could materially change the outcome.

Should I accept the first credible acquisition offer?

Not automatically. Compare the offer’s certainty, financing, treatment of employees and customers, escrow, earn-out, rollover and closing conditions with alternatives. Ask counsel and your advisor whether a limited process could improve terms without jeopardizing the existing buyer.

What information will an advisor ask for first?

Expect requests for ARR history and reconciliation, customer cohorts, churn and retention, financial statements, cap table, material contracts, product and intellectual-property details, security documentation and management plans. Providing consistent definitions early helps the advisor avoid marketing claims that buyers later challenge.

How do earn-outs change the economics of a SaaS sale?

An earn-out makes part of your consideration contingent on future metrics or events, so its value depends on definitions, control of the business and dispute rights. Clarify whether the advisor’s success fee applies to contingent consideration and when that fee is payable. Have transaction counsel review measurement, reporting and acceleration provisions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What if the advisor’s senior partner stops working on my deal?

The engagement letter should identify the expected senior team, minimum involvement or replacement standard, reporting cadence and your termination rights. Ask for written notice and a transition plan if a named lead becomes unavailable. This protects the coverage you selected during the pitch.
