For most Irish AI startups that expect investors, employees or meaningful intellectual-property risk, a private company limited by shares (an LTD) is the practical starting point. Incorporate it through the Companies Registration Office (CRO) CORE service, then complete tax registration, banking, payroll and employer compliance in that order. Use your Local Enterprise Office (LEO) as the first funding and advisory contact; its Priming Grant can cover specified early costs. Once an MVP has customer validation, Enterprise Ireland’s Pre-Seed Start Fund may provide up to €100,000, while employment support and Microfinance Ireland debt can address later gaps.
The right sequence matters as much as the individual decisions. Validate an international AI problem before spending on incorporation, document who owns the code and data, and check immigration permission before promising a job or relocating a founder. Programme rules and immigration routes change, so verify live eligibility and intake dates immediately before applying.

What should you validate before forming an Irish AI company?
Validate the problem, buyer and route to an international market before paying incorporation and payroll costs. Irish registration does not turn an untested idea into a fundable business; it gives a legal vehicle for contracts, grants, hiring and investment after the underlying proposition is credible.
Define a painful, specific use case
Interview the people who will use and pay for the system. Establish the workflow being improved, the baseline cost or error rate, the data required, who can legally provide that data, and what a successful pilot would measure. For a regulated or safety-sensitive use case, identify human review, audit logs and model-failure escalation before writing production code.

- If you want to build a better future, you must believe in secrets.
- The great secret of our time is that there are still uncharted frontiers to explore and new inventions to create. In Zero to One, legendary entrepreneur and investor Peter Thiel shows how we can find singular ways to create those new things.
Test international potential early
Enterprise Ireland support is aimed at businesses with growth and export potential. Compare the Irish market with at least one target market: purchasing process, competitors, data residency expectations, language, sector regulation and likely sales cycle. A credible internationalisation plan strengthens funding applications and prevents a product that works only for one local customer.
Decide what must be proprietary
Separate your defensible assets: source code, model weights or fine-tunes, prompts, evaluation data, customer data, deployment tooling and domain know-how. Use written agreements with founders, contractors and research partners so intellectual-property ownership is assigned to the company, not left with an individual developer.

Should an Irish AI founder be a sole trader, partnership or LTD?
A sole trader is fastest to start, but an LTD is usually better when you need outside capital, employee equity or liability separation. A partnership can work for a small group with a clear agreement, yet it does not provide the same clean investment structure as a company.
| Structure | Liability separation | Investment readiness | Administration | Best fit |
|---|---|---|---|---|
| Sole trader | No separate legal person; business liabilities generally fall on the owner. | Weak for equity investment; no company shares to issue. | Lowest formation burden, but the owner remains responsible for tax and records. | Testing a low-risk idea or freelance work before committing to a company. |
| Partnership | Depends on the partnership arrangement; partners can have personal exposure. | Requires a detailed agreement on ownership, decisions and exits; less familiar to venture investors. | More coordination than a sole trader, especially for accounts and partner changes. | Two or more founders operating a small, closely held business with limited financing needs. |
| Private company limited by shares (LTD) | The company is a separate legal person, subject to normal director and statutory duties. | Can issue shares and accommodate investors and employee shareholding. | Must maintain statutory records and file annual returns and accounts. | An AI startup hiring staff, signing enterprise contracts or seeking grants and investment. |
The CRO describes an LTD as a private company limited by shares that can engage in any allowed business. It is formed by submitting Form A1 and a constitution through CORE; an LTD uses a one-document constitution. The company, rather than its owners, contracts with customers and employs staff, although directors still have legal responsibilities.
How do I incorporate an Irish LTD through CRO CORE?
Use the CRO CORE online process and prepare the company details before you begin. Incorporation is only one part of setup; do not treat the certificate as permission to trade without completing tax, banking and employer steps.
- Choose and check a name. Select a name that is distinguishable from existing registered names and does not imply a regulated activity you cannot perform. Reserve nothing informally: the CRO makes the final determination.
- Define the registered office. The company needs an Irish registered office where official notices can be served. Arrange access to incoming CRO and Revenue correspondence.
- Identify directors and the secretary. Record the required personal details and confirm that each person is willing and eligible to hold the role. An LTD must have a company secretary; where the company has only one director, that director cannot also be the secretary.
- Set shareholders and share capital. Record the founders’ allotments and percentages before filing. Keep a written cap-table history for later investors and employee options.
- Prepare the constitution. The LTD format uses a single-document constitution. Ensure its objects and internal rules match the intended business and share structure.
- File Form A1 on CORE and pay the applicable fee. Check every spelling, address and share figure. Errors can delay incorporation or require corrective filings.
- Store the certificate and statutory records. Create a secure corporate folder for the certificate, constitution, registers, board minutes, share allotments and future annual returns.
Before signing a major customer contract or taking investment, have an Irish company solicitor review the constitution, founder vesting, intellectual-property assignments, confidentiality terms and any investor documents.

Register for the taxes that apply
Register the company with Revenue for corporation tax and any other obligations triggered by its activities, such as VAT or payroll taxes. The correct registrations depend on turnover, customers, employees and transactions; an accountant can confirm which dates and returns apply to your company.
Open a dedicated business account
Keep company money separate from founders’ personal funds from day one. Require documented approval for transfers, retain invoices and receipts, and reconcile the account monthly. This creates an audit trail for grants, investors and tax filings.
Build payroll before the first hire
Set up payroll reporting, payslips, pension and leave processes, expense approval and a method for remitting payroll taxes. Put written employment terms in place before work starts, not after the employee has joined.
Do these 3 things before closing this tab:

Map where training, customer and employee data comes from, who may access it and how long it is retained. Use role-based access, secrets management, backups and an incident-response process. Contracts should state who owns code, inventions, model outputs and improvements created during the engagement.
Which Irish grants and finance should I pursue first?
Use a staged funding plan rather than applying to every scheme at once. LEO is the first contact for an early business; Enterprise Ireland becomes more relevant when the product has validation and international scale; debt can bridge equipment or working capital when equity is unavailable.
| Source | Best stage | Amount or limit | Dilution or repayment | Conditions and eligible use | Application route |
|---|---|---|---|---|---|
| LEO Priming Grant | Eligible businesses in their first 18 months. | Generally 50% of investment, up to €150,000; the relevant LEO must confirm standard and approval limits. | Grant; no equity dilution, subject to approval and conditions. | Capital, salary, consultancy, innovation, marketing and overhead expenditure may be eligible. | Start with the Local Enterprise Office serving the business location. |
| Enterprise Ireland Pre-Seed Start Fund | Early-stage company with an MVP or beta and early customer validation. | Up to €100,000. | Investment rather than a simple grant; review the live terms for the instrument and any equity or repayment features. | Validated proposition, execution plan, innovation, internationalisation potential and capacity to create employment are expected. | Enterprise Ireland’s current Pre-Seed process. |
| Enterprise Ireland employment funding | Export-oriented growth that is adding staff. | Maximum €15,000 per employee under the applicable 2026 guidance. | Support linked to approved recruitment rather than a general cash facility. | Recruitment of at least three employees and other programme rules apply. | Enterprise Ireland application and approval process. |
| Microfinance Ireland loan | Qualifying small business unable to obtain normal bank lending. | €2,000–€50,000. | Debt; typical term is three years. An application through an LEO has a stated 1% APR discount. | Credit assessment and repayment capacity apply. | Apply directly or through an LEO, checking current rates and terms. |
These are programme amounts published by the named organisations, not guaranteed awards. Check the current scheme page, eligible region, intake date, own-contribution rules, expenditure start date and evidence requirements before committing money.
How does the LEO Priming Grant work for an AI startup?
The Priming Grant is the first scheme to discuss with your LEO when the company is within its first 18 months and has an eligible plan. It can support a mix of early expenditure, but approval is not automatic and the local office applies the detailed rules.
Rank #3
Prepare a fundable cost plan
Separate one-off capital from recurring salaries and overheads. Explain why each item is needed to reach a measurable milestone: a secure beta, a paid pilot, a compliance assessment or a first export sale. Keep supplier quotes, payroll assumptions and your own contribution documented.
Check timing before spending
Ask the LEO when costs become eligible. Paying an invoice before approval can make it ineligible, even if the item would otherwise fit a permitted category. Confirm whether VAT, founder pay, subscriptions, research work and shared equipment are treated differently.
Show jobs and market impact
Describe the roles created, skills required and target customers. An AI application should connect technical spending to commercial outcomes rather than presenting model development as an end in itself.
When should I approach Enterprise Ireland’s Pre-Seed or HPSU pathways?
Approach Enterprise Ireland after you can demonstrate more than a concept: an MVP or beta, evidence that customers want it, a credible execution plan and a route to international growth. The Pre-Seed Start Fund listing states support of up to €100,000 for an early-stage company meeting those characteristics.
Build the evidence package
- A short description of the problem, buyer and differentiated AI approach.
- Product demonstration, pilot results or letters that show customer validation.
- Market size, first target countries, pricing logic and sales pipeline.
- Hiring plan, founder responsibilities and the technical milestones the money unlocks.
- Three-year cash forecast showing grant, investment, revenue and payroll assumptions separately.
HPSU (High Potential Start-Up) routes may become relevant as ambition, traction and international scale increase. Use Enterprise Ireland’s current criteria and application guidance rather than assuming that a Pre-Seed award automatically qualifies a company for a later programme.
Can employment funding pay for an AI hiring push?
Enterprise Ireland employment funding can support export-oriented growth that recruits at least three employees, with a maximum of €15,000 per employee under the applicable 2026 guidance. Treat it as approved support for a defined recruitment plan, not as a promise to reimburse every new salary.
Plan the roles as a group
Specify why three or more hires are needed together: for example, a machine-learning engineer, product engineer and international sales lead. Include start dates, salary bands, location, reporting lines and the revenue or export milestone each role supports.
Rank #4
Confirm approval before issuing offers
Ask Enterprise Ireland which costs, employee types, retention conditions and evidence apply. Do not hire on the assumption that funding will be backdated. Keep signed contracts, payroll records and proof of employment for any claim.
How can I fund an AI startup before venture capital?
Combine customer revenue, founder capital, grants and carefully sized debt rather than waiting for a single large round. Microfinance Ireland loans of €2,000 to €50,000 are intended for qualifying small businesses that cannot obtain bank finance; applications through an LEO receive a stated 1% APR discount and typical terms are three years.
Use customer-funded milestones
Offer a paid discovery, proof of concept or annual pilot with clear acceptance criteria. Ring-fence customer money for the contracted work and avoid promising production-grade performance that the current model cannot deliver.
Borrow only against a repayment plan
Model monthly principal and interest under a slower-sales case. Debt can preserve equity but becomes dangerous when revenue is uncertain, cloud costs are volatile or founders must personally guarantee repayment. Ask Microfinance Ireland for the current rate, security and eligibility requirements.
Keep grant and investment records separate
Maintain a ledger showing which costs are grant-funded, investor-funded, customer-funded or borrowed. This prevents double funding of the same invoice and gives investors a reliable cash-use history.

Hire EEA and Swiss nationals, and UK citizens covered by the Common Travel Area, without a separate permission to establish a business in Ireland. Other nationals may need the Start-up Entrepreneur Programme or another immigration permission; confirm the current route before making an offer or moving a founder.
| Candidate location | Permission position | Speed considerations | Cost considerations | International-growth value |
|---|---|---|---|---|
| Ireland-based EEA, Swiss or UK candidate | No separate permission to establish a business under the stated arrangements; normal right-to-work checks still apply. | Usually the simplest onboarding path. | Irish salary, payroll and office or remote-work costs. | Local customer access and easier collaboration with Irish supports. |
| EEA or Swiss candidate relocating | Free-movement rules generally avoid an employment permit, subject to current requirements. | Relocation, housing and start-date logistics can delay joining. | Relocation assistance and Irish employment costs may apply. | Broader European recruiting pool and language coverage. |
| Non-EEA candidate abroad | May require an employment permission or another immigration route; the correct category depends on role and circumstances. | Immigration processing can make the start date uncertain. | Legal advice, permit fees, relocation and compliance administration add cost. | Can add scarce skills or access to a target market. |
| Non-EEA founder | May need the Start-up Entrepreneur Programme or another permission to live and operate in Ireland. | Permission must be confirmed before relocation or business activity. | Application and relocation costs vary. | Founder presence in Ireland can support fundraising and local ecosystem access. |
Do not rely on nationality alone. Verify identity, permission conditions, permitted work and expiry dates, and obtain specialist immigration advice for unusual arrangements or founders who will work across countries.

What employer checklist should an Irish AI startup use?
Complete the following before the first employee starts, then review it whenever the team or work location changes.
- Issue a written contract covering role, pay, hours, probation, leave, notice, confidentiality and place of work.
- Complete right-to-work and immigration-permission checks, recording expiry dates and follow-up owners.
- Register and operate payroll, deductions and required reporting.
- Publish workplace, dignity-at-work, grievance, disciplinary, health-and-safety and remote-work policies appropriate to the team.
- Sign intellectual-property, confidentiality and data-processing terms with employees and contractors.
- Define who can access source repositories, cloud accounts, production data and model artefacts; remove access promptly when someone leaves.
- Document expenses, equipment ownership, holiday records and performance expectations.
- Ask an Irish employment solicitor and accountant to review the setup; the general guidance does not replace professional advice.
Where can an Irish AI startup get technical and ecosystem support?
CeADAR is Ireland’s national AI hub in the European Digital Innovation Hub network. The Department of Enterprise, Tourism and Employment states an allocation of €1.9 million per annum to CeADAR. It can be a route to technical validation, capability building and connections before committing to a large engineering budget.

For an organisation beginning an AI journey, the Department’s strategy directs businesses to Enterprise Ireland or their Local Enterprise Office. Ask what current assessment, demonstrator, training or referral services are available, and whether your company meets the relevant size, sector or project criteria.
What timeline should founders follow from idea to first hires?
A staged timeline reduces avoidable legal and cash mistakes.
- Weeks 0–4: validate. Interview buyers, define the data and risk model, test a narrow prototype and identify the first export market.
- Weeks 2–6: choose the structure. Decide whether the liability and investment case justifies an LTD; agree founder ownership and IP assignments.
- Weeks 4–8: incorporate and operationalise. File Form A1 and the constitution on CORE, then complete Revenue registration, banking, accounting and insurance decisions.
- Weeks 6–12: apply locally. Meet the LEO, confirm Priming Grant eligibility and eligible-cost timing, and build a milestone-based budget.
- Months 3–9: prove demand. Deliver pilots, capture outcomes, convert a customer to paid use and document product and security evidence.
- After validation: seek scale finance. Assess the Pre-Seed Start Fund, relevant Enterprise Ireland pathways, employment funding and, if needed, Microfinance Ireland debt.
- Before each hire: verify permission and payroll. Confirm immigration, issue contracts, assign IP, set up access controls and ensure cash covers the committed runway.
What mistakes most often delay an Irish AI startup?
- Incorporating before validating the buyer. A company can be formed quickly, but payroll and compliance costs begin before revenue.
- Using personal accounts. Mixed funds make tax, grant claims and investor diligence harder to verify.
- Spending before grant approval. Confirm the eligible start date and written approval with the LEO first.
- Promising funding in a job offer. Employment support normally requires approval, specified recruitment and evidence; it is not guaranteed salary money.
- Ignoring cap-table hygiene. Record every share issue, option promise and founder transfer in signed documents.
- Treating a contractor as an employee, or vice versa. Get advice on classification, tax and IP rather than relying on the label in a contract.
- Moving a non-EEA founder or developer without permission. Check the route and conditions before relocation or work begins.
- Building an AI system without data governance. Document provenance, consent or licence, retention, access, testing and incident response from the first pilot.
- Failing to recheck programme rules. The €150,000 Priming Grant ceiling, €100,000 Pre-Seed listing, €15,000 employment-support maximum, €2,000–€50,000 loan range and €1.9 million CeADAR allocation are published figures that can change; confirm current terms when applying.
Frequently Asked Questions
Do I need an Irish resident director to register an LTD?
The incorporation decision depends on the company’s director and registered-office circumstances, and additional compliance can apply when no director is resident in the European Economic Area. Confirm the current CRO requirements with a company secretary or solicitor before filing Form A1.
Can an Irish startup claim the Priming Grant for cloud and model API bills?
Cloud, software and model-service costs are not automatically eligible merely because they support an AI product. Ask the relevant LEO to classify each cost in writing before committing expenditure, and retain invoices and usage evidence.

Set out controller and processor responsibilities, lawful basis, security measures, retention and deletion in the customer agreement before processing begins. A data-protection solicitor or specialist should review high-risk profiling, health, financial or children’s data.
Can I hire a remote developer who never moves to Ireland?
Possibly, but the arrangement may trigger employment, tax, social-insurance and permanent-establishment obligations in the developer’s country. Obtain cross-border payroll or employer-of-record advice and make the IP and confidentiality terms enforceable there.
When should I create an employee option pool?
Discuss the pool before fundraising or making senior offers, because investors may expect it to be agreed before their shares are issued. Have a solicitor and tax adviser design the scheme and explain its treatment to each employee.
