Audit software licenses by reconciling four things for every product: what you bought, what the contract counts, who or what is assigned, and evidence of actual use. Flagging a quiet account is only the start. Confirm the owner and business need, check service-account and seasonal activity, verify minimums and dependencies, document approval, then reclaim or downgrade the seat through the supported admin process. This approach reduces avoidable spend without treating incomplete activity data as proof of non-compliance.
Microsoft 365 illustrates the workflow, but the same discipline applies to SaaS, installed software and cloud subscriptions. Keep an authoritative inventory, preserve dated source exports, and repeat the review before renewals.

What is a software-license audit, and why does it matter?
A software-license audit is a documented comparison between your organization’s entitlements, assignments, deployments and observed use. The objective is not simply to find people who have not signed in recently. It is to establish whether the organization is under-licensed, over-licensed, paying for unnecessary capacity, or unable to prove its position.
The U.S. General Services Administration’s active software-license-management directive, dated December 17, 2025 (expiration shown as December 29, 2028), calls for central oversight and a continuing agency-wide inventory that includes subscription IT services such as SaaS. Its objectives include compliance analysis, reducing duplicate applications and identifying cost-saving opportunities. See the GSA software license-management directive.

A defensible audit therefore produces an evidence trail: the agreement or purchase record, the licensing metric, the assignment and deployment state, the activity data and the decision made for each exception. A spreadsheet of last-login dates without those pieces can support triage, but it cannot by itself establish compliance or authorize cancellation.
What should be in scope before you start?
Define the boundary before collecting data. A narrow, repeatable scope is more useful than an estate-wide exercise that no one can finish.
- Business boundary: name the business unit, subsidiaries, environments or cost centers included.
- Time boundary: tie the review to a renewal, budget cycle or a defined reporting period.
- Product boundary: include SaaS, installed applications, cloud services and duplicate or shadow subscriptions that are paid centrally or locally.
- Accountability: assign a business owner who can confirm need and a data or platform owner who can provide reliable records.
- Decision authority: identify procurement, legal, security and finance contacts for changes to minimum commitments, bundles or renewal terms.
Central ownership matters because a license list becomes stale when each team keeps a separate copy. Make one system or controlled register authoritative, give every product an owner, and record when the inventory was last refreshed. The GSA directive linked above specifically describes continuing, agency-wide inventory and oversight rather than a one-time clean-up.
What evidence do you need for each product?
Collect source records before deciding that a seat is unused. Keep the original export or document, its retrieval date, and the person or system that produced it. The UK government’s software-asset-management service definition describes entitlement review, deployment assessment and future-needs analysis as components of a compliance review; it is a service definition, not a universal legal standard. Read it at the UK government SAM service definition.
| Evidence | Capture | Why it matters |
|---|---|---|
| Product and vendor identity | Exact product, edition, tenant and environment | Prevents combining different metrics or editions under one count. |
| Entitlement | Agreement, order, invoice, subscription period, quantity and renewal terms | Shows what the organization is allowed to use and what it is committed to buy. |
| License metric | Named user, device, core or another unit defined by the agreement | Determines how observed use must be reconciled; “seat” is not universal. |
| Assignment and deployment | User, device, service identity, installation or environment records | Reveals duplicate, orphaned and out-of-scope assignments. |
| Activity | Report name, date range, events or usage quantity, and known coverage limits | Provides a clue about activity without being mistaken for the contract position. |
| Ownership and decision | Business owner, data owner, reviewer, approval, action and effective date | Makes the decision auditable and gives someone responsibility for follow-up. |
For installed software or complex agreements, add deployment and environment records. Record assumptions, such as an identity match between an HR account and a vendor account, and rate confidence when the match is uncertain.
How do you identify seats that deserve review?
Use reports to create a review queue, not an automatic deletion list. Start with the signals most likely to indicate waste or an identity problem:

- Unassigned capacity that is still included in a paid subscription.
- Disabled, departed or duplicate accounts.
- Long-inactive accounts, interpreted against the report’s actual coverage window.
- Assignments on a higher tier when observed activity appears consistent with a lower tier.
- Multiple subscriptions providing overlapping capability to the same team.
- Accounts whose identity, department or owner cannot be verified.
Microsoft says its usage reports can show who uses a service fully or barely and who might not need a license. The reports are useful for finding candidates, but a quiet period can miss seasonal work, periodic projects, offline activity or a service identity that does not behave like a person. Treat each signal as a prompt to investigate.
How should you treat service, shared and seasonal accounts?
Classify the identity before changing it. A non-human account may run an integration, scheduled job or automation whose activity is intermittent. A shared account may represent a team workflow rather than one employee. Seasonal staff and quarterly processes can be inactive for much of the year yet still require access at a predictable time.
Ask the owner what the account does, when it is expected to run, what data or integrations depend on it, and whether a documented alternative exists. Store that explanation with the audit record instead of forcing every account into a human-user inactivity rule.
How do you reconcile usage with the license agreement?
For each candidate, compare the measured use and deployment with the entitlement and the metric in the agreement. Do not assume that a vendor’s activity report counts the same unit that the contract counts.

| Metric example | Question to answer | Common reconciliation risk |
|---|---|---|
| Named user | Which individual is entitled, and can one person hold multiple assignments? | Duplicate identities, aliases, guests or rehires can inflate the apparent count. |
| Device | Which computers or devices are covered, and how are replacements handled? | Retired or rebuilt devices may remain recorded as active. |
| Core or processor-based unit | What hardware or virtual environment attributes determine the quantity? | A user-activity report may say little about the licensed capacity. |
| Other contract-defined unit | What formula, territory, feature or minimum applies? | Bundled rights, floors and exceptions can make a simple seat count misleading. |
Record the measured quantity, entitlement quantity, variance, data sources, assumptions and confidence. A useful status is “evidence indicates review,” not “non-compliant,” until the contract owner or licensing specialist confirms the interpretation. The UK government service definition describes reviews that assess entitlements and deployments, identify licensing gaps and find over-licensing; its method should be adapted to your agreement rather than treated as a universal rule.
What should you verify before removing or downgrading a seat?
Require an explicit confirmation step. No source establishes a universal inactivity cutoff, and inactivity alone does not prove that a contract permits removal.

- Confirm the identity. Match the vendor account to the employee, contractor, device or service owner. Resolve aliases, guests, duplicate profiles and recently changed departments.
- Confirm the business need. Ask the owner whether the person or process still needs the product, including upcoming seasonal or project work.
- Check dependencies. Look for integrations, shared files, automated jobs, retention requirements and other products that rely on the assignment.
- Check the agreement. Verify minimum quantities, prepaid terms, bundles, downgrade rules, true-up clauses and the date on which a reduction can affect billing.
- Obtain approval. Capture the owner’s decision and, where required, procurement, contract or security approval.
- Preserve the before state. Save the assignment, entitlement and activity evidence with the decision record.
If the evidence is incomplete, defer the change, mark the item for owner attestation, or choose a reversible downgrade where the agreement allows it. That is safer than treating a missing report row as proof that access is unnecessary.
How do you reclaim a verified seat and prove the saving?
Use the vendor’s supported administrative process, then verify both access and billing impact.
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →- Unassign the license or apply the approved lower tier in the administration console.
- Record the product, account, action, approver, effective date and the seat’s destination: removed from the subscription, returned to a pool or merely unassigned.
- Check whether the change alters the next invoice, a prepaid balance, a minimum commitment or only future allocation.
- Recheck assignments and relevant activity after the vendor’s data-refresh period.
- At renewal, compare the approved quantity with the invoice and contract. Close the item only when the financial or capacity result is visible.
Track reclaimed capacity separately from realized savings. An unassigned seat may reduce future purchases without reducing the current bill. A downgrade may lower recurring cost while preserving access. Your register should distinguish those outcomes so finance does not count the same reduction twice.
How do you audit Microsoft 365 licenses step by step?
Microsoft 365 provides a practical example because its admin center separates license counts, user assignments and activity reporting. The exact reports available depend on the service and tenant configuration.
1. Check total, assigned and unassigned quantities
Open the Microsoft 365 admin center and go to Billing > Licenses. Record the product, subscription period and assigned versus unassigned counts. Then open Users > Active users to inspect who is licensed, unlicensed or a guest. Preserve the export or screenshots with the retrieval date.
2. Open the relevant usage report
Use the admin center’s usage reports to examine activity by service and user. Microsoft documents report windows generally covering 7, 30, 90 and 180 days, although availability differs by report. New data typically appears within 24 to 72 hours and can take longer. Usage reports do not include perpetual license models. See Microsoft’s usage-report documentation for the current report list and limitations.

3. Apply the right interpretation
Use the longest relevant window for a first pass, then ask owners about periodic activity that the window may miss. Compare the report’s events with the product’s assignment and the contract metric. A user with no visible activity may still be required under a named-user commitment, while a service may be consuming capacity without ordinary sign-in events.
4. Export for review
Reports can be exported to Excel or Power BI, or obtained through the Microsoft Graph reports API. Restrict report access to appropriate roles; Microsoft lists least-privileged options including Reports Reader. Keep the raw export separate from any spreadsheet in which reviewers add interpretations.
5. Use Purview audit records as a separate evidence stream
Microsoft Purview audit records cover user and administrator actions, but they are distinct from Microsoft 365 activity reports. Retention and features vary by audit tier, licensing and activity type; Microsoft describes different default retention behavior for some service records and longer options under Audit Premium. Do not assume that a tenant has a particular retention period or event set without checking its configuration. The overview is at Microsoft Purview auditing.

ServiceNow’s documentation illustrates why implementation details matter: its Microsoft integration requires named software-asset-management plugins and configuration, retrieval of usage data, reconciliation and review of license-position and optimization reports. This is one vendor-specific path, not evidence that every platform works the same way. Read the example at ServiceNow’s integration documentation.
A professional software-asset-management or license-compliance review can be appropriate when agreements are complex, licensing metrics are difficult to interpret, cloud migration has changed deployment, or the organization suspects both under- and over-licensing. Before engaging a provider, verify credentials, scope, independence, confidentiality terms and any commercial relationship. The UK government service definition linked earlier describes entitlement, deployment, future-needs and cloud-migration considerations, but it is not a legal safe harbor.
Best Value
Which audit mistakes create the most risk?
- Calling every quiet account unused: reporting windows can miss periodic work, and services may have non-human activity.
- Using activity as the contract position: activity is evidence about use; entitlement and metric determine what is permitted and owed.
- Ignoring unassigned capacity: an unassigned seat can still be part of a paid commitment, so removal from a user is not automatically a billing reduction.
- Changing access before checking dependencies: integrations, shared data and scheduled jobs may fail without obvious sign-in activity.
- Overlooking identity quality: aliases, guests, duplicate profiles and departed employees can distort both assignment and usage counts.
- Granting broad report access: usage data can expose workforce behavior; use least privilege and protect exports.
- Failing to preserve the original evidence: a manually edited spreadsheet cannot show what the vendor reported at the time of the decision.
- Counting projected savings as realized: verify the invoice, renewal quantity or capacity pool after the change.
How often should the review run?
Run a focused review ahead of every material renewal and whenever a merger, restructuring, major migration or licensing change alters the estate. Between renewals, use a lighter monthly or quarterly control for new assignments, departed accounts, unassigned capacity and products with high unit cost or strict metrics.
Keep a queue with four states: candidate, owner review, approved action and verified result. Measure process quality with completion rate, age of unresolved exceptions, percentage of products with current owners, and the number of changes whose billing or capacity effect was confirmed. Do not claim a standard savings percentage or unused-seat rate: no generalized benchmark is established by the official sources cited here.
What does a defensible audit record look like?
For every decision, a reviewer who was not involved should be able to reconstruct what happened. Store the product and edition, tenant or environment, agreement and metric, entitlement quantity, assignment and deployment snapshot, activity report and date range, identity match, owner response, dependency check, approval, action, effective date and verified financial or capacity result.
Document uncertainty plainly. For example, “No activity in the 90-day report; quarterly process confirmed by owner; retain through renewal” is materially stronger than “unused.” Likewise, “Unassigned in admin center; contract has a 100-seat minimum; no immediate invoice reduction” prevents a false savings claim.
Frequently Asked Questions
Can an inactivity threshold such as 30 or 90 days be used for every product?
No. Reporting windows and business cycles differ, and the agreement may impose a named-user, device, capacity or minimum-quantity rule. Set a review trigger for your environment, then require owner and contract confirmation before changing access.
What should I do when a vendor provides no usable activity report?
Use assignment records, deployment data, identity-system status, owner attestation and entitlement documents as separate evidence sources. Mark the confidence level and keep the seat unchanged when the remaining evidence cannot support a safe decision.

Limit report access to roles that need it, export only the fields required for the decision, protect stored files and define a retention period with your privacy and security policies. Activity reports and audit records should not become an unrestricted monitoring database.
What is the difference between reclaiming a seat and reducing the subscription?
Reclaiming removes or changes an assignment and may only return capacity to a pool. Reducing the subscription changes the quantity you purchase or renew; it may be restricted by prepaid terms, minimums or renewal dates and must be verified against the invoice or contract.
