Why did Steve Jobs resign as CEO?
Jobs’s letter to Apple’s board and community gave his stated reason directly: “I have always said if there ever came a day when I could no longer meet my duties and expectations as Apple’s CEO, I would be the first to let you know. Unfortunately, that day has come.” He did not give a more detailed explanation in the letter.

He said he wished to remain involved as chairman, director, and employee if the board considered that appropriate. The board appointed him chairman. The letter establishes Jobs’s public explanation, but it does not provide a complete medical timeline or disclose private discussions behind the decision.

Who replaced Steve Jobs as Apple CEO?
Tim Cook replaced Jobs. At the time, Cook was Apple’s chief operating officer. Jobs explicitly recommended him in the same letter: “As far as my successor goes, I strongly recommend that we execute our succession plan and name Tim Cook as CEO of Apple.”
Apple’s announcement quoted board representative Art Levinson, then chairman of Genentech, saying: “The Board has complete confidence that Tim is the right person to be our next CEO.” Apple also described Cook as having served the company for 13 years; that figure is the company’s characterization in its 2011 announcement.

What experience did Cook bring to the role?
Apple’s contemporaneous announcement said Cook had overseen worldwide sales and operations, end-to-end supply-chain management, sales, service, and support. It also noted that he had led the Macintosh division. These are Apple’s descriptions of Cook’s responsibilities, rather than an independent assessment of his qualifications.

Apple’s SEC-filed Form 8-K records Jobs’s resignation, his appointment as chairman, Cook’s promotion from COO to CEO, and Cook’s appointment to fill an existing vacancy on the board. It also records a grant of 1,000,000 restricted stock units to Cook in connection with his CEO appointment, subject to scheduled vesting dates and continued-employment conditions. The figure describes the award recorded in the 2011 filing, not cash compensation or a statement of its eventual value.
The filing and public announcement confirm the sequence of formal actions. They do not disclose when the succession plan was developed, the board’s private deliberations, or the details of conversations among Jobs, Cook, and directors.
