A higher AI-company valuation can increase the paper value of an employee’s stake, but it is not a personal payout. The amount someone can actually realize depends on the award and security class, vested share count, dilution, exercise cost, taxes, transfer restrictions and whether a permitted sale takes place. Keep three figures separate: the value implied by a financing, the price available in an actual sale, and the cash left after costs and taxes.
That distinction explains why an employee can appear wealthy on paper yet have no cash, or sell a portion of a private holding and receive far less than a headline valuation suggests.

How does a rising valuation affect an employee’s equity?
A financing valuation is a company-level price signal. Investors pay for a particular security in a particular transaction, and the resulting post-money figure describes the company after that investment. To estimate an individual position, you need the employee’s actual award, the number of vested and unvested shares, the relevant share class, dilution and any exercise cost. Multiplying a headline valuation by an assumed ownership percentage is not a reliable calculation.
The cleanest framework is:
- Paper value: an estimate based on a recent company transaction or internal valuation and the security the holder owns.
- Sale price: the price and terms of a tender offer, approved secondary transaction, acquisition or public-market sale.
- Net proceeds: sale proceeds minus any exercise cost, taxes, transaction charges and other obligations.
Only the third figure represents spendable money, and it exists only after a permitted liquidity event.

What exactly does an employee own?
The grant or purchase documents control the answer. Review the number of shares or units, vesting schedule, expiration dates, exercise price if applicable, repurchase or forfeiture provisions, and the class of security issued. Also check whether the award converts into common stock or another security and what happens if you leave the company.
Vested does not mean sellable
Vesting establishes that a holder has earned the award under its schedule. Private-company shares can still be subject to company consent, transfer restrictions, a right of first refusal, an offering window or a lock-up. A holder may therefore be fully vested while having no approved buyer.
Dilution changes the percentage
New funding, option-pool increases, acquisitions and conversions can increase the total number of shares. If your share count stays fixed while the fully diluted share count grows, your percentage ownership falls. The company can become more valuable in dollars while your percentage becomes smaller; the effect on paper value depends on both changes and on the price assigned to your class.
Why can preferred and common shares have different values?
Investors and employees may hold securities with different economic and voting rights. Preferred stock can include liquidation preferences, conversion rights or other protections that common stock does not have. A financing price for preferred stock therefore cannot automatically be applied to an employee’s common shares.
An Amazon SEC Form 10-Q for the quarter ended June 30, 2026 illustrates the point without describing an employee plan: Amazon reported investments in OpenAI Series C preferred stock and Anthropic nonvoting preferred stock, as well as convertible notes, each with its own rights and conversion conditions. The filing is evidence that even an outside investor can hold instruments with materially different terms; it is not a valuation of employee awards.

Conversion terms matter
A convertible note may become equity only when specified financing, maturity or other triggers occur. Until then, it is not the same instrument as a share. Read the conversion mechanics, interest, valuation cap or discount if stated in the note, and the treatment in a sale of the company before assigning a value.

Can employees cash out before an IPO?
Sometimes. The two common private-market routes are a company-organized tender offer and an approved secondary sale. Neither route is automatic: eligibility, the security permitted, the price, the amount a holder may sell and the closing date all depend on the company and transaction documents.
| Route | Who controls access? | Price and security | Timing and certainty | Terms to check |
|---|---|---|---|---|
| Tender offer | The company and the offer administrator set eligibility and limits. | The offer states a price for specified securities; it may not cover every class. | Usually a defined acceptance and settlement window, but participation is not guaranteed. | Minimum or maximum shares, proration, company approval, tax withholding and any continuing lock-up. |
| Private secondary sale | The holder, buyer and company must satisfy transfer rules and approvals. | Negotiated or transaction-set price; buyer may seek a particular class or conversion terms. | Can take longer and may fail if consent or a buyer is unavailable. | Right of first refusal, transfer restrictions, conversion, fees, representations and closing conditions. |
| IPO or other public liquidity event | The company, underwriters and market determine when and how trading begins. | Public price discovery applies only after listing; pre-IPO securities may be locked up. | Potentially larger market, but the event, price and access are uncertain. | Lock-up period, registration, blackout rules, trading windows, taxes and market volatility. |
Available reporting establishes that tenders and secondaries can provide liquidity, but it does not establish a universal fee schedule or tax result. Compare the actual offer documents rather than relying on a generic percentage.
What do recent AI-company transactions show?
The Information estimated in 2026 that employees and investors in OpenAI and Anthropic sold about $14 billion of shares over five years. It reported more than $9 billion in OpenAI employee share sales through tenders and described Anthropic employee share sales in 2025 and 2026. These are reported estimates and examples of access, not a promise that every employee could sell or receive the same price.
The Information also attributed to Carta an estimate of about $1.7 billion in employee sales through tender offers and secondaries in 2025. That figure is a reported third-party estimate, not an independently reviewed Carta publication. Company-sponsored programs can create a route to cash, but they can also limit participation, the number of shares accepted or the security classes eligible.
Why companies may feel pressure to provide liquidity
Caplight CEO Javier Avalos told The Information, “At that point, you start to feel a lot of pressure to provide liquidity to employees,” referring to holders who have vested and held equity for a long time. The pressure reflects a practical problem: employees may need diversification or cash even while management prefers to remain private.

Why can taxes arrive before the cash?
Stock compensation can create a timing mismatch. The Information reported that employees may owe taxes while holding shares they have not been able to sell. The tax result depends on the award, exercise and sale dates, jurisdiction, residence and other facts; there is no single outcome for all employees.
Before exercising or accepting a private-company transaction, map the cash required and the possible tax due. Ask whether withholding will be taken from shares or cash, whether an exercise payment is required, and what happens if the company later delays a sale. A tax professional who can review the actual grant and local rules is the right source for an individual answer.
What does Anthropic’s $380 billion valuation mean for employees?
Anthropic announced on February 12, 2026, that it had raised a $30 billion Series G at a $380 billion post-money valuation. That is Anthropic’s stated financing valuation for that round. It is not a guaranteed employee sale price, a promise that common shares have the same value as the round’s preferred stock, or evidence that an employee can sell immediately.
To connect the announcement to an employee’s position, you would still need the grant documents, current share count, dilution history, class rights, exercise cost, taxes and an available transaction price. Without those inputs, a “windfall” calculation would be speculation.
Anthropic president and co-founder Daniela Amodei told The Information, “It’s a very capital-intensive business to train AI models,” and said public markets could provide capital to frontier AI companies over time. A future listing could create broader liquidity, but it would also introduce market pricing, lock-ups and the risk that the public price differs from the private financing valuation.

Can a company direct part of valuation growth to a public-benefit fund?
Company policy can affect how future equity value is allocated. Anthropic announced that, subject to stockholder approval, 5% of its shares would be committed to its Public Benefit Fund. The company said an additional 2% could be added at the board’s discretion for every 50% increase in company value over a baseline.
The proposal is conditional. Stockholder approval is required, the additional allocation is discretionary, and Anthropic said it would provide more detail on governance and valuation milestones later. An employee should therefore treat this as a stated policy structure, not as a guaranteed reduction or increase in the value of a particular grant.

Use the following sequence before calling an increase a windfall.
- Inventory the award. Record the security type, grant date, total shares or units, vested amount, vesting dates, expiration and exercise price.
- Identify the class. Determine whether the holding is common, preferred, a converted instrument or a right to acquire shares. Note voting, liquidation and conversion terms.
- Reconcile dilution. Request the latest share-count information the company provides and ask how new financing, option pools or conversions affect your percentage.
- Find a real transaction price. Use the price and security specified in an available tender, approved secondary or public sale. If none exists, label the figure as an estimate rather than cash value.
- Model the cash requirement. Include exercise funds, withholding, taxes and fees before deciding how much liquidity you could actually retain.
- Check transfer and timing rules. Confirm company consent, buyer eligibility, settlement date, lock-up, blackout and any post-termination deadline.
- Stress-test the outcome. Consider a delayed IPO, a lower future price, a failed tender, additional dilution and the possibility that you cannot sell when taxes or expenses are due.
What are the most common mistakes?
- Using the post-money headline as a personal price. A post-money number describes the company after a financing, not the net value of your grant.
- Ignoring security rights. Preferred, common, nonvoting and convertible instruments can have different economics.
- Counting unvested awards as owned shares. Unvested portions remain subject to the vesting and employment terms.
- Forgetting dilution. A larger company can issue enough new equity that an individual’s percentage declines.
- Assuming liquidity is continuous. Private shares may be saleable only during a company-approved window, if at all.
- Planning around gross proceeds. Exercise costs, taxes and transaction charges reduce what reaches your bank account.
- Treating a reported estimate as a promise. Media estimates of aggregate sales do not establish your eligibility, price or result.
What should a realistic windfall claim look like?
A defensible statement is conditional: “If my vested shares remain in this class, dilution is as stated, the company permits a sale at the offered price, and my taxes and exercise costs are covered, the transaction could produce these net proceeds.” That wording keeps the assumptions visible.
An indefensible statement is “The company is worth $X, so my grant is worth $Y.” It skips the security class, cap table, liquidity and costs that determine whether paper appreciation ever becomes money.

Frequently Asked Questions
What documents should I gather before valuing a private-company grant?
Collect the grant or purchase agreement, vesting record, current statement of vested shares, exercise instructions, and any tender or secondary-sale notice. Also request the company’s explanation of the relevant share class and the date of the valuation or transaction you are using.
What does an IPO lock-up do to an employee’s ability to sell?
A lock-up can prohibit insiders or early holders from selling for a specified period after public trading begins. The shares may have a quoted market price during that period, but the holder still cannot turn them into cash until the restriction expires or is waived.
How can I verify that a quoted private-share price applies to my award?
Check whether the quote names the same security class, transaction date and conversion terms as your grant. A company tender document or executed secondary agreement is more relevant to your position than a headline valuation reported for a different financing.
What questions should I ask before accepting a tender offer?
Ask how many shares are eligible, whether participation can be reduced, when and how proceeds will be paid, and which taxes or fees will be withheld. Confirm what happens to unsold shares and whether accepting affects future transfer or lock-up rights.
