SaaS companies that add payments, wallets, cards or deposit-like features remain accountable for the risks those products create, even when a bank or licensed fintech performs regulated work. The practical answer is to treat embedded finance as a formal bank–fintech third-party relationship: map every product flow and jurisdiction, assign each compliance and fraud control to a named entity, put the allocation and evidence requirements in contracts, and monitor the arrangement throughout its life.
Before launch, establish risk-based customer identification, sanctions screening, authentication, transaction monitoring, investigation and payment-response controls. Then test data coverage, model performance, vendor resilience and reporting access on a schedule. U.S. regulators describe this lifecycle as planning, due diligence and selection, contract negotiation, ongoing monitoring, and termination—not a one-time vendor check.

What does embedded finance mean for a SaaS company’s legal and operational responsibility?
Embedded finance is the delivery of financial products inside a non-bank software experience. A SaaS platform may present the interface and own the customer relationship while a sponsor bank or licensed fintech supplies accounts, payment rails, card issuing, money movement or compliance operations. That division changes who performs a task, but it does not automatically transfer the SaaS company’s regulatory, consumer-protection or third-party-risk responsibilities.
U.S. banking agencies’ July 25, 2024 joint statement describes arrangements in which banks use third parties to deliver deposit products and services, commonly called banking-as-a-service or embedded finance. The agency guidance treats these arrangements as third-party relationships that require governance before launch and through wind-down.

- POWERFUL SECURITY KEY: The YubiKey 5C NFC is the most versatile physical passkey, protecting your digital life from phishing attacks. It ensures only you can access your accounts
- WORKS WITH 1000+ ACCOUNTS: Compatible with popular accounts like Google, Microsoft, and Apple. A single YubiKey 5C NFC secures 100+ of your favorite accounts, including email, password managers, and more
- FAST & CONVENIENT LOGIN: Plug in your YubiKey 5C NFC via USB and tap it, or tap it against your phone (NFC), to authenticate. No batteries, no internet connection, and no extra fees required
- MOST SECURE PASSKEY: Supports FIDO2/WebAuthn, FIDO U2F, Yubico OTP, OATH-TOTP/HOTP, Smart card (PIV), and OpenPGP. That means it’s versatile, working almost anywhere you need it
- PRIMARY & SPARE KEYS: Just like having a spare house key, we recommend buying two YubiKeys - one for daily use and one as a spare. That way you’ll never get locked out of your accounts
- Accountability follows the activity. The party that performs customer identification, sanctions screening, transaction monitoring, dispute handling, reporting or record retention must be identified, but the SaaS company still needs oversight and evidence that the control works.
- The product boundary matters. A stored-value wallet, card program, instant payout, account-to-account transfer and deposit account can trigger different licensing, consumer-disclosure, funds-flow and reporting obligations.
- Geography matters. Federal banking and financial-crime expectations are only part of the analysis. State money-transmission, privacy, lending, escheatment and consumer-protection rules may apply, and international users can add another legal perimeter.
Build a written responsibility matrix before engineering commits to a launch date. If a control is described only as “the partner handles it,” an auditor or regulator cannot tell who approves exceptions, receives alerts, preserves records or answers customers.
How should a SaaS company map its products, funds flows and jurisdictions?
Start with an inventory that follows money and data from onboarding through closure. The inventory is the foundation for choosing controls and proving that monitoring populations are complete.

- List every customer type, including businesses, their authorized users, beneficial owners, payers and recipients.
- Show where funds originate, which accounts or ledgers hold them, every payment rail used, settlement timing, reversals, refunds and final destination.
- Identify the entity that legally holds funds, issues an account or card, executes a payment, makes a credit decision or sends a required notice.
- Mark data elements collected at sign-up, during a transaction and during investigations, including identity documents, device signals, transaction metadata and support records.
2. Mark regulatory triggers
For each flow, record the product, legal entity, state or country, customer segment, transaction limits, currencies, payment rail and applicable obligations. Include sanctions screening, suspicious-activity escalation, consumer error and dispute rules, privacy and retention requirements, tax or information reporting, and any licensing condition. Revisit the map when a new rail, country, customer type or subcontractor is added.
3. Assign control ownership and evidence
| Control area | Questions to answer in writing | Evidence to retain |
|---|---|---|
| Customer identification and verification | Who verifies individuals, businesses and beneficial owners? Which risk tiers receive enhanced review? | Collected data, verification results, overrides, reviewer and timestamp |
| Sanctions and watchlist screening | Which lists, names, aliases and payment parties are screened, and who resolves potential matches? | Screening configuration, match decisions, escalation and audit trail |
| Transaction monitoring | Who owns rules, models, thresholds, exclusions and alert investigations? | Rule versions, alert population, disposition, case notes and approvals |
| Disputes and suspicious activity | Who receives customer claims, files required reports and controls access to sensitive reports? | Case chronology, communications, filings, access logs and retention record |
| Incident response | Who can pause a rail, notify users, investigate a compromise and restore service? | Incident tickets, decisions, notifications, root-cause analysis and remediation |
How do you choose and contract with a sponsor bank or fintech partner?
Use the regulator-described lifecycle: planning, due diligence and selection, contract negotiation, ongoing monitoring and termination. Treat a partner as a critical service provider when its failure could block payments, expose customer data or interrupt required reporting.
Planning
Define the product’s risk appetite, prohibited use cases, customer eligibility, transaction limits, countries served, service-level objectives and exit assumptions before soliciting proposals. Decide which activities the SaaS company will perform itself and which require a licensed institution or specialist provider.
Due diligence and selection
Request evidence rather than marketing descriptions. Evaluate licensing and regulatory perimeter; the maturity of KYC, KYB and sanctions programs; fraud-model performance and explainability; investigation and suspicious-activity-report workflows; data residency and retention; API uptime; incident history; subcontractors; customer-support ownership; and the ability to provide data promptly for audits or investigations.

Contract negotiation
The agreement should name each control owner, required procedures, service levels, escalation clocks, reporting duties and evidence formats. Include rights to audit and test, receive independent-assurance reports, approve material subcontractors, access data and logs, require remediation, and terminate for regulatory or security concerns. Specify who can place and release holds, communicate with customers, handle reimbursement or disputes, and preserve records after termination.
Ongoing monitoring
Set a review cadence based on risk, not convenience. Track service-level breaches, alert backlogs, unresolved sanctions matches, verification failure rates, fraud losses, complaints, model changes, access violations, security incidents and subcontractor changes. Require management reporting that distinguishes the partner’s performance from the SaaS company’s own control performance.
Termination and wind-down
Maintain an executable exit plan before launch. It should cover customer notices, funds reconciliation, data export and deletion, record retention, open investigations, disputes, reporting responsibilities, replacement providers and a contingency if the partner fails suddenly. Test the plan with a tabletop exercise; a contractual termination right is not a recovery strategy unless the company can operate during the transition.
What identity and access controls reduce account takeover and payment fraud?
Layer controls so that a stolen password is not enough to create an account, change a payout destination or release an irreversible payment. The OCC’s Fall 2024 Risk Perspective identifies authentication and customer identification and verification as core fraud controls.
Recommended Free Tools
- Risk-based KYC and KYB: Verify individuals, legal entities and beneficial owners using a documented risk tier. Apply enhanced review to higher-risk geographies, products, unusual ownership structures or rapid changes in activity.
- Phishing-resistant administrator authentication: Require hardware-backed security keys or equivalent passkeys for privileged users, prohibit shared accounts, and enforce step-up authentication for payout, API-key, beneficiary and permission changes.
- Least privilege: Separate support, operations, engineering, investigation and approval roles. Make access time-limited where practical, review it periodically and revoke it promptly when a person or vendor changes roles.
- Device and session signals: Record new-device, impossible-travel, emulator, velocity and anomalous-session indicators. Combine signals with transaction context rather than blocking solely on a single score.
- Change protection: Send out-of-band notices for password, email, phone, bank-account and payout changes. Use cooling-off periods or manual review for high-risk destination changes.
Document who can override a verification result and require a reason, approver and timestamp. Overrides without an audit trail become an unmonitored path around the program.
How should transaction monitoring and suspicious-activity investigations work?
Monitoring must cover the complete in-scope population, not only transactions that pass through a convenient API. Define rules and model thresholds, test coverage, review exclusions and exceptions, tune false positives and preserve investigation evidence.

Build a coverage inventory
Reconcile the monitoring input to the product and ledger inventory. Confirm that new rails, currencies, legal entities, reversed transactions, failed payments, refunds, employee activity and partner-originated events are included or explicitly excluded with an approved rationale.
Set and test detection logic
Use scenarios appropriate to the product, such as rapid account creation followed by high-value payouts, unusual changes in beneficiaries, transaction splitting, sudden geographic shifts, mule-like receiving patterns and bursts of failed authentication. Establish thresholds, review windows and escalation criteria. Test known scenarios, edge cases and negative cases, then record the outcome and any tuning decision.
Run an evidence-based case process
Investigators need the alert trigger, customer profile, linked accounts, transaction history, device and session data, communications, analyst reasoning, approvals and final disposition in one case record. Limit access to suspicious-activity-report information to authorized personnel, log every access and prevent customer-support tools from exposing confidential reporting details.
The OCC specifically calls for open communication between bank departments researching unusual activity. Your operating model should provide an equivalent path among the SaaS risk team, partner investigators, customer support, security and legal, with named escalation contacts and response deadlines.
How do you respond to fast, irreversible payments without harming legitimate users?
Fast payment products need a response process designed for minutes and hours, not only monthly reviews. The OCC warns that streamlined capabilities and the irreversible or irrevocable nature of some payments can be exploited by criminals.
- Detect: Generate real-time or near-real-time signals for compromised credentials, anomalous devices, beneficiary changes and transaction velocity.
- Contain: Apply proportionate holds, step-up verification or temporary limits. Define who can pause a payment rail and the maximum duration without a second-level review.
- Contact: Notify the customer through a trusted channel, never using contact details supplied in a suspicious request. Give a safe path to confirm or deny activity.
- Investigate: Preserve logs and payment messages, link related accounts and coordinate with the bank or rail operator. Escalate suspected criminal activity and required reporting promptly.
- Resolve: Release, reject or reverse the payment when permitted; handle reimbursement and error claims under the applicable product rules; and explain the decision without disclosing detection methods.
Measure time to detect, investigate and resolve, as well as false-positive rates and repeat compromise. Indiscriminate freezes can create financial harm and support failures, so make controls risk-based and provide a documented appeal path.

How should SaaS companies govern data, models and third parties?
Many compliance failures are data-governance failures. The BSA/AML risk highlighted by regulators includes excluded customers or transactions, stale due-diligence records and weak access controls around suspicious-activity reports.
- Reconcile source systems, ledgers and monitoring feeds on a defined schedule; investigate missing, duplicated or delayed records.
- Refresh customer due diligence when risk, ownership, address, product use or transaction behavior changes, not only at account opening.
- Maintain a data dictionary that identifies the authoritative source, transformation, owner, retention period and permitted use for every critical field.
- Validate models before deployment and after material changes. Test discriminatory or unstable outcomes, document limitations, obtain independent review where appropriate and monitor drift.
- Apply secure development, acquisition review, maintenance and change-management controls to financial features and their interconnected assets. Require third parties to follow equivalent practices and to notify you of material changes.
Record approvals, model versions, rule changes, test results, exceptions and remediation. A dashboard showing a low alert count is not evidence that the underlying population was complete or that the model remained effective.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Which metrics show whether the program is working?
Use a balanced dashboard that combines prevention, detection, response, customer impact and partner reliability. No universal embedded-finance fraud-loss percentage is established in the cited U.S. regulatory material, so do not use an invented industry benchmark as a target.
| Area | Useful measures |
|---|---|
| Identity | Verification completion and failure by risk tier, manual-review aging, override volume and privileged-access review completion |
| Monitoring | Population reconciliation, alert-to-case conversion, false-positive rate, investigation aging, quality-review findings and reporting timeliness |
| Payments | Time to detect, hold, investigate and resolve; confirmed fraud rate; unauthorized-payment claims; reimbursement or dispute aging |
| Resilience | API availability, incident duration, recovery-test results, data-reconciliation breaks and partner service-level breaches |
| Governance | Overdue due-diligence reviews, open audit findings, unapproved subcontractors, model-validation exceptions and policy attestation completion |
How often should legal and regulatory obligations be refreshed?
Maintain a living obligations register by product, entity and geography. Assign an owner to monitor federal banking agencies, the Financial Crimes Enforcement Network, the Consumer Financial Protection Bureau and state regulators, then route changes to product, compliance, engineering and support teams.
The CFPB recorded withdrawals of multiple guidance documents on May 12, 2025. That change makes version control especially important: a document that once informed a design may no longer be current, while another requirement may apply through a different agency or state rule. The CFPB’s January 14, 2025 compendium can help index topics, but it is not a substitute for current legal analysis.
Schedule a formal review at least annually and whenever you add a product, rail, country, customer segment, material partner, model or data use. Keep the prior obligation, interpretation, decision-maker and implementation evidence so an auditor can see why a control changed.

What is a practical launch sequence for an embedded-finance product?
A gated sequence prevents an attractive API demo from becoming an uncontrolled financial service.
- Define scope: Approve the product map, funds flows, jurisdictions, customer types, prohibited use cases and risk appetite.
- Allocate accountability: Complete the control matrix, escalation map, evidence schedule and customer-communication ownership.
- Select and contract: Complete documented partner due diligence, negotiate audit, data, service-level, change and termination rights, and approve subcontractors.
- Build controls: Implement risk-based KYC/KYB, sanctions screening, phishing-resistant privileged access, monitoring, holds, investigations and reporting workflows.
- Test before release: Reconcile monitoring populations, run fraud and sanctions scenarios, test incident communications, validate models and perform a wind-down tabletop.
- Launch with limits: Start with approved countries, customer tiers, rails and transaction caps. Require risk approval for expansion.
- Operate and improve: Review metrics, alerts, complaints, incidents, partner performance, legal changes and model drift on the agreed cadence.
This approach makes the SaaS company’s role visible: it is not pretending to be a bank, but it is governing the financial service that customers experience through its software.
Frequently Asked Questions
Does using a licensed bank eliminate a SaaS company’s AML obligations?
No. The bank may perform specific regulated tasks, but the SaaS company must oversee the arrangement, provide complete and accurate data, monitor its own product behavior and enforce contractual escalation and evidence requirements. The exact allocation depends on the product, entities and jurisdictions.
What should a SaaS company do if its partner will not provide investigation data?
Treat restricted data access as a material onboarding or renewal issue, not a minor service defect. Use contractual audit and information rights, document the gap and require a remediation deadline; if the partner cannot support required reporting or investigations, activate the approved exit plan.
How can a small SaaS team staff embedded-finance compliance?
Keep accountability with named internal owners even when execution is outsourced. A lean team can use a risk-based scope, independent testing and specialist support, but it still needs decision authority, documented approvals, customer-communication capability and access to timely partner evidence.
Should every suspicious transaction automatically be blocked?
No. Blocking rules should reflect the signal, customer risk, payment speed and potential harm. Use graduated controls such as step-up verification, limits or manual review, with clear release criteria and an appeal path for legitimate customers.
