To check whether a GameStop insider bought stock, search GameStop Corp. or CIK 0001326380 in the SEC’s EDGAR company search, filter for Form 4 filings, and inspect the transaction table and footnotes. A Form 4 entry alone is not proof of an open-market purchase: grants, option exercises, tax withholding, transfers, and other events can also change reported ownership.
How do I find GameStop Form 4 filings on EDGAR?
Use the SEC’s EDGAR company-search interface and identify the issuer as GameStop Corp. Its CIK, 0001326380, is a stable identifier for finding the company’s filing records. Search by the company name or CIK, then filter the filing list to Form 4.

- Filter the filing list to Form 4. Include 4/A filings in your search. The “/A” identifies an amendment that may correct or supplement an earlier filing.
- Open the filing detail page and select its HTML or XML document.
- Confirm the issuer, reporting person, that person’s relationship to the issuer, filing date, and period of report before interpreting the transaction.
Form 4 is the principal filing for most changes in beneficial ownership reported by Section 16 insiders. A current GameStop example is accession 0001840485-26-000008, filed September 21, 2026. Treat that as an example of a filing record, not as evidence by itself that the reported transaction was an open-market purchase.
Which part of a Form 4 shows whether shares were bought?
Start with the non-derivative transaction table, which reports transactions in securities such as common stock. Review the row’s transaction date, transaction code, number of securities acquired or disposed of, price, and amount owned after the reported transaction. Then read every footnote attached to the filing before classifying the entry.

- 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.
- Transaction date: When the reported transaction occurred. Do not substitute the filing date for this date.
- Transaction code: A code describing the transaction type. Code P is a signal to investigate a purchase, not a stand-alone guarantee that the insider bought shares on the open market.
- Shares and price: Check the number of securities and the reported price together. A share acquisition without the context of its transaction type may be misleading.
- Ownership following the transaction: Compare the reported post-transaction holding with the transaction amount. This helps put the change in the insider’s reported holdings into context.
- Footnotes: Read explanations attached to the transaction or ownership entries. They may clarify whether an entry involved an award, exercise, withholding, transfer, or another circumstance.
Also check the derivative table when the filing reports options or other derivative securities. A derivative transaction can be associated with an acquisition of shares, but that does not automatically make it a discretionary purchase in the market. The transaction code, relevant tables, and footnotes need to be read together.
Does transaction code P mean a GameStop insider bought shares on the open market?
No. Code P is the starting point for a purchase review, but you still need to determine what kind of purchase the row describes. Check the price and share fields, any relevant derivative entry, and all explanatory footnotes before calling it an open-market purchase.

A row coded P, with a transaction date and price per share, is a reason to examine the filing more closely. Verify that the entry concerns the securities you think it does, and that the footnotes do not identify a different arrangement or qualification. The table must be interpreted in its filing context rather than by code alone.

Entries that can look like buying but are not open-market purchases
- Award or grant: An insider’s holdings can rise through a company award without the insider buying shares in the market.
- Option exercise or derivative conversion: Shares can be acquired when an option is exercised or a derivative is converted. That is different from an ordinary market purchase, even though the reported holdings may increase.
- Tax withholding or share surrender: A disposition can be connected to vesting or tax withholding rather than a voluntary sale in the market.
- Transfer or reclassification: Reported ownership can change because shares move between ownership categories or are reclassified, not because the insider made a market trade.
These distinctions matter because the number of shares alone does not establish that an insider committed cash to a discretionary purchase. If the transaction’s nature is unclear after reviewing the tables and footnotes, describe it as an acquisition or ownership change reported on Form 4, rather than asserting that it was an open-market buy.
Why are the trade date and filing date different?
Record both dates. Under the SEC’s Form 4 instructions, the filing generally must be made before the end of the second business day after execution of a transaction that changes beneficial ownership. That reporting window means a recent trade may appear in EDGAR after it occurred; a filing is not necessarily an instant notice of the transaction.
Use the transaction date to identify when the reported trade took place and the filing date to identify when the report reached the SEC. The period of report and the filing detail page provide additional context, but they do not make those two dates interchangeable. When comparing filings, state which date you mean so readers can distinguish transaction timing from disclosure timing.

How should I compare two or more GameStop insider filings?
Use the same set of checks for every filing. This keeps a large grant or exercise from being mistaken for a cash purchase and makes differences in timing, role, and reported ownership easier to see.
- Classify the transaction. Decide whether the entry describes an open-market or private purchase, or instead a derivative, award, withholding, transfer, or other administrative event. Use the transaction code, tables, and footnotes together.
- Separate trade date from filing date. Record both dates for each filing rather than sorting or describing the transaction using only one.
- Compare shares and price. Note the number of securities and the reported transaction price. Do not treat share count alone as evidence of the amount or nature of an insider’s investment.
- Check resulting ownership. Review the securities owned following the reported transaction and consider the change in relation to the insider’s reported holdings.
- Identify the insider’s role. Confirm the reporting person and their stated relationship to GameStop; transactions by people with different roles are not automatically comparable.
- Read the footnote explanation. Keep the filing’s explanation with the transaction when summarizing it, and check whether a later 4/A amended the record.
A Form 4 documents a reported transaction or change in beneficial ownership. On its own, it does not establish why the insider acted, provide a recommendation, or show how GameStop’s stock price will move.
What should I do if a Form 4/A appears?
Treat Form 4/A as an amended filing and connect it to the filing it revises. Review the amended document rather than relying on an earlier version alone, then note what information the amendment corrects or supplements. Keep the original and amendment associated in your records so you do not count the same reported transaction twice when comparing filings.

It can show a reported ownership transaction, its date and type, certain share and price details, the reporting person, and ownership following the transaction. These details help establish what was disclosed and when.
It does not, by itself, establish the insider’s motive, whether the transaction reflects a view about future performance, or what GameStop’s stock will do next. Keep any summary narrow: describe the filing and its transaction details, and avoid turning a disclosure into a forecast or recommendation.

Frequently Asked Questions
Who has to report insider transactions on Form 4?
The relevant Section 16 insiders generally include company officers, directors, and beneficial owners of more than 10% of a class of securities. Check the reporting person’s relationship as stated in the filing rather than assuming every shareholder is covered.
Can a Form 4 report options as well as common stock?
Yes. Forms 3, 4, and 5 can cover common stock and derivative securities, including options, warrants, and convertible securities. That is why an acquisition shown in a filing may relate to a derivative transaction rather than a market purchase.
Is EDGAR the only place to look up insider transactions?
No. Investor.gov notes that third-party websites also provide insider ownership and transaction information. For confirmation, use the SEC filing itself, including any amendment and its footnotes.
