Primis Financial’s adjusted operating net income rose 211% year over year for the nine months ended September 30, 2026, to $22.3 million, or $0.90 per diluted share. That improvement does not mean reported earnings increased: GAAP nine-month net income fell to $25.4 million from $31.9 million because the prior-year period included much larger investment gains.
The operating recovery was driven mainly by a wider core banking margin and disciplined funding costs. In the third quarter, net interest margin reached 3.66%—or 3.59% after removing a $0.7 million loan-recovery benefit—while mortgage conditions cut the retail pipeline and pushed Primis Mortgage to a small pretax loss.

Why did adjusted nine-month earnings rise 211% while GAAP income fell?
The 211% figure compares operating net income after removing investment gains and other nonrecurring items, not statutory GAAP profit. Primis Financial Corp. (NASDAQ: FRST) reported higher quarterly earnings, but its nine-month GAAP result declined because investment gains were unusually large in the 2025 comparison period.
What the two earnings measures show
| Measure | Nine months ended Sept. 30, 2026 | Nine months ended Sept. 30, 2025 | Year-over-year change |
|---|---|---|---|
| GAAP net income available to common shareholders | $25.4 million; $1.03 diluted EPS | $31.9 million; $1.29 diluted EPS | Down $6.5 million |
| Adjusted operating net income | $22.3 million; $0.90 diluted EPS | $7.2 million; $0.29 diluted EPS | Up 211% |
The adjustment removed $5.9 million of 2026 investment gains, $32.0 million of 2025 investment gains and other nonrecurring items. Because the earlier period had a much larger gain to exclude, the operating comparison shows the underlying banking rebound more clearly than the GAAP year-over-year change.

Primis describes operating income, core margin and related measures as non-GAAP metrics. They are useful for tracking recurring trends, but they are not standardized across banks and should be read alongside the audited GAAP figures rather than used as a replacement.
How much did net interest margin improve in Q3 2026?
Net interest margin expanded materially, even after adjusting for a one-time recovery. Reported Q3 net interest income was $36.3 million, up 25% from $29.0 million a year earlier; excluding the recovery, net interest income was $35.6 million, up 23%.
Reported and recovery-adjusted margin
| Metric | Q3 2026 | Q3 2025 or comparison |
|---|---|---|
| Reported net interest margin | 3.66% | 3.18% |
| Margin excluding $0.7 million loan recovery | 3.59% | Not stated |
| Yield on earning assets | Up 22 basis points sequentially; up 30 basis points year over year | — |
| Cost of interest-bearing deposits | 2.70% | 2.88% |
| Cost of funds | 2.47% | 2.62% |
Management attributed the expansion to growth in earning assets funded at attractive incremental margins. Lower deposit and funding costs, growth in noninterest-bearing deposits and expense discipline in the Core Bank also helped widen the spread between asset yields and funding expenses.
Chief executive Dennis J. Zember Jr. said the 3.59% core margin increased 14 basis points from the preceding quarter, describing the result as evidence that the Core Bank franchise is producing gradual growth at attractive margins. The adjusted figure is the better gauge of recurring quarterly performance because the $0.7 million recovery will not necessarily repeat.

Did mortgage weakness offset the core-bank margin gains?
Mortgage conditions reduced the benefit but did not erase it. Higher rates cut Primis Mortgage’s retail pipeline by 37% from the second quarter and reduced mortgage revenue by $2.3 million, according to management.
Production remained higher, but profitability deteriorated
- Primis Mortgage closed $347 million of loans in Q3 2026, 12.5% more than in Q3 2025.
- The segment recorded an approximately $0.3 million pretax loss, compared with $1.9 million of pretax earnings a year earlier.
- The combination shows why volume growth alone did not protect earnings: the pipeline and revenue mix weakened as rate-sensitive demand deteriorated.
The Core Bank therefore supplied the quarter’s main earnings support, while mortgage acted as a drag. A sustained period of high mortgage rates would keep this offset in place unless production, pricing or the segment’s cost base improves.

What do the warehouse, Panacea and digital balances add?
Mortgage warehouse balances were $501 million at September 30, 2026, up 53% from a year earlier. Primis also reported $603 million of Panacea loans held for investment and $207 million of Panacea deposits; the platform served more than 7,500 professionals and practices nationwide.
The digital platform held approximately $1.0 billion of deposits at a 3.80% cost, down from 4.07% a year earlier. Small-business balances reached $54 million at September 30, 2026. These businesses broaden the funding and lending base, although the earnings release does not assign a separate profit figure to each activity.

Are Primis Financial’s credit and capital metrics supportive?
Credit indicators improved while the balance sheet continued to grow. Loans held for investment and deposits both increased year over year, and nonperforming assets declined when SBA-guaranteed portions were excluded.
| Balance-sheet or credit measure | Sept. 30, 2026 | Comparison |
|---|---|---|
| Loans held for investment | $3.5 billion | Up 9% year over year |
| Total deposits | $3.5 billion | Up 4% year over year |
| Nonperforming assets, excluding SBA-guaranteed portions | 1.43% of total assets | 2.07% a year earlier |
| Provision for credit losses | $1.1 million | Primarily reflected loan growth |
| Core net charge-offs | 17 basis points | For the reported period |
| Tangible book value per common share | $13.81 | Up 18% year over year |
| Tangible common equity to tangible assets | 8.14% | At Sept. 30, 2026 |
The lower nonperforming-asset ratio and modest provision are constructive, but loan growth can eventually require higher reserves if economic conditions weaken. The 8.14% tangible-common-equity ratio and higher tangible book value provide a capital cushion for continued expansion, subject to normal regulatory and credit considerations.

Management has outlined scenarios rather than a firm forecast. On the earnings call, it described roughly $4 million of annualized mortgage fixed-cost reductions and said annual mortgage volume could fall from about $1.6 billion to $1.1 billion if elevated rates persist.
Two separate savings levers
- Mortgage restructuring: Approximately $4 million of annualized fixed-cost reductions are a management estimate intended to protect the segment if volume contracts.
- Company-wide vendor changes: Primis expects about $3.0 million of annualized savings from vendor consolidation and statement services beginning in early 2027.
Neither figure is a realized 2026 benefit. Investors will need to see the timing of implementation, one-time transition costs and whether savings reach the income statement without damaging production capacity or service levels.

What should investors take from the FRST quarter?
The results point to a two-speed earnings profile. Core banking is generating stronger spreads through loan growth, cheaper deposits and expense control, while mortgage profitability remains exposed to interest-rate-sensitive demand.
- Use the 3.59% recovery-adjusted margin, not only the 3.66% reported margin, when assessing recurring performance.
- Separate the 211% operating-income increase from the lower GAAP nine-month result; the two measures answer different questions.
- Track whether retail mortgage pipelines stabilize before assuming the $347 million quarterly production level is sustainable.
- Watch credit costs as the $3.5 billion loan book expands, even though nonperforming assets improved.
- View the planned 2027 savings as an additional earnings lever, not as money already earned.
The board also declared a $0.10-per-share dividend payable November 20, 2026, to shareholders of record November 6, 2026. Primis said this was its 60th consecutive quarterly dividend, adding a shareholder-return signal to a quarter otherwise defined by margin expansion and mortgage-rate risk.

FAQ
What does a 14-basis-point linked-quarter margin increase mean?
It means the percentage-point spread between earning-asset yields and funding costs widened by 0.14 percentage points from the preceding quarter. For a bank, even a small margin change can materially affect earnings when applied across billions of dollars of earning assets.
Why can mortgage loan closings rise while mortgage profit falls?
Closings measure funded volume, not the revenue earned on each loan. Pricing pressure, fewer high-margin originations, pipeline cancellations and fixed operating expenses can reduce profit even when total funded volume is higher.

Does the quarterly dividend guarantee future payments?
No. A declared dividend is payable on the stated date to the stated record-date holders, but future dividends require a new board declaration. Earnings, capital requirements, credit losses and regulatory conditions can affect later decisions.
Which figures would show that the 2027 savings plan is working?
Look for lower noninterest expense in reported quarters, an explanation of any implementation charges and evidence that service levels and mortgage capacity remain intact. Management should also identify how much of the planned savings is recurring rather than a one-time reduction.
