Frasers Group crossed the 50% ownership threshold in HUGO BOSS on 23 October 2026, giving it shareholder-level control of the German fashion company. Frasers reported a 50.08% holding after buying 198,666 additional shares for €7,630,761 and said HUGO BOSS is expected to become a subsidiary whose earnings, assets and liabilities will be consolidated into Frasers’ accounts.
What happened when Frasers crossed 50% of HUGO BOSS?
Frasers Group became the majority shareholder of HUGO BOSS on 23 October 2026. The threshold transaction increased Frasers’ direct holding to 34,468,065 shares, equal to 50.08% of HUGO BOSS’s total share capital. The remaining approximately 49.92% is held by other shareholders.

Does majority ownership make HUGO BOSS a Frasers subsidiary?
Frasers said HUGO BOSS is expected to become a subsidiary. That means Frasers expects to consolidate HUGO BOSS’s earnings, assets and liabilities in its group financial statements rather than treating the investment only as a minority holding.
The 23 October announcement reproduced figures from HUGO BOSS’s unaudited six-month 2026 financial statements. For the six months ended 30 June 2026, HUGO BOSS reported revenue of €1,810.0 million and EBITDA of €272.0 million. Its gross assets were €3,532.0 million and net assets were €1,634.0 million at that date. These are reported historical figures, not forecasts for the combined group.

What control does Frasers have, and what does it not control directly?
More than half of the voting shares gives Frasers control at shareholder level, including the ability to influence resolutions that require a simple majority. It does not erase Germany’s two-tier corporate structure.
- HUGO BOSS’s Management Board remains responsible for running the company’s day-to-day business.
- The Supervisory Board continues to oversee the Management Board under German corporate law.
- Frasers itself warned that this structure may limit its direct operational influence despite majority ownership.

How much additional economic exposure does Frasers have?
Frasers disclosed interests in up to 15,050,100 HUGO BOSS shares through sold put options, representing up to 21.87% of total share capital. Those contracts create economic exposure to the shares but are not the same as shares Frasers already owns, so they should not be added to the 50.08% direct holding.
