Bankruptcy does not automatically erase an esports organization’s tournament permission, nor does it guarantee that a buyer keeps a league slot. In a U.S. case, the filing places the debtor’s existing property interests in the bankruptcy estate, while contracts are handled under separate rules. A professional team’s participation agreement, a community-event license and the publisher’s game and branding rights are different things. The result depends on who granted the right, whether it was still effective on the petition date, whether the agreement is executory, what the court permits, and whether the publisher has an independent contractual reason to terminate. Rejection of a contract is a breach, not a magic cancellation: the Supreme Court has said, “A rejection breaches a contract but does not rescind it.” That principle still does not turn a personal, revocable license into an asset a new owner can freely use.
What is the difference between an esports organization and a tournament license?
An esports organization is a legal entity. It may own cash, equipment, trademarks, team names, media files, receivables and contract rights. A tournament license is permission granted by a publisher, league or other rights holder under defined conditions. The organization and the permission can have different owners, different end dates and different bankruptcy treatment.

- Who is the debtor? The petitioning company, not every team, parent company or affiliate using its brand, is the estate owner.
- What did that debtor actually own or hold on the filing date? Property interests enter the estate under 11 U.S.C. § 541, but only to the extent the debtor had a legal or equitable interest.
- What power remains with the publisher or league? A publisher may own the game, official marks and competition format, and may reserve approval, conduct and termination rights in its agreement.
A team can therefore own its jersey mark but merely hold a non-transferable right to compete. Conversely, a league may owe a debtor money under a participation agreement while retaining the power to approve the team entity, roster, venue or broadcast. Calling both situations a “slot” hides the contract questions that decide the case.

What rights can enter the bankruptcy estate?
The estate generally receives the debtor’s interests as they existed when the petition was filed. That can include a lease, receivable, equipment, domain name, trademark, media library or a live contractual right. It does not include the publisher’s copyright in the game, a league slot that was never granted to the debtor, or a future renewal that depended on a new approval.
The filing also triggers the automatic stay for actions covered by 11 U.S.C. § 362. A creditor ordinarily cannot continue collection or seize estate property while the stay applies, although statutory exceptions and court orders matter. The stay does not decide whether a contract was already terminated before filing, and it does not rewrite a publisher’s license terms.

If a league sent an effective termination notice before the petition date, the debtor may have only a damages claim rather than a live participation right. If termination was ineffective, disputed or conditioned on a post-filing act, the debtor may hold an estate interest that cannot be taken without following bankruptcy procedure. Courts examine the notice, cure periods, governing law, course of dealing and the exact date on which the right ended.
Does filing for bankruptcy automatically cancel a tournament license?
No. A bankruptcy petition is not, by itself, a universal license-cancellation event. A filing can affect performance and enforcement, but the license survives or ends according to its contract, applicable nonbankruptcy law and bankruptcy orders.
Many agreements contain an insolvency or bankruptcy-trigger clause. Section 365 limits the effect of certain clauses that terminate or modify a contract solely because a party filed bankruptcy or became insolvent. That limitation is not a blanket immunity. A publisher may still rely on an independent breach, failure to pay, loss of required personnel, misconduct, expiration, failure to meet competitive criteria or a separate termination right reserved in the agreement.
Riot’s published League of Legends community-competition policy illustrates the distinction. The August 2026 policy gives qualifying organizers a conditional, personal, nonexclusive, nonsublicensable, nontransferable, revocable and limited license to run specified events. It says, “In most cases, organizers will no longer need to wait for Riot approval to run an event,” but the same policy imposes conditions, restricts sponsor categories and official branding, limits certain broadcasts and reserves Riot’s ability to intervene. The policy is not a franchise slot, and Riot states that professional League teams operate under separate agreements. Read the current policy at Riot’s community-competition guidelines.

How do assumption and rejection under section 365 work?
Executory contracts—agreements where both sides still owe meaningful performance—are handled through section 365. A debtor may seek court approval to assume a contract, reject it or, where legally permitted, assume and assign it. The choice is not automatic at filing.
Assumption
Assumption normally requires the debtor to cure monetary defaults or provide a prompt cure, compensate the counterparty for certain losses and provide adequate assurance of future performance. A publisher may demand proof that the reorganized team can pay entry fees, meet production standards, field an eligible roster and comply with integrity rules. The court evaluates the statutory requirements, not merely the buyer’s promise that the slot is valuable.
Rejection
Rejection lets the debtor stop performing a burdensome contract, subject to court approval. The counterparty generally receives a pre-petition breach claim measured under applicable law. Rejection is not rescission, revocation or a court declaration that every right under the contract never existed. The Supreme Court’s decision in Mission Product Holdings v. Tempnology states the rule plainly: “A rejection breaches a contract but does not rescind it.” Read the opinion at the Supreme Court’s 2019 decision.
That holding must be applied carefully in esports. Tempnology involved a debtor licensor and a nondebtor trademark licensee. It protected rights already conveyed to the nondebtor licensee when the licensor rejected. It did not hold that a debtor licensee can automatically assume or assign someone else’s game permission, and it did not eliminate a publisher’s independent revocation rights. Section 365(n)’s specialized intellectual-property framework also does not itself cover trademarks, even though the Court applied the general rejection-as-breach rule to the trademark license in that case.

Assignment
Assumption and transfer are separate decisions. A buyer may want the team agreement, but assignment can be blocked when applicable nonbankruptcy law excuses the nondebtor party from accepting a different counterparty. Section 365(c) has generated differing judicial approaches, so the controlling law of the bankruptcy venue and the agreement’s governing law must be checked. The American Bar Association’s franchise-bankruptcy guide explains why cure, adequate assurance and anti-assignment analysis often decide the outcome.
Can someone buy a league slot from a bankrupt esports team?
A bankruptcy sale can transfer the debtor’s interest in an asset, but it cannot manufacture a publisher’s consent or transfer a right the debtor never owned. Section 363 may allow a sale of estate property, often with court approval and specified bidding procedures. The sale order should identify exactly what is being sold and any contracts being assumed and assigned.

Before treating a “slot” as saleable property, identify:
- the legal team entity named in the league agreement;
- the grantor and whether the right is a franchise interest, a participation contract, a seasonal invitation or a personal license;
- the remaining term, renewal conditions and performance obligations;
- whether the agreement permits assignment and what consent standard applies;
- defaults that must be cured and the buyer’s evidence of future performance; and
- the publisher’s approval, integrity, geographic and roster-control rights.
A court can sell the debtor’s contractual position subject to these limits. It cannot sell Riot’s game copyright, official league trademark or the publisher’s power to approve a new team. A buyer may acquire equipment, social accounts or a team mark while receiving no right to compete until the publisher signs a new agreement.

What is the difference between a professional league agreement and a community tournament license?
A professional participation agreement is negotiated with a league or publisher for a specific team entity, season, region and competition. A community license is a publisher-issued permission for qualifying independent organizers. They should never be treated as interchangeable.
| Question | Professional team or league agreement | Community tournament license |
|---|---|---|
| Who grants it? | A league or publisher under a negotiated agreement with a named team entity. | The publisher under published organizer guidelines. |
| What is held? | Possibly a seasonal participation right, franchise interest or other contractual position; the exact agreement controls. | Riot describes a personal, limited, revocable, nonexclusive, nonsublicensable and nontransferable event-organizing permission. |
| Can it be sold? | Only after analyzing assumption, cure, assignment restrictions, consent and venue-specific law. | The published terms say it is nontransferable; a bankruptcy sale cannot change that term by itself. |
| What does bankruptcy change? | The right may become estate property if still live, while section 365 governs assumption or rejection. | The organizer’s existing permission may be protected from certain collection actions, but its conditions and revocation rights remain. |
| What is not included? | The publisher’s game, league trademarks and independent approval powers. | A professional franchise slot or ownership of the game and official esports ecosystem. |
Riot’s policy also shows why conditions matter. Organizers may be allowed to charge specified fees and stream on an online platform of their choice, yet still face sponsor restrictions, branding rules and intervention rights. Conditional permission is not ownership.
When can a publisher still terminate or restrict competition?
Bankruptcy law does not erase independent contractual conditions. A publisher may have rights tied to conduct, payment, technical compliance, event safety, sponsorship categories, geographic scope, broadcast rules, roster eligibility or expiration. The analysis asks whether the publisher is acting because of the filing itself or because a separate condition occurred.

That line is fact-sensitive. A notice that says “your license ends because you filed” raises a different issue from a notice documenting an unpaid fee, an expired term or a prohibited sponsor. The automatic stay may restrict an action against estate property, but it does not grant the debtor a permanent license. The contract, timing, statutory exceptions and any bankruptcy-court order must be read together.
For a community organizer, the practical risk is higher because the policy is personal and revocable. A trustee or buyer cannot assume that the organizer’s employees, event brand or equipment carry the permission forward. The publisher may require a new organizer application or may decline an event that no longer meets the published conditions.
Why does the petition date matter so much?
The petition date is the legal snapshot for estate property. A live right on that date can be administered in bankruptcy; a right validly terminated beforehand may not be available for sale. Disputes often turn on whether a notice was effective, whether a cure period remained open, and whether termination depended on a bankruptcy filing.
Keep a dated record of the agreement, amendments, renewal notices, payment ledger, termination letters, league announcements and court orders. If a season began before filing but continues afterward, identify which obligations arose before and after the petition. A debtor may have an estate claim for past revenue while still needing court authority and publisher consent for future competition.
What does the 100 Thieves example show?
It shows how a slot can change without a bankruptcy. In a July 18, 2025 account, Riot said 100 Thieves made a business decision in late 2024 to sell its franchise slot back to Riot. Riot then offered a one-year provisional guest arrangement for the 2025 LTA season, without a long-term guarantee, while it sought a long-term North American partner for the 2026 slot. The announcement is available in Riot’s 100 Thieves and LTA notice.
This is a structural example, not a bankruptcy precedent. It does not say a court canceled a slot, that 100 Thieves filed bankruptcy or that every franchise agreement can be returned and replaced with a guest arrangement. The named one-year term is an agreement-specific fact, not an industry statistic.

What does the FTX–Riot bankruptcy order show?
It demonstrates that a bankruptcy case can address sponsorship rights without deciding a team’s competition slot. On January 11, 2023, a Delaware bankruptcy court approved a stipulation under which a Riot–FTX strategic sponsorship agreement was rejected effective December 30, 2022. The stipulation ended specified mutual permissions to use sponsor and Riot marks, while allowing certain already-created footage and materials containing embedded marks to remain usable without implying current affiliation. The order is available here.
That was a court-approved compromise concerning sponsorship and marks. It was not a team or event license, and it does not establish that rejection automatically extinguishes every trademark permission. The lesson is to identify the contract and the rights it covers before drawing a conclusion from a famous bankruptcy.
How should a team, trustee or buyer analyze a real case?
- Map the entities. List the debtor, parent, subsidiaries, team company, league counterparty and publisher. Do not assume a shared brand means shared contractual rights.
- Inventory the rights. Separate owned assets from licenses: team names, marks, domains, equipment, footage, sponsor inventory, league participation and community-event permissions.
- Fix the timeline. Record execution, renewal, default, termination, petition and sale dates. Test whether each right was live at filing.
- Read transfer language. Check anti-assignment clauses, change-of-control provisions, approval standards, governing law and dispute forum.
- Classify the contract. Ask whether it is executory, whether assumption requires cure and adequate assurance, and whether assignment is legally possible.
- Separate filing-based action from independent enforcement. A bankruptcy clause, an unpaid invoice and a conduct violation are not the same legal event.
- Review publisher policies and orders. Current guidelines, stipulations and sale orders may add conditions not visible in a marketing description of the slot.
- Define the buyer’s deliverables. Budget for cure payments, entry fees, staffing, production, integrity compliance and any required publisher approval.
- Protect media and brand rights. Confirm ownership and clearance for footage, music, sponsor marks, player likenesses and archived broadcasts.
- Obtain venue-specific advice. Section 365(c), trademark rules and stay exceptions can be applied differently by courts; a general explanation cannot predict a particular order.
What should readers remember?
Think of bankruptcy as a process for administering the debtor’s existing interests, not as a mechanism that creates esports rights. A live contractual interest may enter the estate, and rejection usually creates a breach claim rather than erasing history. But a personal, revocable or nontransferable permission remains limited by its terms. A buyer receives only what the debtor held, subject to assumption, assignment, cure, consent and the publisher’s independent powers.
For any real organization, the decisive documents are the actual league or publisher agreement, amendments, termination notices, the bankruptcy docket and the court’s orders. Riot’s community guidelines and the examples above help explain the categories; they do not determine an unnamed team’s outcome.
Frequently Asked Questions
Can a bankrupt esports team keep playing during Chapter 11?
Possibly, if its participation agreement remains effective and the court permits continued operations, but the team must keep meeting post-filing obligations and any publisher conditions. The petition alone is neither a guaranteed shutdown nor a guarantee of a full season.
What happens if a league contract says bankruptcy ends the slot?
A clause triggered solely by the filing may be limited by bankruptcy law, while a separate failure to pay, expiration or conduct breach may still support termination. The notice, timing, governing law and court’s stay analysis determine which situation applies.
Does a sale order force a publisher to accept a new esports owner?
No. A sale order can transfer the debtor’s estate interest, but assignment restrictions, cure requirements and applicable nonbankruptcy law may preserve the publisher’s approval role. The purchaser may need a new or amended agreement before competing.
Are tournament footage and sponsor marks included with a team sale?
Not automatically. Ownership and licenses must be traced for each recording, embedded mark, music track, player likeness and sponsor asset; a sale of a team name does not convey rights held by third parties.
Where can organizers check current League of Legends event rules?
Use Riot’s current community-competition guidelines and read every condition on sponsors, branding, broadcasts and intervention. The August 2026 policy applies to qualifying community organizers and expressly does not substitute for professional-team agreements.
