Before signing a cloud contract, require written, measurable answers about responsibility, data location, access, encryption, independent assurance, incidents, resilience, suppliers, changes and exit. A provider’s certificate or sales questionnaire is only evidence for a defined service and date; it is not a blanket security guarantee. Your agreement should identify which controls the provider operates, which your team must configure, where every copy of data is handled, how quickly incidents are reported, what logs and recovery services you receive, and how you can retrieve and verify deletion of your data. Use the checklist below in the request-for-proposal process, then turn the answers into contract clauses, service-level commitments and an evidence schedule.
What should a cloud security contract prove before you sign?
It should let an independent reviewer determine who does what, for which service and region, using what evidence, and what happens when a control fails. The UK National Cyber Security Centre warns that customers must build confidence that a third party will handle data responsibly; it also advises making requirements specific and measurable because generic clauses can add cost and may be unenforceable.

- Control ownership: provider-operated controls, customer-operated controls and the configuration evidence for your tenant.
- Contractual remedies: notification times, audit rights, service levels, corrective-action dates and termination or migration rights.
- Evidence currency: current independent reports, test dates, exceptions, remediation status and a process for receiving updates.
Do not accept a single statement such as “the platform is secure.” Ask for an answer that can be tested against your workload, data classification and legal obligations.
How do I map shared responsibility for the service I am buying?
Start with a control matrix attached to the contract. For every requirement, name the accountable party, the implementation, the evidence supplied and the customer action still required. Responsibility changes with the service model, region, optional features and managed support.

| Service model | Typically operated by the provider | Controls that commonly remain with the customer | Questions to resolve |
|---|---|---|---|
| Infrastructure as a service | Facilities, physical hosts, core networking and hypervisor | Guest operating system, identities, network rules, applications, data and backups | Who patches images, monitors privileged access and secures attached storage? |
| Platform as a service | Infrastructure, runtime and managed platform components | Code, identities, secrets, data classification and configuration | Which runtime settings, dependencies and logs are exposed to you? |
| Software as a service | Application, platform, infrastructure and usually routine patches | Users, roles, integrations, data retention and tenant settings | Can you enforce your identity provider, export audit logs and control retention? |
| Managed service | The specifically delegated operations, which may include administration | Business approval, data decisions, identity governance and oversight | Which administrator actions are authorized, recorded and reviewed by you? |
Evidence to request for each control
- A responsibility matrix that names the control owner and the service component.
- Architecture and data-flow diagrams showing your tenant, trust boundaries and dependencies.
- Configuration exports, sample reports or screenshots demonstrating how the control works in your selected region and tier.
- Test results or management attestations, with the test date and any exceptions.
Have the provider sign the matrix or incorporate it by reference. If an answer says “customer responsibility,” assign an internal owner and record the configuration, monitoring and review interval required to meet that obligation.
Where will our data, backups, logs and support artifacts be stored?
Obtain a location schedule, not just a list of available regions. The schedule should cover production data, replicas, backups, disaster-recovery copies, metadata, telemetry, audit logs, encryption keys and files used by support staff. State the allowed countries or legal jurisdictions and whether any item may leave them.
- Can support engineers, administrators or subprocessors access the environment from another country?
- Are cross-border transfers automatic, optional or prohibited, and what notice or approval right do you have?
- How are lawful-government requests handled, and will the provider notify you unless legally barred?
- What confidentiality duties apply to personnel and contractors, and are they backed by sanctions and training?
- How long are each data type, backup and log retained, and what event starts the deletion clock?
- Can you obtain a deletion certificate or technical evidence after expiry, termination or an unsuccessful migration?
These terms connect geography to privacy, sector regulation and sovereignty. A region selector in a console is not enough if support, telemetry or backup services operate elsewhere. Require notice before a material jurisdiction change and a right to object, terminate or migrate when the change creates unacceptable legal exposure.
How should identity, privileged access and encryption be specified?
Write requirements that can be tested in your tenant. Avoid promises to use “industry-standard security” without naming the mechanism, scope and review evidence.

Identity and access questions
- Can your identity provider federate with the service, and can you require phishing-resistant multifactor authentication for administrators and users?
- Are roles least-privilege by default, with separate administrative and everyday accounts and segregation of duties for sensitive actions?
- Who can access your tenant or plaintext data, under what approval, for what purpose and for how long?
- Are privileged sessions recorded, searchable and reviewed by your organization, and can emergency access be revoked immediately?
- Can you disable dormant accounts, enforce joiner-mover-leaver workflows and receive evidence of provider personnel access reviews?
Encryption and key control questions
- What is encrypted at rest and in transit, including backups, snapshots, logs and internal service-to-service traffic?
- Can you supply or control keys through a supported key-management integration, and can you rotate, revoke and destroy them?
- Who can administer the key service, and can provider personnel use a key without your approval?
- What happens to encrypted data when a key is disabled, a region fails or the contract ends?
Ask for a diagram showing key custody and the boundaries between your administrators and the provider. A “customer-managed key” option may still leave the provider able to access plaintext through application roles, so test the actual access path and logging.
Which independent assurance reports are relevant to this service?
Request current SOC 2, ISO 27001 or other independent assessments that cover the exact product, region, support model and controls you will use. Read the scope and test period rather than relying on a logo or certificate number.
- What systems, locations, subsidiaries and services are excluded?
- Which controls were tested, on what dates and by what independent party?
- Were there exceptions, qualifications or findings, and what are the agreed remediation dates?
- Will the provider supply refreshed reports or an updated bridge letter during your contract?
- May your auditors review relevant evidence or perform a risk assessment when the report does not cover your configuration?
Use the report to validate the provider’s controls, then test your own configuration and responsibilities. Certification is evidence with a defined scope and date; it does not certify your tenant, your identity settings or every subcontractor.
What incident, logging and monitoring commitments belong in the contract?
Define a security incident by its effect on confidentiality, integrity or availability, and specify the clock for notice. The clause should require enough information for you to meet your own legal and customer obligations, with updates as facts change.

- [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
- Which events trigger notice: suspected compromise, confirmed breach, material vulnerability, loss of availability or unauthorized access?
- What is the maximum time to initial notice, and when must investigation findings and recovery updates follow?
- What cooperation is included: evidence preservation, forensic support, interviews, regulator communications and root-cause reports?
- Which audit, access, configuration, network, application and deletion logs are available to you?
- What are the retention periods, export formats, access permissions, time synchronization and integrity protections for those logs?
- How often are vulnerability scans, penetration tests, incident exercises and recovery tests performed, and will material results be shared?
Ensure the service-level agreement distinguishes provider platform availability from your application’s availability. If a log feed or monitoring API is optional, list it in the order form and state its retention and support level.
How do subprocessors and foreign-influence risks affect the deal?
Ask for a complete, role-based list of subprocessors and underlying infrastructure providers, including the service and processing location each one receives. The provider should flow down confidentiality, security, audit, incident, personnel and service-level duties, and remain accountable for failures in its chain.

- How much advance notice is given for a new subprocessor, ownership change or material change in processing?
- Can you object on security or jurisdictional grounds, and what happens if the objection cannot be resolved?
- Which parent companies, investors or governments can exercise ownership, control or influence?
- Are support, telemetry, identity, storage, networking and backup dependencies included, rather than hidden as “platform services”?
The Australian Government Architecture guidance specifically calls for vendor, supply-chain and foreign-ownership, control or influence risks to be addressed before finalizing a contract. Require the same visibility for critical dependencies, not only the company that signs your order form.
What availability, backup and recovery promises are enforceable?
Convert resilience claims into service levels and testable procedures. The contract should identify the protected service, measurement method, exclusions, maintenance rules, service credits or other remedies, and your rights when performance repeatedly misses the commitment.

- Availability: measurement window, endpoints, regional scope and dependency exclusions.
- Recovery point objective: the maximum tolerable data age after a recovery event, for each workload.
- Recovery time objective: the target time to restore service, with conditions and customer prerequisites.
- Backups: frequency, immutability, geographic separation, encryption, restore testing and retention.
- Continuity: staffing, alternate facilities, communications and procedures for provider or dependency failure.
- Concentration: what happens if a single region, network, identity service or subprocessor is unavailable.
Ask for recent recovery-test dates and the scope of those tests. A backup that cannot be restored within your business requirement is not an adequate recovery control.
How much notice should we receive for changes?
Separate routine maintenance from material changes. Require advance notice for alterations to terms, security controls, features, regions, subprocessors, ownership, support coverage or data-use practices. The notice should explain the impact, effective date and migration options.
Negotiate a right to object, terminate without punitive fees or move workloads when a change materially increases security, privacy, sovereignty or resilience risk. Keep an inventory of enabled features so that a provider’s product change cannot silently expand processing or privileged access.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What should the exit and data-return clause cover?
Agree the exit plan before production data enters the service. Portability is more than downloading a database: it includes configurations, identities, encryption keys, logs, backups, tickets and documentation needed to operate the replacement.
Best Value
- Define export formats and interfaces. Name machine-readable formats, documented APIs and any dependencies that must be recreated.
- Set timing and access. Specify how long read-only access remains available, when exports begin and the maximum delivery time for each data class.
- Price assistance in advance. List provider engineering support, rates, included hours and any charges for large transfers or special tooling.
- Protect data during migration. Require encryption, integrity checks, chain-of-custody records and a way to reconcile source and destination counts.
- Verify deletion. Set deadlines for deleting primary data, replicas, caches, backups, logs and keys, with a signed certificate or equivalent technical evidence.
- Handle disputes and failure. Preserve access and backups during an unresolved export problem, and define remedies if the provider misses the agreed timetable.
Test a sample export and restore during onboarding or a renewal review. A contractual promise that has never been exercised can conceal format, volume or dependency problems.
How should we compare two cloud providers?
Score both the control and the evidence. A polished questionnaire is weaker than a provider that accepts measurable clauses and supplies tenant-specific proof.
| Comparison area | What to score |
|---|---|
| Responsibility | Clarity of ownership, configuration support and evidence for your workload |
| Data geography | Location guarantees, cross-border access, legal-request process and deletion scope |
| Identity and encryption | Federation, phishing-resistant MFA, privileged-session controls and key custody |
| Assurance | Independent report scope, test dates, exceptions, remediation and update rights |
| Incidents and logs | Notification clock, cooperation, log access, retention and exportability |
| Resilience | Availability, recovery objectives, backup testing and dependency concentration |
| Supply chain | Subprocessor disclosure, flow-down duties, objection rights and ownership transparency |
| Exit | Portable formats, assistance, fees, timelines and deletion verification |
| Negotiability | Willingness to put measurable commitments in the agreement rather than only in marketing material |
What is a practical pre-signature workflow?
- Classify the workload. Record data sensitivity, regulated records, availability needs, jurisdictions and recovery requirements.
- Define the service boundary. List product, edition, region, support tier, APIs, integrations and dependencies.
- Issue the checklist. Require written answers, evidence references and named owners for every question.
- Inspect assurance. Read independent reports for scope, dates, exceptions and remediation rather than accepting summaries.
- Run a technical proof. Test federation, MFA, key control, log export, backup restore and a sample data export.
- Negotiate clauses. Put responsibilities, locations, access, incidents, resilience, change notice and exit terms in the contract or SLA.
- Approve residual risk. Document gaps, compensating controls, owners and expiry dates before procurement signs.
- Schedule reassessment. Recheck evidence, subprocessors, ownership, regions and commitments before renewal and after material changes.
Which answers are red flags?
- “Security is shared” without a control matrix for your service and tenant.
- A certificate that omits the region, support operation, product version, test period or exceptions.
- Unspecified backup, telemetry or support locations, or unrestricted cross-border administrator access.
- Encryption claims that do not explain key custody, rotation, revocation or privileged plaintext access.
- Incident language such as “promptly” with no maximum notice time or investigation cooperation.
- A subprocessor list that is incomplete, changes without notice or offers no objection or exit remedy.
- Recovery objectives that exclude dependencies, have no test evidence or impose all prerequisites on the customer.
- Exit terms that permit deletion at termination without a defined export window, format, assistance price or proof of deletion.
Escalate unresolved red flags to legal, privacy, security and business owners. If the provider will not make a material requirement measurable, treat that refusal as a risk decision rather than an administrative detail.
Frequently Asked Questions
Should we accept a provider’s standard security addendum?
Use it as a starting point, then reconcile it with your data classification, regulatory duties and control matrix. Add an order-form hierarchy so negotiated security, location, incident and exit terms prevail over conflicting online policies.
How can a small team verify a provider without a dedicated auditor?
Prioritize tenant-specific tests you can perform: federated login with phishing-resistant MFA, administrator access review, log export, key rotation, backup restoration and a sample data export. Use the provider’s independent report to focus questions on exclusions and exceptions instead of trying to repeat the entire audit.
What if the provider will not reveal every subprocessor?
Ask why each omission is necessary, require disclosure of all parties that can access data or operate a critical dependency, and seek contractual notice and objection rights for additions. If meaningful visibility remains unavailable, limit the data or choose a service whose supply chain can be assessed.
When should we repeat the security review after signing?
Repeat it before renewal and whenever the provider changes a region, subprocessor, ownership, security control, support model or product feature that affects your risk. Keep evidence dates and remediation commitments in a register so stale reports do not become your only assurance.
