Sometimes, but not simply because the company uses artificial intelligence. In the United States, a private AI company may sell shares before an IPO only through a registered offering or a securities-law exemption that allows your type of investor to participate. Accredited investors can access many private Regulation D offerings. Non-accredited investors may qualify through Regulation Crowdfunding, Regulation A, Rule 504, or the limited non-accredited allocation permitted by Rule 506(b). Each route has different eligibility tests, investment caps, disclosures, intermediaries and resale restrictions. A website, pitch deck or claimed IPO date is not proof that an offer is lawful or that you will be able to sell your shares later.
What determines whether you can buy pre-IPO shares in an AI company?
The company must either register the securities with the U.S. Securities and Exchange Commission (SEC) or rely on a valid exemption from registration. Private-company stock is not freely listed on a public exchange. As the SEC’s Investor.gov guidance puts it, a company may not offer or sell securities unless the offering is registered or an exemption is available.
As an Amazon Associate I earn from qualifying purchases.
The exemption determines who may invest, how the company can find investors, how much it can raise, what information it must provide and whether the securities can be resold. “AI” is a description of the business, not a special securities-law category. A company developing models, chips, software or robotics follows the same federal offering rules as another private business.
This answer covers the U.S. federal framework. Your state of residence, the company’s state of incorporation, its charter and transfer procedures, tax rules and any non-U.S. law can change the practical result. The only reliable way to determine whether a particular opportunity is open is to read its current offering documents and verify the exemption being used.

Do I need to be an accredited investor?
No, but accredited status opens the largest part of the private-placement market. Many Rule 506 offerings are designed primarily for accredited investors. A person generally qualifies under the principal individual tests if they meet one of the following conditions, using the SEC bulletin updated September 21, 2026:
| Accredited-investor test | Requirement | Important qualification |
|---|---|---|
| Individual income | More than $200,000 in each of the prior two years | You must reasonably expect to reach the same income level in the current year. |
| Joint income | More than $300,000 with a spouse or spousal equivalent in each of the prior two years | The same expectation of continuing at that level applies. |
| Net worth | More than $1 million | Your primary residence is excluded from the calculation; liabilities and other assets must be handled under the applicable SEC rules. |
| Professional credentials | Certain SEC-recognized professional credentials can qualify | The credential must fall within the categories recognized by the securities rules; simply working in technology or finance is not enough. |
Issuers may request tax forms, brokerage statements, credit reports or other documents to verify eligibility. Under Rule 506(c), merely checking an “I am accredited” box is not enough by itself. The company must take reasonable steps to verify your status. Under Rule 506(b), the issuer may rely on a reasonable belief that you qualify, but it still has responsibility for following the offering’s conditions.

The routes below are the main federal exemptions relevant to an individual considering a private AI company. “Retail” does not mean one uniform legal category: an accredited individual is still a retail person, while a non-accredited individual has fewer available offerings.
Regulation D Rule 506(b)
Rule 506(b) permits an unlimited number of accredited investors and no more than 35 non-accredited investors during any 90-calendar-day period. The issuer generally cannot use public advertising or general solicitation to find purchasers.
A non-accredited purchaser must be financially sophisticated enough to evaluate the investment or use a qualifying purchaser representative. The company must provide specified information and financial disclosures to non-accredited purchasers. In practice, that combination makes 506(b) offerings more common among private networks, venture funds and established investor relationships than on open websites.

Regulation D Rule 506(c)
Rule 506(c) allows general solicitation, including internet advertising, but every purchaser must be accredited. The issuer must take reasonable steps to verify that status. An online advertisement that invites anyone to invest can therefore be legitimate only if the actual sale is limited to verified accredited investors.

Rule 504
Rule 504 allows a qualifying issuer to offer up to $10 million in a 12-month period to any number and type of investor. State securities compliance and the specific conditions of the offering still matter. The securities are generally restricted unless additional conditions are satisfied, so a Rule 504 purchase may remain difficult to resell even when you were allowed to buy.
Regulation Crowdfunding
Regulation Crowdfunding (Reg CF) lets qualifying companies sell securities online through a registered broker-dealer or funding portal. The SEC’s exemption summary identifies a $5 million offering limit. Non-accredited investors are subject to investment limits based on income and net worth; accredited investors do not face those limits under the cited SEC interpretation.
Reg CF is the clearest federal route for ordinary investors to access some early-stage companies, but the portal, issuer disclosures and statutory limits are part of the protection. A crowdfunding listing is not the same as a public-company listing, and the security generally cannot be resold for one year except for specified transfers, such as a transfer to the issuer, an accredited investor or certain family-related recipients.
Regulation A
Regulation A is a public-offering exemption that can be used for offerings up to the SEC-stated $75 million limit. If the issuer qualifies and completes the required filing and disclosure process, retail investors can participate. Regulation A offerings can provide broader disclosure and potentially more flexible resale than a private placement, but qualification is a substantial issuer process and not every private AI company will undertake it.

How can you check whether an advertised pre-IPO offer is genuine?
Use the offering documents, not the marketing language, to identify the legal route. Complete these checks before sending money:
- Identify the issuer. Confirm the exact legal name, jurisdiction, contact information and the entity issuing the security. An AI product name may not be the company selling the shares.
- Find the exemption. The subscription agreement, offering memorandum or filing should state whether the sale relies on Rule 506(b), Rule 506(c), Rule 504, Regulation Crowdfunding, Regulation A or another exemption. If the document never identifies a legal basis, stop.
- Match the eligibility test. Determine whether the offer requires accredited status, permits a limited non-accredited allocation or is open under a retail route. For Rule 506(c), expect a verification process rather than a checkbox.
- Confirm the intermediary. A Regulation Crowdfunding sale must run through a registered broker-dealer or funding portal. Check that the intermediary named in the documents is the same entity handling your payment and records.
- Read the financial and business disclosures. Look for capitalization, outstanding securities, use of proceeds, financial statements, material risks, related-party transactions and the rights attached to your class of shares or units.
- Calculate the full cost. Include the purchase price, platform or placement fees, wire charges, carried interest or other expenses, and any minimum commitment. Ask who receives each fee and whether the issuer or promoter has a conflict.
- Read transfer language. Determine whether issuer consent, a right of first refusal, a transfer agent, a shareholder agreement or a holding period can prevent a sale. Ask how the company records ownership and how you would request a transfer.
- Check the claimed IPO timetable independently. A target quarter, valuation slide or social-media statement is not a filing, an exchange listing or a promise that an IPO will occur.
What are you actually buying before an IPO?
You may be buying common stock, preferred stock, a membership interest, a convertible instrument or another security rather than the same common shares that might eventually trade after an IPO. The contract controls voting rights, liquidation preferences, conversion terms, dilution, information rights and what happens if the company sells, shuts down or raises more capital.
A pre-IPO investment does not reserve a place in a future public offering. The company may delay, cancel or never pursue an IPO. It may be acquired, reorganized or financed on terms that reduce the relative value of earlier securities. Even a successful AI product does not guarantee that the equity will be valuable or that a market for it will develop.
Why are private AI-company shares difficult and risky to resell?
Private-placement securities are often restricted and trade in a much smaller market than exchange-listed stock. You may have to locate a qualified buyer, obtain company approval and satisfy federal and state resale rules. There may be no reliable daily price, no independent market maker and no obligation for the issuer to repurchase your position.
Investor.gov warns that private placements can involve total-loss risk, high illiquidity, restricted securities, difficulty finding a buyer and less disclosure than a registered offering. Regulation Crowdfunding adds a general one-year resale restriction, subject to specified exceptions. A transfer restriction can therefore last even if the company’s valuation rises on paper.

AI companies add business-specific uncertainty: technology can become obsolete, computing and data costs can rise, model performance can be difficult to verify, intellectual-property rights can be disputed and regulation can change the commercial outlook. Those risks are in addition to ordinary startup risks such as customer concentration, funding needs and management execution.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How much can a non-accredited investor put in?
The answer depends on the exemption. Rule 506(b) limits the number of non-accredited purchasers rather than setting a single individual dollar ceiling in the cited framework, while Rule 504 sets the issuer’s $10 million 12-month cap. Regulation Crowdfunding applies individual investment limits based on income and net worth, and the calculation can change with your financial circumstances. Regulation A has an issuer-level $75 million limit, but the offering documents and applicable rules determine the amount an individual may purchase.
Do not infer your personal limit from the company’s total target. Ask the intermediary or issuer for the written calculation, the measurement period and what happens if your income or net worth information changes.

What should you do if you are not accredited?
Start with offerings that expressly accept non-accredited investors rather than trying to qualify for a private placement through an informal promise. Review Regulation Crowdfunding portals and Regulation A filings, and ask whether a Rule 504 offering is available in your state. A Rule 506(b) issuer may accept a limited number of non-accredited purchasers, but you must meet its sophistication and disclosure conditions.
Never borrow money to meet an offering minimum or rely on a promoter’s assurance that accreditation will be “handled later.” If you cannot explain the security, the resale rules and the possibility of losing all invested capital, the investment is not yet understandable enough to make.

What federal rules do not answer by themselves
The federal exemption does not settle every transaction issue. State notice filings and blue-sky rules may apply. Your residence can affect eligibility. The company’s charter, shareholder agreements and transfer-agent procedures may impose additional consent requirements. Tax treatment depends on the security, your jurisdiction, holding period and later transactions. Obtain advice from a qualified securities or tax professional when those issues are material.
The SEC framework also does not establish that any particular AI company currently has an open offering. Availability must be confirmed from the issuer’s current documents, the named intermediary and the rules applicable to your location.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsIs buying pre-IPO AI shares a sensible choice?
It can be appropriate only for money you can afford to lose completely and leave invested for an uncertain period. The lawful route, investor eligibility, disclosure quality and transfer terms matter more than the “AI” label or an attractive projected IPO valuation. Treat the investment as a high-risk private security, not as an early version of an exchange-traded stock.
Frequently Asked Questions
Does “pre-IPO” mean the company has scheduled an IPO?
No. The phrase can describe a company’s stage of development or a marketing label without any filed registration statement or approved timetable. A company can remain private indefinitely, be acquired or abandon an IPO plan.
Can people outside the United States use these exemptions?
The rules described here are the U.S. federal framework. A non-U.S. investor may face additional local securities, exchange-control and tax requirements, while a U.S. resident investing in a foreign issuer may encounter different disclosure and enforcement risks.
Are private AI shares taxed like publicly traded stock?
Not necessarily. Tax results can differ by security type, purchase price, holding period, jurisdiction and later conversion or sale. The federal offering exemption does not determine your personal tax treatment, so obtain advice before relying on a tax assumption.
What happens if the issuer will not approve a transfer?
You may have to keep the security until an allowed liquidity event, such as an acquisition or qualified public offering. Review consent rights, transfer-agent instructions and any right of first refusal before purchasing; a paper valuation does not create a buyer.
