Yes. Companies can agree to use bitcoin as consideration in an acquisition, either by transferring a specified number of bitcoin or by paying a dollar-denominated amount in bitcoin. That does not make bitcoin legal tender or automatically settle the deal: the contract must establish what is owed, how it is valued and transferred, and who bears the risks. Corporate, tax, accounting, securities, custody and compliance requirements also apply. Public filings show both bitcoin-linked pricing formulas and in-kind bitcoin consideration, but there is no single standard structure.

What does it mean to use Bitcoin as acquisition currency?

In a business acquisition, “currency” can mean the form of consideration the buyer promises, not necessarily money recognized as legal tender. A purchase or merger agreement can make bitcoin the property to be delivered, use a dollar amount payable in bitcoin, or use a bitcoin price reference to calculate shares or cash consideration. Those approaches are economically and legally different: the contract determines what each party is entitled to receive.

The distinction matters because bitcoin’s price can move sharply and because a promise to deliver bitcoin does not settle the transaction until the agreement’s delivery conditions are satisfied. The parties need terms that answer, for example, how many units are due, which price source applies, when the price is measured, and what happens if a transfer is delayed or fails.

There is no authoritative adoption-rate statistic established here for how many companies use bitcoin in acquisitions. Available public examples are deal-specific, not evidence that bitcoin consideration is routine.

What structures can buyers and sellers agree to?

The main choice is whether the obligation is denominated in bitcoin or in another measure and merely paid using bitcoin. A carefully drafted agreement should make that choice explicit rather than leave the parties to infer it from the word “bitcoin.”

Structure What the agreement fixes Who may bear price movement
Fixed bitcoin amount A specified number of bitcoin to be transferred Usually the recipient’s dollar value varies until the contract’s relevant valuation point; the agreement can allocate risk differently.
Dollar value payable in bitcoin A dollar-denominated obligation and the method for converting it into bitcoin The number of bitcoin due changes with the selected rate and timestamp.
Bitcoin reference-price formula A bitcoin rate or averaging formula used to calculate cash, shares or other consideration Depends on the formula’s window, inputs and adjustment terms.
Bitcoin plus cash or other consideration Each component, its value and its delivery conditions Depends on which component is fixed and the contract’s allocation of risk.

These forms can also be implemented through cash-funded conversion rather than an in-kind transfer. That may change custody and transfer logistics, but does not remove the need to define the exchange rate and the time at which it applies.

What public deal examples show

A 2026 SEC-filed business-combination agreement used the CME CF Bitcoin Reference Rate—New York Variant, averaged over the ten days before closing, to calculate consideration. That illustrates how an averaging period can reduce reliance on a single moment’s price; it does not establish that this index or window is standard for other transactions.

A 2026 Super League proxy disclosed consideration of 2,100 bitcoin plus $2.5 million in cash and warned that bitcoin could decline materially between signing and closing. Bitcoin Depot’s merger agreement illustrates that consideration terms operate within detailed merger mechanics, conditions and corporate-law documentation. A Delaware Court of Chancery decision concerning a bitcoin-mining-company acquisition describes stock and cash consideration with post-closing adjustments submitted to an accounting expert. Together, these examples show that bitcoin can be one component of a negotiated transaction, while the rest of the deal still requires conventional legal and financial terms.

What should a Bitcoin acquisition agreement specify?

The agreement should be operational enough that the parties can calculate and complete the exchange without negotiating key terms again at closing. The following provisions are especially important because bitcoin’s price, transfer mechanics and custody are not self-defining.

  • Consideration: State whether the obligation is a fixed bitcoin quantity, a fixed dollar value converted into bitcoin, a price-index formula, or a combination. Specify the network and asset being delivered.
  • Valuation: Name the exchange or reference index, the exact variant if applicable, the time zone, measurement timestamp and any averaging window. Say how the rate is obtained and what happens if the source is unavailable or its data is disputed.
  • Price risk: Allocate movement between signing, closing and actual transfer. If there is an adjustment, identify the formula, the party responsible for calculation and the process for challenging it.
  • Settlement: Identify the delivery deadline, wallet or custodian procedures, required confirmations, treatment of network congestion, transaction fees, failed or delayed transfers, and the point at which delivery counts as complete.
  • Custody and title: Specify who controls the relevant wallet or account, how control is verified, and what representations apply to ownership, liens and authority to transfer.
  • Exceptional events: Address forks, airdrops, changes to the network, and any associated rights or obligations. A contract should not assume the parties agree on who owns an asset or bears a cost arising from such an event.
  • Compliance and closing: Set out applicable sanctions, anti-money-laundering and know-your-customer covenants, closing conditions, tax responsibilities and required approvals.
  • Post-closing remedies: Define any escrow, holdback, indemnity, true-up or dispute-resolution process, including who bears the cost if the delivered amount or valuation is contested.

Not every agreement needs the same answer to each point. The purpose is to make the chosen allocation clear and workable for both sides, including if the market moves or a transfer encounters a problem.

How is Bitcoin consideration taxed in the United States?

The IRS treats digital assets as property: “the general tax principles applicable to all property transactions also apply to transactions involving digital assets.” A company that transfers bitcoin as consideration therefore generally has a taxable disposition to analyze, rather than a tax-free payment merely because bitcoin was used instead of cash.

The company needs to determine the fair market value at the relevant transaction time and compare it with the tax basis of the specific units disposed of. That calculation produces a gain or loss; the character of the result and its ultimate tax treatment can depend on the taxpayer’s status and the transaction’s facts. A company should not assume that the accounting value shown in its financial statements is automatically its tax basis or taxable income.

Records that matter for tax lots

Deloitte explains that specific-identification records can be maintained by wallet, date, time and cost basis. Before transfer, the company should be able to identify which units are being sent and preserve their acquisition dates and basis. If it cannot substantiate the units and their basis, calculating the disposition accurately may become more difficult.

Book and tax outcomes may diverge. A fair-value gain or loss recognized in financial reporting does not automatically become taxable income or a tax deduction at the same time. Tax accounting may require deferred-tax analysis, and the result can depend on whether the taxpayer is treated as an investor, dealer, trader or operating company, along with the transaction form, jurisdiction, entity type and any relevant elections. This is a fact-specific area for the company’s tax advisers.

How does U.S. GAAP account for Bitcoin?

For fiscal years beginning after December 15, 2024, FASB Accounting Standards Update 2023-08 requires fair-value measurement for crypto assets that fall within its scope, with remeasurement gains and losses recognized in net income and additional disclosures. The rule is not a blanket statement that every digital asset or every transaction falls within the standard; the accounting team first needs to determine whether the asset is in scope.

An acquisition involving bitcoin can have two accounting legs: derecognizing or disposing of the bitcoin and recognizing the acquired asset, shares or service. Deloitte notes that the applicable guidance may involve noncash consideration, nonmonetary transactions, derecognition and derivatives, depending on the facts. The company must establish the relevant valuation date and explain material cash-flow and risk effects in its notes where required.

That means the negotiated deal formula and the accounting measurement date should be reviewed together. A contract can use a closing-date index or an averaging window, while financial reporting may require a separate analysis of when consideration is measured and recognized. Do not assume the agreement’s price formula alone determines the accounting result.

How can IFRS and cross-border rules change the answer?

IFRS has no crypto-specific standard, so companies apply existing standards based on the facts and the relevant accounting principles. KPMG summarizes a timing difference: U.S. GAAP generally measures noncash crypto consideration at contract inception, while IFRS may measure it when received or when the performance obligation is satisfied. The applicable result depends on the transaction and accounting framework; companies should not transplant a U.S. GAAP conclusion into IFRS reporting without analysis.

For UK companies, HMRC states that cryptoasset profits are calculated under GAAP, transactions must be converted into sterling using an appropriate rate at the transaction time, and the company must apply a consistent valuation methodology. That makes contemporaneous valuation records important even where the parties settle in bitcoin.

Outside these examples, the legal and tax treatment cannot safely be generalized. Corporate authority, securities rules, VAT or GST, withholding, exchange controls, licensing, sanctions and accounting classification vary by jurisdiction. A cross-border agreement needs analysis for the relevant entities, assets, markets and locations, not merely a choice of bitcoin price index.

What do public companies need to disclose and govern?

For public companies, investors may need to understand not only the headline consideration but also the valuation assumptions, volatility exposure and ability to settle. Relevant disclosure can include the formula and inputs, the material risk of bitcoin price movement, custody arrangements, liquidity, accounting policy, tax effects, related-party matters and the material agreements governing the deal.

SEC staff’s crypto FAQs state that the FAQs express staff views and “have no legal force or effect; they do not alter or amend applicable law, and they create no new or additional obligations for any person.” That qualification matters: the FAQs are not a substitute for applicable securities law or transaction-specific disclosure analysis. Board minutes should record why the structure serves the company’s interests and how decision-makers evaluated price and settlement risks.

Which records should a company retain?

A defensible file should let the company reconstruct the obligation, the valuation and the transfer. Retain the executed agreement and amendments alongside the evidence used to calculate consideration and account for the bitcoin.

  • Reference-rate provider files or screenshots, with the timestamp and time zone.
  • Wallet addresses, transaction IDs and custodian confirmations.
  • Unit and tax-lot identifiers, acquisition dates and tax basis.
  • The valuation methodology and the calculations applying it.
  • Transfer-fee records, sanctions and KYC checks, and evidence of approvals.
  • Any post-closing adjustment calculation, supporting material and resolution of disputes.

HMRC emphasizes consistent valuation methodology and supporting records. Deloitte describes wallet-level specific identification and pre-transfer documentation as relevant to tax-lot support. Retaining records from the outset is more reliable than attempting to recreate a transaction’s exact units, price and timing after a dispute or reporting deadline.

How should a company choose among the alternatives?

The best structure depends on what the parties are trying to fix: the economic value, the number of bitcoin, or the date on which value is measured. A useful negotiation checklist is to compare the following choices before drafting the payment clause.

  1. Quantity or value: Decide whether the recipient is promised bitcoin units or a dollar-denominated amount delivered in bitcoin.
  2. In-kind transfer or conversion: Decide whether the buyer transfers bitcoin it holds or funds a conversion for settlement.
  3. Measurement point: Choose signing-date, closing-date or averaging-window valuation, and specify the exact rate source and timestamp.
  4. Risk allocation: State whether buyer, seller or both bear price movement, and whether any threshold, adjustment or true-up applies.
  5. Custody: Decide whether settlement uses self-custody or an institutional custodian and prescribe how control and delivery are confirmed.
  6. Accounting framework: Have the finance team assess the applicable U.S. GAAP or IFRS measurement rules before the contract’s formula is treated as the accounting answer.
  7. Timing and remedies: Determine whether any amount is escrowed or held back and how a post-closing adjustment or failed transfer is resolved.

For a public company, the structure should also be tested against its disclosure and governance obligations. The central drafting objective is to align the business bargain, settlement mechanics, tax-lot records and accounting analysis before the parties sign.

Frequently Asked Questions

Does a buyer have to own Bitcoin before signing an acquisition agreement?

Not necessarily: an agreement can promise a dollar amount payable in bitcoin or specify a conversion process rather than require the buyer to hold a fixed quantity at signing. The contract controls, so the parties should distinguish a future delivery obligation from bitcoin already held in a designated wallet.

Can a seller insist on cash instead of Bitcoin?

A seller can negotiate for cash or decline a proposed bitcoin structure before agreeing to the transaction. Once the parties sign, their rights depend on the consideration and amendment terms in the executed agreement.

Is there one standard Bitcoin price formula for mergers?

No single formula is established by the public examples described here. The choice of index, timestamp and averaging window is a negotiated term; the ten-day reference-rate approach in one 2026 filing is an example, not a universal convention.
