Former Disney chief executive Bob Chapek signed an agreement with activist investor Oasis Management that provides $100,000 a month in consulting and advisory fees through Vail Resorts’ 2026 annual meeting. The agreement also promises a $500,000 forgivable loan for Vail stock if Chapek is elected to the board. The shareholder election remained unresolved in the latest filings available on October 28, 2026.

Chapek is one of four Oasis-backed nominees in a contested campaign against Vail’s recommended slate. Vail says his compensation and an August conversation with Chief Executive Rob Katz raise questions about disclosure and independence; those are the company’s arguments in a proxy fight, not findings that Chapek broke any rule.

What does Bob Chapek’s Oasis agreement provide?

The July 28, 2026 letter agreement makes Chapek a paid consultant and adviser to Oasis in connection with its campaign at Vail Resorts. Vail’s October 19 preliminary proxy says the contract pays him $100,000 per month through the 2026 annual meeting. It also covers certain expenses and provides specified indemnification.

If shareholders elect him, the agreement provides a $500,000 forgivable loan for Vail stock. The filing describes a standstill that restricts Chapek from acquiring Vail securities during the agreement’s term. The monthly payment is therefore an Oasis contractual fee, not a salary that Vail is currently paying him as a director.

Who is paying Chapek, and what is Oasis trying to change?

Oasis Management is the activist investor sponsoring the slate. Its filings reported approximately 9.6% beneficial ownership of Vail’s outstanding shares, plus approximately 1.1% additional economic exposure through cash-settled swaps. Oasis nominated Robert A. Chapek, M. Ashton Hudson, Bryce Roberts and Picabo Street.

Chapek brings experience running Disney and overseeing large theme-park and hospitality operations. Oasis points to that background as relevant to a company whose results depend on guest experience, pricing, marketing and resort operations. His memoir, Behind the Castle Walls: My Thirty Years at the Happiest Place on Earth, also details his long career at Disney, but the memoir is not itself part of the Vail voting agreement.

Why does Vail dispute Chapek’s role?

Vail’s central criticism concerns an August 13 virtual meeting between Katz and Chapek. Vail’s proxy recounts Katz’s account that Chapek said “he would not want to be involved in an activist fight.” Chapek had already signed the Oasis agreement on July 28, according to the same filing.

Vail argues that the statement was inconsistent with the existing agreement and questions whether a nominee receiving substantial compensation from Oasis could act independently for all shareholders. Those points are positions advanced by Vail in a contested solicitation. The cited materials do not establish a regulatory finding, court ruling or other adjudicated conclusion that Chapek committed misconduct.

What will Vail shareholders vote on?

Vail’s preliminary proxy describes a universal proxy card listing 13 candidates. Each shareholder may vote for up to nine candidates, and directors are elected by plurality, meaning the candidates with the most votes win the available seats even if no one receives a majority of all shares outstanding.

Vail recommends its own nine-person slate and asks shareholders to reject all four Oasis nominees as well as Gregory Meyer. Oasis is asking shareholders to support its candidates instead. Because the card is universal, a shareholder can mix candidates from the competing groups rather than choosing only one slate.

Why a minority slate may have limited control

Even if some Oasis nominees win, a minority on a nine-member board would not automatically control the company’s strategy. Board influence would depend on the number of seats won, committee assignments, alliances with other directors and the ability to persuade the rest of the board on operating or capital-allocation decisions.

What business problems are at stake at Vail Resorts?

Vail’s proxy says the company owns and operates 42 resorts and employs more than 50,000 people. It reports that fiscal 2026 snowfall in the western United States was 55% below the 30-year average and that total lift revenue declined 3.5%.

The company says it is responding with new pricing and pass products, marketing changes and its “Epic Experience” strategy, which Katz described as “our company-wide commitment to delivering the most exceptional and differentiated experience in skiing and riding.” Those initiatives provide the operating backdrop for the board contest: the dispute is not only about director credentials, but also about how Vail should respond to weather volatility, attendance and customer-value pressures.

How has the proxy fight unfolded?

Date What happened
July 28, 2026 Chapek signed the letter agreement with Oasis.
August 13, 2026 Katz met Chapek virtually; Vail later said Chapek expressed reluctance to be involved in an activist fight.
September 16, 2026 KPCW reported that Oasis had launched a proxy fight. An annual-meeting date had not been set.
October 13, 2026 Oasis filed a preliminary proxy reporting its share ownership and additional swap exposure.
October 19, 2026 Vail filed its preliminary proxy recommending its slate and opposing the Oasis nominees and Meyer.
October 28, 2026 The cited filings still showed a pending contest, with no election result established.

What should shareholders examine before voting?

Shareholders weighing the competing candidates can focus on five practical questions:

  • Hospitality and guest experience: Which nominees have relevant experience improving resort, travel or customer operations?
  • Independence: What financial or contractual relationships could affect a director’s judgment, including the disclosed Oasis agreement?
  • Governance and disclosure: How do the filings describe communications among Chapek, Oasis and Vail, and which points are allegations rather than established facts?
  • Operating and capital-allocation plan: Which slate offers a more credible response to weak snowfall, lift-revenue pressure and changing pass economics?
  • Board practicality: How many seats could each side realistically win, and would that result produce a governing majority or a minority capable mainly of influencing debate?

The annual-meeting date was not identified in the cited materials as of October 28. Until Vail files definitive voting materials and sets the meeting, the monthly-fee obligation and the proposed stock loan remain terms of the disclosed agreement, while the ultimate board composition remains unknown.

Frequently Asked Questions

Is Bob Chapek already a Vail Resorts director?

No. The filings identify him as an Oasis-backed nominee in the pending election. They do not establish that he currently holds a seat on Vail’s board.

What does the standstill provision mean for Chapek?

It is a contractual restriction on acquiring Vail securities during the agreement’s term. It is separate from the question of whether shareholders elect him.

What is the difference between beneficial ownership and cash-settled swaps?

Beneficial ownership generally reflects shares or voting interests attributed to an investor. A cash-settled swap can create economic exposure to a stock’s price without giving the holder the same direct shares or voting rights.

Can shareholders split their votes among the competing candidates?

Yes. The universal proxy card lists every candidate, so a shareholder can select candidates from both groups, subject to the card’s limit on the number of choices.
