There is no single clause that makes an AI purchase safe. A defensible AI contract combines careful use-case definition, supplier and supply-chain diligence, measurable performance and security duties, clear liability, audit access, human review, monitoring and a workable exit plan. The contract must reflect who controls each risk; UK procurement guidance puts the principle plainly: “allocate risk to the parties best able to manage it.”
This approach applies whether you are buying a stand-alone model, an API, or an ordinary business application that quietly adds an AI feature. Treat the feature as an AI acquisition, identify the people and data it affects, and keep assurance active after signature.

What should an AI contract protect?
An AI agreement should protect four things at once: the intended outcome, the people affected by outputs, the information supplied to the system, and your ability to detect and correct failures. Start with the use rather than the vendor’s feature list. Record the users, affected individuals, decision stakes, geography, applicable law, data flows and the consequences of an incorrect or biased output.
UK guidance recommends an iterative AI impact assessment covering user need, human and socioeconomic effects, data quality, inaccuracy, bias, unintended consequences and whole-of-life cost. That assessment becomes the contract’s baseline: later changes to the model, data, hosting or workflow should be tested against it.

How do you scope an AI use before choosing a supplier?
Write a short use-case specification before requesting proposals. It prevents a supplier from defining the problem around the product it already sells.
Define the decision and its boundaries
- State the business objective and the measurable result you need.
- List every user group and every person who may be scored, classified, monitored or otherwise affected.
- Classify the decision as low, medium or high impact. Hiring, credit, benefits, health, education, safety and access to essential services require stronger human control and evidence than a low-stakes drafting assistant.
- Specify what the system may recommend, what it may not decide, and which actions always require a trained human.
Map data and operating conditions
- Inventory input, output, telemetry, prompts, feedback and support data.
- Record data sensitivity, retention needs, origin, quality limitations and whether any special-category or confidential information is involved.
- Identify processing locations, cross-border transfers, connected systems and every likely sub-processor.
- Set the intended languages, populations, environments and volume so testing reflects real use rather than a vendor’s demonstration.
Choose a non-AI alternative as a control
The UK Guidelines for AI procurement advise asking how AI could benefit the organisation, not forcing an existing problem to fit an AI solution. Compare the proposed system with a rules-based process, a human service or doing nothing. If the AI option cannot show a better risk-adjusted outcome, do not procure it.

What must a supplier disclose before evaluation?
Make disclosure a condition of evaluation, not a promise made after award. Require a current architecture and a change-notification process, then make inaccurate or incomplete disclosure a contractual breach.
- Every foundation model, fine-tuned model, retrieval system, classifier and other AI component used to deliver the service.
- Whether your prompts, files, outputs, logs or feedback are retained, reviewed by people, shared with affiliates or used to train or improve any model.
- Processing regions, hosting arrangements, subcontractors and sub-processors, including their own training and retention practices.
- Testing methods, data representativeness, known limitations, accuracy and bias results, security assessments and incident history relevant to the service.
- Model and data-change procedures, release cadence, rollback capability and the notice period for material changes.
- The documentation, logs, evaluation datasets and support records you will receive, in usable formats.
UK procurement guidance says meeting data should not be used for further model training unless that use is specifically agreed and approved in writing. Put that restriction in the data-processing schedule and make it apply to subcontractors as well.

Which AI contract clauses turn promises into controls?
Use schedules with measurable duties rather than broad statements that a supplier will provide a “safe” or “ethical” system. The ICO says a processing contract should document the subject, duration, nature and purpose of processing, data types, affected people, each party’s obligations, decision boundaries and technical and organisational controls.
| Control area | What to specify | Evidence or remedy |
|---|---|---|
| Permitted use | Approved purposes, users, jurisdictions, data classes and prohibited uses | Use register; suspension or termination for unauthorised use |
| Training and retention | No training, model improvement or human review of buyer data unless written approval names the data and purpose | Supplier attestation, deletion evidence and audit rights |
| Security and resilience | Access controls, encryption, minimisation or pseudonymisation, backups, recovery objectives and vulnerability response | Independent reports, test results and incident remedies |
| Performance | Accuracy, error rates, bias tolerances, availability, latency and supported conditions | KPIs or SLAs, service credits, corrective plan or termination |
| Human oversight | Required review, override, appeal, correction and escalation for high-impact outputs | Named roles, response times and complete decision logs |
| Changes | Advance notice and approval for model, data, hosting, interface or material feature changes | Re-testing, rollback or termination if risk increases |
| Incidents | Definition, notification clock, investigation cooperation and preservation of evidence | Rapid notice, root-cause report and remediation costs |
| Exit | Data and log export, deletion or return, transition assistance and knowledge transfer | Tested export, deletion certificate and transition timetable |
Specify how measurements are calculated, the test population, sampling period and reporting format. A KPI without those details can be met by changing the denominator or excluding difficult cases.
Crashes, No Sound, or Screen Glitches?

Complete accuracy and bias diligence before procurement, not after deployment. The ICO recommends accuracy-based KPIs or SLAs and says buyers should decline to procure where bias or discrimination cannot be mitigated.
Demand reproducible testing
- Ask for test design, datasets or dataset descriptions, subgroup results, confidence intervals where used, and known failure modes.
- Run acceptance tests on representative, legally usable samples from your intended population and operating conditions.
- Define an acceptable error level for each material outcome and a process for re-testing after a model or data change.
- Require end-to-end logs covering modelling, training, testing, verification and implementation, with timestamps and version identifiers.
Test the workflow, not only the model
A technically accurate model can still cause harm if staff treat a confidence score as a verdict, if an appeal channel is inaccessible, or if an output is copied into a permanent record without review. Observe how users receive, challenge, correct and override outputs. The contract should require training and a human-in-the-loop for risky or high-impact uses.

Who is liable when an AI output harms someone?
Liability should follow control. The UK Data and AI Ethics Framework identifies product, data, algorithmic-harm and security liability as responsibilities that should be defined contractually.
| Risk | Party usually best placed to control it | Contract questions |
|---|---|---|
| Defective model or service design | Model or platform supplier | What warranty, remediation duty and indemnity apply to defects within the supplier’s control? |
| Bad or unlawful buyer data | Buyer, if it supplied or selected the data | What data-quality duties and lawful-use representations are reasonable? |
| Unauthorised training or disclosure | Party controlling processing and subprocessors | Who pays investigation, notification, remediation and affected-person costs? |
| Misuse or over-reliance by staff | Buyer operating the workflow | What human review, training and access controls are mandatory? |
| Security failure | Party controlling the vulnerable system or integration | Which controls, testing duties, notice periods and liability carve-outs apply? |
Negotiate caps and carve-outs together with insurance and indemnities. A high cap is not a substitute for a duty to prevent harm, and an uncapped promise may be meaningless if the supplier lacks the assets or insurance to pay. Match remedies to the risk each party can actually manage.
How can you stop a vendor from training on your data?
Do not rely on a dashboard toggle or sales statement. Define buyer data broadly enough to include prompts, uploaded files, outputs that contain your information, feedback, telemetry and support tickets where appropriate. State that the supplier may process it only to provide, secure and support the contracted service.
- List each approved processing purpose and each forbidden purpose, including general model training and product improvement.
- Require written approval for any exception, naming the data, model, location, retention period and deletion method.
- Flow the restriction to every sub-processor and affiliate with access.
- Require logical or physical separation where feasible and records showing access and deletion.
- Reserve the right to test settings, inspect evidence and suspend data flows if the supplier cannot prove compliance.
Can you audit an AI model without receiving its source code?
Usually, yes. An effective audit right is an evidence package, not an automatic demand for proprietary weights. Require access proportionate to risk: documentation, evaluation results, version histories, logs, security reports, independent assessments, personnel interviews and controlled testing.

- Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft
Define confidentiality, trade-secret protection and reasonable notice so the right is usable without exposing unrelated customer information. For high-impact systems, require independent testing when internal evidence is insufficient. Audit clauses should cover the supplier and relevant sub-processors, allow checks after an incident, and require prompt correction of findings.
How do you avoid AI vendor lock-in?
Preserve the ability to change suppliers before signing. UK procurement guidance links explainability and open standards to switching ability.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitches- Require understandable system, data-lineage and configuration documentation.
- Use open or interoperable formats and royalty-free, usable interfaces where feasible.
- Export source data, prompts, outputs, feedback, metadata, model decisions and audit logs in a documented format.
- Set a transition period with knowledge transfer, technical assistance and continued read-only access.
- Require deletion or return of information after migration and evidence that copies held by subprocessors were handled.
- Test an export before production; an exit right that has never been exercised may fail when you need it.
What must happen after the AI contract is signed?
Acceptance is the start of assurance. Assign named owners for performance, privacy, security, procurement and business decisions, and keep a central contract log.
- Baseline: Record the approved use, model and data versions, test results, risks, controls and human-review points.
- Monitor: Review KPI, bias, drift, availability, incidents, overrides, complaints and unauthorised-behaviour reports at a defined cadence.
- Escalate: Set severity levels, contacts, response times and a process to pause outputs or revert to a manual method.
- Reassess changes: Trigger an impact assessment and acceptance testing when the model, training data, hosting, interface, user group or intended purpose changes.
- Review: Conduct periodic compliance checks, supplier audits and contract reviews; use time-bounded terms rather than automatic indefinite renewal.
- Exit: Exercise export, deletion and transition procedures before the final notice period expires.
The UK Department for Science, Innovation and Technology published its AI Risk Management Toolkit on 8 September 2026 as a current starting point for teams procuring or operating AI products. Use it alongside your organisation’s legal, security and sector requirements.

How should buyers compare competing AI vendors?
Score options against the same evidence, not the most polished demonstration. A practical comparison covers:
| Comparison axis | Questions to ask |
|---|---|
| Use fit and risk tier | Does the system solve the defined need, and what happens when it is wrong? |
| Data handling | Where is data processed, how long is it retained, and is training excluded? |
| Accuracy and bias | Are tests representative, reproducible and tied to enforceable thresholds? |
| Explainability | Can users understand relevant factors, limitations and version changes? |
| Security and resilience | What controls, recovery arrangements and incident evidence exist? |
| Audit and change rights | Can you inspect evidence and stop a risky unannounced change? |
| Liability | Do warranties, indemnities, caps and carve-outs match controllable risks? |
| Human contestability | Can a person review, correct, appeal or override an output? |
| Interoperability and exit | Can data, logs and knowledge move to another provider? |
| Total cost | What are integration, monitoring, testing, review, incident and exit costs over the service’s whole life? |
Are model AI clauses enough?
They are a useful starting point, not a substitute for scoping. The EU Public Buyers Community provides updated model contractual clauses aligned with the EU AI Act: a full version for high-risk AI and a lighter customisable version for non-high-risk AI. Tailor any model wording to your actual use, affected people, data, geography, service architecture, oversight and remedies. A generic clause cannot decide which party controls a specific failure.

What does the current UK procurement timetable change?
The UK procurement transparency policy note replacing PPN 02/24 states an effective commencement date of 24 February 2025. Organisations should check which procurement regime and internal policy apply to their purchase, then preserve the same evidence trail for commercial, privacy and technical approvals. The date does not remove the need for an impact assessment or post-award monitoring.
Frequently Asked Questions
Should a small business use the same AI contract as a government department?
No. Controls should be proportionate to the use, affected people, data sensitivity and harm if the system fails. A small business may use a shorter schedule for a low-risk drafting tool, but it still needs clear training restrictions, security duties, change notice and deletion terms.
What if a supplier refuses to reveal its model name?
You can ask for functional disclosure instead: component types, processing locations, version identifiers, testing evidence, retention rules, subprocessors and change notices. If the supplier cannot provide enough information to assess accuracy, bias, security or exit risk, treat that lack of transparency as a procurement risk rather than waiving the requirement.
Do AI contracts need a separate data-processing agreement?
Often, yes, where the supplier processes personal data on your behalf. The processing terms should align with the AI schedule so purposes, data types, affected people, security, subprocessors, audit and deletion duties do not conflict. Have counsel confirm the arrangement for the jurisdictions involved.
How often should an AI supplier be reviewed?
Set the interval according to risk and change frequency, then review immediately after a material model, data, hosting or workflow change, a serious incident, or a pattern of complaints or drift. Keep the review decision and evidence in a central contract log so renewal is based on operating performance, not sales assurances.
