You can use AI to review or draft a contract without exposing sensitive information, but only after approving the tool, purpose, data path, users and controls. Treat the AI provider as part of your contract-processing supply chain: classify the material, assign controller and processor roles, prohibit unauthorized model use, and require security, deletion and audit terms in a written agreement. A “private” toggle or a vendor promise on a marketing page is not a substitute for due diligence. Keep a qualified person responsible for checking every AI-generated summary, clause or risk flag before anyone relies on it.
Can you use AI on a contract without exposing sensitive data?
Yes, if your organization approves the use case and puts enforceable limits around the entire processing chain before any text is uploaded. That means deciding what may be sent, who may access it, where it is processed, whether the provider can retain or reuse it, how incidents are reported, and how every copy is deleted.

Do not paste a customer agreement into a public or unapproved AI service merely because it offers a setting described as “private.” Privacy and security obligations can apply both to personal information entered into an AI system and to personal information reproduced in its output. The Office of the Australian Information Commissioner (OAIC) advises due diligence on intended use, access, testing, human oversight and privacy and security risks before using commercially available AI products.
The practical outcome is a contract-control workflow:

- Make security, incident response, testing and audit contractual duties.
- Verify results independently and monitor the relationship.
- Specify return, deletion and migration before the relationship ends.
What should you classify before sending contract material to AI?
Make a data inventory before selecting a product. A single agreement can contain several risk categories, each requiring a different decision.
Confidential business information
Mark pricing, forecasts, product road maps, source-code references, negotiation positions, customer lists and other non-public business information. Check whether a confidentiality agreement with the other party restricts disclosure to a new service provider or a new location.
Personal information
Identify names, contact details, signatures, employee information, customer records, identification numbers and any personal information in schedules or attachments. Privacy obligations can follow that information into prompts, logs, generated summaries and support tickets. Remove fields that are not needed for the approved task.
Privileged, regulated or restricted material
Separate legal advice and litigation material, health or financial information, export-controlled data, government information and information subject to sector rules. Ask counsel or the relevant compliance owner whether an external AI processor is permitted and whether a formal impact assessment is required.
Third-party restrictions
Record promises made to customers, suppliers, employees and contracting authorities. A contract may permit disclosure to a named processor but not to an unrestricted technology platform. The promise you already made to a third party can be stricter than your internal policy.
Choose the narrowest useful task
State whether AI will summarize, extract fields, compare versions, classify clauses, draft language or answer questions over an approved document set. “Use the contract to improve the service” is not an acceptable purpose. A narrow purpose makes it possible to prohibit unrelated training, benchmarking, advertising, profiling and product development.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesHow do you approve the AI use case and data path?
Use a written approval record that a reviewer can understand without opening the vendor’s sales material. It should describe the task, the data, the people involved and every system through which the text can travel.

- Describe the business outcome. For example, “extract renewal dates from agreements in the approved repository” is more controllable than “use AI for contract work.”
- Define the minimum input. Decide whether redaction, masking, pseudonymization or synthetic examples can accomplish the task. Do not upload an entire agreement when a clause or page is sufficient.
- List authorized users. Name the teams, roles and identities permitted to submit material and receive results. Require single-user accounts or enterprise identity controls where appropriate.
- Draw the data path. Include the user interface, application programming interface, storage, logs, backups, support tools, hosting regions, integrations, human reviewers and subprocessors.
- Record output handling. Specify where summaries and extracted fields are stored, who can export them, how long they remain available and whether they can contain personal information from the source.
- Obtain approval. Have privacy, security, legal and business owners sign off on the purpose, data categories, provider and controls before production use.
OAIC guidance emphasizes due diligence on access, intended use, testing and human oversight. Keep the approval record with the vendor agreement and revisit it when the model, product, data location or purpose changes.
Who controls contract data when an AI provider processes it?
Do not assume that one label covers every operation. The same organization can be a processor for one activity and a controller, or joint controller, for another.
| Processing operation | Questions to answer | Contract record |
|---|---|---|
| Prompt and document submission | Who decides why the text is submitted and what means are used? | Identify the controller and the provider’s processor duties. |
| Hosting, indexing and retrieval | Which hosting company and region store the files, embeddings or indexes? | List the hosting provider and each subprocessor. |
| Support and troubleshooting | Can provider staff view prompts, outputs, logs or attachments? | Define support access, approval, logging and confidentiality. |
| Model improvement or analytics | Does the provider determine a separate purpose for the data? | Prohibit the use or document a separately approved controller relationship. |
| Human review and quality testing | Are people outside your organization inspecting content? | State who may review, for what purpose and under what confidentiality terms. |
| Deletion, legal hold and recovery | Who controls retention in live systems and backups? | Set deletion, return, legal-hold and certification duties. |
The Information Commissioner’s Office (ICO) recommends identifying distinct processing operations and their purposes, considering the whole supply chain, and formally documenting the relationship in contracts or agreements. Apply that exercise to integrations as well as the primary AI provider.
Which clauses should an AI contract include?
A useful agreement turns your approval record into obligations that survive product changes. The following clauses address the points most likely to create an unexpected disclosure.
| Clause | What it should say | Why it matters |
|---|---|---|
| Purpose and instructions | Process contract material only to provide the named service and only on documented instructions. | Prevents a broad service description from becoming permission for unrelated uses. |
| Confidentiality | Bind the provider, affiliates, staff, support personnel and subprocessors to confidentiality obligations at least as protective as yours. | Closes gaps created by support access or subcontracting. |
| Training and secondary use | Ban training, fine-tuning, benchmarking, advertising, profiling and product improvement using your inputs or outputs unless you give explicit written approval for a defined purpose. | Stops contract text from becoming an asset for a general model. |
| Data categories and minimization | List permitted categories, prohibited categories, maximum fields and approved locations. | Makes “minimum necessary” enforceable instead of aspirational. |
| Retention and deletion | State retention periods for prompts, files, outputs, logs, caches and backups; require deletion on request or termination and written certification. | Prevents indefinite copies in systems users cannot see. |
| Subprocessors | Require a current list, advance notice of changes, flow-down duties and an objection or termination right for material risk. | Gives you visibility into the actual processing chain. |
| Security | Require encryption in transit and at rest, access control, least privilege, key management, secure development, vulnerability handling, resilience, backups, logging and monitoring. | Sets a lifecycle baseline rather than relying on a product brochure. |
| Incident response | Set notification timing, required facts, cooperation, containment, investigation, evidence preservation and assistance with regulator or data-subject duties. | Lets you meet your own notification and investigation obligations. |
| Transparency and testing | Require documentation of model constraints, training-data provenance where relevant, material changes, accuracy limitations, fairness testing and independent evaluation evidence. | Allows you to assess whether output is fit for the approved task. |
| Audit and assurance | Provide risk-based audit rights, evidence requests, assessment reports and remediation deadlines. | Creates a way to verify promises without demanding unrestricted access to a provider’s systems. |
| Cross-border transfers | Identify processing countries, transfer mechanisms and notice duties for a change in location. | Prevents an unapproved region from appearing through a new subprocessor. |
| Remedies and allocation | Address indemnities, liability caps, service credits, suspension rights and costs of investigation or notification for a breach. | Aligns financial responsibility with the risk the provider controls. |
| Exit and portability | Specify export format, migration assistance, deletion deadlines, backup treatment and legal-hold exceptions. | Reduces lock-in and leaves you with usable records. |
Do not rely solely on a vendor’s marketing page. The Federal Trade Commission has warned that companies can face enforcement when they break privacy commitments or omit material facts about data use. Its plain-language principle applies here: “There is no AI exemption from the laws on the books.”
How do you stop an AI vendor from training on your contract?
Use an express contractual prohibition, then verify the technical and operational settings that support it. A dashboard label such as “no training” is evidence of a setting, not a complete legal promise.
- Define “customer data” to include prompts, uploaded files, extracted text, embeddings, outputs, feedback, error reports and logs that contain contract content.
- Prohibit training, fine-tuning, reinforcement, benchmarking, model evaluation, feature development, advertising and sale or disclosure to third parties using that data.
- Require the provider to keep customer data logically or physically separated from data used for general model development.
- Require approval before provider personnel or subcontractors can view content for support or quality work, with access logs and time-limited permissions.
- Require written notice before a product or policy change could alter retention, training use, support access or processing location.
- Make the prohibition survive termination for data retained under a narrowly defined legal obligation.
Ask for a written explanation of what is stored, for how long, in which systems, and how deletion propagates to caches, indexes and backups. Preserve the provider’s answer with the signed agreement and test the account configuration before uploading a real agreement.

What security controls should cover the AI system’s life cycle?
Security must apply from design through retirement, not just at the moment a user submits a file. The UK National Cyber Security Centre states: “Security must be a core requirement, not just in the development phase, but throughout the life cycle of the system.”
Access and isolation
Require role-based access, least privilege, strong administrator authentication, tenant isolation and separate controls for production, testing and support. Ensure that one customer’s prompts, retrieval index and outputs cannot be exposed to another customer through search, debugging or model context.
Encryption and keys
Specify encryption in transit and at rest, key-management responsibilities and the circumstances in which provider staff can access keys or decrypted content. If your policy requires customer-controlled keys, state that requirement rather than assuming it.
Secure development and updates
Require vulnerability management, secure coding, dependency control, change testing and notification of material model or infrastructure updates. A model update can alter accuracy, refusal behavior, logging or data flows even when the product name remains unchanged.
Resilience, backups and recovery
Define backup protection, recovery objectives, isolation from production, restoration testing and how deletion requests reach backup copies. Resilience is relevant to confidentiality as well as availability: an emergency copy should not become an uncontrolled copy.
Logging and monitoring
Require logs for access, exports, administrative changes, support sessions, subprocessor activity and deletion events. Limit log content so that monitoring does not create another repository of sensitive contract text.
How should procurement and tender teams handle confidential bid material?
If AI helps prepare a bid, tender response or procurement document, apply proportionate controls and disclose the use where the contracting authority or procurement rules require it. Do not place confidential contracting-authority information into a system that may use it as training data.

UK Procurement Policy Note 02/24 recommends supplier disclosure and additional due diligence to test accuracy, robustness and credibility. Your internal procedure should identify which passages were generated or transformed by AI, preserve the human approval record and prevent a tool from silently importing restricted information from another bid or customer.
Recommended Free Tools
- Separate public tender instructions from confidential authority data.
- Use only an approved workspace with the agreed retention and training restrictions.
- Have a named reviewer verify every factual, pricing and compliance statement.
- Keep a versioned record of source documents, prompts, outputs and edits where procurement rules require traceability.
How do you test, audit and monitor an AI contract?
Set measurable expectations for the tasks that matter, then reassess them throughout the relationship. There is no universal accuracy percentage that makes contract analysis safe; a useful threshold depends on the clause type, consequence of error and required human review.
Define task-specific performance
For extraction, measure whether dates, parties, obligations and exceptions are captured correctly. For comparison, test whether the system identifies additions, deletions and changed definitions. For drafting, require a reviewer to confirm that citations, cross-references, governing law and negotiated positions are correct.
Require evidence, not assurances
Ask for documentation about model constraints, training-data provenance where relevant, evaluation methods, fairness, explainability and known failure modes. Require notice and documentation for material model, data-source, hosting or subprocessor changes.
Exercise audit and incident rights
Use a risk-based audit plan that can include document reviews, independent assessment evidence, access-log checks, deletion tests and interviews with the provider’s security or privacy team. Require prompt cooperation with investigations, data-subject requests, impact assessments and regulator inquiries.

- Identify all copies: active storage, retrieval indexes, logs, caches, disaster-recovery media and support tickets.
- Set a return window and a deletion deadline for each copy.
- Require deletion from backups on the next practical cycle, with a stated maximum period.
- Permit retention only for a narrowly defined legal hold, with access restrictions and eventual deletion.
- Require a signed deletion certificate identifying systems, dates and any exception.
- Require reasonable migration assistance and prohibit withholding data because of a billing or service dispute, subject to agreed legal rights.
The ICO identifies deletion or return at contract end, assistance with breaches and impact assessments, and secure processing as core processor-contract topics. Treat portability as a security control: an organization that cannot retrieve its records may keep an unnecessary copy in a risky service simply because it has no practical exit.
Can I put a customer contract into ChatGPT?
Only if your organization has approved that specific service and configuration for the exact data and purpose. Before submission, confirm the account terms, retention behavior, training-use policy, administrator controls, support access, processing locations, subprocessors and deletion process; obtain the customer or legal approval required by your existing confidentiality commitments.
Free tools Windows power users keep installed
One-click scans. No signup required.
If any of those facts are unknown, do not upload the customer contract. Start with a redacted sample or synthetic document, and use a human reviewer to validate the result. An enterprise workspace may provide stronger controls than an unmanaged personal account, but “enterprise” alone does not answer who can access data, how long it is retained or whether a connected application receives it.
What commonly goes wrong, and how can you fix it?
| Failure | Why it happens | Corrective action |
|---|---|---|
| An employee pastes a full agreement into an unapproved chatbot. | Convenience is treated as authorization. | Block unapproved services, train staff, and provide an approved workflow with redaction guidance. |
| The contract bans “disclosure” but says nothing about training or benchmarking. | Model improvement is treated as an ordinary service use. | Add an explicit ban covering prompts, outputs, feedback, embeddings and logs. |
| A provider lists only its main company. | Hosting, support and analytics vendors are hidden in a supply chain. | Require a current subprocessor list, notice of changes and flow-down obligations. |
| Deletion covers the user interface but not backups or indexes. | Retention is documented by product screen rather than system. | Define every copy and require a deletion certificate. |
| AI output is accepted because it sounds authoritative. | Fluency is mistaken for legal or factual accuracy. | Require source-level verification and a named human approver. |
| A model update changes results without notice. | The agreement has no change-control obligation. | Require advance notice, documentation, testing and a right to suspend or terminate for material risk. |
| Security is promised only during development. | Operations, monitoring and retirement are omitted. | Make security a life-cycle duty covering deployment, updates, support, backups and deletion. |
What should be in your final approval checklist?
Use this checklist before production access and again when the service or purpose changes:
- The contract’s confidential, personal, privileged, regulated and third-party-restricted content is classified.
- The AI task, permitted fields, users, locations and output destination are documented.
- Controller, processor and any joint-controller roles are assigned for each operation.
- Training, benchmarking, product-improvement and other secondary uses are prohibited unless separately approved in writing.
- Retention, logging, support access, subprocessors and cross-border transfers are disclosed and contractually controlled.
- Encryption, access control, isolation, key management, secure development, resilience, backups, monitoring and vulnerability response are required.
- Incident notice, investigation, containment, regulator cooperation and data-subject assistance are covered.
- Accuracy, fairness, explainability, testing, model changes and audit evidence are addressed.
- Human review and independent verification are mandatory for every consequential output.
- Return, portability, backup deletion, legal holds and deletion certification are agreed before signing.
Keep the approval record, provider responses, configuration screenshots and review results with the agreement. That evidence shows not only what the contract says, but how the controls were applied.
Frequently Asked Questions
Does attorney-client privilege survive an AI contract review?
Privilege rules differ by jurisdiction and by the provider’s access to the material. Ask counsel whether using an external processor, allowing support personnel to view prompts or retaining logs could waive or weaken protection, and configure the workflow accordingly.
Is a separate AI tenant enough to protect confidential agreements?
Isolation can reduce accidental mixing between customers, but it does not answer retention, staff access, subprocessors, cross-border transfers or model-use questions. Treat tenant separation as one technical control within the written processing agreement.
What evidence should an AI provider supply before signature?
Request a current data-flow description, subprocessor list, retention and deletion procedure, access-control explanation, incident process, change-notice process and independent security or performance evidence relevant to your use case. The evidence should match the exact product and account configuration you will use.
When should an AI contract be reviewed again?
Reassess it after a material model or hosting change, a new subprocessor, a change in the data categories or purpose, a security incident, a new legal requirement or a significant accuracy failure. Put those review triggers in your vendor-management calendar rather than waiting for renewal.
