When lock-ups expire, new shares are issued, liquidity dries up or business results disappoint, the price can reset quickly. Investors can reduce—but not eliminate—the risk by reading the latest SEC filing, mapping future share supply, checking cash needs and dilution, sizing the position conservatively and using limit orders.
What changes between the IPO and the months that follow?
An IPO creates a public market, but it does not instantly create a deep one. In a small technology company, only a limited number of shares may be available to trade on the first day. Founders, executives, employees and early investors commonly hold restricted shares, while underwriters may have allocated a relatively small public float. If demand is strong and few shares are offered for sale, buyers can push the quote sharply higher.

That opening price is a market-clearing price for the shares available at that moment. It is not a guarantee that the company is worth the same amount on a fully diluted basis, nor does it prove that the stock can absorb normal selling volume. A later price below the offering price can reflect the market receiving more information and more shares, rather than a single identifiable failure.
The offering price itself is set through market conditions, company analysis and negotiation among the issuer and underwriters. After listing, underwriters may support trading for a limited period. Investor.gov warns that when this support ends, the stock may decline significantly below the offering price. The opening trade, the IPO offering price and a later market price are three different reference points.

How the share supply expands
Lock-up expiration
Most U.S. IPO lock-ups prevent insiders and other pre-IPO holders from selling for about 180 days, but 180 days is a common term, not a universal rule. The prospectus controls. It may contain different periods for different holders, waivers, automatic releases, blackout provisions or an option for the underwriters to release shares early.
When restricted shares become eligible for sale, the number of shares that could reach the market rises. The SEC says investors should identify the lock-up and its expiration because a stock may decline in anticipation of insider selling, even if insiders ultimately sell little. The effect depends on how many shares are unlocked, how much insiders want to sell and whether existing demand can absorb that supply.
Other sources of new selling
- Secondary shares sold by existing shareholders can increase the tradable supply without giving the company new cash.
- Employee stock options and restricted stock units can become exercisable or vest according to schedules disclosed in the filing.
- Warrants may be exercised, and convertible securities may turn into common shares.
- Acquisitions paid partly in stock can issue shares to a seller.
- Underwriters or the issuer may permit selected holders to sell before the standard lock-up ends.
Constructing a supply calendar is more informative than watching only the first-day chart. Record the IPO shares, any secondary shares, each lock-up date, permitted early releases, employee vesting dates, warrant or convertible terms and likely financing dates.
Why dilution can reduce the value of an existing share
Dilution occurs when the company issues additional equity or securities that can become equity. Your share count does not have to fall for your percentage ownership to fall. If a company has 10 million basic shares and issues 2 million new shares, an investor who owned 1% before the issue owns 0.833% afterward if the investor does not participate. The company may raise useful cash, but each existing share represents a smaller claim on future earnings, assets and voting power.
Read both the basic and fully diluted share counts. The fully diluted figure generally incorporates in-the-money options, restricted stock units, warrants, convertible instruments and other potential shares. The exact calculation and exclusions are issuer-specific, so use the capitalization table and dilution section of the latest prospectus rather than a market-data website’s single share-count field.

Issuance can pressure the price in two ways. The mechanical increase in shares lowers per-share ownership, while the expectation of an offering can cause investors to sell before the terms are announced. A company with a short cash runway may need to raise equity when its price is weak, creating more dilution than an issuer that can fund operations internally.
Why a small float makes price moves extreme
A small float means a smaller pool of shares is actively available for trading. A modest sell order can therefore consume several price levels in the order book. SEC-filed risk factors for small-cap issuers commonly describe rapid run-ups, abrupt declines, lower volume, reduced liquidity and wider bid-ask spreads.

The spread is the difference between the highest quoted buy price and the lowest quoted sell price. A wide spread is an immediate trading cost: a market buy may execute materially above the displayed bid, and a market sell may execute below the displayed bid if the order is large relative to available bids. Exiting can be difficult during a fast decline, even when the company has not issued new information.
Check typical daily volume and the spread during ordinary sessions, not just during the debut. A market order prioritizes execution but not price. For a thinly traded IPO, a limit order can cap the worst acceptable purchase or sale price, although it may not execute.
When expectations reset
Early enthusiasm often embeds optimistic assumptions about revenue growth, margins, customer additions and the eventual market size. Once quarterly reports arrive, investors can compare those assumptions with reported results. A company can grow quickly and still fall if growth is slower than the IPO model, gross margin is weaker, customer concentration creates uncertainty, or guidance implies higher cash use.

Newly public small issuers may have limited analyst coverage. That can leave investors with fewer incremental updates and make each earnings release, customer announcement or guidance change more influential. Read the financial statements, management’s discussion and analysis, and the risk factors together; a single headline rarely explains the whole repricing.

A newly listed technology stock remains exposed to its sector and the broader market. Changes in interest rates can alter the valuation investors assign to future cash flows. A decline in technology multiples, weaker risk appetite or disappointing news from comparable companies can pull down a small IPO even when its own operating metrics are unchanged.
Separate company-specific news from beta. Compare the stock’s move with an appropriate technology benchmark and relevant peers over the same period, while recognizing that a thinly traded stock can diverge simply because of order flow. Correlation does not prove causation, but it can prevent an investor from attributing every move to management execution.
Listing structure changes the supply pattern
A traditional underwritten IPO, a direct listing and an offering with limited contractual transfer restrictions do not create the same initial market. A traditional IPO usually has an offering allocation, underwriter involvement and lock-up provisions. A direct listing can permit more existing holders to sell at the start and uses a different price-discovery process. Some transactions combine features of both structures.
Do not infer the supply pattern from the label alone. The issuer’s registration statement, prospectus and exchange disclosures specify which shares are registered, who can sell, whether underwriters have stabilization rights and what restrictions apply.

How to investigate a small technology IPO before buying
Use the latest version of the issuer’s filing in the SEC’s EDGAR system. Look for an amended S-1 or S-1/A and, after pricing, the final 424B prospectus. A stale filing can omit a new share count, revised risk factor or changed lock-up term.
- Read Risk Factors. Note warnings about customer concentration, dependence on one product, losses, cybersecurity, competition, governance, liquidity and possible future offerings.
- Check Use of Proceeds. Determine how much of the offering funds operations, debt repayment, acquisitions, research or selling shareholders. Proceeds from secondary shares generally go to the selling holders, not the company.
- Reconcile Dilution and Capitalization. Compare basic shares with the fully diluted count and identify options, RSUs, warrants, convertibles and preferred-stock rights.
- Identify every selling group. Record insider ownership, selling-shareholder participation, registration rights and any shares that can be registered for resale.
- Map the lock-up. Write down the stated expiration date, exceptions, waiver authority and any release tied to the stock price or an acquisition.
- Measure financial runway. Use cash, operating cash flow and stated spending to estimate how many months remain before another financing could be necessary. Treat the estimate as approximate because spending can change.
- Test the business assumptions. Review revenue growth, gross margin, customer concentration, losses, stock-based compensation and the company’s own guidance.
| Filing section | Question to answer | Why it matters |
|---|---|---|
| Risk Factors | What could impair operations, liquidity or the stock? | These risks can arrive before a company has a long public reporting history. |
| Use of Proceeds | Who receives the offering money? | Primary proceeds can fund the business; secondary proceeds generally do not. |
| Dilution and Capitalization | What is the basic and fully diluted share count? | Potential shares affect ownership and per-share economics. |
| Lock-up and resale disclosure | When and how can restricted holders sell? | Future supply can affect price and liquidity. |
| Financial statements | How fast is revenue growing, and how much cash is being used? | Results determine whether the IPO valuation is supportable. |
Build a forward-looking supply and financing calendar
Put dates and estimated share amounts in one spreadsheet. Include the IPO settlement, any over-allotment shares, lock-up expiration, early-release provisions, option and RSU vesting, warrant exercise windows, convertible maturities and the date of the next required financial report. Add a financing-risk row showing cash on hand, recent operating cash flow and the company’s stated plans.
Amounts may be unavailable or depend on future decisions. Mark those cells as “not stated” rather than treating an estimate as a commitment. The purpose is to identify periods when selling pressure or dilution could increase, not to predict a precise price.

Size the position for the downside
Choose a position size that would not force you to sell essential assets or abandon a long-term plan after a large decline. IPO volatility can be much higher than the volatility implied by the first few trading sessions. Do not borrow to buy a highly volatile new issue: leverage can turn a temporary decline into a forced sale.

Use a written review rule
Before buying, define which facts would make you reduce or exit: a worsening cash runway, an unexpected financing, sustained margin deterioration, loss of a major customer, a governance change or liquidity that becomes too poor to trade efficiently. Base the rule on fundamentals and execution, not on an arbitrary percentage below the opening price.

Diversify deliberately
Asset allocation and diversification are two important strategies for managing investing risk, according to Investor.gov. Spread exposure across assets, sectors and issuers so one small technology company cannot determine the result of the entire portfolio. Diversification lowers concentration risk; it does not prevent losses in the IPO itself.
Control execution risk
Review the bid-ask spread and normal volume before placing an order. Consider a limit order when the spread is wide or the stock is moving quickly. Avoid assuming that a stop order will guarantee a particular exit price during a gap or a trading halt.
How to compare two small technology IPOs
Compare the companies on the same dates and with the same share-count definitions. A lower nominal share price does not make one stock cheaper.

What to expect around lock-up expiry
In the weeks before expiry, traders may price in the possibility of insider selling. On or after the date, eligible holders may sell, but eligibility is not the same as an actual sale. Watch reported volume, resale filings, insider transactions and the spread. A price decline accompanied by heavy volume can indicate distribution; a decline on very light volume may reflect a temporary liquidity imbalance. Neither pattern, by itself, proves what the company is worth.
Also check for a staggered schedule. Some holders may remain restricted after the first date, while others may be released earlier under exceptions. The prospectus and subsequent SEC filings are the controlling documents.
Common mistakes to avoid
- Treating a first-day spike as proof of intrinsic value.
- Assuming the 180-day lock-up applies identically to every holder.
- Using the basic share count when options, RSUs, warrants or convertibles are material.
- Ignoring selling-shareholder proceeds and assuming all IPO cash funds growth.
- Buying with borrowed money because the stock appears to be rising quickly.
- Using a market order in a thinly traded stock without checking the spread.
- Relying on social-media excitement or “hot IPO” language instead of filings and financial statements.
- Assuming diversification guarantees a profit or prevents a loss.
Is there a typical percentage decline?
There is no authoritative general average decline for the narrowly defined group of small technology IPOs. Official SEC and Investor.gov material explains the mechanisms—restricted supply, lock-up releases, underwriter support, dilution and volatility—rather than publishing one representative post-listing loss. Any current lock-up date, share count, valuation, cash balance or filing status must be checked against the issuer’s latest EDGAR filing before an investment decision.
