It may be a recent month or quarter multiplied by 12, a management-defined annual recurring revenue (ARR) snapshot, or guidance for a future period. Those figures answer different questions. Investors should identify the formula, measurement date, revenue mix, contract durability, and reconciliation to recognized revenue before applying a valuation multiple.
Run rate, ARR and recognized revenue are different measurements
The first question is what the headline actually measures. A run rate produced by annualizing a recent period takes observed activity and extends it mathematically. For example, $10 million in one quarter multiplied by four gives a $40 million annualized pace. That arithmetic does not prove the company will recognize $40 million during the next four quarters.

ARR is usually a point-in-time estimate of recurring contract value. Each issuer sets its own policy for what qualifies as recurring, which customers and contracts are active, and whether services are included. ARR is therefore a method and a management measure, not a generally standardized accounting number.

Why the label “run rate” can create false confidence
A short observation window can exaggerate momentum
A single large contract, an unusual usage spike, or a customer launch near month-end can make a recent period look representative when it is not. Conversely, a temporary outage or delayed implementation can depress the period used in the calculation. Multiplying either outcome by 12 or four magnifies the assumption.
Contracts can also start or end close to the measurement date. A customer counted in an exit-rate figure may cancel, reduce usage, or fail to renew before the annualized amount is realized. A run rate should therefore be read as a dated snapshot, not as a guarantee.
Usage-based AI revenue is inherently variable
Many AI products charge by tokens, calls, seats used, minutes processed, or another consumption unit. Consumption revenue is recognized as customers use the service. It can grow rapidly when a customer is testing or deploying a workload, then fall when usage is optimized or a project ends. Unlike a subscription with a fixed committed fee, consumption may provide less visibility into the timing of future revenue.

For a consumption-heavy business, ask for usage history by major customer, contracted minimums, pricing changes, and the proportion of usage that is production rather than trial activity. A high annualized pace based on a short burst of usage should not be treated as recurring subscription value.
Subscription revenue can arrive later than the sale
SoundHound AI’s fiscal 2025 filing explains that subscription revenue is generally recognized ratably over the contract term. Revenue from a prior quarter’s deferred balance can therefore contribute to the current quarter. If new or renewed subscriptions decline, the immediate effect on reported revenue may be small, while the impact becomes larger in later periods as the existing contracts run off.
C3.ai’s fiscal 2023 filing illustrates a different timing pattern: subscription revenue is recognized ratably, while its consumption-based option is recognized as consumption occurs. These are examples of mechanisms described in company filings, not a rule that every AI startup uses the same model.

ARR is issuer-defined, not an accounting standard
Companies can use the same acronym for materially different calculations. Rezolve Ai states that its ARR has no standardized meaning and may not be comparable with similarly titled measures used by other companies. In its stated definition, ARR includes the annualized value of active recurring subscription and contract revenue, including recurring professional services. It excludes non-recurring and usage-based revenue recognized under generally accepted accounting principles (GAAP), and it can include contracted future value that has not yet been recognized.
Rezolve’s release also states: “ARR is not a forecast of future revenue and does not consider other sources of revenue that are not recurring in nature.” That qualification matters. An ARR figure can be useful for analyzing the contracted base while still being an incomplete measure of total revenue and cash generation.
Vertex, Inc.’s fiscal 2025 filing demonstrates another policy. Vertex calculates ARR as the most recent month-end monthly recurring revenue multiplied by 12, with monthly recurring revenue based on subscription price and covered months. That formula is a snapshot under Vertex’s policy; it is not a universal definition that can be placed directly beside Rezolve’s figure.

A dated example: interpreting Rezolve Ai’s 2026 release
Rezolve Ai’s January 13, 2026 release presented several figures with different statuses:

The comparison is not evidence that any figure is wrong. It shows why the labels must remain attached to the numbers. Full-year revenue guidance covers recognition during 2026, while exit ARR describes the recurring base expected at the end of that year. The two measures have different denominators, dates, and accounting meanings. Subsequent filings or releases may revise the guidance or reported results.

1. Capture the definition and arithmetic
- Write down the exact metric name used by management.
- Identify whether it is one month or quarter multiplied by a factor, or an issuer-defined ARR calculation.
- Record every included revenue stream: subscriptions, consumption, professional services, implementation, one-time fees, and other items.
- Check whether the figure is based on recognized revenue, active contracts, invoices, bookings, usage, or cash.
2. Fix the date and status
- Record the “as of” date and the period covered.
- Label the number as historical recognized revenue, unaudited information, management guidance, a target, or an exit-rate claim.
- Do not place an exit ARR beside full-year revenue without explaining the difference.
3. Examine contract durability
- Are the counted contracts signed and active at the measurement date?
- Can customers cancel, reduce seats, or terminate for convenience?
- Are terms annual, multi-year, monthly, or tied to a pilot?
- What renewal rates and expansion rates are demonstrated, and over what period?
- Do contracted minimums support the amount, or does it depend on discretionary usage?
4. Separate mix from headline growth
Request the share of revenue and ARR from subscriptions, consumption, recurring services, implementation, and other non-recurring sources. A business can report rising total activity while its most predictable subscription base grows more slowly. Conversely, a large contract may increase ARR while recognized revenue remains limited until delivery occurs.

5. Check customer and usage concentration
Ask how much of the metric comes from the largest customers and whether their usage is stable. A small number of relationships can make both the annualized pace and the reported period unusually volatile. For usage-based contracts, examine monthly consumption rather than relying on the highest observed month.
6. Reconcile accounting, billing and cash
Compare the headline with recognized revenue in the relevant financial statements, invoices issued, deferred revenue, accounts receivable, and cash receipts. Where diligence access permits, request contract schedules, invoice samples, usage records, and payment evidence. Differences can be legitimate timing effects, but they need an explanation before a valuation multiple is applied.
Common mistakes and the correction for each

What investors can responsibly conclude
A run rate can be a useful signal of momentum when its period, formula and mix are transparent. It becomes misleading when a recent pace is presented as durable annual revenue, when an issuer-defined ARR is compared with another company’s differently defined ARR, or when guidance and unaudited figures are presented as historical results.

The most defensible analysis keeps three columns separate: recognized revenue for a stated reporting period, management’s recurring-value snapshot at a stated date, and forward-looking guidance. Add the contract, usage, renewal and cash evidence needed to test whether the snapshot is durable. Without that separation, a large AI revenue headline can make valuation appear precise while resting on an untested assumption about persistence.
