What to Check in a Cloud GPU Contract Before Your Provider Runs Into Financial Trouble

Protect your GPUs, data and prepaid money before a cloud GPU provider fails. A contract should give you early warning of financial distress, continued access while you migrate, a practical way to retrieve data and keys, and a refund or setoff for capacity you paid for but never received. Do not rely on a generic uptime percentage or a promise that your files will be available after termination: insolvency law can override contract language, and an administrator may ration exits when many customers leave at once.

Why a normal cloud contract is not enough

GPU neocloud arrangements combine scarce hardware, long power and colocation commitments, substantial deposits and workloads that can be difficult to move. If the provider misses debt payments, loses a facility or files for insolvency, it may suspend service or be unable to deliver reserved capacity even though your contract is still in force. The provider may also have little cash to pay damages or refunds.

UNCITRAL’s Notes on the Main Issues of Cloud Computing Contracts (2019) cautions that mandatory insolvency rules may override a negotiated termination clause. It also warns that, during a mass exit, an insolvency representative can limit how much data or application code each customer withdraws, or process requests on a “first come, first served” basis. Your contract therefore needs both legal rights and an executable technical exit.

1. Define financial distress and force early warning

Use objective trigger events

“Financial trouble” is too vague to activate protection. List events that require notice and give you remedies, such as:

  • Compact & Travel-Friendly: The ultra-compact design allows the adapter to stay plugged into your device without blocking adjacent ports or adding bulk, reducing wear and tear on your original USB ports.
  • 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.
  • a missed debt, lease, tax or power payment;
  • an insolvency, administration, receivership or similar filing;
  • a covenant breach, creditor standstill or payment moratorium;
  • loss, threatened termination or material impairment of a critical facility, power contract or colocation agreement;
  • failure to maintain committed GPUs, insurance or required licences; and
  • a material deterioration that would reasonably prevent the provider from meeting capacity, security or recovery obligations.

Require written notice within a short, specified period—for example, two business days for a formal filing and five business days for another listed event. State that notice does not permit the provider to suspend your access or destroy data.

Require useful financial and capacity reporting

At least quarterly, request current information proportionate to your exposure: audited or management financial statements, debt and lease maturities, liquidity, committed power, owned versus leased GPUs, facility concentration, customer concentration, and material subcontractors. GPU-infrastructure risk disclosures made in SEC filings identify counterparty, facility-concentration, power and insolvency risks; your contract should make those dependencies visible rather than treating the service as a black box.

Include a reasonable audit right, confidentiality protections and a duty to disclose a material change between reporting dates. Ask who owns the hardware, who holds the colocation and power contracts, and whether a lender, landlord or facility operator can step in and keep the service running.

Limit cash exposed to a failing provider

Cap deposits and take-or-pay commitments to the amount needed to reserve capacity. For larger prepayments, require an escrow account, a segregated customer-money arrangement or a bank guarantee. Make undelivered capacity refundable on a pro-rata basis and preserve your right to set off that amount against invoices. A damages claim may have little value once an insolvent provider is distributing assets.

2. Put the GPU capacity you bought in the order form

A headline such as “access to H100 GPUs” does not establish what will actually be delivered. Attach a schedule that records the commercial and technical unit of service:

  • GPU model, memory, interconnect and exact count (or a clearly defined equivalent);
  • dedicated, reserved or best-efforts status, with the percentage of capacity that is guaranteed;
  • region, facility and permitted substitutions;
  • provisioning lead time, queue priority and maximum replacement time;
  • host CPU, RAM, local and network storage, network bandwidth and interconnect performance;
  • maintenance windows, notice periods and allowed suspension time; and
  • power, cooling, facility and subcontractor responsibilities.

Specify whether a replacement GPU must be the same model, an equivalent benchmarked model or merely a lower-tier alternative. If the provider cannot supply an equivalent, give yourself a refund and a termination or cover-cost remedy instead of accepting an indefinite queue.

3. Build an SLA around the workload, not a single uptime percentage

Cover every dependency

Availability for a running virtual machine says little if you cannot boot it, attach storage or communicate between GPUs. Define separate service levels for:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • GPU reservation and provisioning;
  • instance boot and restart;
  • storage availability, durability and recovery;
  • cluster interconnect and network bandwidth;
  • power and facility operations;
  • scheduled and emergency maintenance;
  • incident response and restoration; and
  • subcontractor and colocation failures.

For each metric, state the measurement point, sampling interval, exclusions, maintenance treatment and evidence you receive. NVIDIA’s public SLA illustrates a service-specific approach with availability or capacity levels and exclusions for events outside its reasonable control. Exclusions should be narrow: a provider should not classify recurring power, facility or subcontractor failures as uncontrollable events simply because another company caused them.

  • What You Get: Anker USB-C Hub (7-in-1), welcome guide, 18-month warranty, and our friendly customer service.

Make recovery measurable

Set a maximum recovery time objective (RTO), recovery point objective (RPO) and communication timetable for the workloads that matter. Require incident notices, status updates, root-cause reports and access to logs. If the provider relies on a business-continuity or disaster-recovery plan, require you to review the relevant portions and require periodic failover tests. UNCITRAL notes that suspension for unforeseeable events may be conditioned on having such a plan; make the plan a contractual deliverable rather than an unverified representation.

Do not accept credits as the only remedy

Service credits can be useful for a short outage but may be capped, excluded for termination or worthless when the provider is insolvent. State that prolonged capacity loss, data loss, security failure or a distress event also permits termination, a pro-rata refund, reimbursement of reasonable cover costs and transition assistance. Ensure those remedies are not swallowed by a low aggregate liability cap, and negotiate a separate cap—or uncapped liability—for prepaid funds, data return and confidentiality where appropriate.

4. Make data, model and key retrieval executable

Define what you can take

“Customer data” should expressly include datasets, model weights, checkpoints, optimizer state, container and machine images, source code, configuration, infrastructure-as-code, logs, metadata, notebooks and encryption keys. Confirm that you retain ownership and that the provider has only the licences needed to operate the service. Require immediate read access after a distress notice and prohibit deletion, encryption or withholding for a disputed invoice except through a defined legal process.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Specify format, bandwidth and deadlines

List export formats that another provider can use, such as the image, object and database formats you actually deploy. Set a maximum egress fee, a minimum sustained transfer rate or queue priority, and a retention period after termination. Set a firm deadline for initial access and final completion, with staff assistance for large clusters. A right to request a download is not enough if a mass exit leaves you waiting months.

  • Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft

Use escrow and independent copies

For encryption keys, proprietary orchestration components or other items that could make exported data unusable, use an independent escrow agent or automatic key-release mechanism triggered by defined distress events. UNCITRAL gives source-code release and key escrow as examples of insolvency protections. Specify who can release the material, how identity is verified and how the escrow is tested.

Maintain your own backups outside the provider. NVIDIA’s public customer agreement says it will not retain customer data for retrieval and recommends that customers keep full backups. Treat that as a practical warning: export weights, checkpoints, images, code, logs and keys on a schedule, not only when a termination notice arrives.

Test restoration and migration

At least twice a year, restore a representative workload with your backups at a second provider or independent environment. Record transfer time, missing dependencies, checksum results, boot time, model-inference validation and the people who performed each step. Fix the runbook while the primary service is healthy. A contractual promise to provide files later is not an exit plan unless you have proved that the files can start your workload elsewhere.

5. Control termination, suspension and change of control

Allow time to migrate

Restrict provider termination for convenience and require advance notice long enough to move your workload. During that transition, the provider should keep agreed capacity, permit normal exports and provide reasonable technical assistance. Require pro-rata refunds for prepaid periods that end early. Include a cure period and executive escalation before suspension, except for narrowly defined security, safety or legal emergencies.

Plan for a buyer, lender or facility operator

Address assignment, change of control and subcontracting directly. A purchaser should assume service, confidentiality, data-return, SLA and transition duties, not merely acquire the hardware. Give a lender, landlord, colocation operator or other approved successor a step-in right to operate the service for a limited period. Require notice before a material subcontractor or facility changes, and let you terminate if the change creates unacceptable jurisdiction, security or continuity risk.

Choose legal terms deliberately

Specify governing law, venue, data locations and the process for disputes, but have counsel test those provisions against the insolvency law where the provider, facility and data are located. Mandatory rules can stay a termination, restrict setoff, invalidate a security arrangement or control how an administrator releases data. The contract should identify those risks rather than implying that a private clause can override them.

6. Keep an operational exit ready before a crisis

  1. Maintain two independent copies. Keep encrypted backups of weights, checkpoints, datasets, images, code, configuration, logs and keys in locations and accounts the provider cannot disable.
  2. Document dependencies. Record driver versions, CUDA or runtime versions, kernel settings, network topology, secrets, service accounts and licensing requirements.
  3. Maintain a second-provider path. Pre-approve an alternative region or provider, confirm compatible GPU models and quotas, and keep billing and identity access ready.
  4. Run migration drills. Measure export, transfer, restore and validation time for a realistic workload. Include a large checkpoint and a multi-GPU job, not just a small test instance.
  5. Assign decision rights. Name the people who can trigger a migration, release escrowed keys, approve cover costs and communicate with the provider or insolvency representative.
  6. Preserve evidence. Keep SLA measurements, invoices, capacity reservations, notices and backup manifests so you can prove what was paid for and what remains recoverable.

7. Compare providers on failure readiness

Comparison area Questions to ask
Financial transparency Will the provider disclose liquidity, debt and lease exposure, ownership structure, customer and facility concentration, and material deterioration?
Hardware and power Who owns the GPUs? Which facilities and power contracts are critical? Can a lender, landlord or colocation operator step in?
Capacity and recovery Are model, count, provisioning, boot, storage, network, interconnect, power, facility and subcontractor metrics guaranteed and tested?
Data exit What formats, bandwidth, fees, queue priority, retention period, escrow and restoration evidence are provided?
Prepayment exposure Are deposits limited, escrowed or refundable for undelivered capacity? Can you set off amounts owed?
Termination and control How much migration notice is required? Do cure, transition, assignment and step-in clauses survive insolvency?
Liability and remedies Are refunds, cover costs, data return and transition assistance available beyond service credits and ordinary caps?
Legal and location risk Which law and venue apply, where is data stored, and how might local insolvency rules affect retrieval or termination?

8. What to do when warning signs appear

Trigger the contract’s notice and escalation process as soon as a listed event occurs. Freeze new prepayments, export current data and keys, verify independent backups, and request a written continuity plan. Ask for the status of power, facilities, lenders, subcontractors and reserved GPUs. If service degrades, preserve logs and issue a formal reservation of rights while you start the tested migration path. Do not wait for a formal bankruptcy filing: by then, transfer queues, staff availability and network capacity may already be constrained.

Legal review is part of the technical design

Have a lawyer familiar with cloud contracts and the provider’s jurisdictions review insolvency triggers, escrow, setoff, security interests, liability caps, data location and the practical enforceability of termination and step-in rights. The commercial team should review capacity and refund language, while engineering validates export formats, restoration and failover. A contract is ready only when both the legal remedies and the migration runbook work under the time and bandwidth available in a real failure.
