Selling IPO shares in India creates a capital-gains tax question, not a tax on the entire sale proceeds. The result depends mainly on the transfer date, how long you held the shares under the statutory holding-period rules, whether the shares were listed when sold, and whether Securities Transaction Tax (STT) conditions are satisfied.

For a qualifying listed-equity transfer on or after 23 July 2024, short-term capital gains are generally taxed at 20% under section 111A. Qualifying long-term gains fall under section 112A, with 12.5% applying to aggregate gains above ₹1.25 lakh. Surcharge, health and education cess, losses, residential status and filing obligations can change the final amount.

The tax treatment in one view

IPO shares are not taxed simply because they were allotted or because they started trading. Tax generally arises when you transfer them. Your taxable base is the capital gain: sale proceeds minus the acquisition cost and eligible transfer expenses, subject to the applicable provisions.

Situation Rule for transfers on or after 23 July 2024 Important condition
Short-term listed-equity gain 20% under section 111A STT must be charged at the time of transfer and the statutory conditions must be met
Long-term listed-equity gain 12.5% under section 112A on aggregate gains above ₹1.25 lakh STT at sale and the applicable acquisition-side condition, subject to exceptions
Transfer before 23 July 2024 Earlier rates generally apply: 15% for qualifying section 111A gains and 10% for qualifying section 112A gains above ₹1 lakh Use the law applicable on the actual transfer date
Indexation for the revised post-23 July 2024 regime Not available for qualifying listed-equity long-term gains The Finance (No. 2) Act, 2024 removed this benefit

The rates in the table are concessional rates for specified transactions; they are not a universal rate for every sale of IPO securities. If a statutory condition is missing, the special section 111A or 112A treatment may not apply, and the transaction must be examined under the provisions that do apply.

Why a listing-day sale is usually short term

A listing-day sale normally occurs soon after the IPO allotment. That short holding period generally places the gain in the short-term category under the applicable capital-gains rules. The exact classification still depends on the statutory holding-period test and the date on which the shares were acquired or allotted.

For a listed-equity sale made on or after 23 July 2024, a qualifying listing-day gain is therefore generally subject to the 20% section 111A rate when the STT requirement is met. The 20% is applied to the gain, not to the amount credited from selling the shares.

If you sell before the shares are listed, do not assume that the listed-equity provisions automatically apply. The status of the security at the time of transfer is one of the facts that must be established, along with the exchange route and the relevant STT record.

How to determine short-term or long-term status

Start with the acquisition or allotment date

Use the IPO allotment or acquisition date shown in your allotment advice and broker records. Compare that date with the actual transfer date, not merely the date on which you placed a sell order. The statutory holding-period category is determined under the rules in force for the asset and transaction.

Confirm that the shares were listed when sold

Section 111A and section 112A are provisions for specified listed-equity transactions. Confirm the listing status and the market on which the sale took place. An off-market transfer, a pre-listing transfer or another transaction outside the qualifying conditions can require a different analysis.

Apply the law for the transfer date

The 23 July 2024 transition date is critical. A transfer on or after that date uses the revised 20% short-term rate and the revised 12.5% long-term rate with the ₹1.25 lakh threshold, where the statutory conditions are met. Earlier transfers generally use the earlier 15% and 10% framework and the earlier ₹1 lakh long-term threshold.

How to calculate the taxable gain

  1. Identify gross sale proceeds. Use the contract note or other broker statement for the consideration received from selling the shares.
  2. Subtract the IPO acquisition cost. For an allotment, this is ordinarily the amount paid for the allotted shares, supported by the allotment advice and payment records.
  3. Subtract eligible transfer expenses. Use expenses that the applicable capital-gains rules permit and that are evidenced in the broker contract note. Keep brokerage and other charges separately identified rather than estimating them.
  4. Check the holding-period category and listed-equity conditions. The arithmetic does not by itself decide whether section 111A or section 112A applies.
  5. Apply the relevant rate. Calculate the special-rate tax first, then consider surcharge and health and education cess, if applicable.
  6. Reconcile with your other gains and losses. The final liability can change when eligible capital losses or other section 112A gains are included in the year’s computation.

Keep the allotment advice, payment confirmation, demat statement, sale contract note and annual tax information statement together. These documents establish both the cost and the transfer details if the figures in a tax statement need correction.

Why STT evidence matters

The Income Tax Department describes the concessional treatment as applying when “the Securities Transaction Tax (STT) is paid at the time of the transfer of such securities.” In practice, check the sale contract note for the STT line item and retain the broker’s transaction statement.

For section 112A long-term treatment, the acquisition-side condition also matters. The rule has statutory exceptions, so the fact that shares came through an IPO does not eliminate the need to verify the acquisition record. If the acquisition condition or sale-side STT condition is not satisfied, do not use the 12.5% calculation without checking the applicable provision.

The 23 July 2024 rate change

Transfers on or after 23 July 2024

For a qualifying short-term listed-equity gain, section 111A uses 20%. For a qualifying long-term listed-equity gain, section 112A uses 12.5% on the portion of aggregate section 112A gains above ₹1.25 lakh. The ₹1.25 lakh limit is an aggregate threshold, so it is not a separate allowance for every IPO or every broker account.

Transfers before 23 July 2024

The earlier framework generally used 15% for qualifying section 111A short-term gains and 10% for qualifying section 112A long-term gains above ₹1 lakh. Use the transfer date shown on the transaction record when deciding which framework applies; the date of filing the return does not change the rate.

Indexation after the change

The Finance (No. 2) Act, 2024 removed indexation for the revised post-23 July 2024 long-term regime. You therefore calculate the qualifying gain using the actual acquisition cost and eligible transfer expenses rather than increasing the cost by an inflation index.

Worked calculations

Illustrative short-term listing-day sale

Assume an investor is allotted 100 shares at ₹100 each, for an acquisition cost of ₹10,000. The investor sells all 100 shares after listing for ₹145 each, producing ₹14,500 of sale proceeds. Assume the contract note shows ₹100 of eligible transfer expenses. The illustrative gain is ₹14,500 − ₹10,000 − ₹100 = ₹4,400.

If this is a qualifying listed-equity transfer on or after 23 July 2024 and the STT condition is met, the section 111A calculation is 20% of ₹4,400, or ₹880 before any applicable surcharge and health and education cess. This example is only a calculation method; it does not determine whether an individual’s transaction satisfies every statutory condition.

Illustrative long-term calculation

Assume the taxpayer has ₹1,60,000 of aggregate qualifying section 112A long-term gains for transfers on or after 23 July 2024. The amount above the ₹1,25,000 threshold is ₹35,000. At 12.5%, the basic section 112A tax on that excess is ₹4,375 before any surcharge and cess. Other gains, eligible losses and the taxpayer’s complete return position can change the result.

Items that can change the final bill

Surcharge and health and education cess

The headline 20% or 12.5% figure is not necessarily the final amount payable. Surcharge depends on the taxpayer’s circumstances and income level, and health and education cess is added as required by the current law. The available data does not establish an individual surcharge or cess amount.

Capital losses and other gains

Losses may affect the taxable amount only when the relevant set-off and carry-forward rules are satisfied. Likewise, the ₹1.25 lakh section 112A threshold applies to aggregate qualifying long-term gains, not to one isolated sale considered in complete isolation. Reconcile all relevant transactions for the year before computing the final liability.

Residential status

Residential status can affect the scope of taxable income and the reporting analysis. A resident, non-resident and other categories may have different filing considerations. Use the status applicable for the relevant financial year rather than assuming that the rules for another year or another taxpayer apply.

Advance tax and return filing

A sale can create an advance-tax obligation if the taxpayer’s overall liability reaches the applicable threshold after credits and withholding. The correct income-tax-return form and schedules depend on the taxpayer’s complete income profile. Check the current filing instructions for the relevant assessment year instead of selecting a form solely because the shares came from an IPO.

Records to keep after selling IPO shares

  • IPO application and allotment advice showing the number of shares and allotment price.
  • Bank or payment records supporting the acquisition cost.
  • Demat statement showing credit of the allotted shares.
  • Broker contract note for the sale, including sale price, STT and eligible charges.
  • Annual tax information statement and broker capital-gains statement, reconciled to your own records.
  • Working papers showing holding-period dates, aggregate section 112A gains and any losses used.

Do not rely on the sale proceeds displayed in a trading app as the taxable figure. The contract note and cost evidence are needed to establish the gain and the statutory conditions.

Common mistakes to avoid

  • Taxing the full sale value: tax is generally computed on the capital gain, not gross proceeds.
  • Using the current rate for an old sale: apply the rule attached to the actual transfer date, especially around 23 July 2024.
  • Assuming every IPO sale is long term: listing-day and other early sales normally require the short-term analysis.
  • Ignoring STT evidence: the concessional sections depend on statutory STT conditions.
  • Applying the ₹1.25 lakh threshold to each stock separately: section 112A uses aggregate qualifying gains.
  • Adding indexation to a post-23 July 2024 calculation: the revised listed-equity long-term regime does not provide it.
  • Choosing a return form without checking the full profile: filing requirements depend on more than one IPO transaction.

A practical decision sequence

  1. Read the sale contract note and record the exact transfer date.
  2. Confirm whether the shares were listed equity at the time of transfer.
  3. Compare the allotment or acquisition date with the transfer date under the statutory holding-period rules.
  4. Verify STT at sale and, for section 112A, the acquisition-side condition and any applicable exception.
  5. Compute proceeds minus allotment cost and eligible transfer expenses.
  6. Use the 23 July 2024 transition date to select the rate and threshold.
  7. Combine the result with other gains, losses, surcharge, cess, residential-status and filing considerations.

This sequence separates the classification question from the arithmetic. That matters because a perfectly calculated gain can still be taxed under the wrong section if the listing, holding-period or STT conditions were assumed rather than verified.
