Start with the workloads you must run, the value those workloads can create, and the date capacity is needed. Then compare owned equipment, rented cloud capacity, and a hybrid design against utilization, cash flow, power availability, operating capability, technology life and contract obligations.
The right structure may be a corporate loan, a project vehicle, a lease, a long-term capacity contract or ordinary cloud spending. Each can create commitments that behave like debt even when they do not appear as conventional borrowings. A viable plan proves that demand, power and delivery timing can support those commitments under conservative scenarios.

Define the workload and the business value
Write a workload register before approaching lenders, investors or cloud providers. For each model-training, inference, data-processing or research workload, record the accelerator type and quantity, memory requirement, interconnect needs, storage, network traffic, expected utilization, latency target and geographic or data-residency constraint. Separate production demand from experiments and from a possible future pipeline.

Translate technical capacity into an operating benefit. Examples include lower inference cost per transaction, faster drug or engineering simulations, new subscription revenue, reduced manual processing or a contractual service-level improvement. State who pays for that benefit, when cash arrives and what evidence supports the forecast. “AI demand will grow” is not a debt-service case until it becomes contracted revenue, an approved internal budget or a measurable cost reduction.

Model demand as ranges
Prepare at least downside, base and upside cases. Vary utilization, pricing, customer wins, model efficiency and the timing of deployment. A facility that works only at near-perfect utilization is exposed to demand shortfalls; a cloud plan that appears cheap at low usage can become expensive if inference runs continuously. Show monthly cash inflows and outflows for the first years, including ramp-up, idle capacity and delays.
Choose a useful life and decision horizon
Specialized accelerators can lose economic value as newer generations deliver more performance per watt. Match the repayment period to the period in which the equipment is expected to earn an acceptable return, not simply to the longest available loan term. Your model should include refresh spending, migration costs and a residual-value assumption that is conservative and explicitly stated.
Should we buy GPUs or rent cloud compute?
Neither ownership nor cloud is universally cheaper. The World Bank describes ownership as more suitable for predictable, demanding workloads when an organization has strict regulatory or performance requirements and can operate the infrastructure. Cloud generally fits variable workloads, experimentation, rapid deployment, elastic scaling and situations where advanced managed services or lower operational overhead matter. Large organizations often use both.

| Decision axis | Owned infrastructure | Cloud capacity | Hybrid implication |
|---|---|---|---|
| Committed capital and accounting | Large upfront equipment, facility and network investment; financing may sit on the corporate balance sheet or in a project structure. | Mostly operating payments, but minimum-spend, reservation and termination commitments can still create fixed obligations. | Place stable baseline demand in owned capacity and bursts or uncertain projects in the cloud, subject to a common cash-flow model. |
| Utilization and cash-flow coverage | Economics improve when demand is steady enough to keep equipment busy; idle assets still incur depreciation, power and staff costs. | Pay-as-you-go can track variable use, while reserved or committed capacity trades flexibility for a lower unit price or assured access. | Set a utilization threshold at which ownership is preferable, then test the threshold under lower demand and higher energy prices. |
| Time to usable compute | Requires equipment procurement, site preparation, networking, power and commissioning; a delay can leave debt service running before revenue. | Usually provides faster access, subject to regional availability, quota and provider capacity. | Use cloud to meet an immediate launch date while a carefully scheduled owned deployment is built. |
| Power and infrastructure responsibility | The business or project company must secure electricity, cooling, backup systems, grid connection, permits and maintenance. | The provider carries the physical infrastructure responsibility, but prices and availability reflect its own power and capacity constraints. | Keep workloads that require local control on owned systems and shift less sensitive or bursty work to rented capacity. |
| Control, security and regulation | Offers greater control over hardware placement, data paths and configuration, but the operator must implement and maintain safeguards. | Can provide mature security and managed services, but requires assessment of tenancy, data location, access controls and provider contracts. | Classify workloads by control and residency requirements before assigning them to a platform. |
| Scaling down or changing direction | Hardware and facility commitments are difficult to shrink quickly; resale value may be uncertain. | Capacity can usually be reduced or moved, although data egress, migration and contract charges may apply. | Preserve optionality for uncertain demand and reserve ownership for workloads with durable requirements. |
Compare total cost over the same period and with the same performance target. Include electricity, cooling, maintenance, networking, facilities, staff, insurance, financing fees, cloud price or reservation changes, equipment refresh, software and data-transfer costs. Include the cost of exiting: resale proceeds, decommissioning, migration and any remaining lease or minimum-purchase obligation. Do not assume that scale automatically makes ownership cheaper or that cloud automatically wins on flexibility; the result depends on utilization and the assumptions in the model.
How do companies finance AI data centers and compute deployments?
Corporate borrowing
A company can fund equipment, construction or working capital with ordinary debt. This is straightforward to analyze, but it consumes borrowing capacity and exposes the parent balance sheet to construction delays, utilization shortfalls and technology refresh needs. Match maturities to the period in which the assets generate cash, and test covenants under the downside case.
Special-purpose vehicles and joint ventures
The Bank for International Settlements describes hyperscalers using special-purpose entities or joint ventures to acquire or develop data-center assets. A sponsor may contribute equity, take a minority stake, arrange private debt and sign a long-term operating lease or capacity offtake agreement. The sponsor can also provide guarantees. The structure may move initial capital expenditure away from the main balance sheet, but leases, capacity reservations, minimum-purchase commitments, guarantees and refinancing obligations can remain economically debt-like.

- [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
The BIS reported more than $100 billion in gross hyperscaler bond issuance in 2025 in its 2026 analysis. That is sector context, not a borrowing benchmark for an individual business. Longer maturities can lock in funding for a multi-year buildout, while vehicle-level refinancing and uncertainty about project payoffs remain material risks.
Leases, reservations and offtake contracts
Read every payment obligation as a cash-flow claim. A lease may require payment before the site is fully operational. A reserved cloud commitment may require payment for capacity that is not used. An offtake agreement may protect a project’s revenue but leave the customer responsible for a minimum volume. Build a schedule showing start date, escalation, termination rights, renewal, security deposits, parent guarantees and events of default.
Project-level underwriting
Investors and lenders will examine the project’s contracted demand, customer concentration, power arrangements, construction status, equipment supply, operator capability and exit value. If one customer supplies most revenue, model that customer’s failure, downgrade or early termination. If the project depends on refinancing, test what happens when rates rise or capital markets close.

Build an underwriting model that can survive a downside case
- Set the capacity plan. Specify accelerator count, usable compute, storage, network throughput, facility capacity and the date each tranche becomes operational. Distinguish ordered capacity from commissioned capacity.
- Separate fixed and variable costs. Fixed costs include debt service, leases, staff, maintenance contracts and facility charges. Variable costs include electricity, cooling, cloud usage, data transfer and usage-linked software.
- Use explicit utilization assumptions. Show paid utilization by month, ramp time, idle periods and the utilization level needed to cover operating costs and debt service. Do not count theoretical peak performance as sellable capacity.
- Map revenue or savings to evidence. Identify contracts, approved budgets, pricing tests or measured process costs. Apply a haircut to uncertain pipeline revenue and delay the cash receipt when customers pay after delivery.
- Stress execution and financing. Model equipment arriving late, grid connection delays, a slower customer ramp, higher electricity prices, a failed component, a refinancing at a higher rate and a technology refresh earlier than planned.
- Value the end of the project. Use a conservative resale or residual-value case, include removal and migration costs, and show the result if equipment has little value because a new generation is materially more efficient.
- Check liquidity. Calculate the cash reserve required to cover construction overruns, commissioning delays and several months of weak utilization. A project can be profitable over its life yet fail because it runs out of cash before reaching steady state.
The 2026 National Bureau of Economic Research working paper by Stijn Van Nieuwerburgh estimates that a 1 GW AI campus costs about $41 billion and models nearly $9 trillion of investment for a 188 GW U.S. buildout by 2032. These are the author’s estimates and scenario, not observed costs or a company forecast. The paper highlights asset-level leverage, tenant concentration, rapid technological obsolescence, execution delays and uncertain residual values; your model should expose each risk rather than bury it in a single return assumption.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. Why power, grid access and construction timing can decide the financing
Power is a delivery dependency as much as an operating expense. Before signing debt or a long-term capacity contract, confirm whether the site can receive the required electricity on the required date, whether a substation or transmission upgrade is needed, who pays for it and what milestones control energization. Check permits, land rights, cooling-water availability where relevant, transformer and switchgear lead times, interconnection studies and backup-power requirements.
The International Energy Agency projects global data-center electricity use rising from 485 TWh in 2025 to 950 TWh in 2030, about 3% of global electricity demand in 2030. It also projects electricity consumption at AI-focused data centers to triple over that period. These are forecasts, not guarantees, but they indicate why power procurement and grid bottlenecks belong in the financing case.
Best Value
Construct a delay waterfall: what happens to interest during construction, lease payments, customer commitments, equipment warranties and debt-service coverage if power arrives three, six or 12 months late? The U.S. executive order addressing certain federal-site projects discusses power procurement and delivery, grid infrastructure and equipment, permitting, allocation of costs, electricity and water prices, energy efficiency, community engagement, environmental review and cybersecurity safeguards. Those provisions are not a universal rule for commercial data centers; determine the obligations that apply to the project’s location and ownership.
Risk checks lenders and boards should not skip
Demand and customer concentration
- Identify the percentage of revenue or internal value attributable to each major customer, model or business unit.
- Test contract termination, delayed deployment, lower usage and pricing pressure.
- Ensure capacity cannot be stranded if a key tenant leaves.
Technology obsolescence and residual value
- Compare the funded equipment with the performance-per-watt and memory characteristics expected from the next refresh cycle.
- Set a refresh reserve and avoid relying on an optimistic resale price to repay debt.
- Check whether software, networking or cooling constraints prevent a later accelerator upgrade.
Contract and guarantee exposure
- Aggregate leases, minimum-purchase commitments, reserved instances, capacity reservations, take-or-pay clauses and parent guarantees.
- Review change-of-control, early-termination, force-majeure and default provisions.
- Model the obligations as debt-like cash flows even when accounting presentation differs.
Refinancing and execution
- Identify every maturity and the assumption that it can be refinanced.
- Require independent confirmation of equipment delivery, construction progress, grid milestones and commissioning tests.
- Define who funds cost overruns and what happens if the operator or contractor fails.
Resource, community and security obligations
- Quantify electricity and water exposure and assess efficiency measures.
- Engage affected communities and complete the environmental and permitting work required for the site.
- Protect computing hardware, software, credentials and data paths with controls appropriate to the workload and jurisdiction.
Could public support reduce the funding requirement?
Public programs are jurisdiction-specific and should be treated as conditional sources, not committed cash, until eligibility and award timing are confirmed. Canada’s Innovation, Science and Economic Development guide for the AI Compute Access Fund, updated June 24, 2025, describes up to $300 million in program investment for eligible Canadian small and medium-sized enterprises.
Under that guide, the program may cover two-thirds of eligible Canadian cloud-compute costs and half of eligible non-Canadian cloud-compute costs until March 31, 2027, subject to program terms. It lists proposals from $100,000 to $5 million. The guide says eligible firms must be registered in Canada, have fewer than 500 full-time-equivalent employees, conduct research and development in Canada, and generate revenue or have at least Series A investor interest.

A practical go/no-go framework
| Question | Proceed only when the answer is documented |
|---|---|
| Demand | Workloads, utilization ranges and the value or revenue they create are tied to evidence rather than a broad AI-growth assumption. |
| Cash flow | Base and downside cases cover operating costs, commitments and debt service with a defined liquidity reserve. |
| Timing | Power, permits, equipment, networking and commissioning milestones support the date customers or internal users need capacity. |
| Structure | All leases, reservations, guarantees, offtake terms and refinancing needs are visible in one obligation schedule. |
| Operations | A named team can run, secure, maintain and refresh the environment, or a credible provider contract covers those functions. |
| Flexibility | The plan explains how capacity can scale down, migrate or be repurposed if demand or technology changes. |
| Exit value | Residual value and decommissioning assumptions are conservative and do not determine whether the project survives. |
If several answers are uncertain, stage the commitment: rent limited cloud capacity to validate demand, secure a smaller owned tranche, or make construction conditional on power and customer milestones. A financing structure is sound when the business can explain not only how the project succeeds, but also how it remains solvent when utilization, delivery or technology outcomes are worse than planned.
