NTDOY is an unsponsored American Depositary Receipt (ADR) for Nintendo Co., Ltd. that trades in U.S. dollars on the over-the-counter (OTC) market. Under the current depositary ratio, four NTDOY American Depositary Shares (ADSs) represent one Nintendo ordinary share listed in Japan. The receipt gives a U.S. investor a tradable claim linked to Nintendo’s Japanese shares without placing an order on the Japanese exchange.
That structure affects the price, trading hours, currency exposure, dividends, fees and treatment of corporate actions. NTDOY is not a separate Nintendo operating company or a New York Stock Exchange/Nasdaq listing; it is a U.S. trading line backed by Nintendo ordinary shares held through depositary and Japanese-custodian arrangements.
What NTDOY is
An ADR is a negotiable U.S. receipt issued by a depositary institution against shares of a non-U.S. company. For NTDOY, the underlying company is Nintendo Co., Ltd., whose ordinary shares trade in Japan. A depositary and its local custodian maintain the connection to those ordinary shares, while the ADS trades through a U.S. broker in dollars.

“ADR” describes the receipt program; “ADS” describes an individual depositary share that an investor buys or sells. Market participants commonly use NTDOY, ADR and ADS interchangeably when referring to the quoted security. The ticker is NTDOY.
BNY Mellon’s ADR directory identifies the underlying Japanese security with ISIN JP3756600007 and the U.S. ADR with ISIN US6544453037. The U.S. CUSIP is 654445303. These identifiers help a broker or transfer department distinguish NTDOY from Nintendo’s ordinary-share line and from other depositary programs.

Economically, an NTDOY holder has exposure to the value of the represented Nintendo ordinary shares, adjusted for the depositary ratio, exchange rates, trading frictions and any applicable charges. Owning NTDOY does not make the investor a direct holder of a Japanese exchange-listed share in the broker’s account.
What one NTDOY share represents
The current ratio is 4 NTDOY ADSs for 1 Nintendo ordinary share. In other words, one ADS represents one-quarter of an ordinary share before fees, taxes and market-price differences are considered.

The ratio is not a statement that Nintendo issued four new ordinary shares for every ADS. It is a bookkeeping relationship between the number of U.S. receipts and the Japanese shares held for the program. A broker statement showing 40 NTDOY ADSs therefore corresponds, before adjustments, to 10 Nintendo ordinary shares.
How the ADR structure works
- Underlying shares are held in Japan. Nintendo ordinary shares supporting the program are maintained with a Japanese custodian for the depositary arrangement.
- The depositary issues ADSs. The depositary creates U.S. receipts against the deposited ordinary shares according to the 4:1 ratio. Creation and cancellation keep the receipt line linked to the underlying share pool.
- U.S. investors trade the ADS. An investor submits an NTDOY order through a broker that handles OTC securities. The trade is quoted and settled in U.S. dollars, subject to that broker’s order rules.
- Corporate events are passed through. Dividends, splits and other distributions on the Japanese shares are processed by the depositary and then credited or reflected in ADS holders’ accounts, after deductions and conversion where applicable.
The arrangement lets an investor obtain Nintendo exposure without opening a Japanese brokerage account or converting trading capital into yen for each order. It does not remove international-market effects: the underlying shares remain yen-denominated, and the receipt’s value responds to both Nintendo’s share price and the yen–U.S. dollar exchange rate.
Why NTDOY trades over the counter
OTC trading means NTDOY is quoted through the U.S. over-the-counter market rather than listed on a national exchange such as Nasdaq or the New York Stock Exchange. A broker may route orders through an OTC market maker or other eligible venue, and the displayed quote can differ by broker and time of day.

OTC status matters in practical ways:
- Trading access varies. Some brokers allow OTC purchases freely; others require an acknowledgment, limit orders, additional risk disclosures or do not support the symbol.
- Quotes can be less uniform. Bid–ask spreads and available size may be wider than for heavily traded exchange-listed shares. A market order can receive a materially different price from the last displayed trade.
- Hours do not mirror Japan continuously. The U.S. quote follows the OTC broker’s supported session, while Nintendo’s ordinary shares trade during Japanese-market hours. When one market is closed, the other can react later to news.
- Information is distributed differently. A broker’s quote, volume and corporate-action feed may not show every detail available for the Japanese listing or the depositary’s notices.
OTC does not mean the receipts are unrelated to Nintendo. It describes the U.S. venue and its market structure, not a different underlying business.

NTDOY is recorded as an unsponsored ADR. In an issuer-sponsored program, the foreign company formally establishes and supports one depositary arrangement. An unsponsored program can be created without that same direct sponsorship, and multiple depositaries may maintain receipt programs for the same foreign issuer.
Program records identify BNY Mellon, Citi, Deutsche Bank and JPMorgan as depositary institutions associated with NTDOY records. The presence of multiple depositaries means an investor should identify which depositary handled a particular notice or payment. Terms, processing dates and fees can differ by depositary record.
Unsponsored status does not change the 4:1 representation, but it can make administrative details less uniform. For a dividend, conversion, cancellation or other event, the relevant notice is the one tied to the depositary and account channel used by the broker.
NTDOY compared with Nintendo’s Japanese ordinary share
| Comparison point | NTDOY ADR | Nintendo ordinary share in Japan |
|---|---|---|
| Security form | U.S. depositary share representing an interest in ordinary shares | Direct ordinary-share listing of Nintendo Co., Ltd. |
| Typical quote currency | U.S. dollars | Japanese yen |
| Representation | 4 ADSs represent 1 ordinary share | One ordinary share is the underlying unit |
| Venue | U.S. OTC market | Japanese stock exchange listing |
| Trading access | Broker must support the OTC symbol | Requires access to the Japanese market |
| Currency exposure | Dollar quote plus yen value of the underlying shares | Yen-denominated share price |
| Corporate actions | Processed through the depositary | Processed through the Japanese share registrar and market infrastructure |
| Potential costs | Broker costs, OTC spread, currency conversion and possible depositary fees | Japanese-market brokerage, custody and currency-conversion costs, depending on the investor’s arrangement |
Neither line is automatically “the real stock” while the other is merely a derivative. They are different tradable representations with different market access and administrative costs. The ADR’s claim is tied to the ordinary shares, but the two quotes can diverge temporarily.

Because four ADSs correspond to one ordinary share, a rough parity check is:

For example, the ordinary-share value represented by four ADSs is the NTDOY dollar price multiplied by four, then converted into yen at the relevant exchange rate. This is an explanatory relationship, not an executable arbitrage formula. It ignores the bid–ask spread, broker commissions, depositary charges, foreign-exchange costs, settlement timing, taxes and any market premium or discount.
Divergence is especially plausible when Japan and the United States are open at different times. A news event can move the Japanese share first, while the OTC quote catches up later, or the U.S. quote can move on currency or local-market expectations before Tokyo opens. Thin OTC trading can also make a single trade look more influential than it would in a deeper market.
Dividends, withholding and depositary charges
NTDOY dividends originate with distributions on Nintendo’s Japanese ordinary shares. The depositary receives the distribution, converts or processes it for ADS holders and sends the net amount through brokers. The amount credited to an investor is therefore not necessarily the Japanese per-share dividend multiplied mechanically by one-quarter.
Citi’s dividend record generated October 12, 2026 shows NTDOY payment entries dated July 20, 2026 and December 16, 2025. The displayed payment, withholding and fee fields vary by event. Those entries demonstrate that dividend terms are payment-specific; they are not a guaranteed fixed schedule or fixed net yield.
BNY Mellon’s directory explains that cash-distribution fees may be charged under the applicable depositary fee schedule. It also notes that the actual fee can differ when another depositary is the “First Filer.” Your broker statement is the authoritative record for the net cash credited to your account.

- Check the depositary notice for the gross distribution, record date and payment date.
- Review withholding and foreign-exchange conversion shown by the broker.
- Look for a separate depositary or processing charge on the statement.
- Do not compare a Japanese gross dividend with an NTDOY net credit without matching currency, ratio and deductions.
The 2022 ratio change and stock split
Nintendo announced a ten-for-one split of its ordinary shares in Japan effective October 3, 2022. Before the adjustment, the ADR ratio was 8 ADSs representing 1 ordinary share. BNY Mellon’s August 11, 2022 corporate-action notice recorded the change to 4 ADSs representing 1 ordinary share and stated an issuance fee of $0.01 per ADS issued.
Citi’s program record also shows the ratio moving from 8 ADSs per ordinary share to 4 ADSs per ordinary share effective October 3, 2022. The change kept the ADR relationship aligned with the post-split ordinary-share structure; it should not be interpreted as a fourfold change in an investor’s economic ownership by itself.
For any future split, consolidation, rights issue or distribution, read the depositary’s event notice. The number of ADSs, the represented ordinary-share fraction, cash-in-lieu treatment and fees can all be specified in that notice.
How to buy or monitor NTDOY through a broker
- Confirm OTC support. Search the broker’s security lookup for NTDOY and verify that the result is the Nintendo ADR, not an unrelated symbol.
- Read the security details. Confirm the 4 ADS:1 ordinary-share ratio, OTC venue and any broker warning about liquidity or order types.
- Choose an order type deliberately. A limit order controls the maximum purchase or minimum sale price; a market order can fill across a wider spread when displayed size is limited.
- Check total costs. Review commission, spread, foreign-exchange handling and any stated OTC or depositary charge before submitting.
- Verify the fill and settlement. Compare the execution price and quantity with the confirmation. Four ADSs, not one, correspond to one underlying ordinary share.
- Monitor corporate-action notices. Keep the broker’s depositary notifications so you can identify dividend deductions, ratio changes or cash-in-lieu payments.
Broker eligibility, minimum order size, fractional-share support and settlement rules are account-specific and can change. The broker’s current disclosure controls what you can actually trade.
Risks and common mistakes
Confusing ADS count with ordinary-share count
Using a one-for-one assumption overstates the underlying share exposure by a factor of four. Always apply the current ratio when estimating economic value or dividend entitlement.

Assuming the OTC quote exactly matches Tokyo
Exchange rates, different market hours, spreads, depositary fees and settlement timing can produce a temporary premium or discount. A parity calculation is a diagnostic, not a guaranteed conversion price.
Ignoring liquidity
A wide spread or small displayed order book can turn a seemingly attractive quote into an expensive execution. Limit orders and confirmation of available size reduce, but do not eliminate, this risk.
Expecting a fixed dividend
Payment dates and net amounts vary. Withholding, conversion and depositary charges can reduce the cash that reaches the account, and the relevant depositary notice may not be the same for every record.
Missing the program’s unsponsored status
Multiple depositaries can mean different notices and fee schedules. Match each event to the depositary identified by your broker rather than relying on a generic ADR page.

Who NTDOY may suit
NTDOY can be practical for an investor who wants Nintendo exposure in a U.S.-dollar brokerage account and whose broker supports OTC securities. It avoids the operational steps of buying the Japanese listing directly, while retaining exposure to Nintendo’s business, the yen and Japan’s market.
The ADR may be less suitable when an investor needs exchange-listed liquidity, wants direct Japanese-share ownership, requires a specific voting or corporate-action process, or cannot accept OTC spreads and depositary deductions. Those are access and cost considerations, not judgments about Nintendo’s business prospects.
