A tokenized stock can trade above or below the listed share it references because it is not always the same legal instrument. An issuer-sponsored token may carry equivalent ownership, dividend and voting rights; a custodial token may represent an indirect securities entitlement; a synthetic token may provide only price exposure with no claim against the company. Different trading hours, liquidity, collateral uses, redemption rules and failure risks can therefore create a premium or discount that lasts.
What a price gap actually means
Suppose a listed share is quoted on its regulated exchange while a blockchain token referencing that share trades on a crypto venue. The difference between the two quotes is the token’s basis relative to the reference share.
- Premium: the token quote is higher than the reference share. Buyers may be paying for continuous access, scarce token supply or use in decentralized-finance applications.
- Discount: the token quote is lower. Traders may be pricing in uncertain redemption, weak liquidity, custody concerns, issuer solvency risk or weaker legal rights.
A gap is not automatically a pricing error or evidence of manipulation. The Federal Reserve explains that tokenized stocks can have similar economic exposure to the reference stock while trading at different prices because tokens can trade 24/7 and have different programmability, composability and liquidity. The size and duration of any gap depend on the specific token, venue, jurisdiction and market conditions.

There is no automatic rule that forces the two prices to converge. Convergence requires a functioning bridge between markets: someone must be able to create or redeem tokens, move the underlying shares, settle trades, borrow inventory and absorb risk at a cost low enough for arbitrage to work.
The legal structure comes before the ticker symbol
Investor.gov distinguishes three broad structures. The label “tokenized stock” does not tell you which one you are buying.

Issuer-sponsored token
The company whose shares are referenced, or an entity acting under its authority, issues the token as a digital representation of a share class. If the legal documents actually grant the same ownership, voting, dividend and corporate-action rights as the traditional share, the token can be economically and legally close to the listed instrument. Those rights still depend on the offering documents, transfer restrictions and the jurisdiction in which the token is issued and held.
Custodial token or securities entitlement
A third party holds the underlying shares with a custodian and issues tokens representing an indirect interest. The holder may have a claim through the intermediary rather than a direct relationship with the company. The important questions are whether the shares are segregated, how records are reconciled, who can instruct corporate actions and what happens if the issuer, custodian or platform becomes insolvent.

Synthetic linked security
A synthetic token is designed to follow the reference share’s price without representing that share. It can be backed by collateral, derivatives or a contractual promise, but the token holder may have no claim or voting, dividend or ownership rights against the referenced company. The SEC staff statement describes a linked security as not being an obligation of the issuer of the referenced security and as conferring no rights or benefits from that issuer.
SEC Commissioner Hester M. Peirce has emphasized that blockchain technology does not change the nature of the underlying asset: tokenized securities remain securities. That statement is a legal principle, not a guarantee that every token gives the same rights as a listed share.
| Question | Issuer-sponsored | Custodial entitlement | Synthetic linked token |
|---|---|---|---|
| What the token represents | Potentially the company’s share, subject to the legal terms | An indirect interest in shares held by an intermediary | A contract or instrument tracking the reference price |
| Voting and dividends | May match the share class if expressly provided | Passed through or handled by the intermediary under its rules | May be absent or replaced by a contractual payment |
| Claim against the company | Possible, if the holder is recorded as an owner or equivalent entitlement holder | Usually indirect through the intermediary | Generally none against the referenced issuer |
| Redemption | Depends on issuer and transfer procedures | Depends on custodian, platform and settlement windows | Usually cash or contractual settlement, not delivery of the share |
| Main failure exposure | Issuer, registrar, smart-contract and market infrastructure failures | Intermediary or custodian bankruptcy and recordkeeping failures | Counterparty solvency, collateral, oracle and contract risks |
Why the token and share can move apart
Different trading clocks
A listed share trades during the exchange’s sessions and follows that market’s settlement calendar. A token may trade continuously, including nights, weekends and exchange holidays. News released while the share market is closed can move the token first. When the exchange reopens, the share may jump toward the token’s level, or the token may reverse if the news is interpreted differently by the two markets.

Different participants and liquidity
The traditional market may have deep institutional liquidity, while the token venue may rely on a small group of market makers or an automated pool. A modest order can move a thin token market substantially. Wide spreads, withdrawal limits, network fees and fragmented venues make it expensive to transfer value between markets, allowing a premium or discount to persist.

Tokens can be posted as collateral, combined with other protocols or traded through automated contracts. That utility can create demand that does not exist for the ordinary share. Conversely, a protocol outage, smart-contract exploit or a rule that blocks a transfer can remove that utility and push the token below the reference price.
Supply constraints and leverage
If new tokens cannot be created quickly, demand for continuous access or decentralized-finance use can produce a premium. If leveraged holders receive margin calls, forced sales can overwhelm bids and create a discount. A one-to-one reserve does not by itself ensure that supply can expand instantly or that every holder can redeem immediately.
What creates a premium?
- 24/7 access: traders may pay to act when the exchange is closed.
- Scarce inventory: minting limits, transfer restrictions or a lack of borrowable shares can constrain supply.
- DeFi utility: the token may be usable as collateral or in other contracts, adding value beyond ordinary share ownership.
- Access differences: investors who cannot easily use the traditional venue may compete for the token.
- Weak arbitrage capacity: high fees, settlement delays or compliance restrictions can prevent traders from selling the token and buying the share.
A premium is not proof that the token is better or that the reference share is mispriced. It may simply be the price of a separate, less liquid instrument with different rights.
What creates a discount?
- Redemption doubt: holders cannot verify who can redeem, when requests are processed or whether delivery is in shares or cash.
- Custody and insolvency concerns: the underlying shares may be held by a third party, and recovery could depend on bankruptcy proceedings.
- Missing shareholder rights: no direct voting, dividends or corporate-action entitlement can reduce the token’s value relative to the share.
- Thin order books: a few sellers can move the quote sharply.
- Operational risk: a paused bridge, frozen smart contract, oracle error or blocked blockchain transfer can strand holders.
- Collateral liquidations: automated systems may sell tokens at the same time, deepening the discount.
Why arbitrage does not always close the gap
In a textbook arbitrage, a trader sells the expensive instrument, buys the cheap one and exchanges one for the other. That strategy works only if the conversion path is real and usable. Traders need to know:

- Who is legally allowed to mint or redeem tokens.
- Whether redemption is for the actual share, cash or another token.
- What hours, cutoffs, fees and settlement delays apply.
- Whether the underlying shares are available, unencumbered and held in segregated custody.
- Whether the trader can move the token between venues and meet identity, eligibility and transfer restrictions.
- Whether market makers have enough balance sheet and credit to carry the position while settlement completes.
If any link fails, the apparent price difference is compensation for execution, legal, liquidity and counterparty risk. A discount can therefore remain even when the underlying share is easy to value.
Do token holders own the stock?
Only the legal documents and the applicable records answer that question. Check whether the token holder is recorded as a shareholder, a securities-entitlement holder or merely a counterparty to a price-linked contract.
Look specifically for:
- Voting mechanics and whether votes are passed through, pooled or unavailable.
- Dividend treatment, including timing, withholding and whether payments are contractual.
- Rights during splits, tender offers, mergers and other corporate actions.
- Transfer restrictions and investor-eligibility rules.
- The identity of the issuer, custodian, registrar and settlement agent.
- Segregation and reconciliation of the underlying shares.
- Priority of claims if the token issuer, custodian or venue fails.
The SEC staff discussion of third-party structures warns that holders can face bankruptcy exposure that a direct holder would not necessarily face. Its 2026 staff statement is guidance and has no legal force or effect; it should not be read as a binding rule that resolves every token’s status.
What happens during a market shock?
The token moves while the exchange is closed
The token may react immediately to earnings, a regulatory announcement or a geopolitical event. The reference share remains unchanged until its market opens. When trading resumes, arbitrageurs may buy or sell the share and attempt to create or redeem tokens. If the bridge is unavailable, the two prices can continue to diverge.

Redemptions are delayed
If the token trades continuously but the underlying shares settle on a slower schedule, holders can rush to sell before redemption completes. The European Central Bank has described this type of liquidity mismatch for tokenized money-market funds: a liquid token paired with a slower underlying can increase run risk. That analysis is an analogy, not evidence that every stock token will experience a run.

Collateral positions are liquidated
A falling token can trigger automatic margin calls. Smart contracts may sell collateral into a shallow market, causing a feedback loop of lower prices, more liquidations and wider discounts. The reference share may be unaffected until the traditional market opens.
An oracle or contract fails
An incorrect price feed can trigger unjustified liquidations or block minting and redemption. A smart-contract bug, cyberattack or network outage can freeze transfers. During the outage, the displayed token price may stop representing an executable price.
A custodian or issuer becomes insolvent
A claim that appeared to be one-for-one can become a recovery claim in bankruptcy. Whether holders receive shares, cash or a partial recovery depends on segregation, documentation and local insolvency law—not on the token balance alone.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsCan you redeem a token for the real share?
Sometimes, but never assume it. “Backed 1:1” describes a reserve assertion, not necessarily an instant delivery promise. Before buying, locate the redemption section and verify:
- Eligible redeemers and minimum amounts.
- Whether redemption is open to all holders or only authorized participants.
- Request windows, holidays, settlement time and network requirements.
- Fees, taxes, spreads and any early-exit penalties.
- Whether delivery is a share, a depositary interest or cash equivalent.
- What happens when the exchange or blockchain is closed.
If those terms are unavailable or discretionary, treat the token as a separate risk-bearing instrument rather than a readily convertible share.

How regulation affects the gap
Tokenized securities remain securities even when issued on a blockchain. The applicable rules can cover registration, disclosure, custody, transfer restrictions, investor eligibility and market conduct. Jurisdiction matters: a structure lawful for one class of investor or venue may be unavailable elsewhere.
SEC staff has discussed issuer, custodial and synthetic arrangements, while noting that its statement is not binding law. For bank capital purposes, the Federal Reserve and other regulators generally look to substance: eligible instruments with identical legal rights can receive the same treatment as traditional securities, while a synthetic exposure or weaker claim may not. Capital treatment does not guarantee liquidity, redemption or shareholder rights.
A practical checklist before buying
- Identify the wrapper. Read whether the token is issuer-sponsored, custodial or synthetic.
- Map the rights. Confirm voting, dividends, corporate actions and ownership records.
- Test the bridge on paper. Write down who can mint or redeem, the fees, cutoffs and settlement delay.
- Examine custody. Find the custodian, segregation policy, reconciliation process and insolvency priority.
- Compare executable prices. Check bid and ask quotes, not just a displayed midpoint, on both venues.
- Check market depth. Estimate how your order would move the token and whether withdrawals can be paused.
- Review operational controls. Look for smart-contract audits, oracle design, outage procedures and off-chain record reconciliation.
- Plan for a closed-market shock. Decide how you would exit if the token moves overnight and redemption is unavailable.
- Verify jurisdiction and eligibility. Confirm that the offering is permitted for your location and investor category.
How to interpret a persistent gap
A small, short-lived difference can reflect trading hours, spreads and settlement timing. A large or persistent difference is a signal to investigate the bridge and legal rights, not an invitation to assume risk-free profit. Compare the token’s quoted bid and ask with the share’s executable market, account for fees and funding, and ask whether you could complete the conversion under stress. If the answer is no, the token and the share should be treated as related but distinct assets.
Official sources do not establish a single current percentage or dollar figure for tokenized-stock divergence across venues. Any such number would need to identify the exact token, venue, timestamp, geography and measurement method.
