The underlying prohibition or designation remains in force. Continuing a transaction therefore requires a separate, still-valid authorization; a wind-down period exists only when the issuing authority expressly grants one.
The practical question is not whether a deal began while the waiver was valid, but whether each remaining act is covered after the cutoff. Companies must distinguish new business from narrowly defined steps needed to close existing activity, stop anything outside the authorization, and obtain written guidance or a specific license when completion is not possible on time.

Expiration ends the permission, not the sanctions
A waiver or license is an exception to an otherwise applicable sanctions rule. Its expiration removes that exception at the stated deadline. It does not delist a blocked person, repeal a prohibition, or make a restricted transaction lawful by itself.

Read the date, clock time, time zone, and any wording that makes the authorization effective only for transactions completed, initiated, or settled before that moment. A transaction that was permitted at 11:59 p.m. may be prohibited one minute later if no savings or wind-down clause applies.

The authorization type matters

OFAC describes a general license as public and self-executing, while a specific license is issued privately for a particular person or transaction. Both remain subject to their terms, including an expiration date. A company cannot rely on the label “waiver” or “license” without checking the operative language.
Can business continue after the deadline?
Usually, no. New orders, deliveries, services, financing, insurance, investment, or other activity that starts after expiration needs a different authorization or must stop. The fact that negotiations, a contract, or an earlier shipment began while relief was available does not automatically cover later performance.
Classify every post-expiration step as either new activity or a genuine wind-down action. The distinction is factual and must be supported by records.
New activity
- Accepting a new order or extending a contract to obtain additional goods or services.
- Making a fresh shipment, providing a new service, or drawing new financing after the cutoff.
- Adding a new counterparty, destination, product, or payment route not covered by the authorization.
- Renewing, rolling over, or restructuring a transaction in a way that creates continuing value rather than closing the existing one.
Wind-down activity
A wind-down authorization, when one exists, can permit only acts ordinarily incident and necessary to close transactions already covered. That may include returning goods, cancelling orders, settling an existing invoice, or arranging the final movement of property, but only to the extent the text allows. It is not a blanket extension for profitable operations or new commitments.

Is there an automatic grace period?
There is no universal grace period. A wind-down period exists only if the government separately provides it, and its scope is limited by the exact language. Some instruments give a short period after the main authorization ends; others provide no transition at all.
OFAC’s reimposition guidance has instructed persons to wind down operations by the announced deadline to avoid sanctions exposure or an enforcement action. The relevant end time is the one stated in the authorization, not the time a company first notices the change or the next business day.
Illustrative 2026 wording
A Federal Register example published in September 2026 stated that General License 12 authorized only transactions “ordinarily incident and necessary to the wind down” through 12:01 a.m. eastern daylight time, September 17, 2026. It excluded transactions involving other blocked persons unless separately authorized. That language illustrates three limits: a precise time zone, a narrow purpose, and no implied permission to deal with additional blocked parties. It is an example of drafting, not a statement that the same authorization applies to every sanctions program.

What happens to payments already in transit?
Payment status must be analyzed separately from the underlying goods or services. A bank may receive an instruction before expiry but process, settle, reject, or return it afterward. Whether that payment remains authorized depends on the license’s text, the parties, the payment route, and any wind-down provision.

Payment sent but not settled
Do not assume that an irrevocable instruction or a pending correspondent-bank transaction is protected. Confirm whether the authorization covers receipt, processing, settlement, and any return of funds after the cutoff. Ask the financial institution to identify the legal basis it is using, and preserve timestamps and messages.
Invoice for goods or services completed before expiry
If performance was complete while authorization was valid, a later payment may still require specific coverage. OFAC explains that activities under a wind-down authorization should be completed before the general license expires. When payment could not be received before the wind-down period ended, a request for a specific license should explain why.
Payment involving a newly blocked party
A transition clause normally does not override a separate blocking rule. Screen the beneficiary, originator, banks, owners, vessels, and intermediaries again before releasing funds. If any participant is newly designated or outside the license’s scope, stop and seek guidance rather than treating the payment as an administrative formality.
How to determine the exact cutoff
- Identify the instrument. Determine whether the relief is a statute-based waiver, executive-order provision, OFAC general license, OFAC specific license, or another authority’s authorization.
- Read the operative clauses. Record the expiration date, clock time, time zone, covered persons, territories, goods, services, currencies, payment terms, and any savings, grandfathering, or wind-down language.
- Map the transaction timeline. List when the contract was signed, goods were shipped or delivered, services were performed, invoices were issued, payment was initiated, and settlement is expected.
- Separate new work from closure. Mark each remaining action as new business, ordinary performance under the authorization, or a wind-down step. Do not classify an action as wind-down merely because it is convenient or contractually expected.
- Check every participant and route. Screen counterparties, beneficial owners, banks, freight companies, vessels, insurers, and payment intermediaries against current sanctions lists and program restrictions.
- Stop at the boundary. Suspend activity outside the written permission at the cutoff. Configure order, payment, and logistics systems to prevent automatic releases after that time.
- Escalate exceptions before acting. If a deadline cannot be met, request written agency guidance or a specific license before proceeding. Keep the request, supporting documents, and any response with the transaction file.
Renewal is possible only under the governing authority
A waiver cannot be renewed simply because a business still needs it. Renewal depends on the statute or issuing authority and may require a formal determination, consultation, or report before the existing period expires.

For example, the International Emergency Economic Powers Act statutory framework includes certain presidential waivers “for a period of not more than one year.” Where the law requires a national-security determination and a report to Congress before expiration, those steps must occur within the statutory timetable for a renewal to be effective. A company should not treat a pending policy discussion, press statement, or expected extension as authorization.
Renewal language also may change the scope. A new instrument can cover fewer countries, counterparties, products, or payment methods than the expiring one. Re-run the transaction analysis against the new text instead of carrying forward the old conclusion.

A general license is usable without an individual application only when every condition is met. It may require recordkeeping, reporting, blocked-property handling, or a particular deadline. If one material condition fails, the general license does not partially validate the transaction.

A specific-license request is the usual escalation when a transaction cannot fit a general license or cannot be completed during a permitted wind-down. The application should identify the parties, ownership, goods or services, value, dates, payment path, applicable sanctions provisions, and the precise reason the authorized period was insufficient. For a delayed payment, explain the operational cause and show why the requested relief is limited to completing or unwinding the existing activity.
Business response plan
Build a deadline register
Maintain one register for every sanctions authorization affecting the business. Include the instrument number, issuing authority, program, covered entities, start and end times in UTC and local time, responsible owner, and links to internal contracts and screening records. Calendar alerts should precede the cutoff by enough time to stop automated systems and obtain approvals.
Freeze and segment activity
At expiry, place holds on new orders, shipments, service tickets, credit draws, and payments that lack a current legal basis. Keep permitted wind-down work in a separate queue with transaction-level approval. This prevents a lawful closure action from being mixed with prohibited expansion.
Re-screen and document
Run sanctions screening again at the cutoff and before each later payment or shipment. Preserve the list version, search date, results, analyst, escalation decisions, and copies of the authorization. Record what was delivered or performed before expiry and what remains outstanding.
Communicate with counterparties and banks
Tell counterparties which activities are paused, what documentation is needed for a return or cancellation, and that no new commitments may be accepted without authorization. Ask banks and logistics providers to confirm their own processing constraints; their internal controls may be stricter than the legal minimum.
Seek advice early
Contact the issuing agency or sanctions counsel before the deadline when a transaction is complex, payment is delayed, or a counterparty’s status is uncertain. Written guidance or a specific license obtained after an unauthorized act may not cure the earlier violation.
Common mistakes and how to correct them
- Assuming a contract is a grandfather clause. A pre-existing contract does not itself extend a license. Review each post-expiration performance step.
- Treating “wind down” as permission to finish all profitable work. Limit actions to those ordinarily incident and necessary to close the existing activity.
- Ignoring the time zone. Convert the stated deadline into the time zone used by order, payment, and logistics systems and keep the conversion in the file.
- Relying on a pending renewal. Until a new authorization is legally effective, follow the old instrument’s end date.
- Screening only the named customer. Ownership, banks, carriers, insurers, and intermediaries can independently trigger restrictions.
- Assuming a bank’s acceptance proves legality. Financial institutions may process, reject, or hold transactions under their own controls; their action is not a legal opinion for the customer.
- Failing to preserve evidence. Missing timestamps, delivery records, or payment messages can make it impossible to show that an act fell within the authorization.
Geography, program, and authority change the answer
Sanctions are not governed by one worldwide rule. The result can differ by country, sanctions program, issuing authority, transaction type, counterparty, and the person’s connection to the regulating jurisdiction. A U.S. authorization may not protect conduct subject to another country’s law, and a foreign authorization may not protect a U.S. person or a transaction routed through the United States.
The framework above reflects U.S. sanctions practice, including OFAC general and specific licenses, statutory waiver concepts, and wind-down guidance. A live transaction requires program-specific review of the current text. When the instrument is ambiguous, the safest operational assumption is to pause the disputed step until the issuer or qualified counsel provides a documented basis to proceed.
