1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsWhen a crypto-mining company misses payments on expansion debt, it usually faces a liquidity and covenant crisis before it faces a courtroom. Lenders may grant waivers, extend maturities or enforce collateral rights; management may sell bitcoin, equipment or other assets, seek rescue financing, or file Chapter 11. A Chapter 11 filing can allow mining to continue while a bankruptcy court supervises financing, claims, asset sales and a restructuring plan.
The final outcome depends on cash flow after electricity and hosting costs, the value and location of the mining fleet, lien priority, contract rights and the confirmed plan. Creditors may receive cash, new debt, equity, warrants or liquidation proceeds. Existing shareholders are often diluted heavily, and can be replaced when debt converts to stock.

What happens immediately after a mining-debt payment is missed?
A missed principal or interest payment is generally an event of default under the applicable loan documents, although the lender may have to provide notice and allow a contractual cure period. Other covenants can trigger a default even before a payment is missed, such as minimum-liquidity tests, collateral-coverage requirements or restrictions on bitcoin sales and additional borrowing.

1. The company measures its cash runway
Management first maps the cash needed for payroll, electricity, hosting invoices, equipment leases, taxes and post-default legal costs. A fleet that is profitable on a bitcoin-per-coin basis can still fail if cash arrives later than bills are due. Power and hosting contracts typically continue while machines are idle, and an ASIC loan or facility lease does not disappear when mining revenue falls.

2. Lenders can reserve or exercise remedies
Depending on the documents and applicable court orders, a secured lender may demand payment, block further draws, take control of pledged accounts, repossess ASICs or enforce a security interest in bitcoin, receivables, sites or contracts. Enforcement is not automatic: the lender must follow the loan agreement and local law, and a bankruptcy filing can impose an automatic stay on many collection actions.
3. The parties try an out-of-court fix
Common proposals include a temporary payment holiday, covenant waiver, maturity extension, interest-rate change, new collateral, an equity contribution or a negotiated sale of part of the fleet. These deals work only if lenders believe the reorganized business is worth more than a forced liquidation and the company can produce credible forecasts.
Why expansion debt becomes dangerous so quickly
Revenue can fall faster than fixed costs
Bitcoin mining revenue depends on the block subsidy, bitcoin’s market price, transaction fees and the network’s total hash rate. In April 2024 the block reward fell from 6.25 BTC to 3.125 BTC. Core Scientific stated that, assuming a stable network hash rate and bitcoin price, the halving could reduce mining revenue by 50% (Core Scientific, 2024). Debt service, power commitments, leases and hosting charges do not automatically fall by half.

Core Scientific disclosed that its debt agreements required bitcoin to be sold within ten days of receipt. The proceeds were typically used for operations and growth. Such a cash sweep can protect lenders, but it leaves the miner with less ability to retain coins for a price recovery or to fund a sudden repair, deposit or legal expense.
ASIC collateral has a moving value
A Bitcoin mining ASIC miner, such as the Bitmain Antminer S19 XP or S21 documented in Core Scientific’s deployment plans, is valuable only if it can run at an economic power cost and has a usable site, network connection and maintenance support. When many distressed miners sell simultaneously, used-machine prices can fall. A forced sale may recover less than the outstanding equipment loan and permanently remove the earning capacity that could have supported a reorganization.

What options exist before Chapter 11?
Negotiate waivers or a maturity extension
A waiver can suspend a specific default while the company cuts costs or raises capital. A maturity extension pushes principal payments into the future, but lenders commonly seek higher interest, additional collateral, reporting rights or an equity component. The agreement should specify which defaults are waived; a broad-looking standstill may not cover every covenant.
Sell bitcoin, rigs or facilities
Bitcoin sales provide immediate liquidity but may lock in a low market price, particularly when the debt documents already require prompt sales. Selling ASICs, a data-center lease or a hosting contract can generate cash and reduce future power bills. The trade-off is lower hash rate and less capacity to benefit from a later bitcoin rally. Buyers and lenders also need to verify title, liens, firmware, shipping status and whether the hosting contract can be assigned.
Raise rescue capital
New money can come from an existing lender, a strategic investor or a debtor-in-possession facility arranged after filing. Rescue capital is expensive because it is provided when default risk is high. It may receive a senior lien, fees, warrants or conversion rights, and existing debt holders may have to consent to the new priority.
Consider an orderly sale instead of a distressed auction
If a facility cannot generate positive cash flow after power and debt service, selling the operation as a going concern may produce more than selling machines one by one. Management should compare the net proceeds from continued mining, a negotiated sale and a liquidation, including shutdown costs, employee claims, lease termination charges and the time required to obtain court approval.
How Chapter 11 changes the process
Chapter 11 is a court-supervised restructuring, not an automatic shutdown. The company normally remains in possession of its business as a debtor in possession (DIP), subject to the bankruptcy court’s jurisdiction and reporting requirements.

Filing and first-day relief
The petition starts the case and generally triggers an automatic stay that pauses many collection and enforcement actions. The debtor seeks orders to pay employees, maintain utilities, use cash collateral and continue essential contracts. Secured lenders may challenge the use of their cash or collateral and request adequate protection.

Because pre-filing cash may be pledged, the debtor often needs DIP financing or consent to use cash collateral. A DIP lender may receive a superpriority claim or a new lien, subject to court approval. The company can continue mining if it can pay post-petition electricity, hosting and other administrative expenses and show that continued operation benefits the estate.
Claims, collateral and contract review
Creditors file proofs of claim for unpaid loans, hosting invoices, equipment obligations, termination damages and other amounts. The debtor and creditors then determine which claims are secured, unsecured, disputed or subject to setoff. Mining contracts deserve special scrutiny: a hosting provider’s termination rights, power-price formula and access to the machines can determine whether rigs remain productive or become stranded.
Asset sales and a plan
A court may approve a sale under Section 363 before a plan is confirmed, often after a bidding process. Alternatively, the plan can transfer assets, convert debt to securities or provide cash distributions. Confirmation requires the statutory findings applicable to the case, including feasibility and treatment of impaired classes. Once effective, the plan binds creditors according to its terms and can cancel or replace old obligations.
Case study: Core Scientific reorganized as a going concern
Core Scientific filed voluntary Chapter 11 petitions on December 21, 2022 and continued operating as a debtor in possession under bankruptcy-court jurisdiction. The court confirmed its Fourth Amended Joint Chapter 11 Plan on January 16, 2024. The plan became effective on January 23, 2024, when the company emerged.

The plan satisfied and extinguished claims with a package that included new common stock, warrants, contingent value rights, new secured convertible notes due in 2029 and new secured notes due in 2028. Core Scientific’s January 23, 2024 release said: “The Plan of Reorganization (‘The Plan’) reduced Core Scientific’s debt by $400 million through the conversion of equipment lender and convertible note holder debt to equity.”
The company also reported that it expected to deploy approximately 27,000 Bitmain S19 XP miners and approximately 12,000 Bitmain S21 miners before mid-2024. That plan illustrates the going-concern argument: if the reorganized company can secure power, operate efficiently and fund growth, keeping the fleet together may create more value than selling every machine during a downturn.
Case study: Compute North followed an asset-sale and liquidation path
Compute North filed Chapter 11 on September 22, 2022. It hosted rigs for Marathon, which later reported that substantially all of Compute North’s assets were sold through a series of Section 363 transactions. Marathon filed claims relating to hosting agreements, a senior promissory note, a breached letter of intent and lost revenue.
A February 2023 settlement produced one allowed unsecured claim of $40.0 million, according to Marathon Digital Holdings’ 2024 filing, and confirmed 39,597 Series C preferred shares. Compute North’s plan provided for liquidation of the remaining assets and distribution through a waterfall. The result contrasts with Core Scientific: a sale-and-liquidation case can preserve value through asset transactions, but it does not promise that the original operating company or its equity will survive.

Who gets the mining rigs and other assets?
Ownership follows the contracts and the court-approved transaction, not simply possession of the machines. An equipment lender with a perfected security interest may have priority in identified ASICs and their proceeds. Another lender may hold a blanket lien over accounts, inventory or substantially all assets. A hosting customer may own its rigs while the host owns the facility and owes access under a separate contract.

| Claim or interest | Typical position | What determines recovery |
|---|---|---|
| Administrative and post-petition expenses | Generally paid ahead of pre-petition claims | Cash available and court-approved treatment |
| Secured equipment or asset lender | Value up to its collateral, subject to valid liens and priority disputes | Perfection, collateral description, valuation and sale proceeds |
| Other secured creditors | Priority governed by intercreditor agreements and lien order | First-priority status, adequate protection and collateral value |
| Unsecured lenders, vendors and hosting counterparties | Share in the unsecured pool or plan consideration | Allowed claim amount and the plan’s distribution waterfall |
| Existing shareholders | Usually last in priority | Whether value remains after all creditor classes and the plan’s equity treatment |
Secured lenders and administrative claims generally stand ahead of unsecured creditors and equity, but a table cannot predict a particular case. Valuation, lien defects, contract rights, court orders and the confirmed plan can change the result.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. Can a crypto-mining company keep mining during bankruptcy?
Yes, if continued operation is authorized and economically supportable. Core Scientific continued operating during its Chapter 11 case. A debtor must still pay post-petition electricity, hosting, payroll and maintenance costs, comply with court orders and preserve collateral. If each additional bitcoin mined consumes more cash than it generates, the court or creditors may favor a sale, shutdown or conversion of the case to liquidation.
Mining may also be interrupted by a host’s contractual termination, loss of power capacity, equipment failure or inability to post deposits. A customer whose rigs are held by a failed host should document serial numbers, ownership, insurance, access rights and any cure or reclamation demands promptly.
Do shareholders get wiped out?
Shareholders are junior to creditors. If the reorganized enterprise is worth less than its secured, administrative and unsecured obligations, existing common stock can be cancelled with no distribution. If some equity value remains, a plan may preserve old shares, issue new shares subject to dilution or provide warrants and contingent rights instead.
Core Scientific’s plan demonstrates why dilution is common: equipment-lender and convertible-note debt was converted to equity, reducing debt by $400 million while changing the ownership structure. A shareholder should read the disclosure statement and plan for the capitalization table, cancellation date, new-stock allocation, warrants and any backstop or rights offering rather than assume that a listed ticker will survive.
How creditors and counterparties should evaluate a distressed miner
- Identify the obligation. Separate equipment loans, hosting invoices, promissory notes, leases, power contracts and customer-owned machines.
- Trace the collateral. Check filings, schedules, serial numbers, wallets, receivables, sites and contract-assignment provisions.
- Measure liquidity runway. Calculate cash after payroll, electricity, hosting, insurance, taxes, maintenance and post-petition obligations.
- Test the going-concern case. Model hash rate, power cost, block reward, bitcoin price, fees, downtime and debt service after the halving.
- Compare sale values. Estimate a facility sale, an orderly fleet sale and a forced liquidation net of shipping, auction, termination and legal costs.
- Read the proposed consideration. Determine whether the plan offers cash, new debt, equity, warrants, contingent value rights or a combination, and when each becomes available.
- Monitor court deadlines. Track bar dates for proofs of claim, bidding procedures, sale hearings, disclosure-statement approval and plan confirmation.
What the two documented cases show
| Question | Core Scientific | Compute North |
|---|---|---|
| Chapter 11 filing | December 21, 2022 | September 22, 2022 |
| Primary path | Reorganization and emergence as an operating company | Section 363 asset sales followed by liquidation of remaining assets |
| Key result | Plan effective January 23, 2024; debt exchanged for new securities, including equity | Settlement allowed Marathon a $40.0 million unsecured claim and 39,597 Series C preferred shares |
| Lesson | A viable fleet and financing plan can support a going concern | Contract and asset value can be distributed even when the operating platform is liquidated |
Neither case establishes a universal recovery percentage. The appropriate comparison is whether the assets produce more value together than separately, after priority claims and the cost of keeping the business alive.
Practical warning signs before a filing
- Bitcoin is sold immediately to meet ordinary bills rather than retained for planned growth.
- Equipment orders, power deposits or hosting invoices are delayed while new machines are still being announced.
- The company requests repeated covenant waivers, maturity extensions or emergency capital.
- Rigs are moved between facilities, powered down or held by a host that is itself in default.
- Management discloses a material reduction in hash rate, liquidity or collateral coverage.
These signs do not prove insolvency, but they indicate that lenders, customers and shareholders should obtain current financial statements, lien information, wallet-control details and contract notices before relying on an expansion plan.
Bottom line
A crypto miner that cannot repay expansion debt has four broad paths: renegotiate, raise rescue money, sell assets or enter bankruptcy. Chapter 11 can keep mining alive, but only when post-filing cash flow and collateral value justify it. Core Scientific shows a debt-for-equity reorganization that preserved operations; Compute North shows how hosting and other assets can be sold while the remaining estate liquidates. In either path, priority, collateral and the confirmed plan—not the number of machines on a balance sheet—determine who is paid and whether shareholders retain anything.
