In the UK, a broadband takeover normally does not switch off your service or cancel your contract. In most acquisitions, your existing agreement transfers to the buyer and you continue paying for the same service. Ofcom says customers usually do not need to sign a new contract simply because ownership changes.
The outcome is different if the provider closes without a buyer. You should be told when service will stop, arrange another provider and normally leave without an early-termination charge. Administration or debt restructuring can change who owns and runs the business, but it does not automatically disconnect the network.

What the type of corporate change means for your connection
Read the wording in the notice carefully. “Acquisition”, “administration”, “asset or customer transfer” and “closure” describe different risks.

|---|---|---|
| Normal acquisition with the service continuing | Broadband, telephone service and equipment usually keep working. | Existing terms generally transfer. A new contract is not normally required. |
| Administration followed by a debt-free sale | A buyer may keep the network and customer operations running while ownership changes. | You normally remain on the existing contract unless a separate variation is proposed. |
| Managed migration to another provider | You may be moved to a different billing or support system, sometimes with planned technical work. | Check the migration notice for dates, equipment instructions and any new terms. |
| Provider closes without a buyer | Service ends on a date the provider should communicate. | Arrange a replacement service. You should not owe an early-termination charge for leaving because the provider ceased trading. |

What a takeover normally does to your broadband contract
Ofcom’s out-of-business guidance says: “In most cases, your existing contract should transfer to the new provider.” That means the buyer normally takes over the supplying business or customer relationships rather than asking every household to start again.
Your service should continue during an ownership change
A change in shareholders, a sale of the operating company or a debt-free acquisition does not by itself turn off the access network. Your router may remain connected, and the same line, fibre circuit or wireless link can continue to deliver service. There is no published statistic that predicts how often takeovers interrupt broadband; the available official material is case-specific rather than a general failure rate.
You usually do not have to sign a new contract
Do not assume that an email asking you to “accept” a new minimum term is merely an administrative formality. An acquisition announcement alone is not proof that your individual contract has changed. Keep the original contract, contract summary, bills and the takeover notice so you can compare any later proposal.

Billing and support may look different
The buyer can use a new account portal, payment processor, customer-service name or complaints address while the underlying service remains the same. Verify unexpected direct-debit or login instructions through an official channel you already trust. Do not ignore a genuine billing migration, but do not hand over payment details to an unverified message.

What debt restructuring and administration change
Administration is a formal insolvency process; debt restructuring changes how liabilities are handled. Neither phrase automatically means that the physical network has failed. The practical question is whether a buyer or administrator is keeping the service operation alive.
BT’s 2026 TalkTalk and PlatformX acquisition
On 5 October 2026, BT Group announced that it had acquired TalkTalk Telecommunications Limited and PlatformX Communications Limited out of the administration of TalkTalk Group on a debt-free basis. BT said the transaction was intended to protect continuity for 2.5 million customers.
Ofcom’s customer notice on the same date said: “If you are a TalkTalk customer, you remain a TalkTalk customer and you don’t need to do anything differently.” It also said: “There will be no change to your price, contract or how you access billing.” That is a concrete example of administration and debt-free sale being used to preserve service rather than end it.
G.Network’s 2026 reorganisation
G.Network announced on 24 March 2026 that it had reorganised through administration under FitzWalter Capital and continued on a debt-free footing. It described a central-London full-fibre footprint passing more than 420,000 premises. The example shows why the word “administration” alone is not enough to predict a shutdown: the continuing operator and its service plan matter.

When a new owner changes your deal
Treat any later change to price, speed, minimum term, bundle, equipment or support as a contract-change question, not as an automatic consequence of the takeover.
Ofcom’s notice and exit rule
Ofcom’s contract guidance says a provider normally must give at least one month’s notice of a change that does not benefit the customer and must offer a right to leave without an early-termination charge. The notice should explain what is changing and how to exercise the exit right.
Changes covered by the rule
- A higher recurring price or a new fee that makes the deal worse.
- A reduction in the promised speed or a less favourable service tier.
- A new or extended minimum-term commitment.
- Removal of a bundle element, discount or included equipment.
- A support or billing change that materially disadvantages you.
Exceptions
The penalty-free right does not apply to a change exclusively benefiting you, a purely administrative change with no negative effect, or a change imposed directly by law. A new account portal with no loss of access, price or rights may therefore be administrative rather than a harmful contract variation.
How to challenge an unfavourable variation
- Compare the proposed terms with the signed contract and latest bill.
- Ask the provider to identify the exact clause and effective date for the change.
- State that you are requesting the penalty-free exit described in the notice and Ofcom’s contract-change rules.
- Keep the response, cancellation reference and evidence of the notice date.
- If you leave, check installation timing, equipment returns, final billing and whether your landline number can be ported.
If the provider goes bust with no buyer
Ofcom says the provider should tell customers when service will stop. You will need to sign up with another provider; the old company should not charge an early-termination fee for a contract ending because it ceased trading.

Plan for the stop date
- Read the closure notice for the final service date, contact route and any refund or credit instructions.
- Order a replacement connection early enough for installation or activation before the old service ends.
- Ask the new provider about keeping your existing landline number; portability may not be possible.
- Download bills, account records and complaint correspondence before the old portal disappears.
- Use a temporary mobile hotspot if necessary. The takeover rules do not require any particular hardware.
Landlines, alarms and vulnerable households
A broadband closure can affect voice service, medical alarms, monitored security systems and emergency communications. Tell the provider about vulnerability, disability, reliance on an alarm or another critical need. Ofcom expects good customer care, and the UK Government has warned that sudden collapse could put vulnerable customers and public services at risk.
What to check when the buyer contacts you
Use this checklist before accepting a new arrangement or changing payment details:
- Who supplies: identify the legal entity now providing the connection.
- Who bills: confirm the name on invoices and whether your direct debit is being transferred or recreated.
- Who supports: record the new customer-service number, opening hours and complaints address.
- Price: compare the recurring charge, one-off fees, discounts and expiry dates.
- Speed and technology: check the advertised minimum or expected speed, access network and whether a router replacement is required.
- Minimum term: look for any new commitment period or early-termination charge.
- Bundle: verify television, phone, mobile or security features included in the old deal.
- Cancellation: check the notice method, deadline, equipment-return process and final-bill treatment.
What happens to the network and your equipment?
Ownership can change while the underlying access network remains the same. In other cases, the buyer may migrate customers to a different platform, replace a router or change the technology used to deliver service. The corporate announcement does not by itself tell you which outcome applies.
Questions to ask before accepting equipment changes
- Is the replacement router supplied at no charge or billed separately?
- Will the current router stop working on a stated date?
- Will Wi-Fi settings, parental controls, static IPs or port-forwarding configurations need to be recreated?
- Who owns the old equipment and how must it be returned?
- Will an engineer visit be required, and who pays if an appointment is missed?
A technical migration should come with practical instructions. Keep the notice until the new connection is stable and the final bill is correct.

Complaints, deadlock and alternative dispute resolution
Start with the provider’s published complaints process and keep the complaint reference number. Describe the service, contract term, notice date, disputed charge and remedy you want. Save outage records, bills, screenshots and every response.
If the provider does not resolve the matter, use its deadlock process. You can then take an eligible complaint to an Ofcom-approved alternative dispute resolution scheme: CISAS or the Communications Ombudsman. An administrator or buyer may change the trading name, so check which legal entity and scheme are named in the current complaints information.
Why regulators and government may intervene
Broadband insolvency has consequences beyond an ordinary supplier dispute. The UK Government said a sudden collapse could disrupt vital phone and broadband services and put vulnerable customers and public services at risk. Parliamentary concerns included emergency services, hospitals, public bodies and medical alarms.
For that reason, Ofcom, government departments and competition authorities may monitor a rescue, impose conditions or seek continuity arrangements. Their involvement does not guarantee that every service remains unchanged, but it explains why a financially distressed operator can be handled as a public-interest matter rather than an ordinary business sale.
Quick Recap
A practical decision tree
- The notice says the service continues and names a buyer: keep using the service, verify billing and support details, and compare any proposed terms with your contract.
- The notice says administration but no clear buyer: ask who currently supplies and bills you, monitor official updates and prepare a replacement connection in case a stop date is announced.
- You receive a worse price, speed or minimum term: request the one-month notice details and penalty-free exit if the change is not beneficial.
- A closure date is confirmed: order another provider promptly, ask about number portability and protect any critical alarm or emergency-communication arrangement.
- Your complaint stalls: complete the provider’s process, obtain deadlock information and use CISAS or the Communications Ombudsman where eligible.
How the main outcomes compare
| Question | Continuing acquisition | Debt-free administration sale | Closure without a buyer |
|---|---|---|---|
| Will broadband stop immediately? | Normally no. | Normally no if operations continue. | Yes, on the communicated stop date. |
| Does the contract automatically cancel? | No; it generally transfers. | No; continuity is usually the aim. | The service ends when the provider ceases trading. |
| Can the price change solely because of the deal? | Not automatically. | Not automatically. | There may be a final bill, credit or refund issue instead. |
| Is a new contract required? | Usually not. | Usually not unless new terms are proposed. | You choose a replacement provider and its terms. |
| Can you leave without an early-termination fee? | If a non-beneficial change triggers Ofcom’s rule, normally yes. | The same rule applies to a harmful variation. | You should not owe one because the provider ceased trading. |
| Could your landline number be retained? | Usually handled as part of continuity, subject to the provider’s process. | Ask the continuing provider. | Portability may not be possible. |
Key takeaways for customers
- A takeover is usually a change of ownership, not an instruction to cancel your broadband.
- Administration and debt restructuring can preserve service when a buyer takes the business on a debt-free basis.
- Do not accept a new minimum term or worse price without comparing it with your existing contract.
- Ofcom normally requires at least one month’s notice and a penalty-free exit for a non-beneficial contract change.
- If the provider closes, arrange a replacement early, protect critical services and expect no early-termination charge for the failed service.
