There is no automatic outcome. Your VMware virtual machines (VMs) remain available, become read-only, or stop when the provider’s contract, notice, exit timetable, export process, backups, and licensing allow. A move to another VMware-based host can preserve much of the operating model; moving to a different platform may require reconfiguration, testing, or application changes. Do not assume a universal notice period, guaranteed export right, or automatic license portability until you have checked your agreement and eligibility.
What happens to our VMs if a cloud provider shuts down?
A provider exit is both a service event and a contract event. The practical result for one customer depends on the written customer agreement, the provider’s formal notice, the implementation of backups and exports, the location of the service, and who owns the VMware licenses.

Some providers may keep private clouds running through a transition period, offer a read-only or limited-access window, or help move workloads to another host. Others may set a firm service-end date and require customers to retrieve data before that date. General VMware guidance does not establish a universal rule for any of those outcomes.
The first facts to obtain
Ask the provider for a dated, written notice and request answers to these questions:

- What is the exact service termination date, and are there intermediate milestones?
- Will VMs remain powered on, or will access become read-only before termination?
- How can you export VM disks, configuration, snapshots, templates, logs, and backup data?
- What bandwidth limits, transfer fees, formats, or scheduling rules apply to exports?
- How long will the provider retain data after service termination, and when will deletion occur?
- Which migration, support, and recovery assistance is included in the agreement?
- Who is the escalation contact during the transition, and what happens if an export fails?
These answers must come from the provider and the applicable agreement. A general statement about VMware or cloud services cannot substitute for them.
Can we move VMware workloads to another provider?
Usually, there are three broad destination strategies, subject to service availability, licensing, hardware compatibility, networking, and workload requirements:
- Another VMware Cloud Foundation (VCF) host. A compatible provider cloud may let you retain familiar VM operations, management processes, and many existing integrations.
- A customer-controlled compatible endpoint. Workloads can move to eligible hardware in your own data center or a hosting environment if the platform, capacity, and license terms support it.
- A different cloud or platform. You can rehost on another hypervisor, use a managed alternative, or modernize applications onto platform-native services. This generally involves more architectural and operational change.

A VMware-compatible destination can reduce change, but “compatible” is not a guarantee. Confirm the target’s vSphere and VCF versions, network constructs, storage behavior, backup integration, identity systems, security controls, and support for the specific VM hardware versions and appliances you use.

License portability is conditional, not automatic. Broadcom’s June 4, 2024 policy description says qualifying customer-purchased VCF subscriptions can be deployed to compatible customer data-center, hosting, cloud-service-provider, or hyperscaler endpoints. The described entitlement applies to new end-user VCF licenses version 5.1 or later, purchased after December 13, 2023, directly from Broadcom or an authorized reseller.

That policy description excludes VCF licenses obtained through a cloud service provider, a value-added OEM, or an embedded software partner. An integrated provider must also agree to support portability, and the destination hardware must meet compatibility guidance. These conditions are not a blanket promise that every VCF subscription can move.
Build a license-eligibility record
- Record the exact product, edition, subscription identifier, and version.
- Document the purchase date and whether the purchase was direct, through an authorized reseller, through a cloud service provider, or through another partner channel.
- Identify the legal owner of the subscription and any restrictions in the customer order or service agreement.
- Validate the proposed endpoint’s hardware and software compatibility.
- Obtain written confirmation from Broadcom and the destination provider that portability is supported for that entitlement.
If your VMware capacity was bundled into a provider service, the provider’s service contract may govern your practical rights even when the underlying software has a portability program. Do not schedule a cutover on an assumption about licensing.
How to respond to an announced provider exit
Use the following sequence while the existing service is still operating. Adjust the order when the provider sets an earlier technical deadline.

Save the notice, agreement, amendments, service descriptions, and support communications in a controlled location. Mark the service end date, any read-only period, export cutoff, and deletion date.
- Preserve independent access to data. Verify that current backups can be restored outside the provider environment. Export a representative VM, application data, configuration, certificates, encryption keys, and operational documentation instead of relying only on a provider snapshot.
- Inventory every workload. Record VM names, owners, operating systems, CPU and memory allocations, storage consumption and performance, IP addresses, VLANs, firewall rules, DNS, identity dependencies, monitoring, backup schedules, external APIs, licensing agents, and recovery-point and recovery-time objectives.
- Map application dependencies. Group front ends, databases, queues, file services, identity systems, and third-party integrations that must move together. Broadcom identifies application dependencies as a top challenge for both enterprise and small-to-medium businesses.
- Establish license ownership and eligibility. Use the license-eligibility record above and obtain destination confirmation before committing to a VMware-based target.
- Compare destinations and total transition cost. Include migration services, engineering time, temporary dual running, data-transfer charges, new licenses, network connectivity, testing, staff training, and any early-termination or overlap charges. Broadcom identifies cost assessment and technical feasibility as migration challenges.
- Run a pilot. Select representative workloads: a high-IOPS system, a network-sensitive application, a database, an identity-dependent service, and a workload with external integrations. Test boot, application transactions, monitoring, backup, restore, security controls, performance, and failure recovery.
- Plan and execute the cutover. Freeze changes where necessary, synchronize final data, lower DNS time-to-live values in advance, document the change window, and keep the old environment available for the agreed rollback period.
- Verify and close out. Obtain business-owner acceptance, compare data counts and checksums where appropriate, test recovery, revoke old credentials, and get written confirmation of final deletion only after retention obligations are satisfied.
How much notice do we get, and can we get our data out?
There is no universal notice period or guaranteed export right established by the reviewed VMware guidance. The controlling terms may be in a master agreement, order form, service description, acceptable-use policy, backup policy, or a separate exit-assistance clause.

Read the agreement for notice mechanics, suspension rights, termination assistance, data-return format, export fees, bandwidth limits, retention periods, and deletion certification. Ask whether the provider will supply a complete inventory and whether it will preserve snapshots, templates, tags, network definitions, firewall rules, logs, and backup catalogs. A raw virtual disk may not be enough to recreate an application that depends on those surrounding settings.
Where the provider’s notice is unclear, ask for a written date for each milestone and escalate through the contractual support and dispute channels. If the transition affects regulated data or a critical service, obtain advice from local legal counsel; no jurisdiction-specific legal conclusion follows from general VMware documentation.
Current example: Azure VMware Solution license-included SKUs
Microsoft’s current Azure VMware Solution guidance says the service itself is not ending; its license-included Reserved Instance SKUs are scheduled to retire on 30 August 2027. Affected customers are directed to transition to an AVS VCF bring-your-own-license (BYOL) SKU before 31 August 2027 to avoid service disruption. Microsoft describes VCF BYOL as the least disruptive continuation path and also lists switching private clouds or modernizing to Azure-native services.
Microsoft’s wording is explicit: “AVS is not ending, only the SKU that includes the license is changing.” This is a licensing and SKU change with a published schedule, not evidence that a cloud provider is leaving the market. Dates and available options can change, so customers should check Microsoft’s live guidance and their own Azure agreement before acting.

What the available evidence does—and does not—show
There is no authoritative general statistic showing how often VMware workloads are lost, interrupted, or successfully migrated when a cloud provider exits. Outcomes vary with contract terms, export implementation, backup quality, destination readiness, and workload complexity.
An IDC sponsored brief from September 2024 interviewed four Broadcom VCSP partner organizations. It reported selected partner-business findings, not customer-exit outcomes: $164.7 million in average annual revenue from VCF-related services, $21.3 million in annual revenue growth for the average interviewed partner, and 50% of existing VCF customers buying additional services. Because the study involved four in-depth interviews and was sponsored by VMware, those figures should not be treated as representative migration rates or failure probabilities.
Broadcom’s provider guidance names “Application Dependencies” as a top challenge for both enterprise and SMB environments. The statement is useful as a planning warning, but the published article section does not provide enough methodology to treat it as an independently measured industry statistic.
Common failure modes and how to reduce them
Waiting for a final shutdown date
Export queues, provider support requests, and destination capacity can take longer than expected. Start inventory and restore testing as soon as notice arrives, not when the last billing date is near.
Assuming snapshots are a complete backup
A snapshot may depend on the provider’s storage and management plane. Test an independent restore and preserve application data, configuration, keys, and documentation in a location you control.
Moving VMs without their dependencies
A VM can boot successfully while the application fails because DNS, identity, firewall, database, licensing, or external API dependencies were omitted. Use dependency maps and test complete transactions.
Treating portability as a purchase entitlement
Check version, date, channel, endpoint, and provider participation conditions in writing. A service-bundled license may not qualify under the same terms as a customer-purchased subscription.

Define the rollback window before cutover, keep synchronized copies until acceptance, and request written confirmation of data deletion only after the required retention period ends.

- Who approves application validation, license use, and final deletion?
- What evidence will demonstrate that all data, backups, credentials, and integrations were transferred or retired?
