What Happens to Prepaid Cloud Credits and Reserved Instances When a Provider Shuts Down?

There is no universal payout rule. What happens to your balance depends on what you bought (promotional credit, paid credit, a reservation, a Savings Plan, a Committed Unit or an Azure Capacity Block), why the provider relationship ends, and the contract and law that govern it.

A planned service discontinuation can trigger an express refund clause. A customer breach, ordinary expiry or an instrument labelled nonrefundable usually does not. Bankruptcy is different again: even a valid refund claim may be paid only through an insolvency proceeding, after priority rules, setoff and available assets are considered.

Start by identifying what you actually purchased

“Cloud credits” and “reserved instances” are not one legal or financial product. The label on an invoice or console determines which terms apply. Record the instrument before asking for a refund.

Instrument What it usually represents Typical shutdown outcome under the cited terms
Promotional credit A coupon tied to eligible services and an expiry date Normally no cash value; it can be forfeited at expiry, cancellation or account termination.
Paid account credit Money paid in advance for future usage Depends on the credit agreement, refund clause, payment method and local law.
Reserved capacity A discounted commitment for a defined resource and term Often nonrefundable, except where the provider’s termination or discontinuation clause creates a pro-rata or unused-fee refund.
Savings Plan A spending commitment exchanged for discounted rates Usually nonrefundable; a provider-initiated termination may create a limited pro-rata entitlement under the agreement.
Google Cloud Committed Unit A term commitment paid whether or not fully used Unused prepaid fees may be refundable if Google terminates outside a material breach or discontinues the applicable service.
Azure reservation Capacity or usage reserved for a specified term Expires at the stated term end; early treatment is controlled by Microsoft’s reservation terms.
Azure Capacity Block Prepaid capacity for a defined block period Generally noncancellable and nonrefundable, with no credit for unused capacity unless an express exception applies.

A balance shown in a billing console is therefore not automatically a deposit held for you. It may be a license to consume services, a discount mechanism or a contractual claim that becomes payable only after a particular trigger.

How the shutdown trigger changes your rights

Normal expiry

When a credit reaches its expiry date or a reservation reaches the end of its stated term, the usual remedy is simply that the right to use it ends. An expired promotional credit is not converted into cash merely because the account still displays a balance. Azure reservations, for example, expire at the specified term end.

Customer breach or nonpayment

Suspension or termination for your material breach generally produces the weakest refund position. Providers commonly reserve the right to stop service and forfeit promotional benefits in that situation. A commitment described as nonrefundable remains so unless the governing order or law supplies a mandatory exception.

Provider convenience termination or product discontinuation

A provider choosing to end an agreement, retire a product or discontinue the service can activate a different clause. Some terms promise a pro-rata refund of an upfront fee; others promise a refund of unused prepaid fees. The wording matters: “unused prepaid fees” is not necessarily the same calculation as the remaining face value of a discount or the market value of lost capacity.

Account closure or suspension without insolvency

Closure can end your ability to consume a credit before the nominal expiry date. Ask whether the event is an administrative closure, a policy suspension, a contract termination or a service retirement. Each may have a different notice period, data window and remedy.

Bankruptcy or insolvency

Insolvency turns a refund into a creditor claim. The provider may acknowledge that it owes you money, yet payment still depends on the proceeding, creditor priority, setoff rights, governing law and assets available to the estate. Service terms do not guarantee full recovery from an insolvent provider. Treat an unpaid balance as financially at risk until the provider, administrator or court process confirms otherwise.

What the major provider terms say

AWS promotional credits and commitments

AWS Promotional Credit Terms describe promotional credit as having no intrinsic or cash value, being nonrefundable and not redeemable for cash. The credit is limited to designated eligible services, normally cannot be transferred, and normally cannot pay upfront fees for a Savings Plan or an EC2 Reserved Instance. It may be forfeited when it expires or is cancelled.

  • What You Get: Anker USB-C Hub (7-in-1), welcome guide, 18-month warranty, and our friendly customer service.

AWS’s commitment terms take a different approach. Amounts paid for Savings Plans, EC2 Reserved Instances and Dedicated Host Reservations are stated to be nonrefundable, but AWS may owe a pro-rata portion of an upfront fee if it terminates the agreement other than for cause, terminates the relevant reservation type or terminates the pricing program. That is a contract remedy tied to AWS’s action; it is not a general promise to cash out an unused commitment.

Google Cloud credits and Committed Units

Google Cloud’s credits-program terms state that granted credits are not refundable as cash under any circumstances, including termination of the account. A promotional credit therefore cannot be treated like a prepaid wallet.

Google Cloud Committed Units are paid for during the selected term whether or not you use all of them. The service terms also state that, if Google terminates other than for your material breach or discontinues the applicable service, it will refund unused prepaid fees after termination or discontinuance. Keep the commitment order and the service term together: the refund language applies to the defined event and fee calculation, not to every form of account closure.

Microsoft Azure reservations and Capacity Blocks

Microsoft’s Azure terms say reservations expire at the specified term end. Azure Capacity Blocks are generally noncancellable and nonrefundable, with no refund or credit for unused capacity unless an express exception applies. A planned retirement, a support decision and an insolvency may therefore produce different results even when the unused capacity looks identical in the portal.

Why promotional credits are rarely recoverable as cash

Promotional credits are designed as conditional discounts. Their value exists only when you consume eligible services before the stated expiry and while the account remains eligible. Terms can restrict the services, regions, account types and billing charges they cover. They can also prohibit transfer, resale and cash redemption.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That structure explains why a provider shutdown does not automatically create a cash payout. If the provider cancels the promotion or the account closes, the coupon may simply disappear. A written promise that a promotion will be extended or replaced can change the analysis, so preserve any grant notice, sales email or order amendment that contains such a promise.

How refunds for commitments are calculated

When a term promises a refund, determine the formula rather than assuming it equals the remaining commitment value.

  • Upfront-fee pro rata: the provider may return a time-based share of an upfront payment, excluding discounts already consumed or nonrefundable components.
  • Unused prepaid fees: the calculation may cover prepaid usage that was never consumed after the termination date, not the value of capacity you could have used in the future.
  • Service credit: a contract may offer account credit instead of cash. That credit is only useful if replacement services remain available and the account stays active.
  • No remedy: “nonrefundable” or an expiry clause can leave no contractual payment obligation.
  • Insolvency claim: even a calculated refund may be reduced, delayed or set off in a formal proceeding.

Ask the provider to state the effective termination date, the exact fee components included, taxes, currency, setoff and the payment deadline in writing.

What to do when a shutdown is announced

  1. Export your workloads and data first. Copy application data, snapshots, object-storage contents, logs, encryption keys, DNS records and configuration. Test that exports can be restored outside the provider; a billing dispute is irrelevant if the deletion window closes.
  2. Preserve financial evidence. Download invoices, credit-grant notices, reservation and commitment IDs, order forms, amendments, renewal notices and support correspondence. Capture the console balance and expiry date with a timestamp.
  3. Classify every balance. For each item, record whether it is promotional or paid, the original amount, remaining amount, eligible services, term, expiry, account owner and legal entity named on the invoice.
  4. Clarify the event in writing. Ask whether the provider is discontinuing a service, terminating the agreement, suspending the account, closing a plan or entering insolvency. Request the governing clause, refund formula, claim deadline and data-retention schedule.
  5. Stop adding long-term exposure. Do not renew reservations, Savings Plans or other commitments while continuity is uncertain. Model the cost of temporary on-demand replacement capacity and a migration environment.
  6. Secure access and portability. Rotate credentials where appropriate, verify that you control domains and encryption keys, and ensure more than one employee can retrieve exports and invoices.
  7. Preserve any refund promise. Keep written confirmations and do not rely on a phone assurance. If a formal insolvency begins, submit the required proof of claim and consult insolvency counsel or the appointed administrator.

Plan for the data deadline, not just the billing deadline

Service access can disappear before a refund is processed. AWS’s free-plan account guidance illustrates the risk: after a free-plan expiry, access to resources and data is lost after a stated retention window before automatic closure and deletion. That 90-day interval is an AWS account-policy period, not an industry standard and not a guarantee for paid accounts, reservations or a provider in bankruptcy.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Set an internal deadline earlier than the provider’s published date. Prioritize databases, object stores, snapshots, logs and keys; then validate checksums, permissions and restore procedures. Keep a copy of DNS and infrastructure definitions so another provider can recreate the environment without console access.

Decision framework for common scenarios

Scenario Most likely contractual question Practical expectation
Unused promotional credit when the account closes Does the grant permit cash redemption or survival after cancellation? Usually forfeiture, not cash.
Provider retires the service covered by a commitment Does the service term promise a pro-rata or unused-fee refund? Possible refund under the express clause; calculate only the qualifying amount.
Customer stops paying and is suspended Was termination caused by customer breach? Refund rights are usually limited and promotional credit may be cancelled.
Reservation reaches its normal end date Does the reservation expire automatically? Unused capacity normally has no residual cash value.
Provider files for bankruptcy What claim, priority and setoff rules apply? File and preserve the claim; recovery is uncertain and may be partial.

Contract checks before buying another commitment

  • Identify the legal entity and governing law on the order, not only the brand shown in the console.
  • Read termination, discontinuation, suspension, refund, expiry, setoff and force-majeure clauses together.
  • Check whether a service credit is the sole remedy and whether it survives account closure.
  • Confirm export formats, retention periods, support access and key-management responsibilities.
  • Ask whether an acquired or replacement service will honor the commitment; do not assume an acquirer must do so.
  • Keep commitments short enough that migration capacity can be funded if the provider becomes unavailable.

What is not known

There is no authoritative published statistic quantifying how much customers recover from prepaid cloud credits or reservations after a provider insolvency. Recovery rates vary with the estate, creditor ranking, jurisdiction, setoff and the wording of each contract. Any percentage presented as an industry norm would be speculation.

Bottom line

Assume promotional credits can be forfeited, assume ordinary commitments are not refundable unless the contract says otherwise, and treat a provider-initiated discontinuation as a separate event that may unlock a pro-rata or unused-fee refund. If the provider is insolvent, a contractual refund is only a claim until the proceeding pays it. Export data, preserve every billing document and obtain the provider’s position in writing before the access window closes.
