If Strategy delays or skips a dividend on STRC, the unpaid installment generally does not disappear. STRC is a cumulative perpetual preferred stock: an unpaid regular dividend is added to arrears, and additional “compounded dividends” accumulate on that unpaid amount until it is paid in full. At the same time, a missed payment does not turn STRC into secured debt or guarantee a cash payment on demand. The board may choose not to declare a regular dividend, legal-availability and capital-structure constraints can delay payment, and STRC remains behind Strategy’s debt, the STRF preferred stock and liabilities of Strategy’s subsidiaries.
At the issuer’s displayed 2026 rate of 12.00% a year, STRC pays $12.00 per share annually, in semi-monthly installments, with the rate adjusted monthly. The rate and payment calendar are time-sensitive, so investors should verify the latest issuer notice before relying on a particular amount or date.

Can Strategy skip an STRC dividend?
Yes. The STRC certificate of designations does not require Strategy to declare regular dividends even when funds are legally available. The governing language therefore gives the board discretion over declaration. A skipped declaration is different from a dividend being declared and then paid late: in either case, the relevant installment can remain an unpaid cumulative obligation, but no holder can demand payment merely because the scheduled date has arrived.

What happens to a missed STRC installment?
A missed regular dividend becomes accumulated unpaid dividends. The SEC-filed STRC terms state that dividends are cumulative and accumulate regardless of whether they were declared or whether funds were legally available for payment. When a later payment is made, amounts are applied to the earliest unpaid regular-dividend period first.
Unpaid dividends compound
The STRC annex also provides for “compounded dividends.” If any accumulated regular dividend, or part of one, is not paid on its applicable payment date, additional regular dividends accumulate on that unpaid regular dividend until it is paid in full. This means the arrearage can grow over time rather than remaining a fixed missed coupon.
Compounding is contractual, not a promise that money will be available on a particular date. The calculation uses a 360-day year divided into twelve 30-day months, with compounding on unpaid regular dividends at the applicable rate. Because the rate can reset monthly, the eventual amount depends on the applicable rates and the length of the delay.

The $0.50 illustration is arithmetic based on the displayed annual rate and 24 semi-monthly periods. It is not a forecast: a monthly rate adjustment, a partial period or a change in the payment schedule can produce a different installment.
How a delay can build an arrearage
Suppose an installment calculated at the then-applicable rate is not paid. The original regular dividend remains owed. During the next periods, the contract adds compounded dividends to that unpaid installment. If another installment is also missed, a separate regular-dividend amount can enter arrears, while each unpaid amount continues to accrue according to the applicable terms.
- Scheduled date arrives: Strategy does not declare or pay the regular installment.
- Regular dividend enters arrears: The unpaid amount remains part of the cumulative STRC obligation.
- Compounded dividends accrue: Additional dividends accumulate on the unpaid regular dividend until payment in full.
- Later payment is made: The payment is applied to the earliest unpaid regular-dividend period before later periods, under the annex’s ordering rule.
- Remaining balance persists: Any unpaid principal dividend and associated compounding continue until paid, subject to the company’s ability and decision to pay.
This process does not mean the holder receives interest in the same way as a bondholder. The amount is a preferred-dividend claim governed by the certificate, and recovery still depends on the issuer’s solvency, ranking and legal payment capacity.

What restrictions apply to common stock and other junior securities?
When accumulated STRC dividends have not been paid in full, Strategy is generally restricted from paying dividends on its Class A common stock and other securities that rank junior to STRC. The restrictions are subject to exceptions in the governing documents, so “generally” matters: the exact transaction must be tested against the annex and applicable law.

In practical terms, Strategy cannot freely distribute cash to junior holders while leaving STRC arrears untouched, but the restriction does not create cash. A company can be unable or unwilling to pay both STRC and common dividends, resulting in an accumulation rather than an immediate cure.
What the restriction does not do
- It does not make STRC senior to Strategy’s debt.
- It does not force the board to declare an installment on a specific date.
- It does not guarantee that arrears will be paid before a bankruptcy or liquidation.
- It does not necessarily prohibit every transaction covered by an exception in the certificate.
Do STRC holders gain control rights when dividends are suspended?
Not automatically. STRC has limited voting rights. The filed terms say holders do not receive general rights to elect directors, or additional board-election rights, simply because regular dividends are unpaid. Accumulated dividends therefore create an economic claim and distribution restrictions, not an automatic change in corporate control.

Any special voting mechanism would have to come from the specific provisions of the certificate and the circumstances described there. Investors should not assume that one missed installment, or even a period of arrears, gives them the same governance rights as common shareholders or a broad right to replace directors.

STRC is a preferred equity security, not secured debt. In Strategy’s capital structure it is junior to the company’s debt and to STRF. It is also structurally junior to liabilities of Strategy’s subsidiaries: creditors of a subsidiary generally have claims on that subsidiary’s assets before value can flow up to Strategy and then to its preferred shareholders.
In a liquidation, debt and higher-ranking claims are paid first. Only remaining assets are available for STRC’s $100 liquidation preference and accumulated unpaid dividends. The SEC disclosure warns that remaining assets may be insufficient to pay either the liquidation preference or all accumulated dividends.
What bankruptcy could mean
Bankruptcy or a comparable insolvency proceeding can suspend ordinary dividend payments while claims are administered. Cumulative status preserves the contractual arrears claim, but it does not move STRC ahead of creditors or create a guaranteed recovery. If asset values are inadequate after payment of debt, STRF and subsidiary-level claims, STRC holders could recover less than the stated amount and less than the accumulated dividend balance, including nothing.
Could a skipped dividend push the STRC market price down?
Yes. Strategy’s risk disclosure says that if it fails to declare and pay STRC dividends in full, the value of STRC will likely decline. Investors may demand a higher yield to compensate for payment uncertainty, credit risk and a growing arrearage. The market price can therefore fall even though the contractual amount of unpaid dividends is increasing.
Price behavior is also affected by the monthly rate reset, interest-rate expectations, Strategy’s credit spread, trading liquidity and investors’ assessment of the company’s capital structure. A larger accrued dividend balance does not mechanically force the market price back to the $100 stated amount.
How should investors compare STRC with another income security?
A quoted yield alone does not reveal what happens during a missed payment. Compare the legal features below rather than treating every preferred stock or income product as equivalent.

What should an STRC holder check after a missed payment?
- Read the issuer’s latest notice: Confirm whether the installment was not declared, declared but deferred, or paid on a changed date.
- Identify the applicable rate: The displayed 12.00% rate is current to the issuer page accessed October 19, 2026 and may change monthly.
- Record the missed period: Keep the scheduled record and payment dates and the number of shares held.
- Estimate without overclaiming: Use the contractual semi-monthly convention and 360-day calculation, but do not assume a future rate or payment date.
- Check junior distributions: Look for restrictions on common-stock and other junior dividends, including any stated exceptions.
- Review senior claims: Track debt, STRF and subsidiary liabilities because they affect ultimate recovery.
- Reassess price risk: A growing arrearage can coexist with a falling STRC market price.
The issuer page accessed October 19, 2026 displayed a record date of October 31, 2026 and a payout date of November 15, 2026. Those dates are volatile market information, not permanent terms, and should be rechecked before acting.
Bottom line for a delayed or skipped STRC dividend
A skipped STRC dividend is normally an accumulating preferred-dividend arrearage, not a cancellation. The unpaid regular amount can compound semi-monthly under the certificate, later payments are applied to the oldest unpaid period, and payments to common or other junior securities are generally constrained while STRC is unpaid. But cumulative compounding does not make STRC secured debt: the board can choose not to declare dividends, legal and liquidity limits can prevent payment, STRC ranks below debt and STRF and behind subsidiary creditors, and arrears can be worth less than expected in a liquidation.
