They should also align funding milestones with power delivery, construction and equipment schedules, then compare financing options by total cost, maturity, collateral, covenants, recourse, dilution and reliance on customers or other counterparties.
The strongest evidence for this analysis concerns data centers and AI/HPC compute facilities. Data-center-wide figures provide context for AI infrastructure, but they are not AI-only statistics. Issuer filings illustrate funding structures and disclosed exposures; they do not establish universal financing terms or prove that a particular project is viable.

How demand and utilization affect the ability to repay
AI infrastructure usually requires substantial capital before customers deploy workloads and revenue begins. A forecast based on announced capacity or an expected market boom is not the same as contracted utilization. Test whether the project can meet operating costs and debt service if deployments arrive later, customers use less capacity, or pricing weakens.

The International Energy Agency (IEA) says data-center investment has grown beyond what companies fund from their balance sheets alone; access to capital markets and investors’ return expectations affect the pace of expansion. Its outlook also identifies uncertainty and bottlenecks, so a single demand projection should not be treated as a guarantee of future utilization. [IEA, 2026: data-center outlook; IEA, 2025: energy and investment context]

As context—not an AI-only measure—the IEA reported that global data-center investment had nearly doubled since 2022, reaching half a trillion dollars in 2024. That scale of investment makes the gap between anticipated returns and realized cash flow especially important to underwriting.
Build downside cases around cash flow
- Model slower customer deployment, lower utilization and weaker pricing separately, as well as in a combined downside case.
- Check whether cash remaining after operating costs can cover scheduled principal, interest and other financing obligations in each case.
- Test whether a customer’s expected workload mix or ramp-up timetable is supported by enforceable commitments rather than an announced pipeline.
- Include tighter financing conditions or delayed access to follow-on capital where the project depends on future borrowing.
Power delivery and schedule can create a funding gap
A data center may be constructed faster than the energy infrastructure needed to serve it. If construction and financing costs are committed before the site is energized, interconnection, transmission or generation delays can postpone revenue while interest and other carrying costs continue.

The IEA says data centers can become operational in two to three years, while energy-system planning and construction can take longer. It also reports that data centers consumed around 415 terawatt-hours (TWh), or about 1.5% of global electricity, in 2024; that figure covers data centers overall, not AI facilities alone. The IEA’s 2026 central projection puts total data-center electricity consumption at 485 TWh in 2025 and 950 TWh in 2030. The latter figures are projections, not observed outcomes. [IEA, 2025 and 2026]
Match the power path to financing milestones
- Confirm the status of utility commitments and interconnection, including dependencies on transmission or new generation.
- Compare expected energization dates with construction drawdowns, equipment delivery, debt availability, customer contract start dates and the revenue ramp.
- Assess whether any bridge power plan is technically and commercially credible, including its cost and operating limits.
- Review the site’s exposure to curtailment and the financial commitments required for grid infrastructure or new electricity supply.

Compare financing structures by the risks they allocate
Corporate borrowing, project-level or asset-level debt, equipment financing, equity, customer prepayments and joint ventures can all be used in financing AI infrastructure. They allocate risk differently. A lower headline rate alone does not show which option is preferable: compare total cost, maturity, security, recourse, covenants, dilution, governance and the project’s ability to refinance. The financing documents and project cash flows determine the actual terms; available examples do not support a universal ranking. [IEA, 2025; issuer filings, 2025]
| Financing route | What to examine |
|---|---|
| Corporate debt | Whether repayment relies on the wider company’s cash flow or exposes the parent to guarantees, collateral or other obligations; assess maturity, covenants and refinancing needs. |
| Project- or asset-level debt | Which project assets and entities secure repayment, whether the lender has recourse beyond them, and how debt service holds up under lower utilization or delayed power. |
| Equipment financing | What equipment secures the facility, the repayment schedule, and whether that schedule fits delivery, deployment and revenue timing. |
| Equity or convertible capital | The ownership or future upside surrendered, any governance rights, and the effect of dilution on existing owners. |
| Customer prepayment or long-term arrangement | How much committed capacity or usage is actually secured, what happens after default or termination, and how dependent the project becomes on that customer. |
| Joint venture | How funding obligations, control, decision rights and downside responsibilities are divided among partners. |
Compare the terms that determine downside exposure
| Dimension | Diligence question |
|---|---|
| Cost and tenor | What are the all-in cost, maturity and amortization, and when would refinancing be needed in the base and downside cases? |
| Recourse and collateral | Which assets, subsidiaries, guarantees or parent obligations secure repayment? |
| Covenants and control | What restrictions, reporting duties or governance rights apply, and how much headroom remains if performance falls short? |
| Dilution | How much ownership or future upside is surrendered through equity or convertible structures? |
| Customer dependence | Does financing depend on one customer, a prepayment or contracted utilization? |
| Power and schedule | Do electricity delivery and construction milestones align with debt draws and revenue start? |
| Downside resilience | Can the project meet its obligations if demand, utilization or power availability is below forecast? |
Customer-backed funding can exchange capital needs for counterparty exposure
Deposits, prepayments and long-term customer arrangements may reduce how much capital a business must provide upfront. They do not eliminate risk: the project may become more exposed to one customer’s creditworthiness, business prospects or willingness and ability to honor the agreement.

Construction, equipment and technology can affect project economics
Delays, cost overruns, equipment delivery slippage or a mismatch between installed capacity and workloads actually deployed can defer or reduce cash flow. Compare equipment and construction milestones with the timing of financing draws and customer obligations, and stress-test the consequences of schedule slippage.
The IEA identifies infrastructure bottlenecks and rapidly changing AI server power density as factors in the buildout. That makes it prudent to model changes in equipment requirements and deployment pace. The available evidence does not quantify potential asset-obsolescence losses for any particular project, so that exposure must be assessed using project-specific equipment, contracts and forecasts. [IEA, 2026]
Energy costs and market exposure vary by location and contract
Electricity consumption is only one part of the project’s power exposure. Review the contracted power price, any exposure to market prices and demand charges, backup strategy, curtailment conditions, and obligations to fund new supply or grid infrastructure. The IEA describes substantial additional electricity supply and infrastructure needs for data centers, but it does not determine a given project’s power cost or contract economics. Those depend on location and contractual terms. [IEA, 2025]
Quick Recap
A practical financing diligence sequence
- Set the operating cases. Build base and downside cash-flow scenarios that vary deployment timing, utilization, price and power availability. Identify the assumptions that have the greatest effect on repayment capacity.
- Verify demand evidence. Separate contracted capacity and usage from forecasts, expressions of interest and announced pipelines. Review customer credit, concentration and termination provisions.
- Validate the power and construction path. Confirm utility and interconnection status, energization dependencies, equipment delivery and construction milestones against the financing draw schedule and customer revenue start.
- Map each financing obligation. For each option, record all-in cost, maturity, amortization, collateral, guarantees, recourse, covenant headroom, control rights and refinancing dates.
- Test the downside remedies. Determine what lenders, investors, customers or partners can do after a delay, covenant breach, shortfall or default—and whether the project can continue operating.
- Review jurisdiction-specific issues. Tax, securities, utility tariffs, permitting, accounting, environmental requirements and contract enforceability depend on geography, ownership and documents; obtain appropriate professional diligence for the project.
