The main risks are loss of NAV and principal, difficulty exiting at the price or time you expect, issuer default, settlement and operational failures, fund-manager decisions, concentration in Nepal’s market, and fees that reduce returns. A mutual fund is regulated, but it is not risk-free. SEBON supervision provides an oversight and disclosure framework; it does not insure you against market declines or guarantee a return.
Your practical risk depends on the particular scheme’s portfolio, structure, charges, disclosures, and exit rules. Read the current prospectus, offer document, audited report and NAV disclosures before committing money you may need soon.

What a mutual-fund investment exposes you to
When you buy a mutual-fund unit, you acquire an interest in a pool of assets rather than a guaranteed balance. The scheme may hold equities, fixed-income instruments, cash and other permitted investments. The value of your unit follows the value of those holdings, after expenses and other adjustments.

Diversification can reduce the damage caused by one company or security performing badly. It cannot remove a fall affecting many Nepalese shares, interest rates, sectors or issuers at the same time. The unit’s net asset value (NAV) is therefore an investment price, not a promise that your original contribution will be returned.

There is no authoritative, current, sector-wide statistic that can describe the probability of loss for every Nepal mutual fund. A risk number, fee, maturity date or past return must be taken from the current documents of the specific scheme.
Market and NAV risk
Why NAV can fall
If securities in the portfolio decline, the scheme’s NAV generally declines as well. Equity prices can move because of company results, interest rates, economic conditions, regulation, investor sentiment or events affecting the Nepal market. Bond holdings can lose value when interest rates rise, and an issuer’s credit deterioration can reduce the value of its debt.
A regulated fund can therefore post a lower NAV without any regulatory breach. Regulation concerns how the scheme and its manager operate; it does not set a floor under the market value of the portfolio.
What a loss means for you
Selling while NAV is below your purchase level realizes a loss. Holding longer may allow recovery, but recovery is not assured and can take longer than your financial plan. In adverse circumstances, the general risk disclosure for Nepalese securities investments allows for loss of part or all of the principal. That is a possibility to assess, not a prediction that every fund will fail.
A distribution or a period of rising NAV is historical information. It does not guarantee the next distribution, a minimum yield or a positive future return.

Liquidity and exit risk
Underlying-asset liquidity
A fund may own securities that cannot be sold quickly at the latest quoted value. Thin trading, a wide gap between buyers and sellers, market disruption or settlement delays can force a sale at a less favorable price or delay cash reaching the scheme. A quoted NAV should not be treated as an immediately realizable cash amount in every circumstance.
Open-ended and close-ended structures
The legal structure determines how you normally leave:
| Structure | Typical exit route | Risk to check |
|---|---|---|
| Open-ended | Request redemption under the scheme’s stated process and dealing schedule | Redemption cut-off times, settlement period, applicable charges, suspension provisions and whether the scheme can delay or limit dealing in stressed conditions |
| Close-ended | Sell units in the market if they are listed or wait for the stated maturity and distribution process | Trading volume, the difference between market price and NAV, brokerage and settlement timing, and the consequences of holding until maturity |
Do not assume that an open-ended label means same-day cash or that a close-ended unit can always be sold near NAV. Use the current offer document and operating rules for the exact timetable and restrictions.
Matching liquidity to your needs
Money reserved for rent, tuition, medical costs or an emergency should not depend on an uncertain redemption or thin secondary market. Set aside an emergency reserve separately and choose a fund only if its exit mechanics fit the date on which you may need the money.
Credit, default and settlement risk
Issuer and counterparty failure
If a scheme owns a bond, deposit, debenture or other obligation and the issuer fails to pay interest or principal, the fund can suffer a loss. Similar exposure can arise when a counterparty fails to deliver cash or securities. Diversification can reduce one-obligor exposure, but it cannot eliminate default risk.

Settlement problems
After a trade, the expected cash or securities may arrive late or not at all. A settlement failure can delay valuation, subscriptions, redemptions or distributions and may create a loss if prices move before the transaction is completed. Review the scheme’s custody, settlement and reconciliation disclosures rather than assuming that every transaction completes without friction.

Investment decisions
The manager chooses assets, position sizes, timing and responses to market stress. Poor allocation, valuation or risk-control decisions can hurt returns even when the broad market is stable. A fund’s name or recent performance does not prove that its process will work in a different market.
Process and control failures
Investors also face non-market risks: inaccurate pricing, processing errors, weak segregation of assets, cyber or system outages, delayed settlement, inadequate internal controls and incomplete or late disclosure. These failures can make it harder to understand what you own or to receive money on schedule.
Information quality
Check how often the scheme publishes NAV and portfolio information, whether reports are audited, whether material events are explained promptly and whether fees and related-party transactions are clearly disclosed. A lack of timely, understandable information is itself a decision risk.
Concentration and Nepal-market risk
A fund can hold many securities and still be concentrated by sector, issuer, instrument or geography. A portfolio dominated by one industry may fall together when that industry faces a policy, commodity, credit or demand shock. A portfolio invested mainly in Nepal remains exposed to Nepal’s interest-rate, currency, economic, political and regulatory conditions even when it owns numerous companies.

Before investing, inspect the largest holdings and sector weights, not just the number of positions. Ask whether a single issuer or sector could materially change your outcome and whether the fund’s permitted instruments match your tolerance for equity, credit and interest-rate risk.
Fees, expenses and return risk
Management fees, operating expenses, trustee or custody costs, transaction charges, entry or exit charges and other scheme expenses reduce the return that reaches you. A fund with a similar gross portfolio result can produce a different net result because of its fee structure.
Charges and distribution rules are scheme-specific. Take them from the current prospectus, offer document, audited report or official NAV disclosure; do not transfer a fee from one Nepal fund to another. Determine whether a distribution is paid in cash, reinvested, or simply reflects income that could otherwise remain in NAV. A distribution is not an additional guaranteed return.
What SEBON regulation does—and does not—do
SEBON describes one of its major functions as to “Register mutual funds, grant permission to operate collective investment schemes, and supervise and monitor them.” It also licenses fund managers and can take action against insider trading and other securities offences. Its guideline index lists Mutual Fund Guidelines-2069, applicable from 2069-04-01.
This oversight can establish authorization, conduct, reporting and investor-protection requirements. It does not promise that a portfolio will rise, reimburse a market loss, make a unit liquid on demand or protect your principal from an issuer default. Check the current guideline, later circulars and the particular scheme documents because requirements and permissions can change.

How to compare two Nepal mutual funds
Use the same questions for each scheme and record answers from documents dated close to your decision:
| Comparison axis | Questions to answer |
|---|---|
| Structure and exit | Is it open-ended or close-ended? How and when can you redeem or sell, and what happens at maturity? |
| Portfolio | What proportions are in equities, fixed income, cash and other permitted instruments? |
| Volatility and pricing | How has NAV moved, and could a traded market price differ from NAV? |
| Liquidity and settlement | What are trading volumes, dealing cut-offs, settlement timing and any suspension or delay provisions? |
| Fees and distributions | Which management, operating, entry, exit and transaction costs apply, and how are distributions handled? |
| Concentration | What are the largest issuer and sector weights, and what limits apply? |
| Management and controls | What experience does the manager have, who audits the scheme, and how frequently are reports and NAV published? |
| Personal fit | Can you leave the money invested for the required horizon, and can you tolerate a fall without selling in panic? |
A practical pre-investment checklist
- Identify the structure. Read the current prospectus or offer document to confirm whether units are open-ended or close-ended and to find the exact redemption, listing and maturity rules.
- Map the assets. List the equity, debt, cash and other exposures; then note the largest issuers and sectors.
- Test liquidity. For an open-ended fund, record dealing days, cut-offs, settlement time and suspension provisions. For a close-ended fund, check trading volume, market-price versus NAV behavior and maturity arrangements.
- Calculate the cost path. Write down every stated fee or expense and determine whether it is charged when you enter, while invested, when you exit or when income is distributed.
- Review evidence. Read recent NAV disclosures, audited reports, portfolio reports and material-event notices. Confirm the date of every performance or valuation figure.
- Assess the manager and controls. Look for clear governance, custody and audit information, consistent reporting and explanations of valuation or settlement issues.
- Stress-test your plan. Decide what you would do if NAV fell, redemption took longer than expected, a major issuer defaulted or a distribution was lower than anticipated.
- Keep records. Save the documents and terms that applied when you invested so you can check later changes against the original disclosures.
Common mistakes and how to avoid them
- Equating regulation with safety: Treat SEBON supervision as oversight, not insurance.
- Using NAV as a guaranteed cash price: Check redemption terms or the actual secondary-market price and liquidity.
- Copying another fund’s terms: Verify fees, maturity, portfolio and distributions in the scheme’s own current documents.
- Chasing a recent gain: Examine the time period, portfolio changes, volatility and costs behind the result.
- Ignoring concentration: Review issuer and sector weights instead of counting only the number of holdings.
- Investing emergency money: Match the investment horizon and exit process to your cash obligations.
- Overlooking default and operations: Read debt exposure, counterparty, custody, audit and settlement disclosures alongside market charts.
Are Nepal mutual funds better than fixed deposits?
They serve different purposes, so “better” depends on the job the money must perform. A fixed deposit is a contractual bank product with a stated term and interest arrangement; a mutual-fund unit is a market investment whose value and income can change. Compare the actual institution, applicable deposit terms and protections with the fund’s NAV risk, fees, liquidity and possible principal loss.
Choose a mutual fund only when you can accept variable value and the scheme’s time horizon and exit mechanics fit your plan. Choose a deposit for money where a known maturity arrangement is more important than market participation, while still checking the bank’s terms and any applicable protection limits. Neither label alone answers whether the product is appropriate.
When a mutual fund may fit—and when it may not
It may fit when
- You can leave the money invested for the scheme’s stated horizon.
- You understand the portfolio and accept NAV fluctuations.
- You have separate emergency cash.
- You have read the current costs, exit rules and disclosures.
- You can tolerate a loss without relying on a guaranteed recovery date.
It may not fit when
- You need a guaranteed amount on a specific near-term date.
- You would be forced to sell during a market decline or liquidity disruption.
- You cannot explain what the fund owns or how you would exit.
- The fees, concentration or disclosure quality do not match your risk capacity.
Bottom line for a Nepal investor
A Nepal mutual fund is not automatically unsafe, but it is not a guaranteed-return account. The decisive checks are the portfolio’s market and credit exposures, the open-ended or close-ended exit mechanism, liquidity and settlement conditions, manager and operational controls, concentration, fees and the quality of current disclosure. SEBON authorization and supervision are important safeguards for the framework; they cannot prevent every investment loss. Invest only after those risks fit both your time horizon and your ability to absorb a lower NAV or delayed exit.
