An RBI No-Objection Certificate (NOC) is the Reserve Bank of India’s regulatory clearance for a proposed merger or amalgamation involving an RBI-regulated financial company. It is a required gate in some transaction routes—not the legal instrument that completes the merger. For an NBFC-bank scheme, the usual sequence is board approval, RBI clearance, and then submission to the Tribunal or NCLT for statutory approval.

Whether an NOC is required, who must obtain it, and when it is sought depend on the entities’ licences, whether control or ownership changes, and the structure of the transaction. A deposit-taking NBFC has an express prior-written-approval requirement for a merger or amalgamation. Bank-to-bank voluntary amalgamations follow the Banking Regulation Act framework, including section 44A.

What an RBI NOC actually does

The NOC is a regulatory decision by the Reserve Bank of India (RBI) that allows a proposed amalgamation to move through the next statutory stage. It confirms that RBI has considered the transaction under the regulatory framework applicable to the institutions involved and has no objection to the scheme proceeding on that basis.

It is not a merger order. An NOC does not, by itself, transfer assets or liabilities, dissolve either company, combine licences, or make the scheme effective. The parties must still obtain the approval required from the National Company Law Tribunal (NCLT), another Tribunal, or another statutory authority applicable to the transaction. They must then complete the filings and implementation steps required by the order and by sectoral regulation.

RBI’s 2025 regulatory handbook describes NBFC amalgamations as being governed by sections 232–234 of the Companies Act, 2013, with NCLT approval. The same handbook states that NBFCs require prior RBI approval for specified changes in control, ownership, management, and merger or amalgamation. Those requirements make the NOC a regulatory gateway, not a substitute for company-law approval.

Why the entities and transaction structure matter

There is no single NOC rule covering every financial-company merger. The first question is which institution is involved and which legal route the scheme uses. An NBFC combining with a bank is treated differently from two banking companies combining, and a deposit-taking NBFC has an especially explicit prior-approval rule.

NBFC mergers and amalgamations

For an NBFC, the applicable RBI directions and the Companies Act route govern whether prior approval is needed. The 2025 handbook identifies merger or amalgamation, along with specified changes in control, ownership, and management, as matters requiring prior RBI approval. The exact requirement must be checked against the NBFC’s licence category, the proposed ownership and control arrangements, and any current amendments to RBI directions.

The term “prior” matters. If the transaction falls within a category requiring RBI clearance, the parties should not treat an NCLT filing or an implementation step as a replacement for that clearance. The scheme, board resolutions, and supporting information must be prepared for the regulatory stage that applies to the entities.

Deposit-taking NBFCs

RBI directions contain an express prior-written-approval requirement for a deposit-taking NBFC. The requirement covers a merger or amalgamation of the deposit-taking NBFC with another entity, and a merger or amalgamation of another entity with the deposit-taking NBFC.

This is a stronger and more specific rule than assuming that every corporate merger can proceed first and be regularised later. A deposit-taking NBFC should identify the RBI approval condition at the start of the transaction timetable and build the application around it.

NBFC amalgamating with a banking company

For an NBFC-bank scheme, RBI’s amalgamation directions place the RBI step between board approval and Tribunal consideration. The directions state: “Where a NBFC is proposed to be amalgamated with a banking company, the banking company shall obtain the approval of the Reserve Bank of India after the scheme of amalgamation is approved by its Board and the Board of NBFC, but before it is submitted to the Tribunal for approval.”

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

In practical terms, both boards first approve the scheme. The banking company then obtains RBI approval before the scheme is submitted to the Tribunal. The NOC therefore controls the hand-off from the companies’ internal approval process to the statutory merger process; it does not replace the Tribunal hearing or order.

Two banking companies

For two banking companies, RBI’s handbook identifies section 44A of the Banking Regulation Act, 1949 as the source of RBI’s discretionary power to approve a voluntary amalgamation. The banking-company amalgamation directions require board approval and statutory shareholder approvals before RBI makes its decision.

The board and shareholder requirements are not interchangeable. Under the bank directions, the scheme must be approved by a two-thirds majority of the total board members. Required statutory shareholder approvals must also be completed before the RBI decision. A bank cannot assume that a board resolution alone satisfies the approval architecture for a voluntary bank-to-bank amalgamation.

How the NOC fits into the transaction sequence

The detailed sequence varies by entity and scheme, but an NBFC-bank transaction generally follows this order:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Design the draft scheme. The parties define the proposed amalgamation, the entities involved, and the approvals that the licence and transaction structure trigger.
  2. Obtain board approval. The relevant boards consider and approve the scheme under the applicable rules. For bank amalgamations, the directions call for approval by a two-thirds majority of total board members.
  3. Complete required member or shareholder approvals. Where the legal route requires meetings or votes, those approvals must be obtained. In the bank-to-bank route, the statutory shareholder approvals are required before the RBI decision.
  4. Submit the RBI application. The applicant provides the scheme and supporting information required for RBI’s regulatory review. The bank in an NBFC-bank amalgamation obtains RBI approval after both boards approve the scheme.
  5. Proceed to the Tribunal or NCLT. Once the RBI clearance required for the route is obtained, the scheme can move to the Tribunal stage. For NBFC amalgamations under the Companies Act, this is generally the NCLT process.
  6. Implement the order. After the Tribunal or other statutory approval, the parties complete the filings, effective-date actions, and sector-specific steps required by the order and applicable regulation.

Changing this order can create a defective filing or an approval gap. The precise timetable should be confirmed against the current consolidated RBI directions and the companies’ legal advice before documents are submitted.

How long does RBI take?

RBI’s published regulatory timeline lists 90 days for an NOC for amalgamation of an NBFC holding company with a banking company and 90 days for approval of amalgamation of a banking company with another banking company.

Those figures are service timelines, not guaranteed closing dates. RBI qualifies them as dependent on complete information and documents, as well as regulatory, supervisory, due-diligence, and other government-agency inputs. A submission that generates clarification requests, or one that depends on another authority’s response, can take longer than the nominal period.

Listed approval category Published timeline Qualification
NOC for amalgamation of an NBFC holding company with a banking company 90 days Subject to complete information and documents and required regulatory, supervisory, due-diligence, and government-agency inputs
Approval of amalgamation of a banking company with another banking company 90 days Subject to the same completeness and inter-regulatory conditions
Other merger or amalgamation categories Not stated Do not assume the 90-day figures apply

The clock should therefore be treated as beginning only when the submission is complete enough for review, not when an internal draft is first circulated. A transaction plan should allow time for questions, revised information, and coordination with the Tribunal timetable.

Is RBI approval the same as NCLT approval?

No. The approvals serve different legal purposes and come from different authorities.

  • RBI approval or NOC: sectoral regulatory clearance from the banking regulator. It addresses whether the regulated institution may proceed with the proposed transaction under RBI’s framework.
  • NCLT or Tribunal approval: the statutory order that approves the scheme under the applicable company-law or other legal route.
  • Post-order implementation: filings and operational steps that make the approved scheme effective and align the surviving entity with continuing regulatory obligations.

Receiving an NOC does not authorise the parties to treat the merger as complete. Conversely, a Tribunal filing made without a required prior RBI clearance can put the sequence out of order. The scheme documentation should identify each approval separately and state the condition that must be satisfied before the next stage.

What RBI is assessing at the NOC stage

The published timeline indicates that RBI review can involve regulatory and supervisory inputs, due diligence, and information from other government agencies. That means the application is more than a formality or a notice of an already completed merger. RBI must have enough information to evaluate the proposed amalgamation within the relevant regulatory framework.

The review may also intersect with the change-in-control, ownership, or management rules that apply to the NBFC or bank. If the scheme changes who controls the regulated entity, or changes ownership or management in a way covered by RBI directions, those issues should be identified rather than hidden inside the merger paperwork.

The evidence available does not establish one universal document list or one set of substantive conditions for every transaction. The responsible institution should use the current RBI directions for its licence category and confirm any sector-specific requirements before filing.

How to determine whether a proposed merger needs an RBI NOC

  1. Classify every party. Identify whether each entity is a bank, an NBFC, a deposit-taking NBFC, an NBFC holding company, or another regulated category.
  2. Map the transaction. State which entity is being amalgamated into which entity and whether the structure is a voluntary bank merger, an NBFC-bank scheme, or another form.
  3. Check control, ownership, and management effects. A merger can trigger prior approval requirements even where the parties describe it primarily as a corporate reorganisation.
  4. Identify the statutory forum. Confirm whether the scheme proceeds under sections 232–234 of the Companies Act with NCLT approval, under the Banking Regulation Act framework, or under another route.
  5. Place approvals on one timetable. Show board votes, member or shareholder approvals, RBI submission, RBI clearance, Tribunal filing, the Tribunal order, and implementation filings as separate milestones.
  6. Verify current directions. Older notifications and directions explain the approval architecture, but current consolidated directions and amendments control a live transaction.

Common mistakes and how to avoid them

Treating the NOC as the merger order

An NOC is permission to proceed, not evidence that the companies have legally combined. Keep the Tribunal or NCLT order and the post-order filings as distinct closing conditions.

Assuming every NBFC follows the same process

Licence category matters. A deposit-taking NBFC has an express prior-written-approval rule, while other NBFC transactions must be tested against the relevant current directions, control changes, and structure.

Filing with the Tribunal too early

For an NBFC-bank scheme, the directions place RBI approval after both boards approve the scheme and before Tribunal submission. Build the filing timetable around that order.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Using the 90-day figure as a guarantee

The published 90-day periods are conditional service timelines. Incomplete information, due-diligence questions, supervisory review, or another agency’s input can extend the practical timetable.

Relying only on an old notification

The 2013 deposit-taking-NBFC notification and older bank directions remain useful for understanding the approval architecture, but they should not be treated as a substitute for checking current consolidated RBI directions and amendments.

What happens after the NOC?

Once RBI issues the clearance required for the transaction, the parties move to the Tribunal or NCLT stage specified by the legal route. The application must reflect the approved scheme and any conditions or limitations attached to the regulatory clearance. The Tribunal then considers the scheme under its own statutory process; RBI approval does not bind the Tribunal to approve it.

If the Tribunal or other authority approves the scheme, the parties complete the order’s filing and implementation requirements. The surviving or resulting institution must continue to meet the regulatory obligations applicable to its licence. Until those steps are complete, the parties should not describe the merger as effective merely because the NOC has been received.

Illustrative RBI action

RBI records that on 26 May 2023 it sanctioned the scheme of amalgamation of Maratha Sahakari Bank Limited, Mumbai, with Cosmos Co-operative Bank Limited, Pune. This demonstrates RBI action under the cooperative-bank amalgamation framework. It is not evidence that every NBFC merger, bank merger, or other financial-company transaction follows the same sequence or approval test.

Bottom line for transaction teams

Start by classifying the regulated entities and mapping the merger structure. If the route requires an RBI NOC, obtain it at the point prescribed by the relevant directions—commonly after board approval and before Tribunal submission for an NBFC-bank scheme. Keep RBI clearance, NCLT or Tribunal approval, and post-order implementation as three separate milestones. Treat the published 90-day periods as conditional timelines, and verify the current RBI directions before relying on any older approval rule for a live transaction.
