A token may represent a fund share on a blockchain, an indirect interest held through a custodian, or a separate instrument linked to an underlying investment. Tokenization alone does not change what a fund invests in, what rights investors have, or whether they can trade or redeem easily. Those details depend on the product’s legal structure and offering documents.
What is the difference between a tokenized fund and a traditional fund?
A traditional fund generally records ownership through conventional book-entry systems and transfer-agent records. A tokenized fund uses a blockchain or other distributed ledger to represent or record fund interests, either wholly or in part.

That distinction is about the ownership record and potentially the transfer process—not a separate category of investment strategy. The SEC’s divisions describe tokenized securities as securities represented by crypto assets, with ownership records maintained wholly or partly through crypto networks. In an issuer-sponsored arrangement, the issuer or its agent may use the ledger as the master securityholder file. SEC divisions’ statement on tokenized securities, Jan. 28, 2026

Tokenized does not mean “cryptocurrency fund,” and a tokenized fund can hold conventional assets. Nor does the word alone establish that the token holder owns a fund share directly. The legal arrangement determines what the investor owns and whom they can claim against.
How can a fund interest be tokenized?
Investor.gov describes three common structures. The token’s appearance in a wallet does not, by itself, establish which structure applies.

- Protect your signer: keep it in mint condition at all times with a bespoke Pod or Case to avoid scratches and everyday wear and tear.
Issuer-sponsored token
The fund or its agent issues the security directly on a blockchain. The token may carry the same rights as a traditional share of the same class, but the issuer could also create a different class with different terms. The governing documents determine the rights.
Custodial token
A securities intermediary holds the underlying security, while the token represents an indirect interest or security entitlement. The investor’s relationship and claims may run through the intermediary rather than directly to the fund.

Synthetic token
An unaffiliated party issues an instrument linked to an underlying security. Its value may track that security, but the token holder may not have a direct claim against the fund or issuer whose investment is referenced.
These distinctions affect rights and counterparty exposure. Before treating a token as equivalent to a fund share, check the offering documents for the issuer, legal holder, custodian, transfer agent, and the specific interest the token represents. Investor.gov’s explanation of tokenized securities

Does tokenization change what the fund invests in?
Not necessarily. A fund’s portfolio and investment strategy are set by its mandate and offering documents; tokenization is a way to represent or record ownership. BlackRock says that tokenization does not change the underlying investments or overall strategy in the context of its tokenized money market funds. That is the issuer’s description of its products, not a guarantee about every tokenized fund. Compare the specific fund’s prospectus or offering memorandum, holdings, risks, and share class rather than inferring its exposure from the token’s name. What differences should investors compare?
| Question | Tokenized fund interest | Traditional fund interest | What to verify |
|---|---|---|---|
| How is ownership recorded? | On-chain, off-chain, or across both; the token may be issuer-sponsored, custodial, or synthetic. | Generally through conventional book-entry and transfer-agent systems. | Whether the token is the share itself, a security entitlement, or a separate linked instrument. |
| What rights does the investor have? | Depends on the structure and governing documents. | Depends on the fund class, governing documents, intermediaries, and applicable law. | Voting, distributions, redemption rights, custody, and what happens if an intermediary fails. |
| What does the fund hold? | Tokenization alone does not determine the portfolio or strategy. | Portfolio and strategy are set by the fund mandate. | Prospectus or offering memorandum, holdings, risks, and share class. |
| Can it be transferred or redeemed quickly? | On-chain transfers may be available among permitted participants, but restrictions and redemption terms still apply. | Uses traditional market and transfer-agent processes; timing depends on the fund and transaction. | Eligible counterparties, transfer restrictions, trading hours, settlement timing, and redemption schedule. |
| Who can invest? | Eligibility depends on the product, jurisdiction, and applicable legal and contractual requirements. | Eligibility varies by fund, share class, and platform. | Jurisdiction, registration or exemption, investor qualifications, minimums, and fees. |
| How is it priced and traded? | The token label alone does not identify whether the fund is a mutual fund, ETF, or private fund, or establish its pricing method. | Trading mechanics depend on fund type. In the U.S., mutual fund shares transact at NAV per share; ETF shares trade on exchanges at prevailing market prices during the trading day. | Fund wrapper, order timing, and whether an ETF’s market price differs from NAV. |
The mutual fund–ETF distinction is separate from tokenization: the former describes a fund structure and trading mechanics, while the latter concerns digital representation or ownership records. Investor.gov’s Apr. 29, 2025 bulletin on mutual funds and ETFs

Does a token guarantee faster settlement or 24/7 access?
No. A tokenized arrangement may support on-chain transfers or quicker settlement between approved participants, but that does not guarantee unrestricted trading, universal around-the-clock access, or immediate conversion into cash. Transfers can be permissioned and legally constrained; redemptions remain subject to the fund’s terms and schedule.
Recordkeeping may also be hybrid rather than entirely on-chain. SEC Trading and Markets staff describe arrangements where transaction details—such as wallet address, asset balance, ownership percentage, units, purchase date, and transaction ID—are recorded on a blockchain while personal identifiers and other private information remain in transfer-agent systems. Does tokenization change securities regulation or investor protection?
In the United States, tokenization does not by itself remove a security from federal securities laws. Investor.gov says the SEC’s Mar. 17, 2026 interpretive release addresses digital securities, including tokenized traditional financial instruments, as securities subject to SEC regulation and investor protections. The applicable rules and protections still depend on the product’s structure and circumstances; that statement does not mean every token has the same rights or is registered in the same way.
SEC Commissioner Hester M. Peirce made the point in her July 9, 2025 statement, “Enchanting, but Not Magical”: “Tokenized securities are still securities.” This is a commissioner’s statement, not a formal Commission rule. Peirce’s statement on tokenized securities
What should you check before investing?
Compare the tokenized product with the traditional fund or share class you are considering. If the portfolios, fees, rights, or eligibility differ, do not attribute those differences to the ledger alone.
Quick Recap
- Legal interest: Identify whether the token is the fund share, an indirect entitlement, or a separate linked instrument.
- Rights and claims: Read the documents for voting, distributions, redemption, custody, intermediary obligations, and insolvency treatment.
- Portfolio and costs: Compare strategy, holdings, risks, share class, fees, and minimums using the current offering documents.
- Access and liquidity: Check investor qualifications, permitted holders, transfer restrictions, secondary-market availability, settlement process, and redemption schedule.
- Recordkeeping and providers: Determine which records are on-chain or off-chain and identify the issuer, transfer agent, custodian, and any intermediary.
- Jurisdiction and status: Confirm which country’s rules apply and the product’s registration or exemption status.
