Check the contract or invoice for the trigger—such as the invoice date, receipt, approval, or acceptance—and for rules on calendar days, weekends, holidays, discounts, and late charges.
What “Net 30” means—and what it leaves open
“Net 30” ordinarily means the full net amount is payable within a 30-day period. The phrase alone does not establish whether counting starts when the invoice is dated, when the customer receives it, when it is approved, or when goods or services are accepted. The controlling agreement and its wording determine the deadline for a private transaction.

Federal payment terms illustrate why the trigger matters, but they are not a universal definition for private invoices. The U.S. Treasury’s Invoice Processing Platform (IPP) describes its federal-vendor Net 30 period as 30 days from whichever is later: the end of the service period or receipt of goods, and the invoice log date. See the Treasury IPP payment terms.
The IRS gives a different federal example: when a contract does not specify a due date, its invoice payment date is 30 days from the later of receipt of a proper invoice or acceptance of goods and services. That example applies to the IRS’s stated payment setting, not automatically to a private customer’s invoice. See the IRS invoice payment guidance.

How to identify and calculate your due date
Find the written trigger first, then apply the agreement’s day-count and calendar rules. These checks help a payer avoid assuming that an invoice date is always day one, and help a vendor explain how it arrived at a deadline.
- Find the governing terms. Check the signed contract, purchase order, and invoice for a due-date clause and any order of precedence if they differ.
- Identify the event that starts the clock. Look for wording such as “from invoice date,” “upon receipt,” “after approval,” or “after acceptance.” Do not substitute one event for another.
- Check prerequisites. Determine whether the clock depends on receiving a complete invoice, approval, or acceptance of goods or services. A requirement used in a federal payment process does not automatically apply to private contracts.
- Confirm the day-count convention. Establish whether the stated period uses calendar days or business days and what happens when a deadline falls on a weekend or holiday.
- Apply any discount or special term. Check whether an early-payment discount or another agreed condition changes the amount or timing.
- Record the result and supporting dates. Keep the invoice, receipt or submission record, approval or acceptance evidence, and the calculation together.
For covered federal agency payments, Treasury says due dates can be set by the contract, accepted discount terms, accelerated-payment conditions, or a default period of 30 days after receipt of a proper invoice. Treasury counts calendar days and moves a due date that falls on a weekend or federal holiday to the next business day. These are federal rules and examples; do not assume they govern a private invoice. See Treasury IPP payment terms and Treasury invoice requirements.

Example: why the trigger changes the answer
Suppose an invoice is dated on one day but received or logged later, and the contract uses receipt as the trigger. Counting from the invoice date would produce a different deadline than counting from receipt. Under the Treasury IPP’s federal vendor guidance specifically, its Net 30 period uses the later of the end of the service period or receipt of goods and the invoice log date. Use that only as an illustration of a defined federal term; for a private invoice, follow the trigger in the parties’ agreement.

In the federal context described by Treasury, the payment period begins when an agency receives a proper invoice. If an invoice is deficient and returned for correction, the period begins when the corrected proper invoice is received. This is not a rule to assume for every private payer; check the applicable contract for completeness, correction, and resubmission requirements. Treasury’s explanation is in its invoice requirements.

Can you charge a late fee or interest?
Do not treat a late fee as automatic merely because an invoice is overdue. Before adding a charge, confirm that the agreement provides for it and that the law governing the particular transaction permits it. The applicable answer can depend on jurisdiction and whether the transaction is commercial or consumer credit; the federal sources here do not establish a general rule for private business-to-business invoices.
For covered federal vendor payments, the Bureau of the Fiscal Service says: “The Prompt Payment Act ensures we pay vendors in a timely manner—we must pay late interest penalties if we pay vendors after the payment due date.” That statement concerns covered federal payments and does not establish a private seller’s right to charge its customer. See the Treasury IPP payment terms.

The FTC’s Credit Practices Rule material concerns covered consumer-credit transactions and describes limits on certain late charges, subject to the rule’s scope and exceptions. It is not a blanket rule for commercial invoices. See the FTC Credit Practices Rule. If you need to know whether a particular private late charge is lawful, identify the governing jurisdiction and transaction type and check the applicable rules or get qualified legal advice.
What to put in payment terms
Clear terms make it easier for both sides to determine when an invoice becomes due. State the trigger rather than relying on “Net 30” alone, and describe how any fee or interest provision works subject to applicable law.
