Joining a VTuber agency does not automatically make you the owner of your character. Ownership can be split among the character name, logo, drawings, Live2D or 3D model files, voice and video recordings, channel accounts, and merchandise designs. Your signed agreement—and the copyright and trademark law governing it—determines who owns each asset, who may use it, and what happens when the relationship ends.
The short answer: a VTuber character is a bundle of rights
“The character” is not one indivisible legal object. A single persona may involve several separate works and rights:

- Identity and branding: the stage name, spelling, logo, slogans, hashtags, and other identifiers. A name or logo may be protected as a trademark, but trademark ownership depends on registration, use, and the agreement.
- Visual works: concept art, character sheets, illustrations, emotes, costumes, thumbnails, and promotional graphics.
- Model assets: Live2D files, 3D meshes, textures, rigs, blend shapes, and source files. The person who paid for a commission is not necessarily the copyright owner.
- Performance and recordings: the talent’s voice, motion-capture performance, livestreams, edited videos, scripts, music, and sound effects. Copyright and publicity or likeness permissions can apply separately.
- Business accounts and output: channel and social-media accounts, archives, clips, merchandise art, sponsorship deliverables, and event materials.
An agency agreement can assign ownership of some items, give the agency an exclusive licence to others, and leave the talent with rights in still others. Never infer the answer from who appears on screen, who paid an illustrator, or who designed the persona.

What kind of agreement is an agency contract?
VTuber talent agreements are often hybrids rather than a single standard contract. A 2023 legal analysis by Monolith Law Office describes arrangements that combine employment, quasi-mandate, and contract-for-work elements. That classification affects duties, control, payment, tax treatment, and remedies, and it can vary with the governing jurisdiction and the wording of the document.

Employment-style terms
An employment relationship may include fixed schedules, reporting lines, workplace or conduct rules, and statutory protections. Whether an agreement is legally employment is determined by the applicable law and the actual relationship, not merely by the heading on the contract.
Independent or mandate-style services
A contractor or mandate structure may require you to provide streaming, recording, promotional, or event services while leaving more control over how the work is performed. It can still impose exclusivity, approval procedures, confidentiality, and detailed deliverables.
Contract-for-work provisions
When you create a song, illustration, advertisement, script, or other deliverable for the agency, the agreement may treat that item as commissioned work and specify whether copyright is transferred or licensed. Those provisions should identify the work and the rights affected rather than relying on a vague statement that the company owns “everything.”
Exclusivity: can you stream elsewhere or use another persona?
Exclusivity is usually a contractual question, not an automatic consequence of becoming a VTuber. Read the definition of “talent activities” and every outside-activity clause. The restriction may cover:

- Streaming or posting under another name, avatar, or account.
- Appearing as a guest on another channel.
- Accepting sponsorships, affiliate income, voice work, music releases, or convention bookings.
- Using an old identity, an independently created persona, or a personal social account.
- Working with another agency during the agreement or for a post-termination period.
Some contracts require prior written approval rather than imposing a total ban. Ask whether approval can be withheld arbitrarily, how quickly the agency must respond, and whether silence counts as consent. Also check whether exclusivity applies worldwide, only in specified media, or only during a defined term. A clause that appears narrow can become broad through definitions elsewhere in the contract.
Who owns each character asset?
Request an asset schedule before signing. It should name the owner, the permitted user, the duration and territory of any licence, and what happens after termination. The following questions expose gaps that a general “character ownership” sentence can hide.

| Music and scripts | Who cleared composers, performers, samples, fonts, and stock assets? Are mechanical, synchronization, and neighbouring rights addressed where relevant? |
| Channels and accounts | Who controls credentials, monetization, subscriber data, archives, handles, and two-factor authentication? Can the account be transferred? |
| Merchandise and promotions | Who owns product art, photographs, advertisements, event recordings, and unfinished commissions? Who can approve future uses? |
Copyright-transfer language should identify the copyrighted work and the rights being transferred. In some jurisdictions, rights are interpreted narrowly unless the contract clearly states otherwise. A licence can be exclusive or non-exclusive, worldwide or limited by territory, perpetual or time-limited, transferable or personal. Those adjectives change the practical result more than the word “ownership” in a heading.
Copyright, trademarks, and performance rights are different
Copyright
Copyright may protect original drawings, model assets, scripts, recordings, music, videos, and promotional works. It generally protects the expression of an idea, not the abstract idea of a cheerful fox, school uniform, or fantasy persona. A contract can assign copyright, reserve it to the creator, or grant the agency a licence. Moral rights, attribution rules, and waiver limits may also apply depending on the governing law.

Trademarks
A character name or logo can function as a trademark identifying the source of entertainment or merchandise. Trademark rights are tied to particular goods, services, territories, and registrations. A talent might own copyright in a drawing while the agency owns the trademark in the name, or the agency might merely license a mark to the talent. Check who controls applications, renewals, enforcement, and use after graduation.
Voice, likeness, and publicity permissions
A voice recording can be a copyrighted sound recording, while the person’s identity and commercial portrayal may be governed by publicity, privacy, performer, or contract rules. A release allowing promotional use is not necessarily permission to train a voice model, create new synthetic performances, or license clips indefinitely. If those uses matter, they should be stated expressly.
What agency policies show—and what they do not prove
Published fan-work policies illustrate how a company may manage rights, but they do not replace an individual talent agreement.

Nijisanji’s guideline applies to official characters for which the company exclusively owns copyright. It describes a derivative work as a creation that adds new creativity and says creators must obtain permission themselves when the underlying material is not exclusively owned by the company. The practical lesson is to audit every contributor: an illustrator, musician, game publisher, font author, or brand may retain separate rights that the agency cannot grant away.

Hololive production’s derivative-work policy
Hololive production’s policy permits compliant fan or hobby derivative works without advance contact in the ordinary case, but says that copying content as-is or with minimal changes is not a derivative work. Its general rule limits the activity to fan or hobby use and prohibits commercial or corporate activity. Figures, garage kits, capsule toys, resin kits, and similar three-dimensional works can require additional rights clearance, event, platform, or licensing procedures. The policy also states that the company does not relinquish its copyright or related rights through the guidelines.
Commercial project terms can allocate rights differently
ANYCOLOR’s cheering-advertisement terms provide a concrete example of a project-specific allocation: copyright in the completed advertisement, including rights under Articles 27 and 28 of Japan’s Copyright Act, belongs to the company or is transferred to it when the work is completed. A commercial commission can therefore produce a different result from a general fan-work policy or a talent’s personal creation.

There is no universal industry rule that a departing VTuber keeps—or loses—the character. The answer depends on the agreement, the asset history, and governing law. Examine these clauses together:

- Ownership at termination: Does the agency retain the name, mark, design, model, recordings, and archives?
- Licence survival: If you own an asset, does the agency’s licence continue after resignation, and is it exclusive or perpetual?
- Account control: Who receives the channel, social handles, subscriber data, and archived videos?
- Use of recordings: May the agency continue to publish old streams, clips, music, or advertisements? For how long and in what media?
- Unfinished work: Who owns commissions not yet delivered or paid for when the contract ends?
- Rebranding: Can you use the same voice, design elements, or biography under a new name, or are those elements confidential or restricted?
- Post-termination restrictions: Is there a non-compete, non-solicitation, confidentiality, or cooling-off period, and is it enforceable where you live?
“Graduation” may be a public label rather than a legal event. Read the termination, resignation, breach, and expiry provisions, including notice periods and dispute-resolution rules.
Can you sell fan merchandise?
Usually not without checking both the agency policy and the underlying rights. A fan-made sticker, shirt, model, or advertisement may incorporate the agency’s character, logo, artwork, voice, or trademark. A policy that permits hobby activity may still prohibit sales, corporate sponsorship, mass production, or use of third-party material.
Three-dimensional products deserve particular caution: a sculptor may need permission for the character, a manufacturer may need a commercial licence, and an event or platform may impose its own rules. “I drew it myself” does not eliminate the rights in the character being depicted. Obtain written clearance that identifies the product, territory, sales channel, duration, and revenue arrangement.
A pre-signing checklist
Before signing, prepare a one-page rights matrix and ask the agency to correct it or attach it to the agreement.
- List every pre-existing asset you bring, including designs, stage names, music, software, and social accounts.
- List every agency-funded asset and every outside contractor who will contribute.
- Mark each item as talent-owned, agency-owned, jointly owned, licensed, or undecided.
- Specify whether licences are exclusive, perpetual, worldwide, transferable, sublicensable, and royalty-free.
- Define approval rights for sponsorships, merchandise, collaborations, and outside personas.
- State who clears third-party music, games, illustrations, fonts, samples, and stock media.
- Allocate indemnity and legal costs if a third party alleges infringement.
- Set rules for account credentials, archives, backups, data, and deletion or transfer at termination.
- Describe post-termination use of the name, image, voice, recordings, and unfinished work.
Keep commission invoices, licences, email approvals, version histories, and delivery records. A dated record can be decisive when several people contributed to one model or song.
Questions to raise with a contract lawyer
Have a qualified lawyer in the contract’s governing jurisdiction review copyright transfers, trademark provisions, exclusivity, termination, confidentiality, indemnity, and dispute resolution before you sign, leave, or commercialize the character. Ask the lawyer to explain practical outcomes, not just rewrite wording:
- What rights do I retain in pre-existing work and my natural voice or likeness?
- Can the agency alter, sublicense, sell, or continue using the character and recordings?
- What activities count as competing or unauthorized outside work?
- Can I keep copies of model files and archives for personal records?
- Which clauses survive termination, and for how long?
- Where would a dispute be heard, and which country’s law applies?
A policy page is not a substitute for legal advice, and a lawyer cannot grant rights that an illustrator, composer, game publisher, or other third party never licensed.
Practical decision rule
If the contract does not identify an asset, an owner, a licence scope, and a departure outcome, treat that point as unresolved. Do not rely on recruitment calls, informal messages, or assumptions about what other talents were allowed to do. Ask for a written amendment or clarification before committing your persona, pre-existing work, or future income. The safest agreement is not necessarily the one that gives the talent every right; it is the one that makes every right, duty, approval, and exit consequence understandable before the first stream.
