There is no single construction-company multiple. A defensible sale valuation starts with maintainable earnings, then tests job-level work-in-progress (WIP), the quality of signed backlog, equipment needs, bonding and licensing, customer concentration, owner dependence and normalized working capital. The result is a range of enterprise values that must be converted into an equity value after debt, debt-like items and closing adjustments.
For a small owner-operated contractor, seller’s discretionary earnings (SDE) may be the most useful earnings base. A managed contractor is more often analyzed on adjusted EBITDA. Market benchmarks can provide a sanity check, but they cannot replace a reconstruction of project economics and a review of what a buyer will actually inherit.

1. Define what “value” means in this sale
Before calculating a number, state the question the number must answer. A preliminary indication for an owner deciding whether to sell is different from a fair-market-value opinion, an asking-price strategy, a lender analysis or a litigation valuation. Each uses different assumptions about buyers, transaction terms, control and marketability.
Recommended Free Tools
| Valuation purpose | What it should answer | Evidence normally available | Output |
|---|---|---|---|
| Preliminary sale range | Is a transaction economically worthwhile and what range should be discussed? | Summary financials, a summary backlog and a year-end WIP schedule | Indicative enterprise-value range |
| Asking-price strategy | What price should be marketed while allowing for negotiation? | Normalized earnings, comparable transactions and known risks | Target price and negotiation boundaries |
| Fair-market-value opinion | What would a hypothetical market participant pay under defined assumptions? | Detailed financial, operational and market support | Formal opinion with a stated standard and premise |
| Buyer offer range | What can a specific buyer justify after diligence and financing? | Job files, contracts, fleet inspection, surety discussions and working-capital analysis | Offer or letter-of-intent range, often subject to adjustment |
Write down the valuation date, whether the transaction is an asset or equity sale, the assumed buyer type and the standard of value. A number without those assumptions invites disputes later.

2. Assemble the information a buyer will test
Prepare three to five years of financial statements, tax returns and monthly management accounts. Monthly data helps separate seasonality, unusual project events and recent margin changes that an annual total can hide.
Build a WIP schedule tied to the general ledger and job-cost detail. For every material job, retain the original estimate, approved changes, cost incurred to date, billings to date, estimated cost to complete, projected gross profit and close-out history. Gather signed contracts, amendments, change-order logs, receivable aging, retainage records, equipment lists, leases, debt schedules, insurance information, licenses, bonding letters and safety and claims records.
For a preliminary range, summary financials, a summary backlog and a year-end WIP schedule may be enough. Job-level records, contract review, fleet inspection and surety conversations usually determine whether that range survives diligence.

Choose EBITDA or SDE deliberately
Adjusted EBITDA is the usual starting point for a professionally managed contractor. It is a proxy for operating performance before interest, taxes, depreciation and amortization, but buyers still ask whether the result is repeatable, supported by current operations and free of optimistic estimates. As Aaron Kolko of CohnReznick wrote on April 7, 2026, “EBITDA plays a central role in construction M&A valuations.”
For a smaller owner-operated company, calculate SDE. Start with operating earnings, add back owner compensation and discretionary or one-time expenses a replacement owner would not incur, and subtract costs the new owner will actually bear. The distinction matters: a company that appears highly profitable only because the owner performs estimating, project management and sales without replacement payroll does not transfer at the same earnings level.
| Earnings measure | Best fit | Typical construction-specific question |
|---|---|---|
| Adjusted EBITDA | Managed contractors with a management team and separable owner role | Can the reported operating margin continue after the transaction without unusual add-backs? |
| SDE | Small, owner-operated contractors | Which owner costs disappear, and which manager, estimator or salesperson must be hired? |
Document every adjustment
Create an add-back schedule with the amount, general-ledger account, date, invoice or payroll support, explanation and whether the item has occurred before. Buyers commonly challenge adjustments that lack clear support, consistent logic or historical precedent. Project accounting can make a cost look one-time when similar costs recur on other jobs.

- Separate genuinely nonrecurring legal, storm, relocation or unusual repair costs from normal project overhead.
- Remove personal or discretionary expenses only when they are identifiable and would not transfer to the buyer.
- Subtract a market replacement cost for owner duties that remain necessary after closing.
- Do not add back costs that protect future revenue, safety, compliance or equipment reliability merely because they depress one year’s earnings.
- Reconcile each adjustment to the tax return, financial statements and job records so the buyer can reproduce it.
The normalized figure is not the highest historical profit. It is the earnings a qualified owner could reasonably maintain with the assets, people, contracts and risk profile being sold.
4. Reconcile WIP and percentage-of-completion accounting
Construction profit depends on estimates of the cost required to finish unfinished work. A valuation that accepts reported gross profit without testing those estimates can materially overstate value.
- Tie the WIP report to the ledger. Reconcile contract revenue, cost to date, billings and gross profit to the general ledger and job-cost system.
- Compare the original estimate with the latest forecast. Identify scope changes, productivity problems, material-price effects, subcontractor claims and schedule delays.
- Test estimated cost to complete. Compare prior forecasts with actual close-out costs to measure estimate accuracy and any recurring margin fade.
- Review billings against earned work. Underbillings may indicate cash-conversion pressure or an estimate problem; overbillings can represent work the company still owes.
- Strip out unsupported earnings. Unapproved claims, unsigned change orders and disputed recoveries should not be treated as dependable profit.
- Inspect completed-job history. Repeated write-downs, warranty costs or late close-outs are evidence that current WIP margins may not be sustainable.
WIP is also a closing issue. Retainage, underbillings, overbillings and billing timing can change the normalized working-capital target and therefore the cash delivered to the seller.
5. Test whether backlog supports future earnings
Backlog supports a forecast; it is not cash and should not be added directly to enterprise value. Classify each opportunity by how firmly it can be relied upon.
| Backlog category | What to include | Valuation treatment |
|---|---|---|
| Signed firm backlog | Executed contract, defined scope and price, expected start and finish | Use to support forward revenue and margin assumptions after reviewing contract risk |
| Awarded but unsigned work | Customer award or notice of intent without a fully executed contract | Show separately; apply a lower probability and do not treat as contracted revenue |
| Pipeline | Proposals, bids and opportunities still under consideration | Do not include in committed backlog; use only in clearly labeled upside scenarios |
For every signed project, review scope, price, termination rights, customer credit, start and finish dates, remaining margin, bonding requirements and exposure to change orders. A large contract with a cancellation clause, weak customer credit or thin remaining margin may contribute less value than its headline revenue suggests.
Measure customer and project concentration. If one account or one job supplies a dominant share of revenue or gross profit, the buyer faces a higher loss scenario and will generally demand a lower multiple, stronger protections or contingent consideration.

6. Triangulate three valuation approaches
Use market, income and asset approaches together. They answer different questions and expose inconsistent assumptions.
| Approach | How it works | When it is most useful | Main caution |
|---|---|---|---|
| Income | Capitalize normalized cash flow or build a discounted-cash-flow (DCF) model | Businesses with credible forecasts, repeatable margins and identifiable cash requirements | Make backlog conversion, margin fade, working-capital swings and maintenance capital expenditure explicit |
| Market | Compare relevant closed transactions and adjust for trade, size, geography, growth, concentration, management depth and risk | Checking whether an internally derived value is broadly consistent with observed deals | Public-company multiples and unlike private transactions require size, liquidity and risk adjustments |
| Asset | Value equipment, property, receivables and other assets less liabilities | Heavy civil or equipment-intensive firms, or companies with weak earnings | Book value may not equal current market value, and an asset floor does not capture a profitable operating platform |
Income approach details
A capitalization model applies a rate to maintainable cash flow; a DCF projects cash flows and discounts them to present value. In either case, model the conversion of backlog into revenue, expected gross-margin fade, collections, retainage, underbillings and overbillings, working-capital swings and maintenance capex. If a fleet is overdue for replacement, the required spending reduces distributable cash even when EBITDA looks healthy.
Market approach details
Comparable transactions should resemble the company in trade, size, geography, growth, customer mix, management depth and capital intensity. A small private contractor is not valued by copying a public construction company’s multiple. Differences in liquidity, reporting quality, concentration and owner dependence must be reflected in the selected range.
Asset approach details
Revalue owned equipment, property, receivables and other assets, then subtract liabilities. This approach is particularly informative for heavy civil and equipment-intensive contractors and can provide a floor when earnings are weak. It does not, by itself, capture the value of a transferable team, customer relationships or profitable backlog.
7. Use transaction benchmarks as sanity checks, not promises
The following are small-business closed-sale averages from BizBuySell’s full-year 2025 Building and Construction data, as reproduced by DueDilio. The samples are modest, the figures are averages, and “cash flow” is an SDE-based measure. They are not universal prices and should not be stretched to larger managed contractors.
| Trade | Closed sales (2025) | Average revenue multiple | Average cash-flow (SDE) multiple |
|---|---|---|---|
| HVAC | 123 | 0.62× | 2.80× |
| Electrical and mechanical contracting | 57 | 0.59× | 2.94× |
| Plumbing | 61 | 0.72× | 2.62× |
| Heavy construction | 65 | 0.70× | 2.98× |
For example, a seller can compare an internally derived SDE value with the relevant 2025 average, then explain why the company deserves a position above or below it. A higher position requires evidence such as durable margins, low concentration, strong management depth and clean WIP. A lower position may reflect owner dependence, claims, weak backlog, deferred fleet replacement or unreliable estimates.

8. Treat equipment, bonding and transferability as value drivers
Equipment and maintenance capital
Inventory owned, financed and leased equipment separately. Review maintenance logs, inspection results, utilization, liens, lease terms and three-to-five-year capital-expenditure history against a normal replacement schedule. EBITDA does not automatically fund fleet replacement. Deferred replacement belongs in the cash-flow model or as a debt-like price adjustment.
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →Bonding, licenses and qualifying people
Confirm bonding limits, surety support, licenses and qualifying individuals. Determine whether they transfer at closing or must be replaced, and how long replacement would take. A buyer may value the same backlog differently if bonding capacity cannot be maintained.
People, safety and claims
Review safety performance, insurance costs, open and historical claims, key employees, subcontractor dependence and documented operating procedures. If customer relationships, estimating knowledge or license qualifications reside mainly with the owner, the buyer may require a transition period, retention arrangements or a lower price.
9. Bridge enterprise value to what the seller receives
Keep four concepts separate:
| Concept | Meaning |
|---|---|
| Enterprise value | Value of the operating business regardless of how it is financed |
| Equity value | Enterprise value plus permitted cash, less debt, debt-like items and any working-capital shortfall |
| Purchase price | Negotiated consideration for the equity or assets being sold |
| Cash at closing | Funds actually received after debt payoffs, escrows, seller notes and transaction costs |
Construction deals commonly use cash-free, debt-free structures with a normalized working-capital target. Define what happens to receivables, retainage, underbillings, overbillings, customer deposits, equipment loans, leases and unpaid project obligations. A seller can agree to an attractive enterprise value and still receive less cash if the closing adjustment reveals a working-capital shortfall or debt-like fleet obligation.
Put the bridge in writing before signing a letter of intent. Specify the peg, permitted cash, assumed debt, treatment of WIP and retainage, and the accounting rules for the closing statement.
10. Build a sensitivity range instead of one precise number
A useful model shows how value changes when assumptions move. Run at least these cases:
Best Value
- Low, base and high normalized EBITDA or SDE.
- Different selected multiples or capitalization rates justified by risk.
- Backlog conversion below, at and above plan.
- Gross-margin fade on unfinished work.
- Higher working-capital requirements during growth.
- Immediate versus deferred fleet replacement.
- Customer or project loss before closing.
Use the formula enterprise value = normalized earnings × selected multiple only when the earnings measure and multiple are compatible. Then apply the enterprise-to-equity bridge. A revenue multiple should not be mixed with an SDE multiple, and a benchmark derived from small owner-operated sales should not be presented as a managed-contractor EBITDA valuation.
11. Seller preparation checklist
- Produce three to five years of financial statements, tax returns and monthly management accounts.
- Prepare a WIP schedule tied to the ledger, with job-level margin and estimate-to-complete support.
- Separate signed backlog, awarded work and pipeline; show remaining margin and customer concentration.
- Document EBITDA and SDE add-backs with invoices, payroll records and a replacement-manager cost.
- Reconcile receivables, retainage, underbillings, overbillings and normalized working capital.
- Inventory equipment, leases, debt, maintenance history and expected replacement capex.
- Assemble bonding letters, license records, safety and claims history, insurance data and key-person plans.
- Run sensitivities for margin fade, backlog conversion, the working-capital peg, capex and the multiple range.
- Engage a construction-focused valuation adviser or M&A professional when the sale is material, and verify any referral or affiliate arrangement before relying on it.
12. Common valuation mistakes and corrections
Using revenue as if it were profit
Two contractors with identical revenue can have very different margins, working-capital needs and equipment burdens. Correct the comparison with normalized earnings and job-level WIP.
Counting unsigned work as contracted backlog
Awarded-but-unsigned work and pipeline are not equivalent to signed contracts. Present each category separately and apply probability only in an explicitly labeled forecast.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Adding backlog to enterprise value
Backlog is an input to future revenue and cash-flow projections, not a second asset to add after applying an earnings multiple.
Accepting every owner add-back
Remove only costs a buyer will not incur. Add the replacement cost for duties that remain essential, and support every adjustment with records.
Ignoring WIP and closing mechanics
Underbillings, overbillings, retainage and unfinished obligations can alter both earnings quality and the cash-free, debt-free adjustment. Reconcile them before agreeing on price.
Forgetting capital intensity
A contractor can report strong EBITDA while its fleet is approaching replacement. Model maintenance capex or negotiate a debt-like adjustment instead of treating EBITDA as free cash.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteRelying on a single multiple
Use income, market and asset approaches to triangulate a range. Explain every premium or discount through observable operating facts.
Quick Recap
13. A practical sequence from first estimate to signed deal
- Frame the assignment. Set the valuation date, purpose, standard of value and transaction form.
- Clean the earnings. Reconcile statements, tax returns, monthly results and documented add-backs.
- Rebuild every material job. Tie WIP to the ledger, test cost-to-complete estimates and review close-out history.
- Grade the backlog. Separate signed, awarded and pipeline work; assess margin, credit, termination and bonding risk.
- Assess transferability. Inspect equipment, licenses, surety support, safety, claims, employees, subcontractors and customer relationships.
- Apply and reconcile methods. Develop income, market and asset indications, then explain the selected range.
- Run sensitivities. Stress margins, conversion, working capital, capex, concentration and multiple assumptions.
- Negotiate the bridge. Define debt, permitted cash, debt-like items, WIP, retainage and the normalized working-capital target.
- Update through diligence. Replace estimates with verified contract, fleet, surety and closing-statement information before finalizing consideration.
